To enter into any agreements with Government or any authority notified by the Government which may sem desirable and to obtain from Government or such authority any powers , rights , licences , privileges or concessions which may be deemed fit and desirable to obtain for promotion of the objects and purposes of the Exchange . To do all other things as are incidental or con- ducive to the attainment of the above objects or any of them .

To promote , form and register and aid in the. Pro- motion, formation and registration of any company or companies , subsidiaries or otherwise , for the pu- rpose of acquiring all or any of the property , rights and liabilities of the Exchange , or for any other purposes which may seem directly or indirectly calculated to benefit the Exchange and to transfer to any such company any property of the Exchange , and to the interested in , or take or otherwise acquire , hold , sell or otherwise dispose of shares , debentures and other securities in or of any such company, or any other company , in connection with or in furtherance of all or any of the objects and purposes of the Exchange .
V. (a) Each member of the Exchange undertakes to contribute to the assets of the Exchange in the event of the same being wound up while he is a Member or within one year after he ceases to be a member for payment of the debts and liabilities and of the costs, charges and expenses of winding up the Exchange and for, adjustment of the right of the contributories amongst themselves , such amount as may be required not exceeding one hundred rupees .

If any of the powers contained herein are also vested either in the Governing Board or any Committee or the Chairman or the Managing Director or any other officer , then such powers shall be deemed to have been vested in each of them and shall be exercisable only by each of them within its/ his respective authority and thereby such powers shall not be exercisable by the general meeting.

The Stock Exchange may have capital duly subscribed by any one or more of the public finan- cial institutions or by persons admitted as members or may have corpus out of the admission /entrance fees, payable by persons , upon getting admitted as members / trading members . (* ),

The property , capital and income of the Ex- change whensoever derived shall be applied solely towards the promotion of the objects of the Exchange and no portion thereof shall be paid by way of bonus or otherwise to the members ; in case ofdissolution or winding up , any property ór ássets which remain after satisfying all the debts and liabilities of the Exchange, including the deposits ofmembers , and after returning to the Members the face value of their card fee , shall be devoted to any activity having the same or similar objects as Ex change or be distributed in charity as may be determined by the Exchange and in the event of their failure to do so by the High Court of Judicature .

Amendments
The existing Articles 123 shall be substituted by the following :-
Article 123 The Board may with the prior approval of the Forward Markets Commission appoint any person not being a mem- ber of the Company as Secretary of the Company upon such terms and conditions prescribed by the Board in consulation with the Forward Markets Commission . The services of the Sec- retary can be terminated by the Board with the concurrence of the Forward Markets Commission .
to 2- In respect of future appointment of Secretary/Chief Executive the exch- ange will take necessary action ensure insertion of necessary advertis -e ments in at least two leading news papers of the State clearly indicating therein his service conditions , emelu- ments etc.
3- In order to ensure transparency in the appointment of the Secretary Chief Executive of the Exchange a selection Committee with prior concur- rence of the Commission wiilbe consti- tuted by the Exchange consisting of one representative of the Exchange one outside expert and one nominee of the Commission. It may be noted that service conditions of the appointee during his service will not be changed to his disadvantage unless this has necessary prior approval of the Com- mission .
