(i ) कारोबार करने वाले अथवा समाशोधन सदस्य ( स्वयं समाशोधन करने वाले सदस्य सहित ) के सम्बन्ध में जो कारोबार करने वाला सदस्य भी है , कोई व्यक्ति जिसके अनुदेशों पर और जिसके खाते पर सदस्य डेरिवेटिव्ज करार करता है अथवा किसी डेरिवेटिन्ज विलेख की खरीद अथवा बिक्री के लिए कोई करार करता है अथवा उससे जुड़ा कोई कार्य करता है; तथा
( ii ) समाशोधन सदस्य के संबंध में जो कस्टोडियन है अथवा व्यावसायिक सम। शोधन सदस्य है (भले' ही.. यह कारोबार करने बाला सदस्य हो अथवा नहीं) अथवा स्वयं समाशोधन सदस्य का अर्थ एक ऐसा व्यक्ति ( जोकि कारोबार करने वाला सदस्य नहीं है)

समाशोधन सदस्य के संबंध में ग्राहक को कोई संदर्भ , जब तक संदर्भ में अन्यथा अपेक्षित न हो , समाशोधन सदभ्य के ग्राहक के लिए होगा जब समाशोधन सदस्य कस्टोडियन/व्याव सायिक समाशोधन सदस्य के रूप में कार्य कर रहा हो । डेरिवेटिब्ज सेगमेंट के सदस्यों की श्रेणियां 2.1 डेरिवेडिन्ज सेगमेंट में सदस्यों की तीन श्रेणियां होंगी, अर्थात्
(i ) कारोबार करने वाले सदस्य

2. 1 बी ( 1 ) डेरिवेटिव्ज सेगमेंट , गवर्निंग काउंसिल द्वारा समय -समय पर निर्धारित दिशा- निर्देशों के अनुसरण में एक या अधिक व्यक्तियों को ( कारोबार करने वाले मौजूदा सदस्यों और/ अथवा समाशोधन सदस्यों सहित) को स्वयं समाशोधन सदस्यों के रूप में चुन सकता है और पंजीकृत कर सकता है ।
(2) इस नियम के खण्ड ( 3 ) के प्रावधानों के अधीन कोई स्वयं समाशोधन सदस्य ( डेरिवेटिव्ज सेगमेंट के के उप नियमों के उप नियम 2.7 में यथापरिभाषित परिभाषा के अनुसार ) स्वयं कारोबार करने वाला कोई सदस्य सभी रूपों में और सभी प्रयोजनों के लिए कारो- बारी सदस्य समाशोधन सदस्य होगा और उसे कारोबार करने वाले सदस्य और समाशोधन सदस्य के रूप में एक्सचेंज के सभी अधिकार , सुविधाएं, दायित्व तथा बाध्यताएं मिलेंगी और डेरिवेटिव्ज सेगमेंट , एक्सचेंज तथा सेबी के समय- समय पर यथा लागू सभो नियम, उप नियम तथा विनियम सदस्य पर आवश्यक संशोधनों के साथ ठीक उसी तरह से स्वयं समः शोधन सदस्य पर लागू होंगे जिस तरह से वे किसी अन्य कारोबार करने वाले सदस्य और/ अथवः समाशोधन सदस्य पर लागू होते हैं । 3. ऊपर बतायी गयी अथवा इन नियमों, उप नियमों अथवा बिनियमों में अथबा एक्सचेंज के नियमों, उपनियनों अथवा विनियमों में कहीं अन्यत्र उल्लिखित किसी बात के होते हुए भी केवल निम्नलिखित व्यक्ति डेरिवेटिव्ज सेगमेंट में स्ययं समाशोधन सदस्य के रूप में प्रवेश पाने के लिए आवेदन करने के पात्र होंगे ।
( i ) ( डेरिवेटिव्ज सेगमेंट के उप नियम 2.7 में यथा परि भाषित ) करोबार करने वाले समशोधन सदस्य जो स्वयं समाशोधन सदस्य के रूप में परिवर्तित होना चाहते हैं । 202

जवकि प्रतिभूति करार ( विनियम ) अधिनियम , 1956 के खंड 10 ( 4 ) के अधीन किसी उप नियम का बनाया जाना या उसमें आशोधन या संशोधन किया जाना उसके पूर्व प्रकाशन की शर्त के अधीन होता है ।
अब , अतएव , बीएसई , सेबी के दिनांक 24 जून 2002 के पत्तन सं ० एसएमडी/ डीसी/ 11382/ 02 द्वारा डेरिषेटिब्ज़ सेगमेंट में स्वयं समाशोधन सदस्य के लिए प्रावधान करने के लिए एक्सजेंज के डेरिवेटिव्ज़ सेगमेंट में नियमों, उप नियमों तथा विनियमों में नियमों में अशोधित उप नियम नीचे दिये गये अनुसार यहां प्रकाशित करता है :
सदस्य
1. 1 जब तक अन्यथा विनिर्दिष्ट न हो , अथवा संदर्भ में अन्यथा अपेक्षित न हो , इन उपनियमों में शब्द " सदस्य" का अर्थ ऐश व्यक्ति होगा जो डेरिवेटिव्ज सेगमेंट द्वारा कारोबार करने वाले सदस्य और/ अथवा समाशोधन सदस्य के रूप में पंजीकृत है तथा शब्द " एक्सचेंज का सदस्य" का अर्थ ऐसा सदस्य होगा जिसे एक्सचेंज के सदस्य के रूप में अर्थात् एक्सचेंज के नकदी सेगमेंट के सदस्य के रूप में प्रवेश दिया गया है । जब तक अन्यथा विनि- दिष्ट न हो, अथवा संदर्भ में अन्यथा आपेक्षित न हो , इन उप नियमों में ( i ) शब्द " कारोबार करने वाला सदस्य" में स्वयं समाशोधन करने वाला सदस्य शामिल होगा तथा ( II ) शब्द "समाशोधन सदस्य" में कस्टोडियन सदस्य तथा स्वयं समाशोधन करने वाला सदस्य शामिल होगा ।
समाशोधन सदस्यों की श्रेणियां
2.7 समाशोधन सदस्यों की श्रेणियों में निम्नलिखित शामिल हो सकते हैं:
(i) कारोबार करने वाले समाशोधन सदस्य:
कारोबार करने वाला अथवा समाशोधन सदस्य का अर्थ एक ऐसे सदस्य से है जो कारोबार करने वाला सदस्य है और समा शोधन सदस्य भी है । कारोबार करने वाला समःशोधनं सदस्य अपने स्वयं के खाते से अथवा अपने कारोबार करने वाले सदस्य के खाते से अथवा कारोबार करने वाले सदस्य के समाशोधन सदस्य के ग्राहक के अथवा किसी अन्य कारोबार करने वाले सदस्य के खाते से इन उप- नियमों में विनिर्दिष्ट तरीके से समाशोधन कर सकता है और लेन-देन निपटा सकता है । जब तक सन्दर्भ के अथवा उसके अर्थ के प्रतिकूल न हो, शब्द " कारोबार करने वाला समाशोधन सदस्य" में स्वयं सम।-
[भाष IV शोधन करने वाला सदस्य भी शामिल होगा बमतें स्वयं समा शोधन करने वाला सदस्य अपने स्वयं के खाते में से अथवा केवल अपने ग्राहकों के खाते में से समाशोधन कर सकता है तथा लेनदेन निपटा सकता है और कारोबार करने वाले किसी अन्य सदस्य/ सदस्यों के लिए प्रतिभूतियों का समाशोधन नहीं करेगा अथवा लेनदेन नहीं निपट। येगा ।

समाशोधन गृह द्वारा विनिर्दिष्ट की जाने वाली क्रियाविधि 2.19 समाशोधन गृह के परिचालनों से जुड़े सभी मामलों में किये जाने वाले लेनदेनों के लिए आवश्यक सभी कारोबारों के लेनदेनों के लिए सदस्यों ( कस्टोडियन समाशोधन सदस्यों तथा स्वयं समाशोधन सदस्यों सहित) अपनायी जाने वाली क्रियाविधि तथा अदा किये जाने बाले शुल्क, आर्थिक दंज तथा दंड संबंधित विनियम अथवा ऐसे अन्य प्रावधानों, जो डेरिवेटिव्ज़ सेगमेंट में अथवा विनिदिष्ट प्रावधानों अथचा समाशोधन ग्रह द्वारा सभय समय पर उनके अंशोधन अथवा प्रतिस्थापन के अलावा विनिर्दिष्ट करे, के अनुसरण में होंगे ।
एसोसिएशन
6.16 किसी कारोबारी सदस्य को तब तक डेरिवेटिज़ सेगमेंट में कारोबार करने का हक नहीं मिलेगा जब तक डेरिवे- टिन्ज़ सेगमेंट और संभः शोधन गृह द्वार। कारोबार करने वाले सदस्य तथा समः शोधम सदस्य , जो निलंबन के अधीन नहीं है तथा समःशोधन सदस्य के रूप में कारोबार करने का हकदार है और जो स्वयं समाशोधन सदस्य नहीं है और निलंबन के अधीन नहीं है, के बीच विनिदिष्ट फार्मेंट के अनुसरण में वैध और टिकाऊ करार न हो । बशर्ते कि यह उप नियमः किसी ऐसे कारोबार करने बाले समाशोधन सदस्य अथवा स्वयं समाशोधन सदस्य पर लागू नहीं होगा जो अपने स्वयं के कारो- बारों का समाशोधन करता है ।
15.2 ( i) एक्सचेंज एक ऐसी निधि स्थापित करेगा जिसे " डेरिवेटि सेगमेंट ट्रेड गारंटी फंड" के नाम से जाना जायेगा । (ii ) इन नियमों और उपनियमों और विनियमों के अन्य प्रावधानों की शर्त पर निधि का लक्ष्य रहेगा कि इन नियमों, उपनियमों तथ। विनियमों के अनुसरण में निपटान के लिए बिना शत गारंटी दे ।
( क) डेरिवेटिव्ज करार जो एक्सचेंज के कारोबार करने वाले सदस्यों के बींच परस्पर किया जाता है, अंततः डेरिवेटिव्ज सेगमेंट की निपटान प्रणाली का हिस्सा बनता है ।
(ख) कारोबार करने वाले ऐसे सदस्यों, जिन्हें निलंबित कर दिया गया है अथवा चूककर्ता के रूप में घोषित किया गया है और जिनके समाप्नोधन सदस्य निलंबित किए गए हैं अथवा चूककर्ता घोषित किए गये हैं के ग्राहकों के दावे । भाग-IV]

एक माह की अवधि के भीतर इस आशय का प्रतिवेदन नीचे दिये पते पर कर सकता है :-

टिप्पणी: यदि उपर्युक्त नियमों तथा उप नियमों के हिन्दी पाठ और अंग्रेजी पाठ में कोई असंगति पायी जाती है तो अंग्रेजी पाठ में उल्लिखित प्रावधान प्रमाणिक माने जायेंगे ।
(ख ) इस तरह की राशि के भुगतान के द्वारा प्रतिभूति निपटान डेरिवेटिव्ज करार का निपटान करेंगे जो डेरिवेटिव्ज़ सेगमेंट अथवा समाशोधन गृह द्वारा निर्धारित की जाए ।
बशर्ते यह भी कि निधि की गारंटी ऐसे निपटानों के संबंध में सामने आने वाले दावों के लिए ही दी जाएगी जिनमें समाशोधन सदस्य को निलंबित किया गया है अथवा चूककर्ता घोषित किया गया है ( और ये किसी अन्य निपटानों के लिए उपलब्ध नहीं होगी) ।
सेबी द्वारा दिनांक 15 सितम्बर 2003 के अपने पत्र सं ० एमआरडी/डीएसए/17510/03 के द्वारा यथा अनुमोदित एक्स- चेंज की नियमावली , उपनियमावली तथा विनियमावली के उप नियम 170 ( a) का आशोधन
( iii) गवर्निंग काउंजिल मानदण्डों, क्रिया विधियों तथा तरीके निम्नलिखित से संबंध में विनियम बनाने के लिए हकदार होगी
(क) निधि कः प्रबंधन तथा व्यवस्था
स्थायी समितियां मध्यस्थता , चूककर्ता , अनुशासनात्मक कार्रवाई तथा नैतिकता संबंधी समिति
( ख) निधि का ढांचा और गठन
170 ( ia) गर्निंग वोर्ड अपने चुनाव के वाद प्रत्येक वर्ष अप्रैल में अपनी पहली बैठक में निम्नलिखित की नियुक्ति करेगा:
( ग) निधि में एक्सचेंज , एक्सचेंज के कारोबार करने वाले/ समाशोधन सदस्यों तथा अन्यों के द्वारा किए जाने वाले अंशदान
( घ) निधि का निवेश
(ङ) निधि का अनुप्रयोग
( i -a) सदस्य बनाम गैर - सदस्य मध्यस्थता के लिए एक मध्यस्थता पैनल जिसमें ऐसे व्यक्तियों का समावेश होगा जो एक्सचेंज के सदस्य अथता उनके पदनामित निदेशक नहीं है और/ या एक्सचेंज के भागीदार नहीं है , इस पैनल को सेबी के अनुमोदन से एक्सचेंज द्वारा नियुक्त किया जाएगा । (च) ऐसे व्यक्ति जो निधि के लाभ पाने के लिए हकदार नहीं रहेंगे
( छ) निधि में निधियों की न्यूनतम मूल्य
( i. -b) सदस्यों के वीच मध्यस्थता के लिए मध्यस्थता समिति जिसमें एक्सचेंज के सदस्यों में से नियुक्त व्यक्ति अथवा एक्सचेंज के क. पर्पोरेट सदस्यों के पदनामित निदेशकः और/या एक्चेंज के सदस्य के भागीदार होंगे जिनकी भागीदारी गवर्निंग बोर्ड द्वारा अनुमोदित की गई है और सेबी में पंजीकृत है । (ज) डेरिवेटिन्ज सेगमेंट अथवा क्लीरिंग काउंसिल अथवा निधि को अदा की जाने वाली अथवा उनके द्वारा प्राप्त की जाने वाली मुद्रा तथा सम्पत्ति ।
(झ) डेोरेवेटिज़ सेगमेंट अथवा क्लीवरिंग काउंसिल अथवा निधि को अदाकी जाने वाली अथवा उनके द्वारा प्राप्त की जाने वाली मुद्रा तथा सम्पत्ति का अनुप्रयोग जिसमें प्राथमिकता का क्रम भी होगा जिस क्रम से वे अनुप्रयुक्त होंगी ।
(ii) एक चूककर्ता समिति जिसमें 40 प्रतिशत व्यक्ति एक्सचेंज के सदस्यों में से नियुक्त किए जायेंगे और 60 प्रतिशतः व्यक्ति जो एक्सचेंज के सदस्य नहीं होंगे , सेवो के अनुमोदन से एक्सचेंज द्वारा नियुक्त केले जायेंगे अथवा यःद सेबो ऐसी इच्छा व्यक्त करे तो सेवो द्वारा नियुक्त किये जायेंगे । ( ट) क्लोजिंग आउट, समायोजन, निपटान और/ अथवा सदस्य द्वार। चूककर्ता अथवा निलम्बित सदस्य के साथ किये गये करार को निपटाना अथवा रद्द करना ।
( iii ) एक अनुशासन कार्रवाई समिति जिसमें 40 प्रतिशत व्यक्ति एक्सचेंज के सदस्यों में से नियुक्त किये जायेंगे और 60 प्रतिशत व्यक्ति जा एक्सचेंज के सदस्य नहीं है, सेबा के अनुमोदन से एक्सचेंज द्वार। और यदि सेवी ऐसी इच्छा व्यक्त करे तो सेबी द्वारा नियुक्त किये जायेंगे और
उपर्युक्त आशोधन के संबंध में कोई अभिमत देने में इच्छुक कोई भी व्यक्ति इस बिज्ञापन के प्रकाशित होने की तारीख से

( iv) एक नैतिकता संबंधी समिति जिसमें 40 प्रतिशत से अनधिक व्यक्ति एक्सचेंज के सदस्यों में से नियुक्त किये जायेंगे और कम से कम 60 प्रतिशत व्यक्ति जो एक्सचेंज के सदस्य नहीं हैं, होंगे , इनमें से कम से कम एक व्यक्ति न तो एक्सचेंज का सदस्य हो और न ही गनिंग बोर्ड का सदस्य हो ।

DEFINITIONS
1. In these Rules , Bye - laws and Regulations , unless there is anything repugnant to the subject or context--

1.13 " Client " means : -
(i) in relation to a Trading Member orit Clearing Member ( including a Self Clea- ring Member ) , who is also a Trading Memter , a person on whose instructions and on whose account the Member enters into a Derivatives Contract or any con- tract for the purchase or sale of any Deri- vatives Instrument or does any act in relation thereto; and
(ii) in relation to a Clearing Member who is a Custodian or Professional Clearing Member (whether or not he is a Trading Member ) or Self Clearing Member means a person ( not being a Trading Member) for whom the Clearing Member performs clearing functions on the Derivatives Segment.
A reference to a Client in relation to a Clear- ing Member shall , unless the context other- wise requires , refer to a Clearing Member's Client when the Clearing Member is acting as a Custodian/Porfessional Clearing Member.
Classes of Me mbers of the Derivatives Segment 2.1 The Derivatives Segment shall have three cla- sses of members , viz .:
(i) Trading Members
(ii ) Clearing Members ; and
(iii) Self Clearing Members

2. IB ( 1) The Derivatives Segment may elect and register one or more persons ( including existing Trading Members and/ or Clearing Members ) as self Clearing Members in acc- ordence with the guidelines prescribed by the Governing Council from time to time .
(2) Subject to the provisions of clause (3 ) of this Rule, a Self Clearing Member shall be a Trading Member Clearing Member (as such term is defined in Bye - Law 2.7 of the Deriv atives Segment Bye- Laws ) in and for all purposes all respects and shall have all the rights , privileges , obligations and liabilities of a Trad- ing Momber and a Clearing Member , and the Rules , Bye - laws , Regulations , Business Requirement Specifications , guidelines and other provisions of the Derivatives Segment , the Exchange and SEBI in force from time to time shall apply mutatis mutandis to a PART-IV]

Self Clearing Member as they apply to and other Trading Member and/or Clearing Member .
(3 ) Notwithstanding anything stated above or elsewhere in these Rules , Bye- laws or Re- gulations or the Rules , Bye - laws or Regula- tions of the Exchange only the following persons shall be eligible to apply for admi- ssion to the Derivatives Segment as Self- Clearing Members :-
(i) Trading Members Clearing Members (as defined in Bye - law 2.7 of the Deri- vatives Segment Bye - laws ) who desire to convert into Self Clearing Members .
(ii) Trading Members who desire to convert into Self Clearing Members ; and (ii) Members of the Exchange who are not Trading and/or Clearing Members .
(4) A Self Clearing Member may clear and settle transactions on its own account or on account of its. Clients only , and shall not clear or settle transactions in securi- ties for any other Trading Member ( s ) , and the Rules , Bye -laws and Regulations of the Exchange shall be construed accor- dingly.
(5) The Derivatives Segment may from time to time modify any of the prescribed forms in relation to their applicability to Self-Clear- ing Members or applicants for Self -Clear- ing Membership or may prescribe other forms for Self Clearing Members or appli- cants for Self Clearing Membership .
(6) The register of members maintained by the Derivatives Segment pursuant to Rule 5.1 shall also indicate , in respect of each Self- Clearing Member , that such member is a Self Clearing Member . "

205 Wherease under Section 10(4) of the Securities Contracts (Regulation) Act , 1956 , the marking or the amendment or revision of any bye - law is subject to the condition of its previous publication .
Now, therefore , BSE , hereto publishes the amended Bye - laws of the Rules , Bye- laws and Regulations of the Derivatives Segment of the Exchange, to provide for Self Clearing Members in the Derivatives Segment of the Exchange as approved and directed by SEBI vide its letter no . SMD/DC/ 11382 /02 dated the 24th . June , 2002, as follows :
Member
1.1 Unless otherwise specified or unless the context otherwise requires , in these Bye - laws , the term "Member " shall mean a person registered by the Derivatives Segment as a Trading Member and/ or a Clearing Member and the term "member of the Exchange " shall mean a mem- ber who has been admitted as a member of the Exchange , i.e. a member of the Cash Segment of the Exchange . Unless otherwise specified or unless the context otherwise requires , in these Bye - laws (i ) the term "Trading Member " shall include a Self Clearing Memaer and (ii) the term " Clearing Member " shall include a Custo- dian Clearing Member and a Self-Clearing Member.
Categories of Clearing Members 2.7 The categories of Clearing Members may include :
(1) Trading Member Clearing Members :
Trading Member Clearing Member means a Member who is a Trading Member and also a Clearing Member . A Trading Member Clearing Member may clear and settle tran- sactions either on his own account or on account of his Trading Member or the Trad- ing Member's /Clearing Member's Client or the Client of another Trading Member in the manner specified in these Bye- laws . Unless repugnant to the context or meaning thereof, the term " Trading Member Clearing Mem- ber" shall include a Self-Clearing Member provided that a Self Clearing Member may clear and settle transactions on its own account or on account of its Clients, only , and shall not clear or settle transactions in securities for any other Trading Member(s ) .

Procedure to be Specified by the Clearing House 2.19 The procedure to be followed by Mem- bers ( including Custodian Clearing Members and Self Clearing Members ) for transaction of all business necessary to be transacted in all matters connected with the operations of the Clearing House and the fees , fines and penalties to be paid shall be in accordance with the provisions specified in the relative Regulation or such other provisions as the Derivatives Segment or the Clearing House may from time to time specify in addition thereto or in modification or substitution thereof.

6.16 A Trading Member shall not be entitled to trade on the Derivatives Segment unless there is a valid and subsisting agreement in accordance with the format specified by the Derivatives Seg- ment and the Clearing House between the Trading Member and a Clearing Member who is not under suspension and who is entitled to carry on business as a Clearing Member and who is not a Self Clearing Member or under suspension . Provided that this By - law shall not apply to a Trading Member Clearing Member or a Self Clearing Member wh clears its own trades .
15.2 ( i) The Exchange shall establish a fund which shall be known as the " Derivatives Segment Trade Guarantee Fund".
( ii ) Subject to the other provisions of these Rules and Bye - laws and Regulations , the object of the Fund shall be to un- conditionally guarantee , in accordance with these Rules , Bye - laws and Regula- tiors , the se tlement of -
(a) Derivatives Contracts which have been entered into between Trading Members of the Exchange inter se which form part of the Derivatives Segment's Settlement system; and (b) claims of Clients of Trading Mem- bers who have been suspended or have been declared as defaulters and whose Clearing Members have also been suspended or declared as de- faulters and
(c) claims of Clients of Custodian Clear- ing Members and Self Clearing Members who have been suspended or have been declared as defaulters .
Provided however that no claims shall be entertained which are collusive or entered

[PART- IV into to defraud any person or the Excha- nge or are otherwise not bonafide .
Provided further that the Derivatives Seg- ment and the Clearing House may , at their option, either ,
(a) deliver Securities in the Settlement of a claim arising out of a Security Settled Derivatives Contract , or
(b) settle such Security Settled Derivatives Contract by payment of such amount as may be determined by the Deriva- tives Segment or the Clearing House .
Provided futher that the Fund's guarantee shall extend only to claims arising in res- pect of the Settlement (s) in which the Clear- ing Member is suspended or declared a defaulter ( and not in respect of any other settlement(s)).
( iii ) The Governing Council shall be entitled to make Regulations relating to norms , pro- cedures and manner in respect of :
(a) the management and administration of the Fund,
(b) the structure and composition of the Fund .
(c) the contributions to be made to the Fund by the Exchange , Trading/Clearing Mem- bers of the Exchange and others , (d) investment of the Fund ,
(e) application of the Fund ,
(f) persons who would be disentitled from receiving a benefit from the Fund , (g) minimum value of funds in the Fund , (h) the money and property to be paid to or received by the Derivatives Segment or the Clearing Council or the Fund, (i) the application of the money and property pain to or received by the Derivatives Seg- ment or the Clearing Council or the Fund including the order of priority in which they shall be applied , and
(j) the closing - out , adjustment , settlement and /or cancellation of contracts entered into by a Member with the defaulter or suspended Member .

Amendment of Rule 170 (a) of the Rules Bye- Laws & Regulations of the Exchange Pertaining to the Standing Committees of the Exchange Approved By SEBI Vide its Letter No. MRD/DSA/ 17510 /03 Dated the 15th September , 2003 .

Arbitration , Defaulters' , Disciplinary Action and Ethics Committee
170. (a) The Governing Board shall every year at the first meeting in April after its election appoint.
(i-a) an Arbitration Panel for Member V/s Non-Member Arbitration, consisting of persons , who are not members of the Exchange of their Designafed Directors and/ or partners of member of the Exchange, to be appointed by the Exchange with the approval of SEBI .
(i-b) an Arbitration committee for Arbitra- tion between members , consisting of persons appointed from amongst members of the Exchange or the Designated Directors of the corporaté members of the Exchange and/ or part- ners of member of the Exchange , whose partnership has been approved by the Governing Board and registered with the SEBI .
( iii ) a Defaulters ' Committee consisting of 40 % persons appointed from among the members of the Exchange and 60 % persons who are not members of the Exchange to be appointed by the Exchange with the approval of SEBI or, if SEBI so desires, to be appointed by SEBI .
