सिक्यूरिटीज कॉण्ट्रैक्टस ( रेगुलेशन) एक्ट, 1956 की धारा 10( 4) के प्रावधानों के अनुसार किसी उप नियम का बनाया जाना, उसमें अःशोधन करना अथवा उसमें संशोधन करना उसके पूर्व प्रकाशन को शर्त के अधीन होता है । बीएसई के डेरिवेटिव्ज खण्ड में स्वयं समाशोधन सदस्य के बिए प्रावधान करने के लिए , एक्सचेज के डेरिवेटिव्ज खड के नियभों , उप नियमों तथा विनियमों में किये गये आशोधन संशोधन को अभिमत आमंत्रित करने के लिए 10 जुलाई 2004 के भारत के आधिकारिक गजट में प्रक्षाशित किया गया था ।
चूंकि उपर्युक्त मामले पर कोई भी अभिमत प्राप्त नहीं हुआ है, अतएब, अब बीएसई, डेरिवेटिव्स खण्ड के नियमों, उपनियमों तथा. विनियमों के निम्नलिखित उप नियम प्रकाशित करता है :
सदस्य
1.1 जब तक अन्यथा विनिदिष्ट न हो , अथवा संदर्भ में अन्यथा अपेक्षित न हो, इन उपनियमों में शब्द " सदस्य " का अर्थ ऐसा व्यक्ति होगा जो डेरिवेटिव्ज सेगमेंट द्वारा कारोबार करने वाले सदस्य और/ अथवा समाशोधन सदस्य के रूप में पंजीकृत है तथा शब्द " एक्सचेंज का सदस्य" का अर्थ ऐसा सदस्य होगा जिसे एक्चेंज के सदस्य के रूप में अर्थात एक्सचेंज के नकदी सेगमेंट के सदस्य के रूप में प्रबेश दिया गया है । जब तक अन्यथा विनिदिष्ट न हो, अथवा संदर्भ में आयथा अपेक्षित न हो, इन उप नियमों में ( i ) शब्द "कारोबार करने वाला सदस्य" में स्वयं समाशोधन करने वाला सदस्य शामिल होगा । तथा ( ii ) शब्द " समाशोधन सदस्य" में कस्टोडियम सदस्य तथा स्वयं समाशोधन करने बाला सदस्य सामिल होगा
समाशोधन सदस्यों की श्रेणियां
2.7 समःशोधन सदस्यों की श्रेणियों में निम्नलिखित शामिल हो सकते हैं ।
( i ) कारोबार करने वाले समाशोधन सदस्य:
कारोबार करने वाले अथबा समाशोधन सदस्य का अर्थ एक ऐसे सदस्य से हैं जो कारोबार करने बाला सदस्य है और समाशोधन सदस्य भी है । कारोबार करने वाला समाशोधन सदस्य अपने स्वयं के खाते से अथवा अपने कारोबार करने बाल सदस्य के खाते से अथवा कारोबार करने बाले सदस्य के/ समाशोधन सदस्य के ग्राहक के अथवः किसो अन्य कारोवार करने वाले सदस्य के खाते से इन उप नियमों में विनिर्दिष्ट तरीके से समाशोधन कर सकता है और लेन -देन निपट। सकता है । जब तक सदर्भ के अथवा उसके अर्थ के प्रतिकूल न हो , शब्द "कारोबार करने वाला समाशोधन सदस्य" में स्वयं समाशोधन करने बाला सदस्य भी शामिल होगा बशर्ते स्वय समाशोधन करने वाला सदस्य अपने स्वयं के खाते में से अथवा केवल अपने ग्राहकों के खाते में से समाशोधन कर सकता है तथा लेन- देन निपटा सकता है और कारोबार करने वाले किसी अन्य सदस्य/ सदस्यों के लिए प्रतिभूतियों का सनाशोवन नहीं करेगा अथवा लेन-देन नहीं निपटायेगा ।

समाशोधन गृह द्वार। विनिदिष्ट की जाने वाली क्रियाविधि 2.19 समाशोधन गृह के परिचालनों से जुडे सभी मामलों में किये जाने वाले लेन- देनों के लिए आवश्यक सभी कारोबारों के लेन-देनों के लिए सदस्यों ( कस्टोडियन समाशोधन सदस्यों तथा स्वयं समाशोधन सदस्यों सहित) अपनायी जाने बाली क्रियाविधि तथा अदा किये जाने वाले शुल्क, आर्थिक दंड तथा दंड संबंधित विनियम अथवा ऐसे अन्य प्रावधानों, जो डेरिवेटिव्ज सेगमेंट में अथवा विनिर्दिष्ट प्राबधानों अथवा समाशोधन गृह द्वारा समय-समय पर उनके आशोंधन अथवा प्रतिस्थापन के अलावा विनिर्दिष्ट करे, के अनुसरण में होंगे ।
एसोसिएशन
6.1.6 किसी कारोबारी सदस्य को तब तक डेरिवेटिव्ज सेगमेंट में कारोबार करने का हक नहीं मिलेगा जब तक डेरिवे- टिब्ज सेगमेंट और समाशोधन गृह द्वारा कारोबार करने वाले सदस्य तथा समाशोधन सदस्य, जो निलंबन के अधीन नहीं है तथा सम। शोधन सदस्य के रूप में कारोबार करने का हकदार है और जो स्वयं समाशोधन सदस्य नहीं है और निलंबन के अधीन नहीं है, के बीच विनिदिष्ट फार्मेट के अनुसरण में बेध और टिकाऊ करार न हो, बशर्ते कि यह उप नियम किसो ऐसे कारोबार करने त्राले समाशोधन सदस्य अथवा स्वयं समामोधन सदस्य पर लागू नहीं होगा जो अपने स्वयं के कारोबारों का समाशोधन करता है । 15.2 ( 1 ) एक्सचेंज एक ऐसी निधि स्थापित करेगा जिसे " डेरिवेष्टिन्ज सेगमेंट ट्रेड गारंटी फंड" के नाम से जाना जायेगा ।
( ii) इन नियमों और उपनियमों और विनियमों के अन्य प्रावधानों की शर्त पर निधि का लक्ष्य रहेगा भारत का राजपाल , सितम्बर 18 , 2004 ( भाद्रपद 27 , 1926)

कि इन नियमों, उपनियमों तथा विनियमों के अनुसरण में निपटान के लिए बिना शर्त गारंटी दे ।
( क) डेरिवेटिव्ज करार जो एक्सचेंज के कारो- बार करने वाले सदस्यों के बोच परस्पर किया जाता है , अंततः डेरिवेटिव्ज सेगमेंट की निपटान प्रणाली का हिस्सा बनता है । ( ख ) कारोबार करने वाले ऐसे सदस्यो, जिन्हें निलंबित कर दिया गया है अथवा चूककर्ता के रूप में घोषित किया गया है और जिनके ममाशोधन सदस्य निलंबित किये गये हैं अथवा चूककर्ता घोषित किये गये हैं के ग्राहको के दावे ।
( ग) ऐसे कस्टोडियन समाशोधन सदस्यों तथा स्वयं समाशोधन सदस्यों, जिन्हें निलंबित किया गया हैं अथवा चूककर्ता के रूप में घोषित किया गया हैं, के ग्राहकों के दापे । बशर्ते अलबत्ता, कि किसी भी ऐसे दावों पर विचार नहीं किया जायेगा जो काटपूर्ण हैं और किसी व्यक्ति अथवा एक्सचेंज को धोखा देने की नीयत से किये गये हैं ।
बशर्ते यह भी कि डेरिघेटिब्ज सेगमेंट तथा समा- शोधन गृह अपने विकल्प पर या तो- (क ) प्रतिभूति निपटान डेरिवेटिव्ज करार से होने वाले दावे के निपटान में प्रतिभूतियां सुपुर्द करेंगे , अथवा
(ख ) इस तरह की राशि के भुगतान के द्वारा प्रतिभूति निपटान डेरिवेटिव्ज करार का निपटान करेंगे जो डेरिवेटिव्ज सेगमेंट अथव। समाशोधन गृह द्वारा निर्धारित की जाये ।
बशर्ते यह भी कि निधि की गारंटी ऐसे निपटानों के सम्बन्ध में सामने आने वाले दावों के लिए ही दी जायेगी जिनमें सम. शोधन सदस्य को निलंबित किया गया हैं अथवा चूककर्ता घोषित किया गया हैं ( और ये किसी अन्य निपट। नों के लिए उपलब्ध नहीं होगी ) ।
( iii ) गर्वोनग काउंसिल मानदण्डों, क्रिया विधियों तथा तरीके निम्नलिखित से संबंध में विनियम बन. ने के लिए हकदार होगी ।
(क) निधि का प्रबंधन तथा व्यवस्था । (ख ) निधि का ढांचा और गठन ।। (ग) निधि में एक्सचेंज, एक्सचेज के कारोवार करने वाले समाशोधन सदस्यों तथा अन्यों के द्वारा किये जाने वाले अंशदान ।
[भाग -1V (घ) निधि का निवेश ।
( ङ) निधि का अनुप्रयोग ।
( च) ऐसे व्यक्ति जो निधो के लाभ पाने के लिए हकद। २ नहीं रहेंगे ।
(छ) निधि में निधियों की न्यूनतम मूल्य । (ज) डेरिवेटिव्ज सेगमेंट अथवा क्लोरिंग काउंसिल अथवा निधि को अदा को जाने वाली अथवा उनके द्वार प्राप्त को जाने वाली मुद्रा तथा सम्पत्ति
(झ) डेरिवेटिव्ज सेगमेंट अथवा क्लीयरिंग क. उंसिल अथवा निधि को अदा की जाने वाली अथवा उनके द्वारा प्राप्त को जाने वाली मुद्रा तथा सम्पत्ति का अनुप्रयोग जिसमें प्राथमिकता क्रम भो होगा जिस क्रम से थे अनुप्रयुक्त होंगी ।
(ट ) 'क्लोजिंग अउट, समायोजन, निपटान और/ अथवा सदस्य द्वारा चूककर्ता अथवा निलम्बित सदस्य के साथ किये गये कर र को निपटाना अथवा रद्द करना ।

दूसरे स्थान पर स्थित किसी कारोबारी र्मिनल से एक्सचेंज/ सेबी द्वारा यथा अपेक्षित/निर्दिष्ट ग्राहक कोड के ब्यौरे प्रविष्ट करके संघटक के लिए और उसको ओर से आदेश देने की सुविधा होगो । यदि किसी कारोबारी सदस्य को एक स्थान को बजाए अधिक स्थानों से कारोबारी टर्मिनलों के माध्यम खाता पक्ष में प्रयोग करने को सुविधा को आवश्यकता है तो ऐसे कारोबारी सदस्य को बहुल स्थानों से ' बाड़ा पक्ष में का प्रयोग करने का कारण बताते हुए एक्सचेंज को अनुरोध करेगा बौर एक्सचेंज यथोवित सचेतना के पश्चात् म.मला दर मामला के अधार पर एक से अधिक स्थानों से ' बाजः पक्ष में' के प्रयोग की सुविधा देने पर विचार कर सकता है ।

एनएसई (फ्यूचर एण्ड आँनशन ) कारोबारी विनियमत्तों के अध्याय 3 में विनियमन 3.1.19 के रूप में निम्नलिखित धारा को जोड़े जाने का प्रस्ताव है:-

4.4.16 (क) फटूबर संविशओं के जिर बाजार निदान के लिए चिन्हित की अदायगी के लिए कारोबारी सदस्य संघटकों को नकद अदायगो नहीं करेगा और न ही संघटकों से नकद बदायगी प्राप्त करेगा ।
(ख ) कारोबारी सदस्य संघटकों को से सभो अदाय- गियां आदातः खाता क्रास चेक/ डिमांड ड्राफ्ट अथवा इलेक्ट्रॉनिक राशि अंतरण सुविधा के माध्यम से संबधित बैंक खाते में सीधे क्रेडिट करने के जरिए अथवा भारतीय रिजर्व बैंक द्वारा अनुमत किसी अन्य विधि से करेगा । अथवा प्राप्त करेगा ।
( ग) उनके लेन-देनों के संबंध में, कारोबारी सदस्य केवल संघटकों द्वारा लिखे चेरु/डिमांड ड्राफ्ट जारी करेगा और केवल संघटकों के पक्ष में चेक/डिमांड ड्राफ्ट जारी करेगा ।
अनन्य ग्राहक कोड का विवरण
3.1.19 जब कोई कारोबारो सदस्य संक्टक को ओर से आर्डर प्रविष्ट करता है तब ऐसा कारोबारी सदस्य ऐसे संघटक की और से आदेश प्रविष्ट करते समय ऐसे संबध्क के संबंध में अनन्य ग्राहक कोड को ऐसे फामेंद्र और ऐसो वारीब से जो कि एक्सचेंज द्वारा अधिसूचित किया जाता है, प्रविष्ट करेगा । प्रत्येक कारोबारी सदस्य एक्सचेंज को, ऐसे कप, रिनि , ऐसे अंतर, लों पर और ऐसे समय में जो एक्सचेंज द्वारा समय-समय पर निर्दिष्ट किया जाता है, अपने प्रत्येक संघटक के अनन्य ग्राहक कोड के विवरण प्रस्तुत करने के लिए जिम्मेवार होगा । उद्धरण चिन्ह बंद
बशर्ते कि आपवादिक परिस्थितियों में कारोबारी सदस्य बायकर अधिनियम अथवा उसके तहत नियम अथवा परिपत्र अथवा बनाए गए अथवा जारी किए गए निदेशों, जो समय- समय पर लागू हों, के उपबंधों के तहत अनुमत सीमा तक नकद राशि प्राप्त कर सकते है ।

3. एन० एस ० ई ० (फ्यूचर एण्ड ऑरसन ) कारोबारो विनियमनों के अध्याय 3 में विनियमन 3.1.20 के रूप में निम्नलिखित धारा को जोड़े जाने का प्रस्तत्व हैं:

4. निम्नलिखित धारा को एन ० एस ० ई ० ( पशुपर एण्ड औ पशन) कारोबारी विनियमनों के अध्याय 2 में विनियमन 2.1.16 के रूप में जोड़े जाने का प्रस्ताव है:-
( क) कोई कारोबारी सदस्य एक्सचेंज के अन्य कारोबारी सदस्य से ग्राहकों की ओर से ऐसे कारोबारी सदस्य के अनुरोध पर एक्सचेंज द्वारा दी गई पूर्व अनुमति को छोड़कर, कारोबार के लिए अथवा मालिकाना कारोबार के लिए लेन - देन नहीं करेगा ।
(ख ) एक्सर्वेज धारा ( क) के तहत अनुमति देते समय कारोबारी सदस्य द्वारा दिए गए कारणों पर विचार करेगा और यथोचित सबैतता करने के पश्चात् ऐसे कारोबारी सदस्य के एक्सचेंज के केवल एक क.रो- बारी सदस्य से लेन - देन की अनुमति देगा । (ग) एक्सचेंज का कोई कारोबारी सदस्य मालिकाना कारोबार के लिए दूसरे स्टॉक एक्नचेंज के केवल एक सदस्य के साथ अपने मूल स्टॉक एक्सचेंज के ऐसे सदस्य का नाम सूचित करने के पश्चात् लेन- देन कर सकता है ।
(घ) भारतीय प्रतिभूति और विनिमय बोर्ड के उप- दलाल के रूप में आवश्यक पंजीकरण प्राप्त करने के पश्वात् ब्राहकों की ओर से एक्सचेंज का कोई कारोबारी सदस्य दूसरे एक्सचेंज के केवल एक सदस्य के साथ लेन -देन कर सकता है ।

Whearas pursuant the provisions of Section 10 (4) of the Securities Contracts (Regulation) Act , 1956, the making or the amendment or revision of any by- law is subject to the condition of its pro vious publication, the amendments to the Bye- laws of the Rules , Bye- laws and Regulations of the Deri- vatives Sagment of BSE (The Stock Exchange. Mumbai) to provide for Self Clearing Member wer e published on the 10th July , 2004 in the Official Gazette of India , for inviting comments thereon.

Since no comments on the abovementioned Bye- laws have been received, BSE ( The Stock Exchange , Mumbai) , now therefore hereto published the above- referred Bye- laws of the Ruies , Bye - laws and Regu- lations of the Derivatives Segment of BSE (The Stock Exchange, Manni) to provide for Self Clearing Member as follows :
"Member "
1.1 Unless otherwise specified or unless the contex otherwise requires , in these Bye - laws , the term "Member " shall mean a person registered by the Derivatives Segment as a Trading Member and/or a Clearing Member and the term "member of the Exchange " shall mean a member who has been admitted as a member of the Exchange , i.e. a member of the Cash Segment of the Exchange . Unless otherwise specified or unless the context otherwise requires, in these Bye- laws (i) the term " Trad- ing Member" shall include a Self Clearing Member and (ii ) the term " Clearing Member " shall include a Custodian Clearing Member and a Self- Clearing Member.
Categories of Clearing Members
2.7 The categories of Clearing Members may include.
(i) Trading Member Clearing Members ;
Trading Member Clearing Member means a Member who is a Trading Member and also a Clearing Member . A Trading Mem- ber Clearing Member may clear and settle transactions either on his own account or PART-IV]
on account of his Trading Member or the Trading Member's /Clearing Member's Client or the Client of another Trading Member in the manner specified in these Bye- laws . Unless repugnant to the context or meaning thereof, the term " Trading Member Clearing Member " shall include a Self-Clearing Member provided that a self Clearing Member may clear and settle transactions on its own account or on account of its Clients only and shall not clear or settle transactions in securities for any other Trading Member ( s) .
Procedure to be Specified by the Clearing House 2.19 The procedure to be followed by Members (including Custodian Clearing Members and Self Clearing Members ) for transaction of all business necessary to be transaction in all matters connected with the operations of the Clearing House and the fees , fines and penal- ties to be paid shall be in accordance with the provisions specified in the relative Regulation or such other provisions as the Derivatives Segment or the Clearing House may from time to time specify in addition thereto or in modi- fication or substitution thereto .

6.16 A Trading Member shall not be entitled to trade on the Derivatives Segment unless there is a valid and subsisting agreement in accor- dance with the format specified by the Deri- vatives Segment and the Clearing House bet- ween the Trading Member and a. Clearing Member who is not under suspension and who is entitled to carry on business as a Clearing Member and who is not a Self Clearing Mem- ber or under suspension . Provided that this Bye- law shall not apply to a Trading Member Clearing Member or a Self Clearing Member who clears its own trades .
15.2 (i ) The Exchange shall establish a fund which shall be known as the "Derivatives Seg- ment Trade Guarantee Fund",
(ii) Subject to the other provisions of these Rules and Bye- laws and Regulations , the object of the Fund shall be to uncondi tionally guarantee , in accordance with these Rules , Bye- laws and Regulations , the settlement of-
(a) Derivatives Contracts which have been entered into between Trading

(b) claims of Clients of Trading Mem- bers who have been suspended or have been declared as defaulters and whose Clearing Members have also been suspended or declared as defaul- ters and
(c) claims of Clients of Custodian Clear- ing Members and Self Clearing- Members who have been suspended or have been declared as defaulters.
Provided however that no claims shall be entertained which are collusive or entered into to defraud any person or the Exchange or are otherwise not bona fide .. Provided further that the Derivatives Seg-. ment and the Clearing House may , at their option , either ,
(a) deliver Securities in the Settlement of a claim arising out of a Security Settled Derivatives Contract , or
(b) settle such Security Settled Derivati- ves Contract by payment of such amount as may be determined by the Derivatives Segment or the Clearing House.
Provided further that the Fund's guarantee shall extend only to claims arising in respect of the Settlement (s) in which the Clearing Member is suspended or declared a defaulter (and not in respect of any other settlement ( s )).
(iii) The Governing Council shall be entitled to make Regulations relating to norms. procedures and manner in respect of :
(a) the management and administration of the Fund,
(b) the structure and composition of the Fund,
(c) the contributions to be made to the Fund by the Exchange , Trading, Clearing Members of the Exchange and others ,
(d) investment of the Fund ,
(e) application of the Fund ,
1 (f) persons who would be disentit led from receiving a benefit from the Fund, 305

(g) minimum value of funds in the Fund, (h) the money and property to be paid to or received by the Derivatives Seg- ment or the Clearing Council or the Fund,
(i) the application of the money and property paid to or received by the Darivatives Segment or the Clearing Council or the Fund including the order of priority in which they shall beapplied, and
( j) the closing- out , adjustment , settle- ment and/or cancellation of contracts entered into by a Member with the defaulter or suspended Member.

2. The following elus is inserted as Regula- tion 4.4.16 in Chapter 4 :

4.4.16 (a) Trading Momber shall not make pay ment in case ta the Constituents and shall not receive payment in case from the Con- stituents , towards the payment of Mark to market settlement for futures contracts .

Provided that in exceptional circumstances the trading members may received the amount in cash, to the extent permissible under the provi sions of the Income Tax Act or Rules or circulars or directives framed or issued there under, as may be in force from time to time.

Particulars of Unique Client Code
( a) A Trading Member shall not deal with other Trading Members of the Exchange either for proprietary trading or for trading on behalf of clients , except with the prior permission of the Exchange granted on the request of such Trading Member.
(b) The Exchange , while giving permission under clause (a), shall consider the reasons stated by . the Trading Members and after carrying out due diligence , allow such Trading Member to deal with only one Trading Member of the Exchange .
3.1.19 When a Trading Member enters an order on behalf of a Constituent, then such a Trading Mem- ber shall at the time of entering orders on behalf of such Constituent , enter the Unique Client Code in respect of such Constituent in such format and with effect from such date as may be notified by the Exchange . Every Trading Member shall be res- ponsible to furnish particuſars of Unique Client Codes of each of his Constituents to the Exchange . in such form , manner , at such intervals and within such time as may be specified by the Exchange from time to time .
(c) A Trading Member of the Exchange can deal with only one member of another stock exchange.. for proprietary trading after intimating the name , of such member to his parent stock exchange .

(d) A Trading member of the Exchange can deal with only one member of another exchange on behalf of clients after obtaining necessary regist- ration as a sub broker from the Securities and Exchange Board of India .
