क्लीटिंग काखोरेशन एक्सचेंज की ओर से प्रतिभूति लेन-देन कर को अतुलो करेगा । प्रत्येक क्लोरिंग सदस्य क्लोवॉरंग कासोरेशन को एक्स बेंज के कारोबारी सदस्य द्वारा उसको ओर से अथवा उसके संघटकों को ओर से प्रविष्ट किए गए लेा-देनां और ऐसे क्लोनरिंग सदस्य के माध्यम से निकासी किए और निसटाए गए लेन- देनों के सम्बन्ध में देय प्रतिभूति लेन-देन कर क्लोरिंग कारसोरेशन को प्रेषित करेगा, जो ऐसे कर के परिकलन और बसूली के लिए समय- समय पर संगत प्राधिकारी द्वारा निर्धारित प्रक्रियाओं के अनुसार होगा । कोई क्लीरिंग सदस्य, जो सम -समन पर संगत प्रधिकारी द्वारा निर्धारित कियाओं के अनुसार भुगतान नहीं करता है , तो वह गैर भुगतान के ऐसे पारगानों के लिए जिम्मेदार होगा जिसमें क्लोरिंग सुधिवा का हटाना , क्लोगांश सदस्य की धनराशियों से विनियोग, रुपना देने का रोकना , आदि शामिल है, परन्त सीनिज नहीं, जैसाकि समय -समय पर निर्धारित किए जाते हैं ।

सहायक कंपनी सचिव निदेशक मण्डल में नौ से कम निदेशक तथा 24 से अधिक निदेशक नहीं होंगे जिसमें एक्सचेंज के अयक्ष एवं उपाध्यक्ष तथा केन्द्रीय सरकार या वायदा बाजार आयोग द्वारा नामित सदस्यगग और सह-योजित सदस्यों द्वारा तथा सहयोजित निदेशकों द्वारा नामित सदस्यगण भी सम्मिलित होंगे । निदेशक मण्डल समय- समय पर अपने सदस्यों में से एक को अध्यक्ष के रूप में चर्यानत करेगा जो पदेन निदेशक मण्डल का अध्यक्ष होगा । पहले तीन वर्षों के लिए अध्यक्ष का चयन केन्द्रीय सरकार या वायदा बाजार आयोग के अनुमोदन की शर्त पर होगा । यदि आवश्यक हुआ तो, अध्यक्ष को ऐसा पारिश्रमिक दिया जाएगा जिसे निदेशक मण्डल वायदा ब.ज.र आयोग की सहमति से निर्धारित करें । निदेशक मण्डल समय- समय पर अपने सदस्यों में से एक को उपाध्यक्ष के रूप में चुनेगा, जो निदेशक मण्डल का उपाध्यक्ष होगा । अध्यक्ष तथा उराध्यक्ष निर्देशक न रह जाने पर अपने सम्बद्ध पदों का रिक्त कर देंगे । कोई भी निदेशक , सरकार द्वारा नामित निदेशकों को छोड़कर निदेशक मण्डल की बैठकों या निदेशक मण्डल की र्सार्मातयों की बैठकों के लिए मिलने वाले पारिश्रमिक को पाने का हकदार होगा सिवाय उस पारिश्रमिक के या क्षतिपूर्ति के , र्याद कोई हो, जिसे सदस्यगण सामान्य बैठक में पारित करें । सरकार द्वर। न मिद निदेशकों को निदेशक मण्डल की बैठकों में उपस्थित रहने के लिए ऐसे यात्त्र. भत्ते तथा अन्य भत्ते दिए जाएंगे जिन्हें समय - समय पर निदेशक मण्डल वायदा बाजार की सहर्मात से निर्धारित करे । अध्यक्ष एवं उपाध्यक्ष का चुनाव प्रत्येक वर्ष होगा किन्तु कोई भी व्र्व्याक्त अध्यक्ष/ उपाध्यक्ष का पद लगातार तीन वर्षों से अधिक धारित नहीं कर सकेगा ।

2. ( क ) एनएसई (फ्यूचर एण्ड आप्शन ) कराबारी विनियमनों के अध्याय 4 में ििहत उनबंधों को निम्नानुसार संशोधित किया जाता है :--
(i ) एनएसई (फ्यूचर एण्ड आप्शन ) कारोबारी विनियमों के विनियमन 4.3.1 में "अनुबंध 3 में" शब्दों को " और ऐसे फारेंट में होंन जैसा कि समय - समय पर एक्सवेज के एफ एंडओ खंड द्वारा विनिर्धारित किया जाता है " शध्दों द्वारा प्रतिस्थापित किया जाता है ।
( ii ) एनएसई (फ्यूचर एण्ड अप्शन) कारोबारी विनियमनों के विनियमन 4.3.2 में "जिसका एक नमूना अनुबंध 4 में निदिष्ट है" और "जारी करने " शब्दों को क्रमशः " जो ऐसे फार्मेंट में होंगे जैसाकि सम -सन पर एक्स बेंज के एफएंडओ खंड द्वारा विश्वोरत किया जाता है" और "से प्र.प्त करने" शब्दों द्वारा प्रतिस्थापित किया जाता है ।

The provisions contained in NSE (Futures & Options) Trading Regulations are amended to the extent given herein below : -
1. The Following clause is inserted as Regulation 3.12 in Chapter 3 of the NSE (Futures & Options) Trading Regulations : -
"The Board of Directors shall consist of not less, than nine and more than 24 Directors inclusive of the President and Vice- President of the Ex- change and the members nominated by the Central Government oror the Forward Markets Commission and the Directors elected by the associate members and the co- opted Directors . The Board shall from time to time elect one of its members to be the President who shall be ex - officio Chairman of the Board. The election of President for the first three years shall be subject to the approval of the Central Government or the Forward Markets Commission. If necessary , the President shall be paid such remuneration as may be fixed by the Board with the concurrence of the Forward Markets Commission . The Board shall also from time to time elect one of its members to be the Vice-President who shall be the Deputy Chairman of the Board . The President and Vice - President shall vacate their respective offices as such upon ceasing to be Directors . No Director except the Directors nominated by the Government shall be entitled to receive any remuneration occasioned by meeting of the Board or committee of the Board save such remuneration or compensation if any as the members may vote in General meeting . Directors nominated ay the Government shall be paid for attending the meetings of the Board such travelling and other allowances as may be fixed by the Board with the concurrence of the Forward Markets Commission from time to time . Election of President or Vice- President shall take place every year but no person shall hold the post of President/ Vice-President consecutively for more than Three years .

(a) The provisions contained in Chapter 4 of the NSE (Futures & Options ) Trading Re- gulations are amended as below : - (i) are The words " in Annexure : 3 " in Re- gulation 4.3.1 of NSE (Futures and Options) Trading Regulations replaced with the words " and shall be in such format as may be prescribed by the F & O Segment of the Ex- change from time to time. "
(ii) The words " a model of which is speci- fied in Annexure 4 " and the word " issuing" in Regulation 4.3.2 of NSE (Futures and Options ) Trading Regu- lations , are replaced with the words "which shall be in such format as may be prescribe ! by the F & O Segment of the Exchange from time to time . " and " obtain ling from " respectively.
(iii) The words " as specified in Annexure : 5 " in Regulation 4.3.3 of NSE (Futu- res and Options ) Trading Regulations , are replacel with the words " which shall be in such format as may be prescribed by the F & O Segment of the Exchange from time to time .
