ख) कंपनी का कारोबार इस तरीके से चलाना जो कंपनी के लाभदायक समापन के लिए जरूरी हो।
ग) चल एवं अचल सम्पत्ति और कंपनी के अनुयोज्य दावों की सार्वजनिक नीलामी अथवा निजी संबंधों के द्वारा , उन्हें सम्पूर्ण रूप से किसी एक व्यक्ति या निगमित निकाय को हस्तांतरित कर देने के अधिकार के साथ बिक्री करना , अथवा उन्हें अलग-अलग टुकड़ों में बेचना । घ) किसी भी आवश्यक धनराशि के लिए कंपनी की परिसम्पत्तियों की प्रतिभूतियों पर ऋण लेना;
यह भी प्रस्तावित किया जाता है , कि सह - परिसमापक अंशदाताओं की सूची (जो प्रथम दृष्टि में अंशदाताओं की सूची में शामिल व्यक्ति के दायित्व का प्रमाण होगी) निश्चित करने के लिए अदालती अधिकार का प्रयोग कर सकते हैं और साधारण या विशेष प्रस्ताव द्वारा , जैसा भी अनिवार्य हो कंपनी की मंजूरी प्राप्त करने के लिए अथवा किसी भी अन्य कार्य के लिए, जिसे वह उचित समझें, कंपनी की साधारण बैठक बुला सकते हैं । उन्हें कंपनी के ऋण चुकाने होंगे और अंशदाताओं के अधिकारों को उनके बीच समायोजित करना होगा ।
यह भी प्रस्तावित किया गया है कि कंपनी अधिनियम 1956 की धारा 546 (1 ) (ख) के अनुसार, सह-परिसमापकः-
1) लेनदारों की किसी भी श्रेणी का पूरा भुगतान कर सकता है;
2) लेनदारों या लेनदारी का दावा करने वाले व्यक्तियों या कंपनी के विरूद्ध वर्तमान अथवा भावी , निश्चित या आकस्मिक , विनिर्धारित या केवल नुकसानी में परिमेय दावा अथवा कोई ऐसा दावा जिसके कारण कंपनी देनदार हो सकती हो, का दावा रखने वाले या दावे का आरोप लगाने वाले व्यक्तियों के साथ कोई भी समझौता या व्यवस्था कर सकता है;
3) किसी मांग या मांग के प्रति दायित्व , ऋण , तथा ऐसा दायित्व जो ऋण में बदल जाए, तथा कोई ऐसा दावा जो वर्तमान अथवा भावी, निश्चित या आकस्मिक , विनिर्धारित या केवल नुकसानी में परिमेय , विद्यमान या कंपनी तथा अंशदाता या अभिकथित अंशदाता या किसी अन्य ऋणदाता अथवा कंपनी पर देनदारी की आशंका जातने वाले व्यक्ति के बीच मौजूद हो, तथा ऐसे सभी प्रश्न, जो किसी भी रूप में कंपनी से संबंधित हों, या जिनसे कंपनी की परिसम्पत्तियों या दायित्वों या परिसमापन पर कोई प्रभाव पड़ता हो, के संबंध में ऐसी शर्तों पर कोई भी समझौता कर सकता है जो सर्वसम्मत हों , तथा ऐसी किसी भी मांग , ऋण, दायित्व या दावेदारी की चुकौती के लिए कोई भी प्रतिभूति ले सकता है , तथा इनके संबंध में पूरी चुकौती का सकता है । 352

यह भी प्रस्तावित किया जाता है कि सह - परिसमापक को, जब और जैसे भी आवश्यक होगा , उपयुक्त नियम एवं शर्तों पर अनिवार्य कर्मचारियों की सेवाएं लेने का अधिकार होगा ।
यह भी प्रस्तावित किया जाता है कि सह- परिसमापक द्वारा उपरोल्लिखित अधिकारों का प्रयोग न्यायालय के नियंत्रण के अधीन होगा और ऐसे किसी अधिकार के प्रयोग करने या प्रस्तावित प्रयोग के संबंध में कोई भी लेनदार या अंशदाता अदालत में आवेदन कर सकता है । "

दिनांक 28 सितम्बर 2005 के सेबी के पत्र सं. एमआरडी/डीएसए/ बीएसई/ 50562/ 2005 द्वारा यथा अनुमोदित एक्सचेंज के सदस्यों द्वारा दलाली ( ब्रोक्रेज ) की हिस्सेदारी से संबंधित बॉम्बे स्टॉक एक्सचेंज लिमिटेडके नियमों, उप नियमों तथा विनियमों के उप नियम 218 ( a ) तथा ( b ) में आशोधन करना
जैसा कि सिक्यूरिटीज कांट्रैक्ट्स ( रेग्युलेशन ) एक्ट, 1956 के खंड 10 ( 4 ) के अधीन यह अपेक्षित है कि किसी उपनियम का बनाया जाना या उसमें आशोधन या उसमें संशोधन उसके पूर्व प्रकाशन की शर्त के अधीन होता है ।
अब, अतएव , बॉम्बे स्टॉक एक्सचेंज लिमिटेड यहां पर दिनांक 28 सितम्बर 2005 के सेबी के पत्र सं . एमआरडी/डीएसए/ बीएसई/ 50562 /2005 द्वारा यथा अनुमोदित एक्सचेंज के नियमों , उप नियमों तथा विनियमों का आशोधित उप नियम 218 ( a ) तथा ( b ) प्रकाशित करता है ।
दलाली किसके साथ बांटी जानी है
218 ( a ) कोई सदस्य उप खंड ( b ) में किये गये प्रावधान के अनुसार किसी उप ब्रोकर , रेमिसियर अथवा अपने स्वयं के रोजगार में किसी कर्मचारी के साथ दलाली बांट सकता है । इसी तरह से , वह सहयोगी (कांस्टीट्यूएंट ) का परिचय कराने वाले किसी अन्य व्यक्ति के साथ दलाली बांट सकता है बशर्ते ऐसा व्यक्तिः
(i) ऐसा व्यक्ति नहीं है जिसके साथ सदस्यों को एक्सचेंज के नियमों , उप नियमों और विनियमों के अधीन कारोबार करने की मनाही है,
(ii) वह किसी अन्य सदस्य के रोजगार में रेमिसियर , प्राधिकृत क्लर्क या कर्मचारी नही है,
(iii) वह सार्वजनिक रूप से या किसी अन्य तरीके से विज्ञापित नहीं करता कि वह दलाल के रूप में काम कर रहा है ,
(iv) वह दलाल के रूप में काम नहीं करता, 354

(v) वह प्रतिभूतियों के कारोबार के सिलसिले में स्वयं के नाम पर करार पारित नहीं करता और मूल्य सूचियां या पम्फलेट या परिपत्र जारी नहीं करता,
(vi)
यदि वह दलाल के रूप में काम करता है तो अपने स्वयं के ग्राहकों के अलावा प्रतिभूतियों के कारोबार के सिलसिले में मूल्य सूचियां या पम्फलेट या परिपत्र जारी नहीं करता।
दलाली का प्रतिशत हिस्सा
218 ( b ) ( i ) कोई सदस्य एक्सचेंज या सेबी द्वारा इस संबंध में समय समय पर यथा निर्धारित दलाली की दरों के अनुसार करार के जरिये लिखित रूप में सहमति के अनुसार ऐसी शर्तों के अधीन खंड ( a ) में किये गये प्रावधानके अनुसार अपने स्वयं के रोजगार में उप ब्रोकर , रेमिसियर या कर्मचारी को या दलाली में हिस्सेदारी करने वाले व्यक्ति को दलाली अदा कर सकता है ।
( ii ) जहां सदस्य ने उप ब्रोकर के लिए लेनदेन किया है , ट्रेडिंग सदस्य द्वारा अपने उप ब्रोकर पर और उप ब्रोकर द्वारा अपने क्लायंट पर लगायी जाने वाली दलाली की सकल राशि इस संबंध में एक्सचेंज या सेबी द्वारा निर्धारित दलाली की अधिकतम दर से अधिक नहीं होगी ।
यदिकोई व्यक्तिउपर्युक्त आशोधनों के संबंध में कोई अभिमत देने का इच्छुक है तो वह इस विज्ञापन के प्रकाशन की तारीख से एक माह की अवधि के भीतर इस आशय का अभ्यावदेन निम्नलिखित पते पर कर सकता है:

Office : Core-6 , Floor - 2 , Scope Complex , 7, Lodi Road , New Delhi - 110003 Notice is hereby given for general information that the members of Indian Road Construction Corporation Limited (Under Liquidation) , at an Extra Ordinary General Meeting of the Corporation held on Thursday, the 27th October 2005, have passed the following Special Resolution regarding appointment of Joint Liquidator.
66 Resolved that pursuant to section 492( 1 ) of the Companies Act, 1956 , Mr. Nitesh Kumar Mishra, Director Finance, 4Planning Commission , be appointed as Joint Liquidator for the purpose of winding up of the Company .
Further resolved that Mr. Nitesh Kumar Mishra the Joint Liquidator, shall not be paid any remuneration except the reimbursement of out of pocket expenses as may be incurred by him in connection with winding up of the Company.
Further resolved that Mr. Nitesh Kumar Mishra , the Joint Liquidator be and is hereby authorised to exercise all the powers under Section 512 ( 1 ) (a) read with Section 457 ( 1) of the Companies Act, 1956 during the period of absence of Shri M Pran Konchady from India.
Accordingly, the Joint Liquidator may: -
ii) In the case of members voluntary winding up with the sanction of a special resolution of the company exercise any of the powers given by clauses (a) to (d) of sub Section ( i ) of section 457 viz .

a) to institute or defend any suit, prosecution , or other legal proceeding, civil or criminal, in the name and on behalf of the company ;

to carry on the business of the company so far as may be necessary for the b)
beneficial winding up of the company;
c) to sell the immovable and movable property and actionable claims ofthe company by public auction or private contact, with power to transfer the whole thereof to any person or body corporate , or to sell the same in parcels ;
d) to raise on the security of the assets of the company any money requisite ;
Further resolved that the Joint Liquidator may exercise the power of the court under the Companies Act, 1956 of settling a list of contributories ( which shall be prima facie evidence of the liability of the persons named therein to be contributories ) and call general meeting of the company for the purpose of obtaining the sanction of the company by ordinary or special resolution , as the case may require , or for any other purpose he may think fit. He shall pay the debts of the company and shall adjust the rights of the contributories among themselves .
Further resolved that pursuant to the section 546 ( 1 ) (b ) of the Companies Act, 1956 the Joint Liquidator may: -
iv) pay any classes of creditors in full ;
v) make any compromise or arrangement with creditors or persons claiming to be creditors or having or alleging themselves to have any claim , present or future, certain or contingent, ascertained or sounding only in damages , against the company, or whereby the company may be rendered liable; or
vi) compromise any call or liability to call , debt, and liability capable of resulting in a debt, and any claim , present or future , certain or contingent , ascertained or sounding only in damages, subsisting or alleged to subsist between the company and a contributory or alleged contributory or other debtor or person apprehending liability to the company, and all question in any way relating to or affecting the assets or liabilities or the winding up of the company, on such terms as may be agreed, and take any security for the discharge of any such call, debt, liability or claim, and give a complete discharge in respect thereof.
Further resolved that the Joint Liquidator shall have the power to take the services of the required employees as and when required on such terms and conditions as may be considered appropriate.

(b) (i) Amember may pay his sub broker, remisier or employee in his own exclusive employment or any other person sharing brokerage as provided in sub - clause ( a) , a brokerage subject to such terms of brokerage as agreed upon in writing by way of an agreement and as per the scale of brokerage prescribed by the Exchange or SEBI in this regard , from time to time .
(ii) Where a member has transacted for a sub broker , the aggregate amount of brokerage charged by the trading member to his sub broker and the sub broker to his client shall not exceed the maximum scale of brokerage prescribed by the Exchange or SEBI in this regard.
