दस्ती सुपुर्दगी सौदों/सुपुर्दगी बनाम भुगतान को समाप्त करना
1 ) एक्सचेंज पर किए जाने वाले सभी लेनदेनों का निपटान , अब से , निम्नलिखित अपवादात्मक परिस्थितियों को छोड़कर , दिल्ली स्टॉक एक्सचेंज के समाशोधन निगम / समाशोधन गृह के माध्यम से किया जाएगा, जिनके अंतर्गत दिल्ली स्टॉक एक्सचेंज द्वारा दस्ती सुपुर्दगी सौदों/ सुपुर्दगी बनाम भुगतान की अनुमति किसी मार्जिन और किसी दंड को लगाए बिना दी जा सकती है :
क दिल्ली स्टॉक एक्सचेंज / एसटीपी में संबद्धता पूर्णतः न होना (अभिरक्षकों और सदस्यों की विशिष्ट संबद्धता के मामलों को वैध अपवादों के रूप में नही माना जाएगा) ।
ख ऐसे अंतर्राष्ट्रीय अवकाश जिनके बारे में दिल्ली स्टॉक एक्सचेंज द्वारा अभिरक्षकों से परामर्श करके सीधे निर्णय लिया जाए ।
ग आपदाओं के कारण राष्ट्रीय / अंतर्राष्ट्रीय केन्द्रों का बन्द होना ।
2. लेनदेन निष्पादित होने के बाद अभिरक्षक द्वारा किसी संस्थागत लेनदेन को अस्वीकार कर देने की स्थिति में , एक्सचेंज उस लेनदेन को केवल तभी संस्थागत लेनदेन मानेगा जब एक्सचेंज के पास इस आशय का कोई साक्ष्य उपलब्ध होगा और लेनदेन का निपटान सुपुर्दगी बनाम भुगतान के आधार पर दस्ती सुपुर्दगी सौदे के माध्यम से करने की अनुमति कोई मार्जिन लगाए बिना देगा । तथापि ऐसे लेनदेन उन दंडों के अध्यधीन होंगे जो एक्सचेंज द्वारा लगाए जाएं ।
3. यदि उपखण्ड (2) में यथा उल्लिखित साक्ष्य एक्सचेंज के पास उपलब्ध न हो , तो एक्सचेंज लेनदेन का निपटान सुपुर्दगी बनाम भुगतान के आधार पर दस्ती सुपुर्दगी सौदे के माध्यम से करने की अनुमति देते समय मार्जिन और दंड दोनों ही लगाएगा ।

ब्लाक लेनदेन
लागू लेनदेन और निपटान संबंधी सभी उपयुक्त प्रथाएं और साथ ही निगरानी और जोखिम सीमित करने के उपाय आदि, प्रस्तावित विशेष विंडो के संबंध में भी लागू और कार्यान्वित किए जाएंगे ।
उप नियम सं. 224 ख :
संविदा नोट इलैक्ट्रॉनिक रूप में जारी करना 1. एक्सचेंज बड़े लेनदेनों को सुगमतापूर्वक करने के लिए एक अलग ट्रेडिंग विंडो उपलब्ध करेगा । स्टॉक एक्सचेंज की इस अलग विंडो से निष्पादित किए गए किसी ऐसे एकल लेनदेन को, जिसकी न्यूनतम मात्रा 5,00,000 शेयर हो या जिसका न्यूनतम मूल्य 5 करोड़ रूपये हो , 'ब्लाक लेनदैन' माना जाएगा जो 'थोक लेनदेन' से भिन्न होगा ।
2. 'ब्लाक लेनदेन' निम्नलिखित शर्तों के अध्यधीन होगा :
दिल्लीस्टॉक एक्सचेंज के ऐसे सभी सदस्य जो अपने ग्राहकों को इलैक्ट्रॉनिक संविदा नोट (ईसीएन) जारी करने के इच्छुक हैं , वे दिल्ली स्टॉक एक्सचेंज के संबंधित उप- नियमों में विनिर्दिष्ट शर्तों और सूचना प्रौद्योगिकी अधिनियम, 2000 (आइ टी अधिनियम, 2000) के प्रावधानों के अतिरिक्त, निम्नलिखित शर्तों का अनुपालन करेंगे :
क उक्त लेनदेन विंडो लेनदेन का समय शुरू होने से 35 मिनट की सीमित अवधि तक खुली रखी जा सकती है अर्थात् लेनदेन विंडो पूर्वाहन 9.55 से पूर्वाह्न 10.30 बजे तक खुली रहेगी ।
1. ईसीएन विशिष्ट रूप से स्वीकृति दिए जाने पर जारी करना
ख इस विंडो में आर्डर जिस मूल्य पर दिए जाएंगे वह मूल्य प्रचलित बाजार मूल्य / पिछले दिन के बन्द मूल्य, जो भी लागू हो, से ± 1 % से अधिक नही होगा ।
डिजिटल रूप से हस्ताक्षर किए गए ईसीएन उन ग्राहकों को जारी किए जाएं जिन्होने सदस्य ग्राहक करार / त्रिपक्षीय करार अथवा अलग पत्र के द्वारा संविदा नोटों को इलैक्ट्रॉनिक रूप में प्राप्त करने का विकल्प दिया है । पुष्टि का तरीका ग्राहकों के साथ किए गए करार के अनुसार होगा । ग दिए जाने वाले आर्डर की न्यूनतम मात्रा 5,00,000 शेयर हो या जिसका न्यूनतम मूल्य 5 करोड़ रूपये होनी चाहिए ।
2. ईसीएन कहाँ भेजे जाएं
घ इस विंडो में निष्पादित किए जाने वाले प्रत्येक लेनदेन की परिणति सुपुर्दगी के रूप में होनी चाहिए और इसे समंजित या प्रतिवर्तित नही किया जाएगा ।
ग्राहक को ईसीएन की सुपुदर्गी करने का सामान्य त्रीका उसे ई - मेल से भेजना होगा । ग्राहक सदस्य को उपयुक्त ई - मेल खाता उपलब्ध करेगा जो ईसीएन इस प्रकार से प्राप्त किए जाने के लिए हर समय उपलब्ध किया जाएगा ।
3. डिजिटल हस्ताक्षरों की आवश्यकता
ड. एक्सचेंज ब्लाक लेनदेनों के संबंध में सामान्य जनता को सूचना, यथा प्रतिभूति का नाम, ग्राहक का नाम, खरीदे / बेचे गए शेयरों की मात्रा, लेनदेन का मूल्य, आदि बाजार बंद होने के समय के बाद उसी दिन प्रकट करेगा ।
च 'थोक लेनदेनों' संबंधी विवरणों को प्रकट करने के बारे में कोई परिवर्तन नही किया गया है और ऐसे प्रकटीकरण दिल्ली स्टॉक एक्सचेंज द्वारा सामान्य जनता को बाजार बंद होने के समय के बाद उसी दिन किया जाना जारी रहेगा ।
ई-मेल से भेजे गए सभी ईसीएन डिजिटल हस्ताक्षर युक्त, एनक्रिप्ट किए हुए, नॉन-टेम्परेबल होंगे और उनमें आई. टी. अधिनियम, 2000 के प्रावधानों का अनुपालन किया जाएगा । यदि ईसीएन को ई- मेल में अटैचमेन्ट के रूप में भेजा जाता है तो अटैच की गई फाइलें भी डिजिटल हस्ताक्षर युक्त, एनक्रिप्ट की गई और नॉन- टेम्परेवल होंगी ।

4. पावती, सुपुर्दगी के प्रमाण , लॉग रिपोर्ट आदि की आवश्यकता
क) पावती
ई -मेल की पावती सदस्य द्वारा सॉफ्ट और नॉन-टेम्परेबल रूप में रखी जाएगी । ख) सुपुर्दगी का प्रमाण
ⅰ) सुपुर्दगी का प्रमाण अर्थात् संविदा नोट भेजे जाने के समय सिस्टम द्वारा तैयार की गई लॉग रिपोर्ट को सदस्य द्वारा सेबी/दिल्ली स्टॉक एक्सचेंज के विद्यमान विनियमों के अंतर्गत विनिर्दिष्ट अवधि के लिए रखा जाएगा और उसे निरीक्षण, लेखा परीक्षा आदि के दौरान उपलब्ध किया जाएगा ।
ii ) सदस्य ग्राहक के साथ इस प्रयोजन के लिए निष्पादित करार में ग्राहक को यह स्पष्ट रूप से सूचित करेगा कि सदस्य को ई - मेल बाउंस होने की अधिसूचना प्राप्त न होने का अर्थ यह होगा कि ग्राहक के ई - मेल आइडी में संविदा नोट की सुपुर्दगी हो गई है ।
ग ) अस्वीकृत या बाउंस हुई मेलों के लिए लॉग रिपोर्ट
ⅰ ) लॉग रिपोर्ट में ग्राहक को सुपुर्दगी न किए गए संविदा नोटों/ अस्वीकृत या बाउंस हुई ई-मेलों के विवरण भी उपलब्ध किए जाएंगे ।
ii ) सेबी/ दिल्ली स्टॉक एक्सचेंज के विद्यमान विनियमों के अंतर्गत सदस्य यह सुनिश्चित करने के लिए ऐसे सभी संभव उपाय करेगा (ई- मेल सर्वरों की सेटिंग करने आदि सहित) जिनसे सदस्य को बाउंसे हुई मेलों की अधिसूचना हर समय निध् र्गारित समयावधि के भीतर प्राप्त हो सके 5. कब भौतिक रूप में जारी किए या भेजें जाएं क) भौतिक रूप में जारी करना
जो ग्राहक संविदा नोटों को इलैक्ट्रॉनिक रूप में
[PART IV प्राप्त करने का विकल्प नहीं देते हैं, सदस्य ऐसे ग्राहकों को संविदा नोट भौतिक रूप से भेजना जारी रखेंगे ।
ख) भौतिक रूप में भेजना
जब कभी ग्राहक के ई - मेल आइडी द्वारा ग्राहक को ईसीएन की सुपुर्दगी न की गई हो या अस्वीकृत की गई हो (मेल बाउंस होना), तो सेबी/दिल्ली स्टॉक एक्सचेंज के विद्यमान विनियमों के अंतर्गत सदस्य निर्धारित समय के भीतर ग्राहक को भौतिक संविदा नोट भेजेगा और ऐसे भौतिक संविदा नोट की सुपुर्दगी का प्रमाण रखेगा ।
6. सामान्य अपेक्षाएं
क) वेबसाइट के जरिए ईसीएन
उपर बताए गए तरीके से ई - मेल से ईसीएन का संप्रेषण करने के अतिरिक्त, सदस्य साथ- साथ ईसीएन अपनी नामित वेबसाइट पर सुरक्षित रूप से प्रकाशित करेगा और ग्राहकों को उस तक आवश्यक पहुंच की सुविधा देगा ।
ख) वेबसाइट पर पहुंचना
ग्राहक नामित वेबसाइट पर प्रकाशित ईसीएन तक सुरक्षित रूप से पहुंच सके , इसके लिए सदस्य इस प्रयोजन के लिए विशिष्ट उपयोगकर्ता नाम और पासवर्ड आवंटित करेगा , जिसमें ग्राहक को यह विकल्प प्राप्त होगा कि वह उस तक पहुंच सके और संविदा नोट को इलैक्ट्रॉनिक रूप से सहेज सके या उसका प्रिंट आउट ले सके ।
ग ) इलैक्ट्रॉनिक दस्तावेजों को संरक्षित/ पुरालेख करना
सदस्य सेबी/ दिल्ली स्टॉक एक्सचेंज द्वारा समय- समय पर जारी विद्यमान नियमों /विनियमों/ परिपत्रों/ मार्गदर्शी सिद्धांतों के अनुसार ऐसे इलैक्ट्रॉनिक दस्तावेजों को रखेगा/ पुरालेख करेगा । कृते दी दिल्ली स्टॉक एक्सचेंज एसोसियेशन लि०

Block Deals
c) Closing down of national/ international centers due to calamities
1. The Exchange shali provide a separate trading window in order to facilitate execution of large trades . A trace with a minimum quantity of 5,00,000 shares or minimum value of Rs.5 crore executed through a single transaction on this separate window of the stock exchange will constitute a "block deal " as distinguished from "bulk" deal .
2. A " block" deal will be subject to the following conditions:
2) In the event of rejection of an institutional trade by the custodian after the trade has been executed , Exchange would consider the trade as institutional trade only if evidence to that effect is available to the Exchange and permit the trade to be settled through the Hand Delivery Bargain on a Delivery Versus Payment basis , without imposing any margins . Such Irades would, however, be subject to the penalties as maybe imposed by the Exchange.
a) The said trading window may be kept open for a limited period of 35 minutes from the beginning of trading hours i.e. the trading window shall remain open from 9.55 amp to 10.30am.
3. In case evidence as mentioned in sub -clause (2) is not available with the Exchange , Exchange while allowing the trade to be settled through Hand Delivery Bargain on a Delivery Versus Paymentbasis will however impose both margins andpenalties.
b) The orders may be placed in this window at a price not exceeding ± 1 %from the ruling marketprice /previous day closing price, as applicable.

c) An order may be placed for minimum quantity of 5,00,000 shares or minimum value of Rs.5 crore.

d) Every trade executed in this window must result in delivery and shall notbe squared off or reversed.
(1 ) The time limit for custodial confirmation and for processing and downloading the obligation files by the clearing corporation/ clearing House (CC/ CH) ofthe Exchange to the brokers and custodian has been revised . The revised activity schedule

f) There is no change in regard to the disclosure of trade details of " bulk deals" and such disclosures shall be continued to be made by the DSE to the general public on the same day after the market hours.
3. All appropriate trading and settlement practices as well as surveillance and risk containment measures , etc , as presently applicable to the normal trading segment shall be made applicable and implemented in respect of the proposed special window also.
Bye- law no . 224B :
Electronic issuance of the contract notes In addition to the conditions specified in related bye- law of the DSE and the provisions of the Information TechnologyAct , 2000 ( IT Act , 2000) all the members of the DSE who are desirious of issuing electronic contract notes ( ECNs) to their clients , shall comply with the following conditions:
1. issuing ECNs when specifically consented The digitally signed ECNs be issued to those clients who have opted to receive the contract notes in an electronic form , either in the Member- ClientAgreement/ Tripatite agreement or by a separate letter. The mode of confirmation shall be as per the agreement entered into with the clients.
2. where to send ECNs
The usual mode of delivery of ECNs to the client shall be through e- mail . The client shall provide an appropriate e - mail account to the member which shall be made available at all times for such receipt of ECNS .
3. Requirement of digital signature
All ECNs sent through the e- mail shall be digitally signed, encrypted , non- temperable and shall complywith the provision ofIT Act, 2000. In case ECN is sent through e - mail as an attachment , the attached files shall also be secured with digital signature , encrypted and non-temperable.
4 Requirement for acknowledgement , proof of delivery, log report etc
a) Acknowledgement
Theacknowledgement of the e-mail shallbe retained by the member in a soft and non- temperable form.
b) proof of delivery
i) The proof of delivery i.e. , log report generated by the system at time of sending the contract notes shall be maintained by the member for the specified period under the extant regulation of SEBI /DSE and shall be madeavailable during inspection , audit , etc.
[PART IV ii ) The member shall clearly communicate to the client, in the agreement executed with the client for this purpose that non- receipt of bounced mail notification by member shall amount to delivery of contract note at the e- mail ID of the client.
c) Log Report for rejected or bounced mails i) The log report shall also provide the details of the contract notes that are not delivered to client /e- mails rejected or bounced back.
ii ) The member shall take all possible steps ( including setting of mail servers , etc.) to ensure receipt of notification of bounced mails by the member at all timeswithin stipulated time period under theextant regulations of SEBI /DSE.
5. When to issue or send in physical mode
a) Issue in physical mode
Those client who do not opt to receive the contract notes in the electronic form , the member shall continue to send contract notes in the physical mode to such clients.
b) Send in physical mode
wherever the ECNs have not been delivered to client or has been rejected (bouncing of mails ) by the e- mail ID of the client , the member shall send a physical contract note to the client within stipulated time under the extantregulations of SEBI/ DSE and maintain the proof of delivery of such physical contract notes.
6. General Requirements
a) ECNs through website
In addition to e - mail communication of the ECNs in the manner stated above, the member shall simultaneously publish the ECN on his designated web- site in a secured way and enable relevant access to the clients.
b) accesss to website
In order to enable clients to access the ECNsposted in the designated web -site in a secured way, the member shall allot a unique user name and passward for the purpose, with an option to client to access the same and save the contract note electronically or take a print out of the same.
c) Preservation/Archive of electronic documents The member shall retain/ archive such electronic documents as per the extant rules/ regulations/circulars /guidelines issued by SEBI/DSE from time to time.
