संकलिप्त है कि कंपनीज अधिनियम 1956 की धारा 484 ( 1 ) ( बी ) एवं अन्य लागू योरूय प्रावधानों की शर्तों में यदि कोई है कंपनी के 3-10G1/05
351 अंशधारकों की सहमति एवं एतद्वारा सदस्यों की स्वैच्छिक रूप से समाप्तिअनुसार कंपनी की स्वैच्छिक समाप्ति के अनुसार है । संकल्पित है कि समस्त ऋण चुकाने की सामर्थ की घोषणा एवं निदेशकों द्वारा शपथ में ग्रहण तिथि 31.1.2006 के अनुसार कंपनी द्वारा भुगतान योग्य दायित्वों एवं परिसम्पत्ति को अनुमानित वसूली योग्य राशि की वित्त सूची एवं एतद्वारा प्रमाणित, मान्यता प्राप्त एवं ग्रहण है । आगे संकल्पित है कि कंपनी की समस्त परिसम्पत्ति एवं दायित्व जैसा कितिथि 31.1.2006 अनुसार नवीनतम अंकेक्षित तलछट पत्र में उपस्थित है कंपनी के सदस्यों जिनके नाम अंशधारण अनुपात अनुसार समानुपात में तिथि अनुसार सदस्यों की पंजीयन पुस्तिका में उपस्थित है तथा परिसम्पत्ति बिक्री नहीं की जायेगी एवं व्यवहारिक तथा समय अनुसार प्रक्रिया की जायेगी।
आगे संकल्पित है कि श्री अमित गोयल एतद्वारा रुपये 5000/- (रुपये पांच हजार मात्र ) वृद्धि में जेब व्यय शामिल करके पारितोषिक में कंपनी के समापक अनुसार नियुक्त किये गये हैं ।
आगे संकल्पित है कि श्री अमित गोयल , समापक हैं एवं कंपनी अधिनियम 1956 की धारा 457 में अंकित समस्त शक्तियों के अभ्यास में अधिकृत है ।
