निश्चय किया गया कि कम्पनी अधिनियम, 1956 की धारा 484 ( 1 ) ( बी) तथा तथा लागू होने योग्य अन्य प्रावधानों , यदि कोई हों, के साथ पारित कम्पनी के आर्टिकल्स ऑफ एसोसिएशन के प्रावधानों के अनुसार कम्पनी को एतद्वारा स्वैच्छिक रूप से सहमत हैं तथा उसे अपनी सहमति प्रदान करके जार्ज लैमेनिल , निदेशक जिनका कार्यालय फ्रेंच बैंक, 62 , होमजी स्ट्रीट, फोर्ट, मुम्बई-400 001 में है, की एकचुअल्स पॉकेट खर्चे के अतिरिक्ति रु . 1,50,000/- ( रुपये एक लाख पचास हजार मात्र ) की पारिश्रमिक पर समापन के उद्देश्य से कम्पनी के परिसमापक हैं तथा उन्हें एतद्वारा परिसमापक नियुक्त किया जाता है । आगे निश्चय किया गया कि श्री जार्ज लैमेनिल, कम्पनी के परिसमापक कम्पनी अधिनियम, 1956 की धारा 457 में दिये गये सभी शक्तियों का प्रयोग करने के लिये एतद्वारा प्राधिकृत एवं अधिकृत है तथा वे कम्पनीज रजिस्ट्रार के कार्यालय, राजकीय परिसमापक के कार्यालय एवं/ अथवा ऐसे अन्य सरकारी , अर्ध- सरकारी तथा अन्य विविध प्राधिकरणों एवं /अथवा एजेन्सियों, जैसा की बाधित हो , के पास ऐसे सभी आवश्यक प्रपत्रों, रिटर्न्स आदि को दाखिल करने के लिए अधिकृत हैं तथा किसी प्रकार की सूचना, प्रपत्रों, विज्ञापनों उद्घोषणा आदि को प्रकाशित, जारी करने तथा उपरोक्त प्रस्ताव को प्रभावी बनाने के लिये आवश्यक ऐसे सभी कार्यों, डिड्स, विषयों के बारे में बातें करने के लिये अधिकृत हैं । आगे निश्चय किया गया कि कम्पनी के सभी वैधानिक अभिलेख कम्पनी की स्वैच्छिक समापन की तिथि से 5 वर्षों की अवधि तक रखा जाये तथा यह कि उक्त पाँच वर्षों के बाद इन अगले सर्वश्रेष्ठ वैधानिक प्रक्रिया में निपटारा किया जाये तथा ऐ प्रस्ताव को प्रभावी बनाने के लिये श्री जार्ज लैमेनिल को आवश्यक कार्य डिड्स तथा कार्यवाही इन अभिलेखों को रखने तथा उसका निपटारा करने के लिये ऐसे सभी आवश्यक कारवाई तथा विषयों की कार्यान्वित करने के लिये अधिकृत किया जाता है । बीएनपी परिभास इक्विटीज इंडिया प्राईवेट लिमिटेड के लिये
