निवेशक संरक्षण कोष का गठन एवं प्रबंधन :
273. निवेशक संरक्षण कोष को ( इसके पश्चात नि.सं.को...निर्दिष्ट करें ) इस उद्देश्य के लिये बनाये गये एक ट्रस्ट की तरह प्रशासित किया जायेगा ।
274. नि. सं. को. ट्रस्ट में कम से कम एक जन प्रतिनिधि, एक पंजीकृत निवेशक संस्था, जो कि सेबी से मान्यता प्राप्त हो, का प्रतिनिधि और स्टाक एक्सचेंज के कार्यकारी निदेशक/प्रबन्ध निदेशक/प्रशासक सम्मिलित होंगे ।
275. स्टाक एक्सचेंज नि.सं. को . ट्रस्ट को एक सचिवालय प्रदान करेगा । 276. स्टाक एक्सचेंज सुनिश्चित करेगा कि नि.सं.को. को पूरी तौर से पृथक रखा जाय और स्टाक एक्सचेंज के सभी दायित्वों से नि.सं. को. उन्मुक्त हो ।

(iv) सेबी परिपत्र FITTC/FII/02/2002दि. मई 15, 2002 के पैरा 4 और 5 के अनुसार उपलिखित प्रतिभूतियों को बेचने से प्राप्त रकमें ।

278. उप- विधि, नियम या विनियम के अनुसार स्यक एक्सचेंज एक नोटिस प्रकाशित करके निर्दिष्ट अवधि, जिसे " विनिर्दिष्ट कालावधि " कहा जाये के अन्दर डिफाल्टर मेम्बर ब्रोकर के खिलाफ विधि सम्मत दावेदारों को क्लेम दाखिल करने को आमंत्रित करेगा । 279. निर्दिष्ट समय एक महीने या पच्चीस कार्यदिवस या जो भी ज्यादा हो, से कम नहीं होगा ।
280. स्टाक एक्सचेंज व्यापक परिचालन वाले कम से कम एक राष्ट्रीय अंग्रेजी दैनिक के सभी संस्करणों में तथा व्यापक परिचालन वाले कम से कम एक उस प्रादेशिक भाषा के दैनिक में, जहां स्टाक एक्सचेंज स्थित है, नोटिस प्रकाशित करेगा ।

282. नोटिस में निर्दिष्ट अवधि, निवेशक के एकल क्लेम के लिये सर्वाधिक क्षतिपूर्ति सीमा, इत्यादि दिया जाना चाहिये। पात्र दावा
283. निर्दिष्ट अवधि के दौरान डिफाल्टर सदस्यों के खिलाफ प्राप्त दावे नि.सं.को. से क्षतिपूर्ति पाने योग्य होंगे ।
284. नि.सं.को. ट्रस्ट यदि इस बात से संतुष्ट है कि दावा निर्दिष्ट अवधि में उन कारणों से दाखिल नहीं हो सका जा दावेदार के नियंत्रण से बाहर हो , तो निर्दिष्ट अवधि के बाद भी दावे पर विचार कर सकता है।
285. निवेशक/ ग्राहक के दावे नि.सं. को . से क्षतिपूर्ति पाने योग्य होंगे और किसी भी दशा में ब्रोकर या स्टाक एक्सचेंज मेम्बर ब्रोकर के सहयोगी के क्लेम नि.सं.को. से क्षतिपूर्ति पाने के योग्य नहीं होगें ।
286. निवेशक/ग्राहक के दावें जो सट्टे वाले संव्यवहार से उत्पन्न होंगे नि.सं.को. से क्षतिपूर्ति पाने योग्य नहीं होगे । क्लेम मिथ्या या दुस्संधिपूर्ण नहीं होने चाहिये । 242

विधिसम्मत दावों का अवधारण
287. नि.सं.को. ट्रस्ट दावेदारों से प्राप्त दावों के विधिसम्मत अवधारण के लिये स्टाक एक्सचेंज का माध्यस्थम मैकेनिस्म को अपना सकता है ।
288. नि.सं.को. ट्रस्ट निवेशकों को किये जाने वाले भुगतानों की मंजूरी और अनुसमर्थन के लिये डिफाल्टर्स कमेटी की भी सलाह ले सकता है ।
दावों की न्यूनतम सीमा
289. स्टाक एक्सचेंज को नि.सं.को. ट्रस्ट की सलाह पर उचित क्षतिपूर्ति सीमा नियत करने की छूट होगी । परन्तु निवेशक के एकल दावे की क्षतिपूर्ति की रकम , जो कि मेम्बर की चूक द्वारा उत्पन्न हुए है, रु. 50,000/- से कम नहीं होगी ।
290. स्टाक एक्सचेंज नि.सं.को. ट्रस्ट की सलाह पर हर तीन साल में कम से कम एक बार निवेशक द्वारा एकल दावे के लिये उपलब्ध क्षतिपूर्ति की रकम की समीक्षा करेगा और उत्तरोत्तर बढ़ायेगा ।
291. स्टाक एक्सचेंज तय क्षतिपूर्ति सीमा और उसमें बदलाव जनता के सामने प्रेस विज्ञप्ति के द्वारा और अपनी वेब साइट के द्वारा प्रसारित करेगा ।
नि.सं.को. से क्लेम का संवितरण
292. नि.सं.को. ट्रस्ट, नि.सं.को. से निवेशक को क्षतिपूर्ति की रकम चुकायेगा और इस तरह की क्षतिपूर्ति निवेशक की एकल दावे के लिये तय अधिकतम रकम से ज्यादा नहीं होगी ।
293. नि.सं.को. दावे के संवितरण से पूर्व डिफाल्टर सदस्य की संपत्ति और दायित्व की वसूली और डिफाल्टर ब्रोकर सदस्य के कार्ड की नीलामी का इंतजार नहीं करेगा ।
294. जैसे ही डिफाल्टर के विरुद्ध दावे का निर्धारण हो जाता है, नि.सं.को. ट्रस्ट निवेशकों को क्षतिपूर्ति का वितरण करेगा । 295. स्यक एक्सचेंज यह सुनिश्चित करेगा कि डिफाल्टर मेम्बर के कार्ड की नीलामी/ बंदी/संपत्ति की वसूली से जो धनराशि वसूल की गयी वह स्टाक एक्सचेंज के उप- विधि के अनुसार स्टाक एक्सचेंज और सेबी के दावों की पुष्टि के बाद नि.सं.को. में जमा कर दी गयी है । यह स्पष्ट किया जाता है कि यदि स्टाक ब्रोकर, जो डिफाल्टर घोषित कर दिया है , एक से अधिक स्टाक एक्सचेंज का सदस्य है, तो और स्टाक एक्सचेंज/सेबी/अन्य स्टाक एक्सचेंज के उचित क्लेम की तुष्टि के बाद यदि उसके खाते में रकम बची हो, तो उसे एक्सचेंज के नि.सं. को. में जमा कर दिया जायेगा । विविध
296. डिम्यूचूअलाइसेशन के बाद स्टाक एक्सचेंज में अनुपयोजित पड़ा नि.सं.को. का शेष सेबी द्वारा निर्धारित उद्देश्यों के लिए ही उपयोग किया जायेगा ।
[PART IV 297. परन्तु, यदि डिम्यूचूअलाइसेशन के बाद स्टाक एक्सचेंज को बंद कर दिया गया हो, तो स्टाक एक्सचेंज में अनुपयोजित पड़ा नि.सं.को. का शेष सेबी को स्थानान्तरित कर दिया जायेगा । यह राशि अलग खाते में रखी जायेगी और सेबी इस राशि पर ट्रस्टी की तरह कार्य करेगी । इस राशि का उपयोग निवेशक शिक्षा, जानकारी और शोध के लिए किया जायेगा ।
विद्यमान उप- विधि 391 ( ix ) निम्नलिखित नई उपविधि से प्रतिस्थापित कर दी गई है: --
" उपविधि 391 ( i ) से 391 ( viii ) के अन्तर्गत वर्णित भुगतान करने के पश्चात् यदि कोई अधिशेष हो तो उसे यू.पी. स्टाक एक्सचेंज निवेशक संरक्षण कोष को भुगतान कर दिया जायेगा । "

269. इन्वेस्टर सर्विसेज कमेटी और अथवा माध्यस्थम अधिकरण कोई भी क्लेम, शिकायत , अंतर या विवाद तब तक संज्ञान में नहीं लायेगा जब तक सौदे की तारीख से अथवा उस तारीख से जब निवेशक प्रतिभूति खरीदने या बेचने का निर्देश/ आदेश का दावा करे, या उस तारीख से जब निवेशक मूल्य चुकाने या प्रतिभूति दिये जाने का दावा करे, जो भी पहले हो, से छः महीने की अवधि में प्राप्त न कर लिया गया हो ।
अपितु इन्वेस्टर सर्विसेज कमेटी और/या माध्यस्थम अधिकरण इस तरह की शिकायत को आगे के छः महीने की अवधि में भी संज्ञान में ले सकता है अगर आवेदक इन्वेस्टर सर्विसेज कमेटी और/या अधिकरण को संतुष्ट कर दे कि उसके पास दावे को निश्चित अवधि में प्रस्तुत न करने के पर्याप्त कारण है । "

Exchange from time to time . The Stock Exchange shall be entitled to deduct/adjust the amount of the member's contribution from the Clearing House/Account of the member.

Manner of filing/ inviting claims from investors The following new Bye- laws No. 273 to 297 under Chapter- XVII has been inserted in the existing Bye -laws:-
CHAPTER-XVII
INVESTOR PROTECTION FUND
278. In accordance with its Bye- laws , rules or regulations , the Stock Exchange shall publish a notice inviting the legitimate claimants to file claims against the defaulter member brokers within a specified period of time, called as the " specified period" .
Constitution and Management of the Investor Protection Fund
279. The specified period shall not be less than one month or twenty five working days , whichever is more.
273. The Investor Protection Fund (hereinafter referred to as IPF) shall be administered by way of a Trust created for the purpose.
280. The Stock Exchange shall publish the notice in all the editions of atleast one English national daily with wide circulation and in atleast one regional language daily with wide circulation at the place where the Stock Exchange is situated .
274. The IPF Trust shall consist of atleast one public representative, one representative from the registered investor associations recognized by SEBI and the Executive Directors/Managing Directors/ Administrators of the Stock Exchange .
281. The notice calling for claims shall also be displayed on the premises of the Stock Exchange as well as on the web - site of the Stock Exchange for the entire specified period.
275. The Stock Exchange shall provide the secretariat for the IPF Trust .
282. The notice shall contain the specified period, the maximum compensation limit for a single claim of an investor, etc.
Eligible Claims
276. The Stock Exchange shall ensure that the funds in the IPF are well segregated and that the IPF is immune from any liabilities of the Stock Exchange .
Contribution to IPF
283. The claims received against the defaulter members during the specified period shall be eligible for compensation from the IPF.
277. The following contributions shall be made by the Stock Exchange to the IPF:-
(i) 1% of the listing fees received, on a quarterly basis.
284. The IPF Trust however, may, if it is satisfied that the claims could not have been filed during the specified period for reasons beyond the control of the claimant, entertain claims received even after the specified period.
(ii) 100% of the interest earned on the 1 % security deposit kept by the issuer companies at the time of the offering of securities for subscription to the public , immediately on refund of the deposit .
285. The claims of the investors/ clients shall be eligible for compensation from the IPF and in no case the claims of a broker or an associate of the member broker of the Stock Exchange shall be eligible for compensation out of the IPF.
(iii) The difference of amount of auctions/close- out price in pursuance of circular No. SMDRP/Policy/Cir- 10/ 1999 dated May 04, 1999 .
286. The claims of the investors/clients arising out of speculative transactions shall not be eligible for compensation from the IPF. The claim should not be a sham or collusive .
Determination of Legitimate Claims (iv) The amount received from the proceeds of the sale of the securities written off as per para 4 & 5 of SEBI circular No. FITTC/FII/ 02/2002 dated May 15 , 2002.
287. The IPF Trust may adopt the arbitration mechanism at the Stock Exchange to determine the legitimacy of the claims recevied from the claimants .
(v) The amounts specified in pursuance of Regulation 28 ( 12) (e) (ii ) , Regulation 28 ( 13 ) and Regulation 29 (2 ) of SEBI (Substantial Acquisition of Shares and Takeovers ) Regulations , 1997 .
288. The IPF Trust may also seek the advice of the Defaulters Committee to sanction and ratify the payments to be made to the investors .
Threshold limit for claims
289. The Stock Exchange is free to fix suitable compensation limits , in consultation with the IPF Trust .
(vi) Every Trading member shall contribute a sum on the basis of their turnover on quarterly basis at the rate to be determined by the Governing Board of the Stock 244

However, the amount of compensation available against a single claim of an investor arising out of default by a member shall not be less than Rs . 50,000/- .
290. The Stock Exchange , in consultation with the IPF Trust, shall review and progressively increase the amount of compensation available against a single claim from an investor , atleast every three years .
291. The Stock Exchange shall disseminate the compensation limit fixed by them and any change thereof, to the public through a Press Release and also through its web site .
Disbursements of claims from the IPF
292. The IPF Trust shall disburse the amount of compensation from the IPF to the investor and such a compensation shall not be more than the maximum amount fixed for a single claim of an investor .
293. The IPF need not wait for the auction of the card of the defaulter member broker to realize the assets and the liabilities position of the defaulter member before the disbursements of the claims .
294. The IPF Trust shall disburse the compensation to the investors as and when claims have been crystallised against the defaulter.
295. The Stock Exchange shall ensure that the amount realised by the auction/close- out of the card/ realisation of assets of the defaulter members are credited to the IPF after satisfying the claims of the Stock Exchange and the SEBI in accordance with the bye- laws of the Stock Exchange .
It is clarified that in the case of Stock broker having multiple memberships who has been declared defaulter, any amount remaining to his credit after satisfying the eligible claims at the stock exchange/ SEBI/ other stock exchange , shall be credited to the IPF of such exchange .
Miscellaneous
296. Post-demutualisation, the balance of the IPF lying un-utilised with the Stock Exchange , shall continue to be utilised only for such purposes as prescribed by SEBI .
297. However, if the Stock Exchange is wound up post- demutualisation , then the balance in the IPF lying un-utlised with the Stock Exchange shall be transferred to SEBI . The funds will be maintained in 2-530 G1/2006

The existing Bye- law No. 269 has been substituted with the following new Bye - law :-
" LATE CLAIMS BARRED
269. The Investor Services Committee and/or Arbitral Tribunal shall not take cognizance of any claim, complaint, difference or dispute unless the same has been received by the Exchange within six months from the date of the transaction or from the date on which the client claims to have given the instruction/ order to buy or sell a security or from the date on which the client claims to have paid money or given a security whichever is earlier.
Provided that the Investor Services Committee and/ or Arbitral Tribunal may take cognizance of such complaint within a further period of six months , if the applicant satisfies the Investor Services Committee and/ or Tribunal that he had sufficient cause for not preferring the claim within the prescribed period."
