(ख) जमा की राशि, जिसे जमा किया जाना है, शुरू में दावे की राशि द्वारा निर्धारित की जाती है और उसके पश्चात ऊंचे प्रतिदावे के आधार पर निर्धारित की जाती है, यदि कोई हो, और इसका नीचे दिए गए के अनुसार विशेष रूप से उल्लेख किया जाता है :

(घ) उपर्युक्त में कुछ भी विहित होने के बावजूद, यदि दावे की राशि 10 लाख रुपए से कम है अथवा उसके बराबर है तो संघटक चाहे वह अथवा वह कोई आवेदक अथवा प्रतिवादी है, को एक्सचेंज को जमाराशि प्रस्तुत करनी अपेक्षित नहीं होगी। ऐसे मामलों में संघटक के लिए और उसकी ओर से मध्यस्थता कार्यवाही करने के लिए खर्च की लागतों को एक्सचेंज द्वारा वहन किया जाएगा ।

विशेष प्रस्ताव
कम्पनी के पंजीकृत कार्यालय सी-5, प्लाट नं.44 , ग्रांड वसंत कुंज, नई दिल्ली-10070 में 2 जुलाई, 2007 को आयोजित कम्पनी की वार्षिक सामान्य बैठक में पारित किये गये विशेष प्रस्ताव की सत्यापित प्रति प्रमाणित की जाती है ।
कम्पनी अधिनियम 1956 की धारा 484 ( 1 ) ( बी) एवं 488 के प्रावधान और अन्य लागू प्रावधानों के तहत निश्चय किया गया कि मेम्बर्स वोलेन्टरी वाइन्डिंग अप के रूप में कम्पनी वोलेंटरी रूप में वाइंड अप होगी।
आगे निश्चय किया गया कि पंजीकरण हेतु कम्पनियों के रजिस्ट्रार के कार्यालय के पास दाखिल अनुसार अन्य दस्तावेजों और वित्तीय दृढ़ता परिसम्पत्तियों का विवरण और देनदारियों, शपथ- पत्रों की घोषणा पर एतद्वारा विचार किया गया और अनुमोदित किये गये।
आगे निश्चय किया गया कि निदेशकों मिस रमा जिन्दल और मिस निधि जिन्दल को इस प्रस्ताव को दिये गये प्रभाव के अपेक्षित सभी अन्य आवश्यक कदम उठाने के लिये संयुक्त रूप से और अलग - अलग एतद्वारा अधिकृत किया गया है ।
कम्पनी अधिनियम 1956 की धारा 173 के प्रावधानों के तहत व्याख्यात्मक विवरण एक मेम्बर बोलेंटरी वाइडिग अपः
पिछले कुछ वर्षों में कम्पनी नियमित रूप से हानि उठा रही है । कम्पनी का प्रचालन थम गया है और कम्पनी लगातार हानि उठा रही है क्योंकि कम्पनी के प्रचालन कोपूरा करने के लिये मैन पावर नहीं है। 25 मई 2007 को आयोजित निदेशक मण्डल की बैठक में कम्पनी की वित्तीय स्थिति को और प्रचालन का मुल्यांकन किया गया और समीक्षा की गयी और कम्पनी को पुनर्जीवित करने की सम्भावना पर भी विचार किया गया। विस्तृत विचार विमर्श के बाद कम्पनी ने निर्णय लिया है कि कम्पनी को बोलेंटरी रूप से चलाना चाहिऐ और वित्तीय दृढ़ता, परिसम्पत्तियों का विवरण और देनदारियां और अन्य सम्बन्धि ति आवश्यक दस्तावेज या सदस्य बोलेंटरी वाइडिंग अप के रूप में कम्पनी के वाइडिंग अप के प्रयोजन हेतु अपेक्षित घोषण का अनुमोदन किये गये सभी दस्तावेजों की प्रत्तिया सदस्यों की निरीक्षण हेतु कम्पनी के पंजीकृत कार्यालय में कार्याय समय के दौरान उपलब्ध है । कम्पनी में उनकी सम्बद्ध अंशधारिता की सीमा तक को छोड़कर कोई भी निदेशक प्रस्ताव में इच्छुक नहीं है ।

The Company is incurring losses regularly for the past several years . The operations of the Company have come to a stand still and the Company has been continuously incurring losses as there is no manpower to carry out the operations of the Company.
TheBoard of Directors in their meeting held on 25th May, 2007 reviewed and assessed the operations and financial position of the Company and also considered the possibility of reviving the Company. Afterdetailed discussion the Board concluded that the Company should be wound voluntarily and approved the Declaration of Solvency, Statementof Assets and Liabilities and other related documents necessary or required for the purpose of winding up of the Company as members' voluntary winding up.
