11 (क) ऐसे अनिवासी भारतीय / भारतीय मूल के व्यक्ति (एन.आर.आई./पी.आई.ओ . ) जो किसी कारणवश 'पैन' प्राप्त नही कर सके लेकिन उनके पास प्रतिभूतियाँ वस्तु रूप में हैं और उन्हें बेचना चाहते हैं, समय- समय पर यथा विनिर्दिष्ट निबंधन और शर्तों के अधीन 'सीमित प्रयोजन बी ओ एकाउंट' खोलेंगे ।

(घ) केवल उन ग्राहकों के संबंध में नकदी बाजार में लेन-देन करेंगे जिनके पैन विवरण प्राप्त और एक्सचेंजों को अपलोड किए गए हैं ।

(ख) उक्त शर्ते एन आर आई /पी आई ओ द्वारा नकदी बाजार में शेयरों के कारोबार के लिए भी लागू होंगी ।

दी दिल्ली स्टॉक एक्सचेंज एसोसिएशन लिमिटेड की उपविधि सं 224 ख और 204ख , 43 ग और अध्याय 20 को का संशोधन भारतीय प्रतिभूति और विनिमय बोर्ड द्वारा अपने पत्र सं एमआरडी/ डीएसए / 92600/2007 तारीख 4.5.2007 के अनुसार विधिवत अनुमोदित:-

224ख स्टॉक ब्रोकरों द्वारा शुल्क का संदाय

(क) बहु- सदस्यता वाले स्टॉक ब्रोकर संबंधित स्टॉक एक्सचेंजों पर ऑफ मार्केट लेन देनों की सूचना देगें और शुल्क का संदाय स्टॉक ब्रोकर द्वारा अपनाए गए एक स्टॉक एक्सचेंज पर करेंगे ।

(ग) ऐसे एन आर आई / पी आई ओ/विदेशी राष्ट्रियकों के लिए 'सीमित प्रयोजन बी ओ एकाउंट' खोलना और बनाए रखना आवश्यक नहीं है जिन्होने आयकर विभाग से निर्धारित निबंधन और शर्तों के अध्यधीन पैन प्राप्त कर लिया है । परंतु ऐसे एन आर आई/ पी आई ओ को जिन्होंने पहले ही पैन के बिना बी ओ एकाउंट खोला है तारीख 31.12.2006 को या उससे पहले पैन प्राप्त करना अनिवार्य है , ऐसा नहीं करने की स्थिति में डिपोजिटरी / डिपोजिटरी पार्टीसिपेंट/ ब्रोकर द्वारा ऐसा खाता अमान्य कर दिया जाएगा ।

कंप्यूटरीकृत ट्रेडिंग प्रणाली- रिपोर्टिंगः 43ग

(क) कंप्यूटरीकृत ट्रेडिंग प्रणाली में प्रत्येक हँगिग/ स्लोडाउन/ ब्रेकडाउन के बारे में और कोई अन्य समस्या के बारे में , भले ही यह बाधा पांच मिनट से भी कम समय के लिए हो , समिति (ख) उक्त (क) के संबंध में, ब्रोकर उस स्टॉक एक्सचेंज की लिखित में घोषणा करेगा जहाँ शुल्क के संदाय के लिए ऑफ -मार्केट लेन-देनों को शामिल किया जाएगा और संबंधित स्टॉक एक्सचेंज को जहाँ ट्रेडिंग सदस्य की बहु सदस्यता है , चुने हुए स्टॉक एक्सचेंज में ऑफ-मार्केट लेन-देन करने के अपने उद्देश्य के बारे में सूचित भी करेगा ।

अनुसरण में नीलामी की राशि/ क्लोज-आउट कीमत का अंतर ।

(ख) समिति मामला / मामलों की जांच करके स्टॉक एक्सचेंज के गवर्निंग बोर्ड / कांउसिल(शासित निकाय / परिषद) को रिपोर्ट प्रस्तुत करेगी ।

(घ) सेबी के परिपत्र सं. एफ आई टीटीसी/ एफ आई आई / 02/ 2002 तारीख 15 मई 2002 के पैरा 4 और 5 के अनुसार ब‌ट्टे खाते डाली गई प्रतिभूतियों की बिक्री के आगमों से प्राप्त राशि ।

(ग) स्टॉक एक्सचेंज के गवर्निंग बोर्ड / कांउसिल पूर्वोक्त रिपोर्ट पर विचार करेगा और उपयुक्त कार्रवाई / सुधारात्मक उपाय करेगा ।

(ड) सेबी (शेयरों और टेक ओवरों का पर्याप्त अधिग्रहण) विनियम, 1997 के विनियम 28 (12) (ग) (ii ) , विनियम 28 (13) और विनियम 29 (2) के अनुसरण में विनिर्दिष्ट राशि । (घ) कंप्यूटरीकृत ट्रेडिंग प्रणाली पांच मिनट से अधिक समय तक रूकने के मामले में एक्सचेंज इस घटना के घटने के कारण और किए गए उपचारात्मक उपायों के बारे में सेबी को सूचित करेगा।

(ड) स्टॉक एक्सचेंज इस संबंध में अधिक पारदर्शिता और निवेशकों के हित के लिए एक प्रैस रिलिज जारी करेगा ।

अध्याय 20

6. आई पी एफ में किए गए अंशदान के संबंध में जो एक्सचेंज के सदस्यों से वसूले गए लेनदेन प्रभारों पर आधारित है , स्टॉक एक्सचेंज संबंधित स्टॉक एक्सचेंजों द्वारा पालन की जा रही मौजूदा पद्यति जारी रखेगा ।

ग्राहक सुरक्षा निधि/ निवेशक सुरक्षा निधि

निवेशक से दावे फाइल / आमंत्रित करने की रीति आई पी एफ/ सी पी एफ का गठन और प्रबंधन

1. निवेशक सुरक्षा निधि/ ग्राहक सुरक्षा निधि (जिसे इसमें आगे आईपीएफ / सीपीएफ कहा गया है) का प्रबंधन इस प्रयोजन के लिए बनाए गए ट्रस्ट (न्यास) के माध्यम से किया जाएगा ।

7. स्टॉक एक्सचेंज अपने उप-विधियों/ नियमों या विनियमनों के अनुसार बैध दावेदारों को आमंत्रित करने वाला नोटिस प्रकाशित करेगा जिससे कि चूककर्त्ता सदस्य ब्रोकर के विरूद्ध विनिर्दिष्ट समयावधि के भीतर जिसे 'विनिर्दिष्ट अवधि' कहा गया है , दावे फाइल किए जा सकें ।

विनिर्दिष्ट अवधि एक महीने या पच्चीस कार्य- दिवस , जो भी अधिक है , से कम नहीं होगी ।

2. आई पी एफ सी पी एफ न्यास में कम से कम एक लोक प्रतिनिधि , एक प्रतिनिधि सेबी द्वारा 8. माम्यताप्राप्त पंजीकृत निवेशक संघ से और स्टॉक एक्सचेंज के कार्यपालक निदेशक/ प्रबंध निदेशक / प्रशासक शामिल होंगे ।

3. स्टॉक एक्सचेंज आई पी एफ / सी पी एफ न्यास के लिए सचिवालय उपलब्ध कराएगा ।

9. स्टॉक एक्सचेंज इन नोटिसों को व्यापक प्रचार वाले कम से कम एक अंग्रेजी राष्ट्रीय दैनिक के सभी संस्करणों मे और उस स्थान के व्यापक प्रचार वाले कम से कम एक क्षेत्रीय भाषा दैनिक समाचार पत्र में प्रकाशित करेगा जहां स्टॉक एक्सचेंज स्थित है ।

4. स्टॉक एक्सचेंज को विदित होना चाहिए कि आई पीएफ सी पी एफ की निधि ठीक प्रकार से अलग-अलग हों तथा आईपीएफ / सीपीएफ पर स्टॉक एक्सचेंज का किसी भी प्रकार का बोझ का असर नहीं पड़ना चाहिए ।

आई पी एफ/ सी पी एफ में अंशदान

10. दावों के लिए मांग करने वाला नोटिस स्टॉक एक्सचेंज के परिसर में एवं स्टॉक एक्सचेंज की वेवसाइट में संपूर्ण विनिर्दिष्ट अवधि के लिए प्रदार्शित किया जाएगा ।

5. स्टॉक एक्सचेंज द्वारा आई पी एफ / सी पी एफ में निम्नलिखित अंशदान किया जाएगा :-

(क) त्रैमासिक आधार पर , प्राप्त लिस्टिंग शुल्क का 1% 1

11. नोटिस मे विनिर्दिष्ट अवधि, किसी निवेशक के एक दावे के लिए अधिकतम क्षतिपूर्ति की सीमा दी जाएगी ।

पात्र दावे

(ख) जारीकर्ता कंपनियों द्वारा जनता के अभिदान के लिए प्रतिभूतियां प्रस्तुत करते समय रखे 1% प्रतिभूति जमा पर अर्जित ब्याज का 100% जमा राशि लौटाते समय तत्काल ।

12. विनिर्दिष्ट अवधि के दौरान चूककर्त्ता सदस्यों के विरूद्ध प्राप्त दावे आई पी एफ सी पी एफ से क्षतिपूर्ति के लिए पात्र होंगे ।

करेगा और ऐसी क्षतिपूर्ति की राशि एक निवेशक के एकल दावे के लिए निर्धारित अधिकतम राशि से अधिक नहीं होगी ।

सकेगा यदि यह इस बात से संतुष्ट हो जाता है कि दावाकर्ता ऐसे कारणों से विनिर्दिष्ट अवधि के भीतर दावे प्रस्तुत नहीं कर सका जो उसके नियंत्रण से बाहर थे ।

22. आई पी एफ/ सी पी एफ को दावों की अदायगी करने से पहले चूककर्त्ता सदस्य की परिसंपत्ति तथा देयता स्थिति उगाहने के लिए चूककर्त्ता सदस्य ब्रोकर के कार्ड की नीलामी की प्रतिक्षा करने की आवश्यकता नहीं है ।

14. निवेशक/ ग्राहकों से प्राप्त दावे आई पी एफ / सी पी एफ से क्षतिपूर्ती किए जाने के लिए पात्र होंगे और किसी भी स्थिति में किसी ब्रोकर या स्टॉक एक्सचेंज के सदस्य ब्रोकर के सहयोगी के दावे आई पी एफ / सी पी एफ से प्रतिपूर्ती किए जाने के लिए पात्र नहीं होंगे ।

23. आई पी एफ/ सी पी एफ न्यास चूककर्त्ता के विरूद्ध दावे सही सिद्ध होने पर निवेशकों को क्षतिपूर्ति की अदायगी कर देगा ।

15. निवेशकों/ ग्राहकों के सट्टा लेन-देन से उत्पन दावे आई पी एफ/ सी पी एफ से प्रतिपूर्ती के किए पात्र नहीं होंगे । दावे मिथ्या या दुस्संधिपूर्ण नहीं होने चाहिए ।

वैध दावों निर्धारण करना

16. आई पी एफ / सी पी एफ न्यास दावाकर्ताओं से प्राप्त दावें की वैधता का निर्धारण करने के लिए स्टॉक एक्सचेंज पर माध्यस्थम तंत्र अपना सकेगा ।

24. स्टॉक एक्सचेंज सुनिश्चित करेगा कि चूककर्त्ता सदस्यों के कार्ड की नीलामी/ क्लोज-अकाउन्ट / परिसंपत्तियों की वसूली से प्राप्त राशि स्टॉक एक्सचेंज के उप-विधियों के अनुसार स्टॉक एक्सचेंज और सेबी के दावों की पूर्ति करने के पश्चात आई पी एफ सी पी एफ में जमा की जाती है ।

17. आई पी एफ / सी पी एफ न्यास निवेशकों के लिए जाने वाले संदायो को संस्वीकृत और अभिपुष्ट करने के लिए चूककर्त्ता समिति की सलाह ले सकेगा ।

दावों के लिए न्यूनतम सीमा

ऐसे बहु सदस्यता वाले स्टॉक ब्रोकरों के मामलो में जिन्हे स्टॉक एक्सचेंज द्वारा चूककर्त्ता घोषित किया गया है , स्टॉक एक्सचेंज सुनिश्चित करेगा कि चूककर्त्ता सदस्यों के कार्ड की नीलामी / क्लोज-अकाउन्ट / परिसंपत्तियों की वसूली से प्राप्त राशि एक्सचेंज की उप - विधियों के अनुसार एक्सचेंज / सेबी/ अन्य स्टॉक एक्सचेंजों के पात्र दावों की पूर्ति करने के पश्चात आईपीएफ /सीपीएफ में जमा की जाती है ।

विविध

18. स्टॉक एक्सचेंज आई पी एफ सी पी एफ न्यास से परामर्श करके समुचित क्षतिपूर्ति सीमा तय करने के लिए स्वतंत्र है । परंतु स्टॉक एक्सचेंज के सदस्य ब्रोकर द्वारा किए गए चूक के परिणाम स्वरूप किसी निवेशक के एकल दावे के विरूद्ध उपलब्ध क्षतिपूर्ति की राशि बड़े स्टॉक एक्सचेंज जैसे बीएसई और एनएसई, के मामले में एक लाख रूपये तथा अन्य स्टॉक एक्सचेंजों के मामले में 50,000 रूपये से कम नहीं होगी ।

25. डीम्यूचुअलाइजेशन के बाद, स्टॉक एक्सचेंजों में अप्रयुक्त पड़ी आई पी एफ / सी पी एफ की शेष राशि का उपयोग ऐसे प्रयोजनों के लिए किया जाए जिन्हें सेबी द्वारा निर्धारित किया जाए । 19. स्टॉक एक्सचेंज , आई पी एफ / सी पी एफ न्यास से परामर्श करके , कम से कम प्रत्येक तीन वर्ष में किसी निवेशक के एकल दावे के संबंध में उपलब् 1 क्षतिपूर्ति राशि की समीक्षा करेगा उसमें क्रमशः वृद्धि करेगा ।

20. स्टॉक एक्सचेंज प्रेस रिलिज और अपनी वेबसाइट के माध्यम से लोक सामान्य में उनके द्वारा नियत क्षतिपूर्ति की राशि और उसमें किसी प्रकार के परिवर्तन की सूचना प्रसारित करेगा ।

26. परन्तु, यदि डीम्यूचुअलाइजेशन के बाद स्टॉक एक्सचेंज काम करना बंद कर देता है तो स्टॉक एक्सचेंज में उपयुक्त पड़ी आई पी एफ/ सीपीएफ की शेष राशि सेबी को अंतरित कर दी जाएगी । निधि को पृथक खाते में डाला जाएगा और सेबी इन निधियों की न्यास के रूप में कार्य करेगा । इस निधि का उपयोग निवेशक की शिक्षा, जागरूकता, अनुसंधान आदि के प्रयोजन के लिए किया जाएगा ।

(b) The above condition is also applicable for trading of shares by NRI's/ PIO's in cash market .

204A: Mandatory Requirements of PAN for transactions incash market

Members of the Stock Exchange shall :

(a) collect copies of the PAN (Permanent Account Num- ber) cards issued to their existing as well as new clients by the Income Tax Department and maintain the same in their record after verifying with the original;

( c) Such NRI's/ PIO's / Foreign Nationals who have been enabled by the Income Tax Department to obtain PAN as per the terms and conditions stipulated by the Income Tax Department are not required to open and maintain a ' limited purpose BO account' . However, the NRI's / PIO's who have al- ready opened the BO account without PAN shall be required to comply with the mandatory requirement of PAN on or before 31.12.2006 , failing which such accounts shall be made inoperable by the Deposi- tory /Depository Participant/ Broker.

(b) cross-check the all details collected from their clients with the details on the website of the Income Tax Department i.e. http://incometaxindiaefiling.gov.in/ challan/enterpanforchallan.jsp;

43C Computerised Trading System- Reporting:

( a) All instances of hanging / slowdown /breakdown and any other problem in the computerised trading system , even ifthe disruption is for less than five minutes , should be reported to the Committee for its consideration .

(d) carry transactions in cash market only in respect of those clients whose PAN details have been collected and upladedto the Exchange .

(b) The Committee upon examination of the issue/ s shall submit a report to the Governing Board/ Council of the StockExchange.

(c) The Governing Board/Council of the Stock Exchange shall deliberate on the aforesaid report and take suitable action/ remedial measures .

224B Payment of fees by Stock Brokers

(d) In case of stoppage of the computerised trading system beyond five minutes the Exchange should also explain and report to SEBI about the incident as well as remedial measures taken .

a) TheStock Brokers having multiple membership shall report the off market transactions on the respective stock exchanges and shall pay the fees only at the one stock exchange opted by the stock broker .

(e) The Stock Exchange shall also issue a press release in this regard for greater transparency and in the interest of investors .

CHAPTER 20

CUSTOMER PROTECTION FUND / INVESTOR PROTECTION FUND

Constitution and Management of the IPF /CPF

b) With regard to ( a ) , the broker shall give a declaration in writing of the stock exchange where off market transactions be included for the payment of fees and shall also intimate the respective stock exchange where trading member is having a multiple member- ship about his intention for inclusion of off market transaction in the chosen stock exchange.

204B Permanent Account Number ( PAN)

1. The Investor Protection Fund/ Customer Pretection Fund ( hereinafter referred to as IPF/ CPF) shall be administered by way of a Trust created for the purpose .

2. The IPF/CPF Trust shall consist of atleast one public representative , one representative from the registered investor associations recognized by SEBI and the Executive Directors /ManagingDirectors/Administrators ofthe Stock Exchange .

3. TheStock Exchange shall provide the secretariat for theIPF/ CPF Trust.

(a) In case of Institutional clients namely Flls , MFs , VCFS, FVCIs , Scheduled Commercial Banks , Multi- lateral and Bilateral Development Financial Institu- tions. State industrial Development Corporations, Insurance Companies registered with IRDA and public Financial Institution as defined under section 44 of the Companies Act , 1956, the custodian shail verify the PAN details of the Institutional Clients with the original PAN card and provide a copy of such verified PAN details to the broker duly certified:

4. The Stock Exchange shall ensure that the funds in the IPF /CPF are well segregated and that the IPF /CPF is immunefrom any liabilities of the Stock Exchange.

Contribution to IPF/CPF

(b ) The details laid down in clause (a) shall be provided till 31.12.2006 by the existing clients and also by the new clients at the time of admission .

5. The following contributions shall be rnade by the Stock Exchange to the IPF/CPF: -

a) 1% of the listing fees received, on a quarterly basis.

II ( a) Such NRI's / PIO's who are not able to obtain PAN for one reason or the other but are holding securities in physical form and desire to sell the

subscription to the public, immediately on refund of the deposit .

Defaulters Committee to sanction and ratify the payments to be made to the investors .

Threshold limit for claims

c) Thedifference of amount of auctions / close- out price in pursuance of circular no . SMDRP / Policy/Cir-10/1999 dated May (04, 1999.

d) The amount received from the proceeds of the sale of the securities written off as per para 4 & 5 ofSEBI circular No. FITTC /FII/02/2002 dated May 15,2002.

18. The Stock Exchanges are free to fix suitable compen- sation limits , in consultation with the IPF/CPF Trust. However, the amount of compensation available against a single claim of an investor arising out ofdefault by a member broker of a Stock Exchange shall not be less than Rs . 1 lakh in case of major Stock Exchanges viz . , BSE and NSE, andRs . 50,000/- in case of other Stock Exchanges.

e) Theamounts specified in pursuance of Regula- tion 28( 12) ( c) ( ii ) , Regulation 28( 13 ) and Regulation 29 ( 2) of SEBI ( Substantial Acquisi- tion of Shares and Takeovers ) Regulations , 1997.

19. The Stock Exchange , in consultation with the IPF/CPF Trust , shall review and progressively increase the amount of compensation available against a single claim from an investor, at least every three years .

6. Asregards the contribution towards the IPF based on the transaction charges collected from the members of the exchange , the Stock Exchanges shall continue with the present practice followed by the respective Stock Exchanges .

20. TheStock Exchange shall disseminate the compensa- tion limit fixed by them and any change thereof, to the public through a Press Release and also through its web site.

Disbursements of claims from the IPF/CPF

Manner of filing /inviting claims from investors

21. The IPF/ CPF Trust shall disburse the amount of compensation from the IPF/CPF to the investor and such a compensation shall not be more than the maximum amount fixed for a single claim of an investor.

7. In accordance with itsbye -laws, rules or regulations , the Stock Exchange shall publish a notice inviting the legitimate claimants to file claims against the defaulter member brokers within a specified period of time, called as the " specified period" .

8. Thespecified period shall not be less than one month or twenty five working days , whichever is more.

22. The IPF/CPF need not wait for the auction of the card of thedefaulter member broker to realise the assets and the liabilities position of the defaulter member before the disbursements of the claims .

23. The IPF/CPF Trust shalldisburse the compensation to the investors as and when claims have been crystallized against the defaulter .

9. TheStock Exchange shall publish the notice in all the editions of atleast one English national daily with wide circulation and in atleast one regional language daily with wide- circulation at the place where the Stock Exchange is situated.

10. Thenotice calling for claims shall also be displayed on the premises of the Stock Exchange as well as on the web-sites of the Stock Exchange for the entire specified period.

24. The Stock Exchange shall ensure that the amount realized by the auction/ close-out of the card/realiza- tion of assets of the defaulter members are credited to the IPF/ CPF after satisfying the claims of the Stock Exchange and the SEBI in accordance with thebye- laws of the Stock Exchange .

11. The notice shall contain the specified period , the maximum compensation limit for a single claim of an investor, etc.

Eligible Claims

12. The claims received against the defaulter members during the specified period shall be eligible for compensation from the IPF/ CPF.

In the case of stock brokers having multiple member- ships who have been declared defaulter by the Exchange, shall ensure that the amount realised by the auction/ close out of the card/ realisation of assets of the defaulter members are credited to the IPF/ CPF after satisfying the eligible claims of the Exchange/ SEBI / other stock exchanges in accordance with the bye-laws of the Exchange.

Miscellaneous

13 . The IPF/CPF Trust however, may, if it is satisfied that the claims could not have been filed during the specified period for reasons beyond the control of the claimant , entertain claims received even after the specified period.

25. Post-demutualisation , the balance of the IPF /CPF lying unutilized with the Stock Exchanges , shall continue to be utilised only for such purposes as prescribed by SEBI .

14. The claims of the investors/clients shall be eligible for compensation from the IPF/CPF and in no case the claims. of a broker or an associate of the member broker of the Stock Exchange shall be eligible for compensation out of the IPF/CPF.

15. The claims of the investors/clients arising out of speculative transactions shall not be eligible for Compensation from the IPF/ CPF. The claim should not be a sham or collusive .

26. However, if the Stock Exchange is wound up post- demutualisation , then the balance in the IPF/CPF lying un-utilised with the Stock Exchange shall be trans- ferred to SEBI . The funds will be maintained in a separate account and SEBI would act as trustee of these funds. The funds shall be utilized for purposes ofInvestor education , awareness , research etc:
