पूर्व अनुच्छेद में जैसी व्यवस्था है और अनुच्छेद 55 के उपबंधों के प्रति पूर्वाग्रह के बिना कोई सदस्य शेयर अंतरण के लिए स्वतंत्र होगा;
तथाषि यह प्रावधान किया जाता है कि बोर्ड अपने निम्नलिखित मत से अंतरण को अस्वीकृत कर सकता है--

Notwithstanding anything contained in these Articles, the Company shall be entitled to dematerialise its securities and to offer securities in a dematerialised form pursuantto the Depositories Act, 1996. In respect of the securities so dematerialised, the provisions of the Depositories Act, 1996 and the relevant regulations shall apply.
