विविध
421. जमा पर आधारित कार्यवाहक सदस्यता
1. एक्सचेंज प्रशासकीय मंडल द्वारा समय- समय पर दिए गए नियमों के आधार पर एक या अनेक लोगों को एक्सचेंज की जमा पर आधारित कार्यवाहक सदस्यता (डिपाजिट बेस्ड ट्रेडिंग मेम्बर) दे सकती है । 2. प्रशासकीय मंडल प्रवेश , पुनः प्रवेश तथा समाप्ति हेतु आवेदन- पत्र के लिए आवश्यक नियम, शर्तें, रूपरेखा व कार्य पद्धति निर्धारित कर सकता है । सम्बन्धित अधिकारी वर्ग को किसी भी जमा पर आधारित कार्यवाहक सदस्यता हेतु आवेदन- पत्र को बिना कोई भी कारण बताए अस्वीकार करने का सम्पूर्ण अधिकार है ।
3. उपनियम 5 व सेबी द्वारा स्वीकृत एक्सचेंज की डिम्युचिलाइजेशन स्कीम को ध्यान में रखते हुए जमा पर आधारित कार्यवाहक सदस्य सभी प्रयोजनों हेतु एक्सचेंज का कार्यवाहक सदस्य मान्य होगा तथा उसके पास एक्सचेंज के एक कार्यवाहक सदस्य के समान ही अधिकार, विशेषाधिकार, कर्तव्य और दायित्व होंगे और समय- समय पर प्रशासकीय मंडल द्वारा निर्देशों के अनुसार एक मध्यस्थ की तरह एक्सचेंज में पूंजी बाजार और / या डेब्टस ( Debts ) मार्किट या कोई दूसरे खंड में व्यापार करने का अधिकार होगा । एक्सचेंज के सारे नियम, उप- नियम और व्यवस्था जमा पर आधारित व्यापार करने वाले सदस्य पर लागू होंगे जोकि एक्सचेंज के दूसरे व्यापार करने वाले सदस्य पर होते हैं ।
यदि ऐसे जहां प्रशासकीय मंडल जमा राशि पर आधारित व्यापार- सदस्य को व्यापार करने और / या डेब्ट मार्किट खंड या कोई दूसरे खंड में अनुमति देता है, जैसाकि यहां उपरोक्त है, हर एक ऐसे बाजार / खंड या संयोजन के लिए प्रशासकीय मंडल द्वारा समय- समय पर , ब्योरेवार निर्देश, निर्देशों सहित नियम एवं शर्तें, एक्सचेंज में और जमा राशि रखने सम्बन्धित नियम एवं शर्तें, केपिटल एडीक्यूएसी नार्मस, ऑवश्यकतानुसार मार्जिन इत्यादि के लिए निर्देश देना । और यदि जमा पर आधारित कार्यवाहक सदस्य जबतक जमा पर आधारित कार्यवाहक सदस्य रहना चाहता हो उस समय तक की सदस्यता के लिए एक्सचेंज के पास जमा रखना होगा या समय तक जो प्रशासकीय मंडल द्वारा समय- समय पर आदेश दिए ।
4. कार्यवाहक सदस्य द्वारा समय समय पर एक्सचेंज में जमा फीस, प्रतिभूति, दूसरी राशि और कोई अतिरिक्त भुगतान, चाहे नगद, बैंक गारन्टी , प्रतिभूति या किसी दूसरे रूप में , राशि पहले एवं सर्वोच्च रूप से सक्सचेंज को देय होगी और कार्यवाहक सदस्य के खिलाफ दूसरे दावे -वादा पूरे करना, प्रतिबद्धता और कार्यवाहक 57 PART IV]

सदस्य कोई भी सौदे का दायित्व एक्सचेंज के नियम, उप- नियम और व्यवस्था पर होगा । एक्सचेंज को कार्यवाहक सदस्य के खिलाफ उसकी फीस , जमा एवं दूसरी राशि में से कार्यवाहक सदस्य के शुल्क व दावे कार्यवाहक सदस्य को बताए बगैर समायोजन करने का अधिकार होगा ।
5. यद्यपि कोई विवरण उपरोक्त या कहीं भी नियम , उप-नियम और व्यवस्था में -
क. जमा पर आधारित कार्यवाहक सदस्य के निधन पर उसका का कानूनी प्रतिनिधि, उसका उत्तराधिकारी जमा पर आधारित कार्यवाहक सदस्य होगा या सिक्युरिटिज कान्ट्रेक्ट (रेग्युलेशन ) एक्ट, 1956 के तहत प्रशासकीय मंडल को जमा पर आधारित कार्यवाहक सदस्य, पहले या चूककर्ता जमा पर आधारित कार्यवाहक सदस्य, को नामांकित करने का अधिकार होगा ।
ख. जमा पर आधारित कार्यवाहक सदस्य या भागीदार या जमा पर आधारित कार्यवाहक सदस्य के प्रतिनिधि को एक्सचेंज के प्रशासकीय या दूसरे मंडल का सदस्य या एक्सचेंज की समिति या एक्सचेंज के कोई खंड सदस्य बनने का अधिकार नही होगा और न ही एक्सचेंज व एक्सचेंज के कोई खंड में कोई कार्यालय या पद पर नियुक्त होने का अधिकार नही होगा ।
ग. जमा पर आधारित कार्यवाहक सदस्य को जमा पर आधारित कार्यवाहक सदस्य के आधार पर किसी भी विषय पर मत देने अधिकार नही होगा और न ही कोई प्रस्ताव देने या प्रस्तुत करने का अधिकार होगा ।
6. यदि सदस्य एक्सचेंज की एक या अनेक सदस्यताएं रखता है जोकि जमा पर आधारित कार्यवाहक सदस्य नही है और एक या अनेक जमा पर आधारित कार्यवाहक सदस्यताएं हैं तो ऐसे जमा पर आधारित कार्यवाहक सदस्य / सदस्यों को पहले उल्लेखित सदस्यता / सदस्यताएं के सदस्यता अधिकारों के सीमित या हितों का हनन नही होगा ।
7. एक्सचेंज समय समय पर जमा पर आधारित कार्यवाहक सदस्यों या जमा पर आधारित कार्यवाहक सदस्यों के आवेदकों के लिए आवश्यकतानुसार फार्म , नियम व शर्तों , निर्देशों में परिवर्तन कर सकता है । ऐसे सदस्य के लिए एक्सचेंज अलग से विवरण / खाता बनाएगा जिसमें कि प्रत्येक जमा पर आधारित कार्यवाहक सदस्य के सम्बन्ध में लिखा होगा कि वह सदस्य जमा पर आधारित कार्यवाहक सदस्य है । 8.

Delhi Stock Exchange Limited invites comments /criticism on proposed insertion of Bye- law No. 421 under new Chapter XXI- Miscellaneous for Deposit Based Trading Membership from all persons who may be affected thereby . The comments /criticism must reach the office of the Company Secretary, Delhi Stock Exchange Limited, DSE House 3/1 , Asaf Ali Road , New Delhi - 110002 within 15 days from the date of this publication . The proposed Bye - law No. 421 is as under:
CHAPTER XXI
MISCELLENEOUS
421. Deposit Based Trading Membership
1) The Exchange may admit one or more persons as Deposit Based Trading Members of the Exchange ("Deposit Based Trading Member " ) in accordance with guidelines prescribed by the Governing Board from time to time.
2) The Governing Board may specify pre- requisites , conditions, formats , and procedure for application for admission , re -admission and termination etc. The relevant authority may at its absolute discretion , reject any application for Deposit Based Trading membership without assigning any reason thereof.
3) Subject to sub-rule 5 and the Scheme of Demutalisation of the Exchange as approved by SEBI a Deposit Based Trading Member shall be a trading member of the Exchange in all respects and for all purposes and shall have all the rights , privileges , obligations and liabilities of a trading member of the Exchange, and shall have the right to carry on business as an intermediary in the Equity Market Segment and/or Debts Market Segment or any other segment of the Exchange asprescribed by the Governing Board from time to time . All the Rules, Bye -laws and Regulations of the Exchange shall apply mutatis mutandis to a Deposit Based Trading OMember as they apply to any other trading member of the Exchange.
Provided however that where the Governing Board permits a Deposit Based Trading Member to carry on business in and/or Debts Market Segment or any other segment of the Exchange as set out hereinabove , the Governing Board shall , from time to time, prescribe detailed guidelines , terms and conditions including guidelines , terms and conditions relating to the nature and amount of deposit to be kept with the Exchange, capital adequacy norms , margin requirements etc. , for each such market/ segment or combination thereof . Provided further that deposit kept by a Deposit Based Trading Member for acquiring the Deposit Based Trading Membership , as set out hereinabove shall remain with the Exchange during the tenure of such membership or for such period as may be prescribed by the Governing Board from time to time.

4) The fees , security deposits , other monies and any additional deposits paid , whether in the form of cash, Bank Guarantee , Securities or otherwise , to the Exchange , by a trading member from time to time , shall be subject to a first and paramount lien for any sum due to the Exchange and all other claims against the trading member for due fulfillment of engagements , obligations and liabilities of trading members arising out of or incidental to any dealings made subject to the Byelaws , Rules and Regulations of the Exchange . The Exchange shall be entitled to adjust or appropriate such fees , deposits and other monies for such dues and claims , to the exclusion of the other claims against the trading member, without any reference to the trading member.
5) Notwithstanding anything stated above or elsewhere in these Rules , Bye -laws or Regulations -
A. A Deposit Based Trading Member , the legal representatives of a deceased DepositBased Trading Member, his heirs or the Governing Board shall have a right of nomination in respect of a Deposit Based Trading Membership or a former or lapsed Deposit Based Trading Membership subject to Securities Contract (Regulation ) Act, 1956;
B. A Deposit Based Trading Member or a partner or representative of a Deposit Based Trading Member shall not be entitled to be a member of the Exchange's Governing Board or of any other Board , or Committee of the Exchange or any Segment of the Exchange and shall not be entitled to hold any office or post in the Exchange or any Segment of the Exchange;

C. A Deposit Based Trading Member shall not , as a Deposit Based Trading Member, be entitled to voting rights on any matter and shall not be entitled to initiate or move any resolution .
6) Ifa member holds one or more memberships of the Exchange which are not Deposit Based Trading Memberships and holds one or more Deposit Based Trading Memberships then such Deposit Based Membership (s ) shall not limit or prejudice such member's rights in respect of the first mentioned membership(s ) .
7) The Exchange may from time to time modify the form , terms and conditions, guidelines prescribed in relation to their applicability to Deposit Based Trading Members or applicants for Deposit Based Trading Membership
8) Separate records / register of such members shall be maintained by the Exchange which shall also indicate in respect of each Deposit Based Trading Member that such member is a Deposit Based Trading Member.
