सदस्यों की स्वेच्छा से कम्पनी के समापन के मामले में कम्पनी अधिनियम, 1956 की धारा 485 (1 ) के तहत एतद् द्वारा सूचना दी जाती है कि कम्पनी के स्वैच्छिक समापन की आवश्यकता से संबंधित 23 मार्च 2009 को आयोजित इसके सदस्यों की असाधारण सामान्य बैठक में निम्नलिखित विशेष प्रस्ताव पारित किया गया है ।
निर्णय किया गया कि धारा 484 (1) , (बी) और कम्पनी अधिनियम , 1956 के अन्य लागू प्रावधानो , यदि कोई हो के संबंध में कम्पनी के शैयर धारकों की सहमति है और सदस्यों के स्वैछिक समापन के रूप में कम्पनी के स्वैछिक समापन हेतु एतद् द्वारा सर्व सम्मति की गई है । "
इसके अतिरिक्त निर्णय लिया गया कि 19 जनवरी 2009 को कम्पनी द्वारा उनके भुगतानयोग्य देनदारियों और परिसम्पतियों की अनुमानित वसूली योग्य कीमत की व्याख्या और सम्पन्नता की घोषणा के बारे में निदेशकों द्वारा शपथ ली गई और एतद्- द्वारा पुष्टि की जाती है, अनुमोदित की जाती है और ग्रहण की जाती है ।
इसके अतिरिक्त वह प्रस्ताव पास किया गया कि 19 जनवरी 2009 के अनुरूप नवीनतक अंकेक्षित बैलेंस शीट में दर्शाए अनुसार कम्पनी की सभी परिसम्पतिंयां व देनदारियां कम्पनी के सदस्यों में जिनके नाम सदस्यों के रजिस्टर में दर्शाए गए हैं, को उनकी अंशधारिता अनुपात के अनुरूप ऑन डेट प्रो / रेटा आधार पर वितरित / समायोजित कर दी जाए ।

कम्पनी अधिनियम 1956 की धारा 173 (2 ) के तहत व्याख्यात्मक कथन आपकी कम्पनी का निदेशक मंडल कम्पनी हेतु विभिन्न वैकल्पिक व्यापारिक विकल्पों पर अंवेषण कर रहा है ।
ऐसे सभी विकल्पों और मौजूदा आर्थिक परिवेश व व्यापारिक स्थितियों पर विचार करने के पश्चात् आपके बोर्ड का यह विचार बना कि कम्पनी परिसमाप्त कर देनी चाहिए । चूंकि कम्पनी सम्पन्न है और अपनी सभी देनदारियों, यदि कोई हो, का भुगतान करने में सक्षम है तो यह प्रस्तावित किया गया कि कम्पनी को सदस्यों की स्वेच्छा से परिसमाप्त किया जा सकता है ।
कम्पनी अधिनियम , 1956 के प्रावधानों के संबंध में प्रस्ताव को प्रभाव में लाने के लिए विशेष प्रस्ताव के माध्यम से सदस्यों की सहमति अपेक्षित है ।
कम्पनी के मामलों को परिसमाप्त करने हेतु एक परिसमापक की नियुक्ति हेतु भी सदस्यों की सहमति आपेक्षित है । आपका बोर्ड इस हेतु कम्पनी की निदेशक श्रीमती रमा जिन्दल के नाम की अनुशंसा करता है ।

Inthe matter of Members ' Voluntary Winding up of the Company Notice is hereby given pursuant to section 485( 1 ) of the Companies Act , 1956 , that the Company has passed the following special resolution at the Extra Ordinary General Meeting . of its members held on 23rd day of March 2009 requiring the Company to be wound up voluntarily:
"Resolved that in terms of the provisions of Section 484( 1 ) ( b) and other applicable provisions , if any , of the Companies Act , 1956 the consent of the Shareholders of the Company be and is hereby accorded for voluntary winding up of the Company as a members ' voluntary winding up .
Resolved further that the Declaration of Solvency and the Statement of estimated realizable value of assets and liabilities thereto payable by the Company as on 19th January 2009 taken on oath by the Directors be and are hereby confirmed , approved and adopted .
Resolved further that all the assets and liabilities of the Company as appearing in the latest Audited Balance Sheet as on 19th January 2009be distributed/adjusted amongst the members of the Company whose name appear in the Register of Members as on date on a pro - rata basis as per their share holding ratio.

The Board of Directors of your Company had been exploring various alternative business options for the Company .
After considering all such options and the present economic scenario and business conditions , your Board ' is of the view that the Company should be wound up . Since the Company is solvent and will be able to pay off its entire liabilities , if any , it is proposed that the Company may be wound up voluntarily as a members ' Voluntary winding up .

In terms of the provisions of the Companies Act , 1956 consent of members by way of Special Resolution is required to give effect to the proposed resolution .
The consent of members is also required for the appointment of a Liquidator to wind up the affairs of the Company . Your Board recommend the name of Mrs Rama Jindal , Director of the Company for the same .
A declaration of solvency alongwith other annexures shall be filed by the Board with the Registrar of Companies , New Delhi .
Once the proposed resolution is approved by the members , the same shall be advertised in newspaper and official gazette for the information of general public . The liquidator will realize the assets of the Company and shall pay - off the liabilities of the Company including its income tax liabilities , if any , and the balance surplus , if any , shall be distributed amongst the members of the Company after meeting all the liquidation expenses .
All the Directors of the Company are deemed to be interested in the proposed resolution to the extent of their shareholding in the Company.
