In the matter of Members Voluntary Winding up of the Company
Notice is hereby given pursuant to the provisions of Section 485 ( 1 ) of the Companies Act , 1956, that the Company has passed the Special Resolutionat its Extra Ordinary General Meeting of the Members held on 12th January, 2010 requiring the Company to be wound up voluntarily: -
"RESOLVED THAT pursuant to the provisions of Section 484 ( 1 ) ( b ) of the Companies Act , 1956 consent of the Company be and is hereby accorded to wind up the Company voluntarily " .
" RESOLVED FURTHER THAT for the purpose of giving effect to the above resolution , the Board of Directors be and are hereby authorized to do all such acts , things and deeds as may be required or considered necessary or incidental thereto and unless otherwise specified , theBoard of Directors be and are hereby authorized to make such filings with the Registrar of Companies or with other statutory authorities as may be required on behalf of the Company and unless otherwise not permitted under applicable law shall have the powers to sub-delegate the same."
" RESOLVED FURTHER THATDr. D.K. Tuli , CEO/Dr. B. Basu , Director be and are hereby authorized to give notice of this resolution by advertisement in the Official Gazatte and also in two newspapers , one in English and one in Hindi circulating in the District of the Registered Office ofthe Company within the prescribed time and to file the requisite form with the Registrar ofCompanies NCT of Delhi and Haryana."
" RESOLVED FURTHER THAT Dr. B. Basu , Director be and is hereby authorized to file the Special Resolution according the consent to wind up the Company voluntarily along with the explanatory statement , with the Registrar of Companies in Form No.23 of the Companies (General Rules and Forms) within 30 days of such passing .
