Proposed Bye Law No. 10A
1. एक भागीदारी फर्म को समय - समय पर उपयुक्त सेबी के नियमों के अनुसार निदेशकों के बोर्ड द्वारा मान लेने के अनुसार लुधियाना स्टॉक एक्सचेंज के ट्रेडिंग सदस्य के तौर पर प्रवेश दिया जा सकता है । (क) एक ट्रेडिंग सदस्य एक गैर- ट्रेडिंग सदस्य के साथ भागीदारी फर्म बना सकते हैं ।
(ख ) दो ट्रेडिंग सदस्य भी एक ट्रेडिंग फर्म बना सकते हैं । (ग ) कोई दो या अधिक व्यक्ति एक भागीदारी फर्म बना सकते हैं ।
कोई ट्रेडिंग सदस्य [लड़ी क्रमांक ( क ) तथा ( ग ) से] होने की सूरत में, फर्म एक्सचेंज की ट्रेडिंग सदस्य बनने के योग्य होगी, तथा उस भागीदरी के व्यक्तिगत ट्रेडिंग सदस्य, व्यक्तिगत तौर पर ट्रेडिंग सदस्य के तौर पर योग्य नहीं होंगे ।
ऊपर दी भागीदारी फर्म में, 2 या अधिक भागदीीर होने जरूरी हैं, मगर पाँच से अधिक न हों । मगर, समय - समय पर भागीदारों की गिनती घटाने /बढ़ाने की शक्ति बोर्ड के पास है ।
2. भागीदारी फर्म में ऐसे भागीदार की योग्यता व नियम वही रहेंगे , जोकि व्यक्तिगत ट्रेडिंग सदस्यों के लिए हैं, जैसे कि:-- ( क) ऐसे भागीदार(1 ) की आयु 21 साल से कम नहीं होनी चाहिये । (ख ) भागीदार(1 ) की कम से कम शैक्षिक योग्यता 10+ 2 होनी चाहिये ।

(घ ) भागीदार (1 ) की किसी भी समय पर, एक्सचेंज या किसी और एक्सचेंज के द्वारा निकाला न गया हो या डिफाल्टर घोषित न किया हो । (ण) अगर भागीदार को पहले कभी एक्सचेंज बोर्ड द्वारा सदस्यता से मना किया हो तो इस बात को कम से कम एक वर्ष जरूर पूरा हो गया हो।
इस के अलावा, भागीदारी फर्म कारपोरेट ट्रेडिंग सदस्यों के लिए बने सभी नियमों, जैसे ' नैट वर्थ आवश्यकता ' तथा और आवश्यकताओं का पालन करना होगा ( जो समय - समय पर लागू हों )
3. ऐसी भागीदारी को मात्र ट्रेडिंग सदस्य माना जाएगा । ऐसी भागीदारी एक्सचेंज को सूचित करेगी कि इसका एक भागीदार अभी भी इसका प्रबंधकी भागीदार है, जो एक्सचेंज के सभी या भागीदारी से संबंधित और सभी बातों पर फर्म की प्रतिनिधता करेगा । ऐसा प्रबंधकी भागीदार तब तक कार्य करेगा, जब तक ऐसा करने का अधिकार होगा । इस हालत में, दूसरे भागीदार अपने भागदीीरों में से किसी को प्रबंधकी भागदीीर नामजद करेंगे , जिसके पास सदस्य की योग्यता होगी , तथा सभी चलंत भागीदारों द्वारा मते पर हस्ताक्षर के साथ एक्सचेंज को तुरन्त सूचित करेगा।
(क) प्रबंधकी भागीदार के पास तीन या अधिक वर्ष का सिक्योरिटीज से संबंधित या पोर्टफोलियो प्रबंधक या निवेश सलाहकार या मर्चेन्ट बैंकर या आर्थिक सेवाओं या खजाने में या ब्रोकर, उप- ब्रोकर, सेबी से रजिस्टर्ड अधिकृत एजेन्ट या अधिकृत क्लर्क, या मान्यता प्राप्त स्टॉक एक्सचेंज का अधिकृत प्रतिनिधि, रैमिजर या अप्रैन्टिस डीलर, नौकर, मार्केट मेकर या सिक्योरिटीज से संबंधित या किसी और तरह से आईपीओ से संबंधित क्लीयरिंग या निबेड़े ( सैटलमैंट ) या किसी कार्य का अनुभव हो । (ख) सिर्फ प्रबंधकी भागीदार ही भागीदारी फर्म की ओर से निदेशक का चुनाव लड़ सकता है ।
(ग ) निदेशक का चुनाव लड़ने वाला ऐसा प्रबंधकी भागीदार पिछले कम से कम तीन वर्ष से भागीदार फर्म का भागीदार जरूर रहा हो तथा भागीदारी में उसका 51 % हिस्सा जरूर हो ।

(च ) भागीदार या प्रबंधकी भागीदार की मृत्यु होने पर (जैसा भी हो ) , फर्म का पुनर्संगठन होगा, जिसमें मृतक भागीदार या प्रबंधकी भागीदार द्वारा नामजद को लिया जाएगा या अगर कोई नामजदगी न हो तो मृतक के नामांकित को लिया जाएगा । अगर विरासत या नामजद में से कोई भागीदार नहीं बनता तो चलंत भागीदार फर्म का पुनर्संगठन करेंगे, तथा अपने में से किसी को प्रबंधकी भागीदार नियुक्त करेंगे, जिसके वही हक/अधिकारी तथा देनदारियां होंगी , जो पहले असल प्रबंधकी भागीदार की थीं । 141 THE GAZETTE OF INDIA , MARCH 19 , 2011 (PHALGUNA 28 , 1932)

16. भागीदारी फर्म का नाम तथा प्रबंधकी हिस्सेदार का नाम सभी संचार तथा स्टॉक एक्सचेंज बिजनेस से संबंधित सरकुलरों में तथा सभी कान्ट्रैक्ट नोटों पर लिखा जाएगा ।
4. भागीदारी वसीके की एक प्रमाणित प्रति, एक्सचेंज दफ्तर में जमा करवाई जाएगी , तथा शर्तों में कोई भी परिवर्तन एक्सचेंज की पूर्व आज्ञा से ही हो सकता है ।
5. आज्ञा के लिए हर दर्खास्त के साथ ऐसी सूचना लगाई जाएगी , जिसकी प्रस्तावित वसीका- भागीदारी की प्रति के साथ एक्सचेंज द्वारा आवश्यकता जाहर की जाएगी ।
17. अगर कोई भागीदार किसी ऐसे कार्य या गलती का दोषी पाया जाता है, जिसे व्यक्तिगत रूप से करने पर वह निकाले जाने , निलंभित होने या किसी और सजा का भागी बनता है , तो फर्म यह ताकत है कि वह कार्य या गलती अनुसार उसे निकाल सकती है, निलंभत कर सकती है या कोई सजा दे सकती है ।
6. किसी भागीदारी फर्म का कोई ट्रेडिंग सदस्य , जो भागीदार है, ऐसी भागीदारी फर्म में अपना हित ट्राँसफर नहीं करा सकता , सौंप नहीं सकता, तथा ना ही किसी तरह गिरवी रख सकता है ।
7. कोई ट्रेडिंग सदस्य एक समय पर एक से अधिक भागीदारी फर्म में भागीदार नहीं हो सकता , जो कि एक्सचेंज का ट्रेडिंग सदस्य हो ।
18. निर्देशकों के बोर्ड पास भागीदारी के दौरान किसी भागीदार के व्यवहार बारे पूछताछ करने की शक्ति होगी । अगर ऐसा भागीदार एक्सचें ज का सदस्य हो तो उसे उसी ढंग तथा मात्रा में जिम्मेवार ठहराया जा सकता है ।
8. कोई व्यक्ति एक से अधिक भागीदारी फर्म में प्रबंधकी भागीदार नहीं हो सकता, जो कि एक्सचेंज का ट्रेडिंग सदस्य हो ।
19. निर्देशकों का बोर्ड अकेला इस बात का निर्णय करेगा, कि नियमों के अर्थ में भागीदारी क्या है, तथा इसी के निर्णय अंतिम होंगे । 9. कोई प्रबंधकी भागीदार सिक्युरिटीज के अलावा कोई और बिजनेस नहीं कर सकता, जैसा कि कॉन्ट्रैक्ट (रेगूलेशन ) नियम, 1957 के अधीन है।
20. किसी भी समय, निर्देशकों का बोर्ड, अपनी से, कोई भी स्वीकृति खत्म कर सकता है, जो इस ने एक भागीदारी के लिए दी है । इससे प्रभावित भागीदार ऐसे निदेशों का पालन करेंगे जो निर्देशकों के बोर्ड द्वारा बनाएं गए होंगे ।
10. भागीदारी फर्म अपने आप को आमदन कर अधिकारियों तथा फार्मज रजिस्ट्रार से रजिस्टर करवाएगी , तथा यह भागदारी ऐसी रजिस्ट्रेशन का सबूत एक्सचेंज के सामने पेश करेगी ।
11. फर्म के भागीदार सिर्फ भागीदारी फर्म के नाम पर बिजनेस करेंगे । फर्म के सभी लेन- देन में , फर्म के सभी भागीदार संयुक्त रूप से जिम्मेदार होंगे ।
21. ऊपर दिए उपनियमों में बरती गई शब्दावली के अर्थ वही है, जो भागीदारी कानून , 1932 में दिए गए है, तथा उपनियमों तथा भागीदारी कानून, 1932 में किसी विवाद की सूरत में, भागीदारी कानून, 1932 को सही माना जाएगा ।
12. एक्सचेंज को कोई भी नोटिस , जिसमें भागीदारी भंग करने की सूचना हो , में यह कथन होगा, कि भंग हुई भागीदारी फर्म के तमाम खड़े कॉट्रक्ट तथा देनदारियों को निबेड़ने की जिम्मेवारी किसकी होगी , मगर इससे दूसरे भागीदार ( री ) की ऐसे कॉट्रक्ट तथा देनदारियां प्रति जिम्मेवारी खत्म नहीं होगी ।
13. भागीदारी बनने का नोटिस , भागीदारों के नाम तथा इसमें आने वाले हर तबदीली को एक्सचेंज के नोटिस बोर्ड पर चिपकाया जाएगा ।
22. कोई ट्रेडिंग सदस्य भागीदार नहीं बनाएगा , तथा ना ही पहले वाली भागीदारी में नया भागीदार दाखिल करेगा और ना ही लुधियाना स्टॉक एक्सचेंज को सूचित किए तथा इसकी पूर्व- स्वीकृति के बगैर इसके रूप तथा ढंग में कोई तब्दीली करेगा , तथा ऐसी आवश्यकताओं के अनुसार, जो एक्सचेंज द्वारा समय -2 पर निश्चित की जाएंगी , जिन में धन- जमा, घोषणा , गारंटी तथा और पूरी करने वाली शर्तें हो सकती है, तथा जो फर्म के भागीदारों , जो ट्रेडिंग सदस्य नहीं है, पर लागू हों।
14. एक्सचेंज द्वारा भागीदारियों का एक रजिस्टर तैयार किया जाएगा जिस में भागीदारियों के नामों से संबंधित सूचना, भागीदारों के नाम तथा पते तथा ऐसी भागीदारियों में कोई परिवर्तन का ब्यौरा होगा ।

As per the Requirements of Rule 18 of the Securities Contracts ( Regulation) Rules 1957 , the new incorporation to the Byelaws of Ludhiana Stock Exchange Limited, as given hereunder , are published for criticism in accordance with the provisions of Section 23 of the General Clauses Act , 1897 both in the Gazette of India and Official Gazette of the state in which the principal office of the recognised stock exchange is situate . Any person having any observations on the proposed Byelaws , can send the same in writing to the undersigned at the Ludhiana Stock Exchange , Feroze Gandhi Market , Ludhiana 141001 within fifteen days from the date of this publication in the Gazette . The observations received after the aforementioned period of 15 days will not be considered when the proposed bye laws will be taken for consideration .

ADMISSION OF PARTNERSHIP FIRM AS A TRADING MEMBER
Rulesregarding admission of Partnership firm as a Trading Member:
1. A Partnership Firm may be admitted as Trading Member of LSE as approved by Board of Directors in -accordance with Rules & Regulations of the SEBI as applicable from time to time
i) One trading members canform a partnership firm with a non- trading member .
ii) Two trading members may alsoform partnership firm
iii) Any two or more persons canform a partnership
In case of any existing trading member (at serial no . (i) and ( ii), ) , the Firm will be eligible to act as Trading member of the Exchange and the individual trading member of said Partnership shall not be eligible to act as a Trading member in its individual capacity .
In the abovesaid partnership firm, there must be 2 or more partners.but not more than five , However the Board has powers to increase/decrease number ofpartnersfrom time to time.
2. Eligibility of such Partner (s) in the Partnership Firm will remain similar to Rules applicable for individual trading members , such as: -
i) Such Partner(s) shall not be less than 21 years of age;
ii) the partner(s) possess minimum education qualification of 10 + 2 or an equivalent examination;
iii) the partner(s) must be citizen of India;
iv) partner(s) had not been at any time expelled or declared as defaulter by the Exchange or any othe Exchange;
:
v) at least one year must have been elapsed in case such partner has been previously refused to the membership by the Board of Exchange.
Apartfrom above, the Partnership firm shall comply with all the rules framed for Corporate Trading members such as Net worth requirement and other requirements ( as applicable from time to time) .
3 Such Partnership shall be treated as a trading member only. Such partnership shall intimate to the Exchange , one of its partners continue to be a Managing Partner who shall represent the firm in respect of all matter concerning the Exchange or other dealing of the partnership . Such Managing partner shall continue to function, till he is in capacitated to act as such. In that eventuality the other partners will nominate one of its partner as managing partner having requisite qualification as a member and shall intimate to the Exchange immediately along with the resolution offirm duly signed by all the continuing partners .
(1) TheManaging partner should have experience for not less than three years in any activity related to dealing in securities or as portfolio manager or as investment consultant or as a merchant banker or in financial services or treasury , broker, sub broker, authorized agent registered with SEBI or authorized clerk or authorized representative or remisier or apprentice to a registered member of a Recognized Stock Exchange, dealer, jobber, market maker or in any other manner in dealing in securities or clearing and settlement thereof or any activity related to IPO.

(ii) Managing partner only can contest the election of Director for & on behalf of the partnership firm.
(iii) Such Managing partner contesting for the election of Director must have been partner in the partnership firm for atleast three preceding years and must hold more than 51 % share in the partnership.
(iv) Allthe partners shall be jointly & severally responsible for the liabilities .
(v) In case ofdeath of Managing Partner or dissolution offirm , all the continuing partner (s) shall be liablefor all liabilities of the firm on the date of death or dissolution as the case may be .
(vi) In case of the death of the Partner/ Managing Partner as case may be, the firm shall be re- constituted among person so nominated by the deceased partner/Managing partner, or in case no such nomination is there, from the heirs of deceased partner. In case any such heirs / nominated persons do not elect to become partner, the continuing partners may re- constitute firm and appoint aManaging partner among themselves, who shall have the same right and liabilities, so that of a original initial managing partner.
4. Aduly certified copy ofpartnership deed shall be submitted to the office of Exchange and any change in the term shall be permitted only with the prior approval ofthe Exchange.
5. Every application for permission shall be accompanied by such information in connection therewith as may be required by the Exchange along with the copy ofproposed deed ofpartnership .
6. No trading member who is a partner in any parinership firm shall transfer or assign or in any manner encumber his interest in such partnershipfirm..
7. No trading member shall, at the same time , be a partner in more than one partnership firm which is a trading member of the Exchange.
8. Noperson shall be a Managing partner in more than one partnership firm , which is a trading member of the Exchange.
9. No Managing partner shall engage in any other business other than that of Securities as required under Securities Contracts (Regulation) Rules , 1957.
10. The partnership firm shall get itself registered with the Income Tax authorities and Registrar of Firms and the said partnership shall produce a proof of such registration to the Exchange .
11. The partners of the firm shall do business only in the name of the partnership firm . All the partners ofthe firm shall be liable jointly and severally in respect of all dealings of the firm.
12. Any notice to the Exchange intimating dissolution of a partnership shall contain a statement as to who undertakes the responsibility of settling all outstanding contracts and liabilities of the dissolved partnership firm but that shall not be deemed to absolve the other partner or partners of his or their responsibility for such outstanding contracts and liabilities .
13. Notice of the formation of a partnership, the names ofpartners and every change therein shall be pasted on the Notice Board of the Exchange .
14. A Register of Partnerships shall be maintained by the Exchange containing the particulars regarding names ofthe partnerships, names and addresses of the partners and any change in such partnerships .
15. The Board of Directors shall have the power to refuse to allow a partnership under a name which it consider misleading.
16. Name of the Partnership firm and Managing partner shall be stated on all the communication and circulars relating to the Stock Exchange business and on all contract notes.
17. In case of a partner (s) found guilty of any act or omission which is guilty of any act or omission which if done by individual member would render any such member liable to expulsion, suspension or any other penalty, the firm shall be liable to be expelled, suspended or penalized as the case may be.

18. Board of Directors shall have the power to inquire into the conduct of a partner during the continuance of the Partnership . Such partner can be held liable for any in discipline in the same manner and to the same extent, as ifhe 'were a member of the Exchange .
19. The Board of Directors shall be the sole judge as to what constitutes partnership within the meaning of these Rules and its decision shall be final .
20. At any time, the Board of Directors may, in its discretion, terminate any permission which it may have given with respect to a partnership . The partners so affected shall conform to such directions as the Board of Directors may make with respect thereto .
21. Words and Expressions or term/rule not used in the abovesaid Bye- Laws , shall have same meaning as assigned in the Partnership Act, 1932 and in case of inconsistency between Bye - Laws and Partnership Act , 1932, the said ACT will prevail.
22. No trading member shall form a partnership or admit a new partner to an existing partnership or make any change in the name of an existing partnership without intimation and prior approval of Ludhiana Stock Exchange in such form and manner and subject to such requirements as the exchange may specify from time to time, these requirements may , inter alia, include deposits , declarations, guarantees and other : conditions to be met by and which may be binding on partners of the firm who are not trading members .
