आशीष मदान लिक्विडेटर " पारित किया गया कि कम्पनी अधिनियम , 1956 की धारा 484 ( 1 ) ( बी) के प्रावधनों और अन्य लागू प्रावधानों यदि कोई हो, के अनुपालन में कम्पनी के अंशधारकों की सहमति करना और एतद्वारा सदस्यों का स्वैच्छिक समापन के रूप में कम्पनी का स्वैच्छिक समापन स्वीकार किया गया ।

In the matter of Member's Voluntary Winding up of the Company
और पारित किया गया कि साल्वन्सी की घोषणा और संपत्तियों को बेच कर प्राप्त की जाने वाली अनुमानित राशि तथा 15 जून, 2011 को कम्पनी द्वारा देय उन पर देयताओं की निदेशक द्वारा शपथ लेना और इस प्रकार सुनिश्चित, अनुमोदित एवं अंगीकृत हो गई।
और पारित किया गया कि15 जून , 2011 को नवीनतम अंकेक्षित तुलन पत्र में उपस्थित कम्पनी की सभी संपत्तियाँ एवं देयताएं सदस्य रजिस्टर में तिथि को उपस्थित सदस्यों के बीच में उनके शेयरधारिता के अनुपात में यथानुपात आधार पर वितरित/समायोजित होंगी ।
Notice is hereby given pursuant to section 485 ( 1 ) of the Companies Act, 1956, that the Company has passed the following Special Resolution at the Extra Ordinary General Meeting of its members held on 27 June 2011 requiring the Company to be wound up voluntarily:
और पारित किया गया कि कम्पनी अधिनियम , 1956 की धारा 490 के प्रावधानों के अनुपालन में श्री आशीष मदान को रु. 20,000 ( रुपये बीस हजार मात्र ) के कुल पारिश्रमिक पर कम्पनी के स्वैच्छिक समापन के प्रयोजनार्थ कम्पनी के लिक्विडेटर के रूप में नियुक्त किया गया ।
"Resolved that in terms of the provisions of Section 484 (1) ( b) and other applicable provisions , if any, of the Companies Act , 1956 the consent of the Shareholders of the Company be and is hereby accorded for voluntary winding up of the Company as a members ' voluntary winding up..
यह भी पारित किया गया कि लिक्विडेटर, श्री आशीष मदान कम्पनी अधिनियम, 1956 की धारा 457 में निर्दिष्ट शक्तियों के प्रयोग हेतु अधिकृत होंगे । "
Resolved further that the Declaration of Solvency and the Statement of estimated realizable value of assets and liabilities thereto payable by the Company as on 15 June , 2011 taken on oath by the Directors be and are hereby confirmed, approved and adopted.
