सं. बीपीएमएम/आरपीडी/2563-- एतद्वारा सूचित किया जाता है कि निम्नलिखित कार्य करने के लिए भारतीय स्टेट बैंक के शेयरधारकों की महासभा सोमवार, दिनांक19 मार्च 2012 को पूर्वाह्न 11.00 बजे स्टेट बैंक ऑडिटोरियम, स्टेट बैंक भवन कॉम्पलेक्स, मादाम कामा रोड़, मुंबई -400021 (महाराष्ट्र) मे आयोजित की जाएगी ।
निम्नलिखित पर विचार करने और यदि उचित समझा गया, तो उसे संशोधन के साथ या बिना किसी संशोधन के एक विशेष प्रस्ताव के रूप में पारित करना :
और संस्वीकृति, यदि कोई हो , के अध्यधीन और उससे संबंधित ऐसे निबंधनों, शर्तों और अशोधनों के अध्यधीन जो उनके द्वारा ऐसे अनुमोदन प्रदान करने लिए निर्धारित किए जा सकते हैं और जिनके संबंध में बैंक के केन्द्रीय निदेशक बोर्ड द्वारा सहमति प्रदान की जा सकती है और सेबी (पूंजी कानिर्गमन एवं प्रकटीकरण अपेक्षाएं ) विनियमन, 2009 यथा संशोधित (सेबी आईसीडीआर विनियमन तथा भारतीय रिज़र्व बैंक और समय- समय पर अन्य सभी संबद्ध प्राधिकरणों द्वारा निर्धारित विनियमनों के अध्यधीन और शेयर बाजारों, जहां बैंक के इक्विटी शेयर सूचीबद्ध किए गए हैं, के साथ किए गए सूचीबद्ध करारों के अध्यधीन बैंक के केन्द्रीय निदेशक बोर्ड को ( यहां इसके बाद इसे बोर्ड कहा गया है, जिसमें इस संकल्प द्वारा प्रदत्त अधिकारों सहित अपने अधिकारों का प्रयोग करने के लिए भारतीय स्टेट बैंक सामान्य विनियमन, 1955 के विनियम 46 के साथ पठित इस अधिनियम की धारा 30 के अंतर्गत गठित केन्द्रीय बोर्ड की कार्यकारिणी समिति सम्मिलित हुई समझी जाएगी ) लगभग रु. 7,900/- करोड़ की कुल राशि ( प्रीमियम सहित ) के प्रति रु. 10/- के नक़द मूल्य के ईक्विटीशेयर, ऐसी कीमत पर और ऐसी संख्या में, जिसे सेबी आईसीडीआर विनियमन के विनियम 76 ( 1 ) के अनुसार बोर्ड द्वारा निर्धारित किया जाएगा, भारत सरकार के लिए अधिमानी आधार पर सृजित, प्रस्तावित और निर्गम करने के लिए बैंक के शेयरधारकों की सहमति प्रदान की जाती है । " " संकल्प किया जाता है कि भारतीय स्टेट बैंक सामान्य विनियमन, 1955 के साथ पठित भारतीय स्टेट बैंक अधिनियम 1955 ( यहां इसके बाद इसे अधिनियम के रूप में संदर्भित किया गया है) के प्रावधानों के अनुसरण में और भारतीय रिज़र्व बैंक ( आरबीआई ) , भारत सरकार ( जीओई ) , भारतीय प्रतिभूति और विनिमय बोर्ड ( सेबी ) तथा/अथवा अन्य दूसरे प्राधिकरण जिनकी इस संबंध में आवश्यकता हो सकती है, के अनुमोदन , सहमति

[भाग III-खण्ड4 "आगे यह संकल्प किया जाता है कि निर्गम मूल्य के निर्धारण की संबद्ध तिथि 17.02.2012 है । "
" आगे यह संकल्प किया जाता है कि शेयरों के निर्गम , आबंटन और उनको सूचीबद्ध करने के लिए उनके अनुमोदन, सहमति, अनुमति और संस्वीकृतियां प्रदान करने / संस्वीकृत करने के समय इस प्रस्ताव में इस प्रकार के किसी ऐसे संशोधन को स्वीकार करने का प्राधिकार एवं अधिकार बोर्ड के पास रहेगा जो भारत सरकार / भा.रि. बैंक / सेबी/ शेयर बाजार , जहां बैंक के ईक्विटी शेयर सूचीबद्ध किए गए हैं या अन्य दूसरे उपयुक्त प्राधिकरण के लिए आवश्यक हो सकते हैं या उनके द्वारा लागू किए जा सकते हैं और जिनके संबंध में बोर्ड द्वारा सहमति दी गई हो । "
"आगे यह संकल्प किया जाता है कि उक्त ईक्विटी शेयर सभी तरह से बैंक के वर्तमान ईक्विटी शेयरों के साथ समरूप श्रेणी में रहेंगे और यदि लाभांश घोषित किया जाता है , तो ऐसी घोषणा के समय लागू सांविधिक दिशा-निर्देशों के अनुसार लाभांश के लिए पात्र रहेंगे। " "आगे यह संकल्प किया जाता है कि उपर्युक्त को लागू करने के प्रयोजन से बोर्ड को ऐसी सभी कार्रवाइयां और ऐसे सभी कार्य , विलेख, मामले और ऐसी वस्तुएं, 'जो उसके पूर्ण विवेकाधिकार में आवश्यक , उचित और वांछनीय समझी जा सकती हों, करने के लिए तथा ऐसे किसी मामले , कठिनाई या संदेह का निवारण करने के लिए जो ईक्विटी शेयरों के निर्गम के संबंध में उठ सकते हैं , और इसके अतिरिक्त ऐसे सभी कार्य , विलेख , मामले और वस्तुएं करने के लिए, ऐसे सभी दस्तावेजों और लिखावटों को अंतिम रूप देने तथा निष्पादित करने के लिए जो आवश्यक, वांछनीय या उचित हो सकते हों और जो उसके पूर्ण विवेकाधिकार में, शेयरधारकों की अन्य किसी सहमति या अनुमोदन मांगने की आवश्यकता के बिना , सही ,. उचित या वांछनीय समझी जा सकती हो या इस उद्देश्य और इस अभिप्राय से प्राधिकृत करने से इस संकल्प को शेयरधारकों द्वारा स्पष्ट रूप से उनका अनुमोदन दिया हुआ समझा जाएगा । "
"आगे यह संकल्प किया जाता है कि यहां उल्लिखित बोर्ड को प्रदत्त सभी या कोई अन्य अधिकार अध्यक्ष या किसी प्रबंध निदेशक या बैंक के किसी अन्य ऐसे अधिकारी को, जिसे उक्त संकल्प को लागू करने के लिए उचित समझा जा सकता है , प्रत्यायोजित करने के लिए बोर्ड को प्राधिकृत किया जाए और एतदद्वारा प्राधिकृत किया जाता है। "

1. व्याख्यात्मक विवरण
भारतीय प्रतिभूति और विनिमय बोर्ड ( पूंजी निर्गमन एवं प्रकटीकरण अपेक्षाएं ) विनियमन , 2009 के अनुसार किए जानेवाले आवश्यक प्रकटीकरण
क) अधिमानी निर्गम के उद्देश्य :
बैंक की टियर 1 पूंजी में वृद्धि करने हेतु, भारत सरकार ने भारत सरकार के पक्ष में, ईक्विटी शेयर के अधिमानी निर्गम के द्वारा बैंक की पूंजी में लगभग रु . 7900 करोड़ (प्रीमियम सहित ) का निवेश करने का निर्णय लिया है ।
ख) निर्गम में अभिदान करने हेतु प्रवर्तक का प्रस्ताव :
ईक्विटी शेयर के कुल अधिमानी निर्गम में बैंक के प्रवर्तक, भारत सरकार द्वारा संपूर्ण अभिदान किया जाएगा।
ग) अधिमानी निर्गम के पहले और बाद में निर्गमकर्ता की शेयरधारिता का पैटर्न :

** भारत सरकार को आबंटित किए जानेवाले कुल शेयरों की गणना, सेबी आईसीडीआर विनियमन के विनियम 76 (1 ) में निर्धारित मूल्य निर्धारण सूत्र के अनुसार , "प्रासंगिक तारीख " को निर्धारित किए जानेवाले निर्गम के मूल्य के आधार पर की जाएगी । पूर्वोक्त विनियम 76 (1 ) के अनुसार, निर्गम का मूल्य, "प्रासंगिक तारीख " से 26 सप्ताह पूर्व और "प्रासंगिक तारीख " से 2 सप्ताह बाद की अवधि के दौरान शेयर बाजार में , भारतीय स्टेट बैंक के उद्धृत बंदी मूल्य के उच्च और न्यून साप्ताहिक मूल्य के उच्चतर औसत मूल्य से कम नहीं होगा। "प्रासंगिक तारीख", अधिमानी आबंटन पर विचार करने हेतु, आयोजित शेयरधारकों की महासभा की तिथि से 30 दिन पूर्व की तारीख होती है और यदि यह तारीख अवकाश के दिन/ सप्ताहांत के दिन पड़ती है , तो इससे पहले की तिथि "प्रासंगिक तारीख " के रूप में गिनी जाएगी। उपर्युक्त उद्देश्य से ' शेयर बाजार' कोई भी मान्यता प्राप्त शेयर बाजार होगा जिसमें ईक्विटी शेयर सूचीबद्ध किए जाते हैं और जिसमें " प्रासंगिक तारीख " से 26 3300

[भाग III-खण्ड 4 सप्ताह पूर्व की अवधि के दौरान , बैंक के शेयरों की उच्चतम मात्रा का व्यापार किया गया हो । इस प्रकार निर्गम किए जानेवाले शेयरों का (प्रीमियम सहित ) कुल मूल्य रु. 7,900/- करोड़ से अधिक नहीं होगा । उदाहरणार्थ , 31.01.2012 की कल्पित "प्रासंगिक तारीख " के आधार पर गणना करने पर , रु. 1989 के कल्पित निर्गम मूल्य पर , अधिमानी आबंटन के पश्चात भारत सरकार द्वारा धारित शेयरों की संख्या 41,69,25,651 होगी और अधिमानी आबंटन के पश्चात, बैंक के शेयरों की कुल संख्या 67,47,18,046 होगी और इसलिए अधिमानी आबंटन के पश्चात भारत सरकार की शेयरधारिता का प्रतिशत 61.79 होगा । तथापि , निर्गम किए जानेवाले शेयरों की वास्तविक संख्या और तत्पश्चात शेयरधारिता का पैटर्न , वास्तविक " प्रासंगिक तारीख " अर्थात् 17 फरवरी , 2012 के आधार पर , निर्धारित किए जानेवाले वास्तविक निर्गम मूल्य के आधार पर घट- बढ़ सकता है।
घ ) अधिमानी निर्गम पूरा होने की समय- सीमा :
शेयरधारकों द्वारा पारित इस संकल्प के अनुसार, इस संकल्प को पारित किए जाने की तारीख से 15 दिनों की अवधि के अंदर आबंटन कार्य पूरा कर लिया जाएगा। परन्तु यदि किसी विनियमन प्राधिकारी अथवा केंद्र सरकार से कोई अनुमोदन अथवा अनुमति बकाया हो, तो 15 दिन की इस अवधि की गणना ऐसे आवेदन पर आदेश की तिथि से या अनुमोदन अथवा अनुमति की तिथि से, जैसी भी स्थिति हो, की जाएगी ।
ङ) प्रस्तावित आबंटितियों की पहचान , अधिमानी निर्गम के पश्चात उनके द्वारा धारित पूंजी का प्रतिशत और अधिमानी निर्गम के परिणामस्वरूप निर्गमकर्ता के नियंत्रण में परिवर्तन , यदि कोई हो :
चूंकि संपूर्ण निर्गम, बैंक के प्रमुख शेयरधारक और प्रवर्तक भारत सरकार को आबंटित किया जाना प्रस्तावित है , अतः अधिमानी आधार पर, प्रस्तावित अधिमानी निर्गम के परिणामस्वरूप नियंत्रण में कोई परिवर्तन नहीं होगा ।
प्रस्तावित आबंटिती की पहचान आबंटित किए जाने वाले ईक्विटी शेयरों की संख्या

** उपर्युक्त ( ग) में की गई टिप्पणी के अनुसार भारत सरकार जिसका प्रतिनिधित्व भारत के राष्ट्रपति ( प्रवर्तक) द्वारा किया जाताहै । ** उपर्युक्त ( ग ) में की गई टिप्पणी के अनुसार
( च ) बैंक के ईक्विटी शेयर छह महीने से भी अधिक की अवधि से सूचीबद्ध हैं और तदनुसार सेबी आईसीडीआर के विनियम 76 ( 3 ) और 78 ( 5 ) के प्रावधान और सेबी आईसीडीआर के विनियम 73 (1 ) (च ) और ( छ ) के अंतर्गत प्रकटीकरण लागू नहीं हैं ।
(छ ) प्रस्तावित विशेष संकल्प के अनुसरण में भारत सरकार को निर्गम और आबंटित किए जाने वाले सभी ईक्विटी शेयर आबंटन की तिथि से तीन वर्ष की अवधि तक अवरुद्ध रहेंगे और अधिमानी आबंटन से पूर्व भारत सरकार की पूर्ण शेयरधारिता, सेबी आईसीडीआर विनियमों के अनुसार आबंटन की तिथि से छह महीने की अवधि तक अवरुद्ध रहेगी । भाग III-खण्ड 4]

(ज ) निर्गम , सेबी आईसीडीआर विनियमन अपेक्षाओं के अनुसार किया गया है, इस बात को प्रमाणित करने वाले सांविधिक लेखा परीक्षकों द्वारा जारी प्रमाणपत्र , 19 मार्च 2012 की महासभा में रखा जाएगा ।
भारत सरकार द्वारा धारित सभी ईक्विटी शेयर गैर- कागजी स्वरूप में हैं और बैंक उन शेयर बाजारों में जहां बैंक के ईक्विटी शेयर सूचीबद्ध किए गए हैं, के सूचीबद्धता करार में निर्दिष्ट ईक्विटी शेयर्स की निरंतर सूचीबद्धता संबंधी शर्तों का अनुपालन करता है ।
2. टिप्पणियां
प्रॉक्सी फॉर्म और उपस्थिति पर्ची :
बैंक के पात्र शेयरधारकों को सूचित किया जाता है कि प्रॉक्सी फॉर्म और उपस्थिति पर्चियां हमारे स्थानीय प्रधान कार्यालयों में मुख्य महाप्रबंधक के सचिवालय , प्रशासनिक कार्यालयों में, बैंक की वेबसाइट : www.statebankofindia.com/www.sbi.co.in पर कारपोरेट गवर्नेन्स/ शेयरधारक इन्फो लिंक के अंतर्गत और निम्नलिखित कार्यालयों में भी उपलब्ध हैं :

No. BPMM/RPD /2563 - NOTICE IS HEREBY GIVEN that a General Meeting of the Shareholders of State Bank of India will be held on Monday, the 19th March , 2012 at 11.00 a.m. in the State Bank Auditorium , State Bank Bhavan Complex, Madame Cama Raod, Mumbai -400021 (Maharashtra) to transact the followingbusiness :
To consider and if thought fit, pass with or without modification , the following as a special resolution:
" RESOLVED THAT pursuant to the provisions of the State Bank of India Act 1955 (hereinafter referred to as the ' Act' ) read with the State Bank of India General Regulations , 1955 and subject to the approval , consent and sanction , if any, of Reserve Bank of India (RBI ) , Government of India (GoI ) , Securities and Exchange Board of India ( SEBI ) , and / or any other authority as may be required in this regard and subject to such terms , conditions and modifications thereto as may be prescribed by them in granting such approvals and which may be agreed to by the Central Board of Directors of the Bank and subject to SEBI (Issue of Capital and Disclosure Requirements ) Regulations , 2009 , as amended ( SEBI ICDR Regulations ) and Regulations prescribed by RBI and all other relevant authorities from time to time and subject to the Listing Agreements entered into with the Stock Exchanges where the equity shares of the Bank are listed , consent of the Shareholders of the Bank be and is hereby accorded to the Central Board of Directors of the Bank ( hereinafter called " the Board " which shall be deemed to include the Executive Committee of the Central Board constituted under Section 30 of the Act read with Regulation 46 of the State Bank of India General Regulations , 1955 , to exercise its powers including the powers conferred by this resolution) to create , offer , issue and allot such number of Equity Shares of Rs.10 /- each for cash at such price to be determined by the Board in accordance with Regulation 76 ( 1 ) of SEBI ICDR Regulations , aggregating to the extent of approximately Rs.7900 crore ( including premium) , on preferential basis to "Government of India . " RESOLVED FURTHER THAT the Relevant date for determination of the Issue Price is 17.02.2012 . "
" RESOLVED FURTHER THAT the Board shall have authority and power to accept any modification in the proposal as may be required or imposed by the GoI /RBI / SEBI/ Stock Exchanges where the equity shares of the Bank are listed or such other appropriate authorities at the time of according / granting their approvals , consents , permissions and sanctions for the issue , allotment and listing thereof and as agreed to by the Board . a) Objects of the Preferential Issue :
To augment Tier I Capital of the Bank, the Government of India has decided to infuse approximately upto Rs.7900 crore ( including premium ) in the capital of the Bank by way of preferential issue of equity shares in favour of the Government of India .
b) Proposal of the promoter to subscribe to the offer :
The entire Preferential Issue of equity shares will be subscribed by the Government of India , the Promoter of the Bank.

100.00 ** The total number of shares to be allotted to Gol will be calculated on the basis of the issue price to be determined as on the " relevant date " in terms of the pricing formula as prescribed in Regulation 76 ( 1 ) of the SEBI ICDR Regulations . In terms of the aforesaid Regulation 76( 1 ) , the issue price shall not be less than the higher of the average of the weekly high and low of the closing prices of SBI's shares quoted on the stock exchange during the period of twenty six weeks preceding the " relevant date" and of two weeks preceding the " relevant date" . The " relevant date" is the date 30 days prior to the date of the General Meeting of the shareholders held to consider the preferential allotment and if such date happens to fall on a Holiday/ Weekend, then the preceding date is the reckoned " relevant date" . The ' stock exchange' for the above purpose will be any of the recognized stock exchanges in which the equity shares are listed and in which the highest trading volume of the Bank's shares has been recorded during the preceding twenty six weeks prior to the relevant date . The total value of the number of shares so issued ( including premium ) shall aggregate to not more than Rs.7,900 crore. For example , at an assumed Issue Price of Rs.1989 , calculated based on an assumed " relevant date" of 31.01.2012 , the number of shares held by Gol post preferential allotment would be 41,69,25,651 shares and the total number of shares of the Bank post preferential allotment would be 67,47,18,046 shares and therefore, the percentage of shareholding of Gol post the preferential allotment will be 61.79% . However , the actual number of shares to be issued and the shareholding pattern thereafter , may increase or decrease based on the actual issue price to be determined on the basis of the actual relevant date i.e. 17th February , 2012.

d) Time within which the preferential issue shall be completed :
The allotment pursuant to this resolution passed by the shareholders , shall be completed within a period of fifteen days from the date of passing of this resolution , provided that if any approval or permission by any regulatory authority or the Central Government for allotment is pending, the period of fifteen days shall be counted from the date of order on such application or the date of approval or permission , as the case maybe .
e) Identity of the proposed Allottees , the percentage of post preferential issue capital that may be held by them and change in control , if any , in the issuer consequent to the preferential issue:
As the entire issue is proposed to be allotted to Government of India, the major shareholder and Promoter of the Bank, on preferential basis , there would not be any change in control as a result of the proposed preferential issue.

f) The equity shares of the Bank have been listed for more than six months and accordingly, provisions of Regulation 76 (3 ) and 78 (5) of SEBI ICDR Regulations and disclosures under Regulation 73 (1 ) ( f) & ( g ) of SEBI ICDR Regulations are not applicable .

) All the equity shares to be issued and allotted to the Government of India pursuant to the proposed special resolution, shall be locked in for a period of three years from the date of allotment and the entire pre -preferential allotment shareholding of Gol will be locked in from the relevant date upto a period of six months from the date of allotment, in accordance with the SEBI ICDR Regulations .
h ) The certificate issued by the Statutory Auditor(s ) certifying that the issue is being made in accordance with the requirements of SEBI ICDR Regulations will be tabled at the General Meeting on 19th March , 2012 .
All the equity shares held by the Government of India are in dematerialized mode and the Bank is in compliance with the conditions of continuous listing of equity shares as specified in the Listing Agreement with the Stock Exchanges where the equity shares of the Bank are listed.

No. 20-7 /2011 - CR(G.N. ) In exercise of the powers conferred under Sub -section (2) of Section 23 of Indian Medicine Central Council Act, 1970 the Registrar, Central Council of Indian Medicine, New Delhi hereby further amends the Central Register of Indian Medicine as under:-
1. At Serial No. 95787 in Central Register of Indian Medicine pertaining to Bihar State published in the Gazette of India Notification No. 28 dated the 14th July 2007, be read as " Vivek Sharma " , instead of Vivek.
2. At Serial No. 27391 in Central Register of Indian Medicine pertaining to Kerala State published in the Gazette of India Notification No. 51 dated the 17th December, 1994, be read as " Koviakom Kizhakke Madom", instead of K. G. Padmanabha Prabhu .
