At the Extra- Ordinary General Meeting of the Company held at the Registered Office on Wednesday, the 28th day of March, 2012, the following special resolution was passed :
"RESOLVED THAT pursuant to the Section 484(1 ) (b ) and Section 488 and other applicable provisions of the Companies Act , 1956 ( " Act " ) , the Company be wound up voluntarily as the Member's Voluntary winding up following the process prescribed under the Act .
RESOLVED FURTHER THAT the Declaration of Solvency, Statement of Assets and Liabilities , Affidavits and other documents , as filed with the office of the Registrar of Companies , Delhi & Haryana for registration, be and are hereby considered and approved .
RESOLVED FURTHER THAT any of the Director , be and is hereby authorized to take all other necessary steps that may be required to give effect to this resolution . "

As per the Requirements of Rule 18 of the Securities Contracts (Regulation) Rules, 1957 , the new incorporation to the Byelaws of Ludhiana Stock Exchange Limited , as given hereunder, are published for criticism in accordance with the provisions of Section 23 of the General Clauses Act , 1897 both in the Gazette of India and Official Gazette of the state in which the principal office of the recognised stock exchange is situated . Any person having any observations on the proposed Byelaws , can send the same in writing to the undersigned at the Ludhiana Stock Exchange , Feroze Gandhi Market, Ludhiana - 141001 within fifteen days from the date of this publication in the Gazette . The observations received after the aforementioned period of 15 days will not be considered when the proposed bye laws will be taken for consideration :-

Eligibility Criteria
4.1 An individual is eligible to be appointed as authorised person if he:
a. is a citizen of India;
b. is not less than 18 years of age;
c. has not been convicted of any offence involving fraud or dishonesty ;
d. has good reputation and character;
e. has passed at least 10th standard or equivalent examination from an institution recognized by the Government and;
f. deleted *

4.2A partnership firm, LLP or a body corporate is eligible to be appointed as authorized person
(a) if all the partners or directors , as the case may be , comply with the requirements contained in clause 4.1 above .
(b) The object clause of the partnership deed or of the Memorandum of Association contains a clause permitting the person to deal in securities business.
4.3 the person shall have the necessary infrastructure like adequate office space , equipment and manpower to effectively discharge the activities on behalf of the stock broker.
4.4 The approved users and/ or sales personnel of authorised persons shall have the necessary certification of the respective segments at all points of time . *
