एतद्वारा सूचना दी जाती है कि चुओ कोकी इंडिया प्राईवेट लिमिटेड के सदस्यों ने 28 मई, 2012 को इसके पंजीकृत कार्यालय में आयोजित अपनी वार्षिक साधारण बैठक में कम्पनी का स्वैच्छिक रूप से समापन करने हेतु निम्नलिखित विशेष प्रस्ताव पारित किया है :--
1. प्रस्ताव किया गया कि कम्पनी अधिनियम, 1956 की धारा 484(1) ( ख ) के प्रावधानों के अनुसरण में कम्पनी के स्वैच्छिक रूप से समापन हेतु कम्पनी की सहमति प्राप्त की जाए तथा एतद्वारा प्रदान की जाती है ।
आगे प्रस्ताव किया गया कि श्री सुयोशी ताकासुका कम्पनी के निदेशक, को इस प्रस्ताव की सूचना सरकारी राजपत्र में और दो समाचार पत्रों में भी, एक अंग्रेजी में तथा एक जहां कम्पनी का पंजीकृत कार्यालय स्थित है उस जिले में प्रसारित क्षेत्रीय भाषा में, देने और कम्पनी निबंधक, एनसीटी ऑफ दिल्ली एवं हरियाणा के पास आवश्यक प्रपत्र दाखिल करने हेतु प्राधिकृत किया जाए और एतद्वारा प्राधिकृत किया जाता है ।
2. प्रस्ताव किया गया कि कम्पनी अधिनियम, 1956 की धारा 490 के प्रावधानों के अनुसरण में श्री मोहम्मद नाजिम खान को, कम्पनी के स्वैच्छिक रूप से समापन के प्रयोजन हेतु रु. 1,00,000/- ( रुपए एक लाख मात्र ) के पारिश्रमिक पर परिसमापक नियुक्त किया जाए और एतद्वारा परिसमापक नियुक्त किया जाता है ।
आगे प्रस्ताव किया गया कि परिसमापक द्वारा उपगत जेबी खर्च (आउट ऑफ पॉकेट एक्सपेंसेज ) , यदि कोई , की प्रतिपूर्ति वास्तविक आधार पर की जाएगी ।
आगे प्रस्ताव किया गया कि कम्पनी अधिनियम, 1956 की धारा 512 के प्रावधानों के अनुसरण में श्री मोहम्मद नाजिम खान को कम्पनी अधिनियम , 1956 की धारा 457 तथा अन्य समस्त लागूप्रावधानों में दी गई समस्त शक्तियों के प्रयोग का अधिकार प्रदान किया जाए तथा एतद्वारा प्रदान किया जाता है ।
आगे प्रस्ताव किया गया कि श्री सुयोशी ताकासुका निदेशक को, परिसमापक के रूप में श्री मोहम्मद नाजिम खान की नियुक्ति की सूचना , कम्पनी निबंधक, राराक्षे दिल्ली एवं हरियाणा और यथापेक्षित अन्य समस्त संबंधितों के समक्ष , दाखिल करने हेतु प्राधिकृत किया जाए और एतद्वारा प्राधिकृत किया जाता है।
