सं. गैर्वैपवि.250/मुमप्र ( नीप्र ) -2012--भारतीय रिज़र्व बैंक, जनता के हित में यह आवश्यक समझकर और इस बात से संतुष्ट होकर कि देश के हित में ऋण प्रणाली को विनियमित करने के लिए, बैंक को समर्थ बनाने के प्रयोजन से 22 फरवरी 2007 की अधिसूचना सं. डीएनबीएस . 192/डीजी ( वीएल ) -2007 में अंतविष्ट गैर- बैंकिंग वित्तीय ( जमाराशियां स्वीकार करने या धारण करने वाली ) कंपनी विवेकपूर्ण मानदण्ड ( रिज़र्व बैंक ) निदेश 2007 ( इसके बाद इसे निदेश कहा जाएगा ) को संशोधित करना आवश्यक है । भारतीय रिज़र्व बैंक अधिनियम, 1934 (1934 का 2 ) की धारा 45ञ , 45 ञक तथा 45ठ द्वारा प्रदत्त शक्तियों और इस संबंध में प्राप्त समस्त शक्तियों का प्रयोग करते हुए उक्त निदेश को तत्काल प्रभाव से निम्नवत् संशोधित करने का निदेश देता है, यथा : --
1. पैरा 2 में संशोधन--
उप- पैरा ( 1 ) में , खण्ड (xii ) के बाद, निम्नलिखित खण्ड (xii ए ) जोड़े जाएंगे ।
" (xiiए ) ' गैर बैंकिंग वित्तीय कम्पनी फैक्टर ' अर्थात् भारतीय रिज़र्व बैंक अधिनियम , 1934 की धारा 45झ के खण्ड ( एफ ) में परिभाषित गैर बैंकिंग वित्तीय कंपनी जिसका फैक्टरिंग कारोबार में वित्तीय परिसंपत्तियां कुल परिसंपत्तियों का कम से कम 75 प्रतिशत हो और फैक्टरिंग कारोबार से उत्पन्न आय इसके सकल आय के 75 प्रतिशत से कम न हो और जिसे फैक्टरिंग विनियम अधिनियम, 2011 की धारा 3 की उप धारा ( 1 ) के तहत् पंजीकरण प्रमाण पत्र प्रदान किया गया है। "
2. पैराग्राफ 15 में संशोधन--
पैरा 15 के अंतिम वाक्य के बाद निम्नलिखित वाक्य जोड़ा जाएगा :
" एनबीएफसी- फैक्टर, ऐसे प्रमाण में फैक्टरिंग विनियम अधिनियम, की धारा 3 के तहत् पंजीकरण प्रमाण पत्र धारण करने की आवश्यकता का उल्लेख होगा। प्रमाण पत्र में फैक्टरिंग परिसंपत्तियों का प्रतिशत तथा आय और कंपनी फैक्टरिंग विनियम अधिनियम के तहत् एनबीएफसी- फैक्टर के रूप में वर्गीकृत होने के लिए निर्धारित सभी शर्तें पूरी करती है इसका भी उल्लेख किया गया हो । "

1. 11. कार्य परिषद् की बैठक के लिए कार्य परिषद् के पांच सदस्यों से गणपूर्ति होगी ।
(ii) सचिव या उनका नामित प्रतिनिधि, उच्च शिक्षा विभाग , मानव संसाधन विकास मंत्रालय , भारत सरकार ( पदेन सदस्य);
(iii) अध्यक्ष, यूजीसी या उनका प्रतिनिधि, जो संयुक्त सचिव के स्तर से निम्न पद का न हो ( पदेन सदस्य );
(iv) राज्य शासन के मुख्य सचिव या उनका प्रतिनिधि जो सचिव के स्तर से निम्न पद का न हो व उच्च शिक्षा से संबंधित मामलों से संबंधित हों, ( पदेन सदस्य ) ;
(v) सम- कुलपति ( पदेन सदस्य) ;
(vi ) कुलपति द्वारा नामित अध्ययन शालाओं के कोई दो अधिष्ठाता;
(vii) कुलपति द्वारा नामित एक प्रोफेसर, जो अधिष्ठाता न हो;
(viii) कुलपति द्वारा नामित एक सह - प्रोफेसर;
(ix) कुलपति द्वारा नामित एक सहायक प्रोफेसर;
(x) कुलाध्यक्ष ( विजिटर ) द्वारा नामित विश्वविद्यालय कोर्ट के दो सदस्य , जिनमें से कोई भी विश्वविद्यालय या विश्वविद्यालय से संबद्ध या मान्यता प्राप्त संस्था का छात्र या कर्मचारी न हो;
(xi) कुलाध्यक्ष ( विजिटर ) द्वारा नामित चार ऐसे व्यक्ति, जो शैक्षणक एवं सार्वजनिक जीवन में ख्याति प्राप्त हों ;
(2 ) कुलपति एवं सम - कुलपति को छोड़कर शेष सभी सदस्य तीन साल की अवधि के लिए पद धारण करेंगे;
(3) कार्य परिषद् के कुल सदस्यों के आधे सदस्यों से, जिसमें कम से कम तीन बाहरी सदस्य, सभापति को छोड़कर, से कार्य परिषद् की बैठक की गणपूर्ति होगी ।

No. DNBS 250/CGM (US)-2012- The Reserve Bank of India, having considered it necessary in public interest and being satisfied that, for the purpose of enabling the Bank to regulate the credit system to the advantage of the country, it is necessary to amend the Non- Banking Financial ( Deposit Accepting or Holding) Companies Prudential Norms (Reserve Bank) Directions , 2007 contained in Notification No. DNBS . 192/DG (VL)-2007 dated February 22, 2007, (hereinafter referred to as the Directions) , in exercise of the powers conferred by section 45J , 45JA and 45L of the Reserve Bank of India Act, 1934 (2 of 1934) and of all the powers enabling it in this behalf, hereby directs that the said Directions shall be amended with immediate effect as follows , namely-
1. Amendment of paragraph 2--
In sub -paragraph (1 ) , after clause ( xii ) , the following clause (xiia) shall be inserted .
" (xiia) 'Non - Banking Financial Company Factor' means a non- banking financial company as defined in clause ( f) of Section 45 - I of the RBI Act, 1934 having financial assets in the factoring business at least to the extent of 75 percent of its total assets and its income derived from factoring business is not less than 75 percent of its gross income and has been granted a certificate of registration under sub - section ( 1 ) of section 3 of the Factoring Regulation Act, 2011. "
2. Amendment of paragraph 15-
In para 15 , after the last sentence the following sentence shall be added :-
" For an NBFC- Factor , such certificate will indicate the requirement of holding the certificate of registration under section 3 of the Factoring Regulation Act. The certificate will also indicate the percentage of factoring assets and income, and that the company fulfils all conditions stipulated under the Factoring Regulation Act to be classified as an NBFC - Factor. "

(i ) Vice-Chancellor (Ex - officio Chairman) ;
1. 11. Five members of the Executive Council shall form quorum for a meeting of the Executive Council.
(ii) Secretary or his/her nominee , Department of Higher Education , MHRD , Gol (Ex- officio Member );
(iii) Chairman, UGC or his /her nominee not below the rank of Joint Secretary (Ex-officio Member ) ;
(iv) Chief Secretary of the State Govt . or his/her nominee not below the rank of Secretary, preferably dealing with matters relating to Higher Education (Ex- officioMember) ;
(v) Pro-Vice- Chancellor (Ex - officio Member) ;
(vi ) Two members from amongst Dean of Schools of Studies , to be appointed bythe Vice- Chancellor;
(vii ) One Professor who is not a Dean , to be appointed by the Vice -Chancellor ;
(viii) One Associate Professor, to be appointed by the Vice -Chancellor;
(ix) One Assistant Professor, to be appointed by the Vice- Chancellor;
(x) Two members of the Court, none of whom shall be an employee or student ofthe University or an institution recognized by or associated with the University, to be nominated by the Visitor ;
(xi) Four persons of distinction in academic and public life , to be nominated by theVisitor;
(2) All the members of the Executive Council , other than the vice- Chancellor and Pro -Vice - Chancellor, shall hold office for a term of three years .
(3) Half of the total members of the Executive Council, including at least three outside members , excluding the Chairman ; shall form quorum forameeting of the Executive Council .
