1. एक्सचेंज ट्रेडेड फंड के लिए VaR क्रियाविधि का प्रयोग

(i ) सूचकांक एक्सचेंज ट्रेडेड फंड प्रतिभूतियों के समूह पर आधारित हैं । फिर भी एक्सचेंज ट्रेडेड फंड पर मार्जिन के आकलन के लिए उन्हें शेयर के समकक्ष माना जायेगा और जो मार्जिन शेयर्स पर लागू होगा वही एक्सचेंज ट्रेडेड फंड पर भी लागू होगा।

फॉरवर्ड कॉन्ट्रैक्टस (रेग्यूलेशन ) एक्ट 1952, (74 ऑफ 1952) [पूर्वकालिक अनुबंध ( विनियम ) अधिनियम ( 1952 का 74 ) ] जिसे भारत सरकार के वाणिज्य एवं उद्योग मंत्रालय द्वारा जारी की गयी अधिसूचना संख्या एस. ओ. 1162 दिनांकित 04 मई, 1960 के संदर्भ में पढ़ा जाना चाहिये की धारा 12 ( 1 ) के अंतर्गत उप निदेशक, पूर्वकालिक बाजार आयोग (डिप्टी डायरेक्टर, फॉरवर्ड मार्केट्स कमीशन) का अनुमोदन, एस डेरिवेटिव्स एण्ड कोमोडिटी एक्सचेंज लिमिटेड, मुम्बई की नियमावली में निम्नलिखित संशोधन के लिये अनुमोदन 13 सितम्बर 2012 को प्राप्त कर लिया गया है और इस आशय की अधिसूचना उपरोक्त अधिनियम की धारा 12 की उपधारा 2 के अन्तर्गत दी जा रही है । संशोधन

" 12ए" " निवेशक ( ग्राहक ) सुरक्षा निधि " (' फंड' ) ( ii ) सूचकांक एक्सचेंज ट्रेडेड फंड के मार्जिन में दक्षता लाने के लिए, यह निर्णय लिया गया है कि एक्सचेंज ट्रेडेड फंड पर VaR मार्जिन गणना इस प्रकार से होगी की वह जिस सूचकांक का अनुगमन करता हो उससे 5% उच्चतम या एक्सचेंज ट्रेडेड फंड के सिग्मा का तीन गुना होगी ।

12ए.1. एक्सचेंज, निवेशक ( ग्राहक ) सुरक्षा निधि ( ' फंड' ) की स्थापना एवं अनुरक्षण का कार्य एस डेरिवेटिव्स एण्ड कॉमोडिटी एक्सचेंज निवेशक ( ग्राहक ) सुरक्षा निधि ( ' फंड' ) ट्रस्ट (' ट्रस्ट' ) के द्वारा किया जायेगा।

( iii ) संशोधित मार्जिन ढांचा एक्सचेंज ट्रेडेड फंड पर लागू होगा जोकि व्यापक बाज़ार आधारित सूचकांक है और उनमें वह एक्सचेंज ट्रेडेड फंड जोकि क्षेत्रीय सूचकांक का अनुगमन करते हो, शामिल नहीं होंगे ।

12ए. 2. फंड का उद्देश्य इस फंड की स्थापना निम्नलिखित उद्देश्यों के लिए की जायेगी :

2. इक्विटी सूचकांक और संघटक स्टॉक्स पर आधारित एक्सचेंज ट्रेडेड फंड में ऑफ सेटिंग स्थिति के सम्बंधित क्रॉस मार्जिननिंग की प्रस्तावना

अ. एक्सचेंज के सदस्यों के द्वारा की गई चूक से उत्पन्न उचित/विधि सम्मत दावा की स्थिति में. निवेशकों/ग्राहकों के हितों की सुरक्षा एवं संरक्षण के लिये, एवं

(i ) सेबी ने अपने परिपत्र नं. SEBI/DNPD/Cir -44/2008 दिनांक December 02, 2008 में कैश सेगमेंट और एक्सचेंज ट्रेडेड फंड में क्रॉस मार्जिननिंग अनुमति प्रदान की है ।

ब. निवेशकों/ग्राहकों में शिक्षा, जागरुकता एवं शोध परिणामों का प्रसार करना अथवा उनके लिये अन्य कार्यक्रमों का आयोजन करना, जिसका निर्णय फॉरवर्ड मार्केट्स कमीशन (' एफएमसी' ) एवं/अथवा एक्सचेंज के द्वारा समय - समय पर लिया जाता है एवं इस कार्य के लिये निवेश से अर्जित ब्याज का उपयोग किया जाता है ।

12ए. 3. फंड की संरचना फंड की संरचना निम्नलिखित घटकों से होगी :--

( ii ) बाज़ार प्रतिभागियों के द्वारा मार्जिन पूंजी का कुशल उपयोग की सुविधा प्रदान करने के लिए, यह निर्णय लिया गया है कि क्रॉस मार्जिनिंग सुविधा एक्सचेंज ट्रेडेड फंड जोकि इक्विटी सूचकांक और घटक सूचकांक पर इस तरह लागू होगी:--

ए. एक्सचेंज द्वारा प्राप्त अंशदान जिसका निर्णय/निर्धारण समय- समय पर एफएमसी के द्वारा किया जायेगा;

(a ) एक्सचेंज ट्रेडेड फंड तथा सघतक स्टॉक्स ( एक्सचेंज ट्रेडेड फंड के लिए निर्दिष्ट अनुपात में ) उस हद तक, जहां वे एक दूसरे को ऑफ सेट करते हों,

बी. समय- समय पर एक्सचेंज द्वारा वसूली/संग्रहीत की गयी अर्थ- दंड की राशि, जो फंड में हस्तांतरित कर दी जाती है ।

सी. फंड की राशि के निवेश से अर्जित ब्याज, लाभांश एवं अन्य आय;

डी. फंड की राशि के निवेश से होने वाली अभिवृद्धि

ई. किसी अन्य प्रकार की राशि अथवा संपत्ति जो फंड का अंश हो;

( b ) एक्सचेंज ट्रेडेड फंड तथा सघतक भविष्यक स्टॉक्स (एक्सचेंज ट्रेडेड फंड के लिए निर्दिष्ट अनुपात में ) उस हद तक , जहां वे एक दूसरे को ऑफ सेट करते हों, और

(c ) तथा उसके अनुरूप भविष्यक सूचकांक उस तक जहां वे एक दूसरे को ऑफ सेट करते हों ।

एफ. एक्सचेंज के सदस्यों से प्राप्त अंशदान, जिसका निर्धारण समय- समय पर एक्सचेंज के द्वारा किया जाता है । एक्सचेंज के पास यह अधिकार भी संरक्षित है कि वह समय - समय पर आबश्यकता के अनुरूप अपने सदस्यों से अतिरिक्त अंशदान मांग सकता है, ताकि फंड में होने वाली कमी को पूरा किया जा सके और यह एक्सचेंज के विवेकाधीन है ।

(iii ) एक्सचेंज ट्रेडेड फंड एकाईयों के सृजन/मुक्ति के स्थगन होने के दशा में, क्रॉस मार्जिनिंग का लाभ वापिस ले लिया जाएगा ।

एक्सचेंज क्षतिपूर्ति की सीमा के विषय में अथवा इसमें होने वाले परिवर्तन के विषय में आम जनता को प्रेस, वेबसाइट के माध्यम से परिपत्र जारी करके सूचित करेगी । हालांकि, एफएमसी, उपयुक्तता के आधार पर एकल दावा के समक्ष क्षतिपूर्ति की राशि पर पुनर्विचार कर सकता है ।

12ए. 4. फंड का प्रबंधन फंड की संपत्तियों के प्रबंधन पर न्यासियों (ट्रस्टियों) का संपूर्ण नियंत्रण होगा । एक वर्ष की अवधि में सभी न्यासियों की तीन बैठकों के आयोजन को प्राथमिकता दी जायेगी और दो बैठकों के बीच की अवधि चार माह से अधिक की नहीं होगी । किसी भी तीन न्यासी की उपस्थिति से उस बैठक की निर्दिष्ट संख्या ( कोरम ) पूरी हो जायेगी । प्रत्येक न्यासी के मत की गणना एक मत के बराबर होगी और बहुमत के आधार पर निर्णय लिया जायेगा । यदि मतों की संख्या बराबर होती है तो ऐसी स्थिति में बैठक की अध्यक्षता कर रहे व्यक्ति को अंतिम निर्णय का अधिकार होगा ।

12ए. 9. व्यक्ति जो फंड से क्षतिपूर्ति प्राप्त करने के पात्र हैं : निवेशक/ ग्राहक द्वारा दायर किया गया वैध दावा के अन्तर्गत क्षतिपूर्ति की राशि का भुगतान सिर्फ फंड की राशि से ग्रहणीय होगा । सदस्य अथवा उसके द्वारा अधिकृत व्यक्ति ( पूर्व में सब ब्रोकर की संज्ञा ) अथवा फ्रेन्चाइजी अथवा बाजार का अन्य मध्यस्थ जिसे किसी भी नाम अथवा नामावली से जाना जाता हो, वह फंड की राशि से क्षतिपूर्ति प्राप्त करने का पात्र होगा ।

12ए. 5. फंड का लेखांकन एवं अंकेक्षण : एक्सचेंज के निदेशक मंडल द्वारा, जब तक कोई अन्य अथवा असंगत निर्णय नहीं लिया जाता है, तब तक फंड का लेखांकन एक्सचेंज के लेखांकन के अंश के रूप में किया जायेगा और इसका अंकेक्षण भी एक्सचेंज के खातों के साथ हीकिया जायेगा ।

12ए. 10. फंड के अन्तर्गत योग्य दावा एक्सचेंज के अन्य नियमों , नियमावली एवं व्यावसायिक नियमों के विषय- वस्तु के अनुरूप निवेशक/ ग्राहक जिसे एक्सचेंज में किये गये सौदे में किसी सदस्य द्वारा किये गये चूक ( डिफॉल्ट) की वजह से किसी प्रकार का नुकसान होता है और सदस्य को चूककर्ता ( डिफॉल्टर ) घोषित किया गया हो , तो एक्सचेंज के नियमों, नियमावली, एवं व्यावसायिक नियमों के अनुसार वैध उचित दावा की क्षतिपूर्ति के भुगतान के लिये फंड का उपयोग किया जायेगा : -- 12ए.6. एक्सचेंज द्वारा फंड में अंशदान एफएमसी द्वारा जारी किये गये अतिरिक्त निर्देश के अनुसार, एक्सचेंज इस फंड में निम्न राशि का अंशदान करेगा , यद्यपि एक्सचेंज के द्वारा इस विषय में कोई असंगत निर्णय न लिया गया हो ।

ए. चूककर्ता (डिफॉल्टर ) सदस्य के विरुद्ध दावा , नब्बे दिनों की निर्दिष्ट अवधि ( एक्सचेंज द्वारा अधिसूचित ) में दायर किया जाता है , तो यह दावा फंड से क्षतिपूर्ति प्राप्त करने योग्य माना जायेगा ।

ए. वित्तीय वर्ष की अवधि में सदस्यों से वसूली गयी टर्न ओवर शुल्क राशिका 1 प्रतिशत अथवा रु. 25,00,000/- ( रुपए पच्चीस लाख मात्र ) में से जो राशि कम हो ।

बी. निर्दिष्ट अवधि के कालातीत हो जाने के पश्चात यदि तीन वर्ष की अवधि के दौरान कोई दावा दायर किया जाता है, तो इस प्रकार के दावों का निपटारा , न्यास के विवेकाधीन होगा ।

बी. प्रशासकीय शुल्क की कटौती के पश्चात एक्सचेंज द्वारा वसूली/ संग्रहीत की गयी अर्थदंड की संपूर्ण राशि , प्रशासकीय शुल्क, अर्थ दंड की कुल राशि के 10 प्रतिशत से अधिक नहीं हो सकती है अथवा एफएमसी द्वारा समय - समय पर निर्धारित राशि

सी. एक्सचेंज के निदेशक मंडल के सदस्य, निवेशक ( ग्राहक ) सुरक्षा निधि की राशि में अन्य उचित स्रोतों के भी माध्यम से वृद्धि कर सकते हैं ।

सी. एक्सचेंज में किये गये सौदे के समक्ष दावा तभी दायर किया जा सकता है जब निवेशक ग्राहक एवं एक्सचेंज के सदस्य ( जिसे चूककर्ता घोषित किया गया है ) के बीच में हुआ लेन- देन/सौदा एक्सचेंज के अन्तर्गत एक्सचेंज के नियमों , नियमावली एवं व्यावसायिक नियमों के अनुरूप किया गया होना चाहिये ।

12ए. 7. सदस्यों द्वारा फंड में अंशदान एक्सचेंज के प्रत्येक सदस्य को निश्चित आवधिक अंतराल पर एक निश्चित राशि का अंशदान करना होगा, जिसका निर्धारण समय- समय पर एक्सचेंज के द्वारा किया जायेगा ।

12ए. 8. दावा की अधिकतम निर्धारित सीमा

डी. कॉमोडिटी वायदा ( फ्यूचर ) अनुबंध ( कांट्रैक्ट ) के अन्तर्गत किये गये सौदों का निपटान एक्सचेंज के द्वारा किया जा चुका है , लेकिन उस अनुबंध की शर्तों से उत्पन्न हुये कर्तव्यों को चूककर्ता सदस्य के द्वारा संबंधित निवेशक/ ग्राहक के हित में पूरा नहीं किया गया है ।

ई. दायर किया गया दावा अन्य अनिवार्यताओं की प्रतिपूर्ति करता है, जिसे समय- समय पर एक्सचेंज के द्वारा निर्दिष्ट किया जाता है ।

ए. एक्सचेंज को यह अधिकार है कि वह ट्रस्ट के साथ विचार -विमर्श करके , क्षतिपूर्ति की उचित सीमा का निर्धारण कर सकती है । निवेशक/ग्राहक का एकल दावा जो एक्सचेंज के सदस्य द्वारा की गयी चूक की वजह से होता है, के समक्ष उपलब्ध क्षतिपूर्ति की अधिकतम सीमा रु. 2,00,000/- ( रुपए दो लाख ) होगी ।

12ए. 11. क्षतिपूर्ति के लिये अयोग्य दावा : एक्सचेंज के निदेशक मंडल के सदस्य अथवा एक्सचेंज की डिफॉल्टर/डिसिप्लनेरी एक्शन कमेटी अथवा न्यास ( ट्रस्ट ) के न्यासी ( ट्रस्टी ) वैसे दावे पर विचार करने के लिये बाध्य नहीं हैं :

जिनकी उत्पत्ति निम्न परिस्थितियों में होती है अथवा जिनकी उत्पत्ति का संदर्भ निम्न है :--

बी. देय क्षतिपूर्ति की राशि, निवेशक/ ग्राहक को वास्तविक देय राशि से अधिक नहीं होगी और इस अधिकतम राशि का निर्धारण समय - समय पर एक्सचेंज अथवा एफएमसी देय राशि में से, निवेशक ग्राहक को प्राप्त/प्राप्य अन्य लाभ की राशि अथवा चूक करने वाले सदस्य द्वारा निवेशक/ग्राहक को भुगतान की गयी राशि को घटा दी जायेगी ।

सी . चूक करने वाले प्रत्येक सदस्य के लिये देय क्षतिपूर्ति की राशि रु. 25,00,000/- ( रुपए पच्चीस लाख ) से अधिक नहीं होगी या अन्य कोई राशि जिसका निर्धारण एक्सचेंज के द्वारा , फॉरवर्ड मार्केट्स कमीशन के पूर्व अनुमोदन के आधार पर किया जायेगा ।

ए. कॉमोडिटी का ऐसा अनुबंध है जिसमें कारोबार करने की अनुमति नहीं है अथवा इस प्रकार का कारोबार एक्सचेंज के नियम, नियमावली एवं व्यावसायिक नियमों के अनुरूप नहीं है अथवा ऐसी परिस्थिति जिसमें दावेदार ने स्वयं भुगतान नहीं किया है अथवा चूककर्ता सदस्य के साथ सांठ-गांठ कर मार्जिन ( जिसमें प्रारंभिक वीएआर, टेंडर अवधि मार्जिन, डिलिवरी अवधि मार्जिन , विशेष/ अतिरिक्त मार्जिन इत्यादि शामिल है, 1035 THE GAZETTE OF INDIA, DECEMBER 15 , 2012 ( AGRAHAYANA 24, 1934)

और जो समय -सयम पर प्रभावी होता है ) जो किये गये लेन- देन/अनुबंध पर देय है , के भुगतान में कपट किया गया है अथवा

निवेशक/ग्राहक को कारण सहित दी जानी चाहिये । न्यासी वादी के द्वारा दायर किये गये दावे की वैधता की जांच करने के लिये मध्यस्थता/पंचायत की प्रणाली की सहायता ले सकते हैं । न्यासी, वादी को भुगतान की संस्तुति देने /अथवा भुगतान करने से पूर्व डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन कमिटी की राय ले सकता है ।

12ए.15. न्यासी का निर्णय अंतिम होगा : भगुतान एवं दावा के संबंध में न्यासी के द्वारा लिया गया किसी भी प्रकार का निर्णय अंतिम एवं वादी के लिये बाध्यकारी होगा । वादी, इस आशय के वचन पत्र पर हस्ताक्षर करेगा कि न्यासी का निर्णय उसके लिये अंतिम एवं बाध्यकारी है ।

बी. पूर्व लेन- देन का कोई बकाया राशि या कोई बकाया अंतर जिसके लिये उचित समय पर दावा नहीं किया गया हो अथवा किसी प्रकार का दावा नहीं किया गया, जैसा एक्सचेंज के नियम , नियमावली अथवा व्यावसायिक नियमों के अनुरूप वांछनीय है एवं/ अथवा जिसकी उत्पत्ति दावा के भुगतान के लिये की गई किसी अन्य व्यवस्था , से है जो धन के भुगतान के प्रमाणिक विधि के बदले में की जाती है, जिस दिन दावा का भगुतान निर्धारित किया गया था; अथवा

सी. जमानती अथवा गैर- जमानती ऋण; अथवा

डी. एक पोर्टफोलियो प्रबंधन सेवा; अथवा

ई. कपटपूर्ण अथवा झूठा लेनदेन

12ए. 12. प्रक्रिया का विशिष्ट रूप से उल्लेख : एक्सचेंज/न्यासी

(ट्रस्टी) को यह अधिकार है कि वे प्रक्रिया के विषय में विशिष्ट उल्लेख करें और यह एफएमसी द्वारा समय- समय पर जारी किये गये नियमों/दिशा-निर्देशों के अनुरूप होगा , एवं इस अध्याय में उल्लिखित प्रावधानों के पालन एवं उन प्रावधानों के पालन में होने वाली कठिनाइयों को दूर करने का दायित्व भी उन पर होगा ।

12ए.16. अपील : यदि डिफॉल्टर्स/डिसिप्लेनरी एक्शन समिति किसी दावा पर विचार नहीं करती है अथवा न्यासी दावा को अस्वीकार कर देते हैं, तो ऐसी स्थिति में वादी एक्सचेंज के निदेशक मंडल अथवा एक्सचेंज के निदेशकों की किसी उप समिति, जिसका गठन इस उद्देश्य से किया गया है, के समक्ष अपील कर सकता है । एक्सचेंज का निदेशक मंडल और उप समिति के समक्ष किसी भी दावा को स्वीकार करने की बाध्यता सिर्फ इसलिये नहीं होगी कि मध्यस्थता अथवा पंचायत द्वारा निवेशक/ग्राहक के पक्ष में फैसला दिया गया है अथवा पंचायत का फैसला सदस्य की सहमति से किया गया है अथवा सदस्य ने निदेशक/ग्राहक के दावा का विरोध नहीं किया है । एक्सचेंज के निदेशक मंडल के सदस्य अथवा एक्सचेंज के निदेशक मंडल की उप समिति के सदस्य को यह अधिकार होगा कि वे निवेशक/ग्राहक से सूचना एवं दस्तावेज की मांग कर सकते हैं, जिसे वे निवेशक/ग्राहक द्वारा दायर किये गये दावा के छान-बीन के लिये आवश्यक समझते हैं, और यदि निवेशक/ग्राहक आवश्यक सूचना एवं दस्तावेज प्रस्तुत करने में सक्षम नहीं होता है तो दावा को अस्वीकार किया जा सकता है ।

12ए. 13. डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन समिति द्वारा दावों की छान- बीन : एक्सचेंज सभी दावों का निपटारा , समिति द्वारा निर्धारित दिशा-निर्देशों के अनुसार करता है एवं डिफॉल्टर्स/डिसिप्लेनरी एक्शन समिति सभी दावों की छानबीन करेगा और यदि दावेदार द्वारा दायर किया गया दावा, एक्सचेंज के नियमों, नियमावली, व्यावसायिक नियमों के अनुरूप पंचायत अथवा मध्यस्थता प्रक्रिया में लिये गये फैसले से समर्थित नहीं है, तो ऐसी स्थिति में डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन समिति ऐसे प्राप्त मामलों को प्रथम दृष्टयंत में दावा के निर्धारण के लिये मध्यस्थता/पंचायत के नियमों, नियमावली एवं व्यवसायिक नियमों के अनुरूप मध्यस्थता/पंचायत के लिये प्रेषित करेगा । यदि पंचायत द्वारा ग्राहक के पक्ष में फैसला लिया जाता है और दायित्व का निर्धारण कर दिया जाता है एवं चूककर्ता (डिफॉल्टर ) सदस्य की संपत्ति अनुमोदित दायित्व से कम है, तो ऐसी स्थिति में डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन समिति अपनी अनुशंसा के साथ दावा को न्यास ( ट्रस्ट) के पास प्रेषित करेगा । यदि निर्दिष्ट अवधि ( नब्बे दिन ) के कालातीत होने के तीन वर्ष की अवधि के दौरान यदि किसी दावा की उत्पत्ति होती है तो , ऐसी स्थिति में उस दावा का निपटान डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन समिति के द्वारा न्यासियों के विवेकाधिकार के अनुरूप किया जायेगा।

12ए. 17. चूककर्ता (डिफॉल्टर ) की संपत्ति पर प्रभाव : जब फंड से किसी राशि का भुगतान ( ग्राहक/निवेशक ) को किया जाता है, तो संबद्ध चूककर्ता (डिफॉल्टर ) सदस्य उस राशि का पुनर्भुगतान अविलंब निधि में करेगा एवं इसके अतिरिक्त 2 प्रतिशत प्रति माह ( अथवा अन्य कोई दर ) जिसका निर्धारण एक्सचेंज का निदेशक मंडल समय - समय पर करेगा, की दर से देय होगा । फंड की सुरक्षा की दृष्टि से एक्सचेंज ( एक्सचेंज के नियमों, नियमावली एवं व्यावसायिक नियमों के अनुसार सेटलमेंट गारंटी फंड के पक्ष में ) का प्रथम अधिकार चूककर्ता ( डिफॉल्टर ) सदस्य की अस्तियों एवं संपत्ति पर होगा, चाहे वह किसी भी प्रकृति की हो, उस राशि और उस पर देय 2 प्रतिशत प्रतिमाह ब्याज अथवा कोई अन्य दर, जिसका समय-समय पर निर्धारण एक्सचेंज के निदेशक मंडल के द्वारा किया जायेगा, के लिये जमानत मानी जायेगी और यह किसी एवं सभी प्रभार, गिरवी, एवं अन्य अवरोध, जिसका सृजन चूककर्ता सदस्य के द्वारा किसी बहुमूल्य प्रतिफल के लिये उस तिथि से पूर्व किया गया है, जिस तिथि को सदस्य को चूककर्ता (डिफॉल्टर ) घोषित किया गया है ।

12ए. 18. एक्सचेंज के निदेशक मंडल के द्वारा कार्यवाहीं : चूककर्ता (डिफॉल्टर ) सदस्य द्वारा फंड में देय राशि की वसूली के लिये एक्सचेंज के निदेशक मंडल के सदस्य एवं/अथवा प्रबंध निदेशक/मुख्य कार्यकारी अधिकारी को यह अधिकार होगा कि वे किसी भी प्रकार की कार्यवाही करें ( जिसमें चूककर्ता की संपत्ति अथवा संपत्ति के भाग की बिक्री तक ही सीमित नहीं है ) , बल्कि चूककर्ता सदस्य एवं उसकी संपत्ति एवं कोई अन्य व्यक्ति जिसके द्वारा चूककर्ता सदस्य को कोई भी राशि देय है, पर कार्यवाही की जा सकती है ।

12ए. 14. दावा एवं भुगतान के प्रकार का निर्धारण : न्यासियों को पूर्ण अधिकार है कि वे दावा के प्रकार का निर्धारण कर सकें और दावा की वास्तविकता एवं सत्यता की जांच कर सकें और अपने विवेक के आधार पर दावा को स्वीकार, अस्वीकार अथवा आंशिक रूप से स्वीकार कर सकते हैं, दावा की अनुमति देकर निर्दिष्ट सीमा के अनुरूप भुगतान भी कर सकते हैं, जैसा वे उचित और उपयुक्त समझते हैं । न्यासी सिर्फ उन्हीं दावों को स्वीकार कर सकते हैं जो एक्सचेंज के डिफॉल्टर्स/डिसिप्लेनरी ऐक्शन समिति अथवा इन्वेस्टर्स ग्रिवांस डिविजन समिति द्वारा स्वीकार किये गये हों और जिनका भुगतान चूककर्ता सदस्य की संपत्ति से नहीं किया जा सकता है । यदि न्यासी दावा के प्रमाणिकता से संतुष्ट नहीं हैं तो वे दावा को अस्वीकार कर सकते हैं और इस आशय की सूचना 1036

12ए. 19. दावा की वजह से वैधानिक कार्यवाही पर कोई प्रभाव नहीं पड़ेगा : न्यासी (ट्रस्टी) अथवा एक्सचेंज के निदेशक मंडल के द्वारा दावा की अस्वीकृति अथवा आंशिक स्वीकृति, अथवा किसी ग्राहक/वादी को किसी प्रकार का मुआवजा प्रदान किया जाता है, तो इसका अर्थ यह नहीं है कि इस मुआवजा या निर्णय की वजह से ग्राहक/वादी का चूककर्ता सदस्यके विरुद्ध दावा दायर करने के अधिकार में किसी प्रकार की बाधा नहीं आयेगी और वादी किसी भी अदालत में दावा दायर कर सकता है अथवा वैधानिक कार्यवाही कर सकता है, हालांकि निवेशक/ग्राहक द्वारा चूककर्ता (डिफॉल्टर ) सदस्य के खिलाफ दायर किये गये दावा कि राशि में से प्राप्त मुआवजे की राशि कम कर दी जायेगी ।

12ए. 20. फंड का निवेश न्यासी गण ( ट्रस्टीज ) फंड के धन का निवेश इस प्रकार करेंगे जो तात्कालिक अवधि के लिये वैधानिक रूप से स्वीकृत हो और सार्वजनिक चैरिटेबल ट्रस्ट के फंड के निवेश के लिये अनुमत हो । फंड के सभी निवेश एवं बैंक खाता न्यासी ( ट्रस्टी ) के द्वारा फंड के नाम पर रखा जायेगा। न्यासी ( ट्रस्टी ) फंड एवं इसके निवेश का परिचालन उपयुक्त तरीके से न्यास ( ट्रस्ट) के नियमों के अनुरूप एवं तात्कालिक रूप से प्रभावी नियमों के अनुसार करेंगे ।

12ए. 21. एक्सचेंज के निदेशक मंडल के द्वारा अर्जित ब्याज का उपयोग : एक्सचेंज के निदेशक मंडल के द्वारा फंड पर अर्जित किये गये ब्याज का उपयोग निवेशकों की शिक्षा, जागरुकता एवं एफएमसी द्वारा अधिकृत अन्य कार्यक्रमों के लिये किया जा सकता है , लेकिन इसके लिये ट्रस्ट का अनुमोदन आवश्यक है । फंड की राशि का उपयोग इस उद्देश्य के लिये नहीं किया जा सकता है ।

12ए. 22. गैर- अधिकृत व्यक्ति द्वारा पुनर्भुगतान यदि फंड से किसी दावा की राशि का भुगतान कर दिया जाता है और उसके पश्चात यह ज्ञात होता हैकि प्राप्तकर्ता को राशि प्राप्त करने का अधिकार नहीं है तो ऐसी स्थिति में प्राप्त कर्ता, प्राप्त राशि, 2 प्रतिशत मासिक ब्याज के साथ ( अथवा अन्य कोई दर जिसका निर्धारण समय - समय पर किया जाता है ) पुनर्भुगतान करना होगा , प्राप्तकर्ता ने जिस दिन राशि प्राप्त की और वापस की, इस अवधि के आधार पर ब्याज की गणना की जायेगी ।

12ए. 23. फंड प्रबंधन से संबंधित लागत/व्यय : ट्रस्ट के सृजन, प्रशासन एवं प्रबंधन के लिये न्यासियों ( ट्रस्टियों ) के द्वारा किया गया खर्च एवं निम्नलिखित खर्च;

ए. न्यासियों ( ट्रस्टी ) को देय बैठक शुल्क ( सिटिंग फीस ) , परिवहन व्यय एवं अन्य खर्च

बी. ट्रस्ट के कर्मचारियों को वेतन

सी. आडिटर, चार्टर्ड अकाउन्टेंट, वैधानिक सलाहकार, वकीलों को देय शुल्क

डी. ट्रस्ट की संपत्ति, आय , संग्रहण, निवेश, अंशदान एवं सेवाओं के लिये देय , शुल्क, कर , उपकर, निर्धारण एवं अन्य शुल्क

ई. इमारत अथवा भवन के बीमा के लिये देय प्रीमियम अथवा अन्य बीमा योग्य चल अथवा अचल संपत्ति , जो ट्रस्ट की संपत्ति का अंश है ।

एफ. निम्न के संदर्भ में लागत एवं व्यय

(i) निवेशकों से क्षतिपूर्ति के लिये दावा आमंत्रित करना (ii) दावा का भुगतान, विज्ञापन, प्रशिक्षण, कॉमोडिटी डेरिवेटिव मार्केट पर पुस्तक एवं पत्र- पत्रिकाओं का प्रकाशन एवं वितरण

जी. अन्य सभी लागत, प्रभार एवं व्यय जो ट्रस्ट की संपत्ति के अनुरक्षण और प्रबंधन से संबद्ध हो एवं ट्रस्ट के उद्देश्यों के अनुरूप हो का भुगतान फंड से किया जायेगा ।

12ए. 24. फंड द्वारा किये गये निवेश में हानि : फंड के निवेश में यदि किसी भी कारण से किसी प्रकार का नुकसान अथवा ह्रास होता है, और ऐसा एक्सचेंज के किसी सदस्य, अथवा किसी उप समिति अथवा किसी न्यासी ( ट्रस्टी) के द्वारा की गई सुविचारित गलती अथवा धोखे से नहीं हुआ है तो इसका वहन फंड के द्वारा किया जायेगा एवं एक्सचेंज के सदस्य अथवा उप - समिति अथवा न्यासी ( ट्रस्टी ) इस संदर्भ में किसी प्रकार के दायित्व का वहन नहीं करेंगे । यदि किसी प्रकार का नुकसान अथवा ह्रास एक्सचेंज के किसी सदस्य, अथवा किसी उप समिति अथवा किसी न्यासी (ट्रस्टी) के द्वारा सुविचारित गलती अथवा धोखे से हुआ है तो इसका वहन उस व्यक्तिद्वारा व्यक्तिगत रूप से किया जायेगा और अन्य व्यक्ति जो इस सुविचारित गलती अथवा धोखे में शामिल नहीं हैं, इस नुकसान अथवा इस के लिये उत्तरदायी नहीं होंगे ।

12ए. 25. सचिवालय एक्सचेंज, फंड/ ट्रस्ट के लिये सचिवालय की सुविधा उपलब्ध करायेगा ।

12ए. 26. क्षतिपूर्ति : सुविचारित गलती अथवा धोखा के अतिरिक्त न्यासी ( ट्रस्टी) के खिलाफ दायर किये गये दावा से संबंधित सभी लागत, प्रभार एवं व्यय का वहन फंड के द्वारा किया जायेगा ।

12ए. 27. पत्राचार : एक्सचेंज एवं/या न्यास ( ट्रस्ट) के सभी न्यासी (ट्रस्टी) किसी भी प्रकार के संवाद अथवा पत्राचार का जवाब देने के लिये बाध्य नहीं हैं जब तक कि यह लिखित रूप में नहीं हो, पत्राचार करने वाले की पहचान और पता दर्ज नहीं हो और इसकी मूल हस्ताक्षरित प्रति जमा नहीं की गयी हो ।

12ए. 28. फंड का दायित्व फंड का दायित्व ट्रस्ट के पास निधि के अन्तर्गत उपलब्ध राशि से अधिक नहीं होगा, और फंड की कमी से यदि किसी दावा का भुगतान नहीं हो पाता है, तो ऐसी स्थिति में एक्सचेंज/ ट्रस्टी इस भुगतान के लिये उत्तरदायी नहीं होंगे और निवेशक/ग्राहक चूककर्ता (डिफॉल्टर ) सदस्य के खिलाफ अदालत में दावा दायर कर सकते हैं ।

12ए. 29. परिचालन बंद होते समय बची हुई राशि : यदि एक्सचेंज का परिचालन बंद हो रहा हो, तो ऐसी स्थिति में बची हुई राशि जिसका प्रयोग नहीं किया गया है, को एफएमसी में हस्तांतरित कर दिया जायेगा । ऐसी स्थिति में , इस राशि को अलग खाते में रखा जायेगा और एफएमसी फंड के ट्रस्टी के रूप में कार्य करेगा । इस राशि का उपयोग निवेशक/ग्राहक की शिक्षा , जागरुकता, शोध एवं अन्य किसी कार्यक्रम में किया जायेगा, जिसका निर्धारण समय - समय पर एफएमसी के द्वारा किया जायेगा ।

12ए. 30. फंड का स्वनिर्णयगत स्वभाव फंड एक स्वनिर्णयगत फंड होगा एवं एक्सचेंज के ट्रस्ट/ट्रस्टी का यह वैधानिक दायित्व नहीं होगा कि वे चूककर्ता सदस्य से ऋण की वसूली करें अथवा इस अध्याय में वर्णित विधि से भुगतान करें ।

12ए. 31. निर्दिष्टीकरण ( असाइनमेंट ) पर प्रतिबन्ध : सदस्य के अंशदान को फंड से प्राप्य ऋण नहीं माना जायेगा और किसी भी सदस्य PART IV]

को यह अधिकार नहीं होगा कि उसके द्वारा फंड में किये गये अंशदान को किसी भी प्रकार से हस्तांतरित कर सकें ।

12ए. 32. फंड के किसी अन्य अधिकारी के निर्देश पर दावा : फंड के किसी अन्य अधिकारी के निर्देश पर दावा को फारवर्ड मार्केट्स कमीशन के माध्यम से किया जाना चाहिये ।

12ए. 33. सदस्यता के निरस्तीकरण अथवा समाप्ति पर सदस्य का दायित्व अपरिवर्तित रहता है सदस्य, की सदस्यता के निरस्तीकरण अथवा समाप्ति पर सदस्य द्वारा देय राशि का दायित्व समाप्त नहीं होता है ।

12ए 34. फंड में भुगतान नहीं करने पर होने वाली कार्यवाही--यदि कोई सदस्य फंड की राशि का भुगतान नहीं करता है , तो एक्सचेंज का निदेशक मंडल, सदस्य के विरुद्ध उचित कार्यवाही कर चूककर्ता सदस्य की सदस्यता निरस्त कर सकता है , जुर्माना कर सकता है, उसे चूककर्ता घोषित कर सकता है , उसका सदस्य के रूप में पंजीकरण निरस्त कर सकता है अथवा एक्सचेंज की सदस्यता से उसका निष्कासन किया जा सकता है ।

12ए. 35. ट्रस्ट द्वारा पैसा वापस मांगने का अधिकार :

12ए. 35.1--एक्सचेंज के नियम, नियमावली एवं व्यवसायिक नियमों में वर्णित नियमों के अतिरिक्त, यदि ट्रस्ट के पास विश्वास करने का कोई ऐसा कारण होता है कि कोई लेन-देन-

ए. कपटपूर्ण है ; अथवा

बी. सदस्यों के चूक से संबंधित एक्सचेंज के नियमों /नियमावली एवं व्यावसायिक नियमों के अनुसार निषिद्ध हो; अथवा

सी. यह जमा अथवा ऋण के भुगतान अथवा पुनर्भुगतान से संबंधित हो, अथवा

डी. भुगतान गलती से हो गया हो तो ट्रस्ट को यह अधिकार है कि ट्रस्ट इस राशि को वसूल सके ।

12ए. 35. 2--किसी भी राशि को वापस मांगने से पूर्व एक्सचेंज के द्वारा संबंधित व्यक्ति को लिखित सूचना दी जायेगी और कोई भी निर्णय लेने से पूर्व संबंधित व्यक्ति को अपना पक्ष प्रस्तुत करने के लिये सात दिनों का समय दिया जायेगा ।

12ए. 35. 3-- भुगतान किये गये पैसे को वापस मांगा जाये अथवा नहीं, इसका निर्धारण करने के लिये ट्रस्ट को पूर्ण अधिकार है, अर्थात् आस- पास की परिस्थितियां , एक्सचेंज में कारोबार की स्थिति , चूककर्ता (डिफॉल्टर ) सदस्य और वादी के बीच का संबंध, लेन- देन की संविदा का परिमाण एवं मूल्य समान प्रकार के अन्य लेन- देन, जिसे ट्रस्ट आवश्यक समझता है ।

12ए. 36. मध्यस्थता डिफॉल्टर्स समिति/डिसिप्लेनरी ऐक्शन समिति/एक्सचेंज अथवा एक्सचेंज के निदेशक मंडल एवं चूककर्ता (डिफॉल्टर ) सदस्यों की बीच किसी देय राशि के संदर्भ में डिफॉल्टर्स समिति/डिसिप्लेनरी ऐक्शन समिति/एक्सचेंज अथवा एक्सचेंज के निदेशक मंडल दावा, विवाद अथवा जो डिफॉल्टर सदस्य द्वारा देय है, की एक्सचेंज के प्रबंध निदेशक/मुख्य कार्यकारी अधिकारी की मध्यस्थता के लिये निर्दिष्ट किया जायेगा अथवा एक्सचेंज के पैनल के मध्यस्थ अथवा

कार्य का विवरण :--

400 KV वोल्टेज, डबल सर्किट, क्वाडमूस कंडक्टर अनुमानित 24 कि. मी. लम्बी शिरोपरि पारेषण लाईन का निर्माण एवं रखरखाव ।

1. Use of VaR Methodology with respect to Exchange Traded Funds .

(1) Index ETFs are based on a basket of securities . However, for computing margins on ETFs they are treated at par with stocks and margins that are applicable on stocks are being applied for ETFs .

(ii) In order to bring efficiency in margining of index ETFs, it has been decided that VaR margin computation for ETFs that track an index shall be computed as higher of 5 % or three times sigma of the ETF.

(iii) The revised margin framework is applicable to ETFs that tracks broad based market indices and does not include ETFs which track sectoral indices .

2. Introduction of Cross - Margining facility in respect of offsetting positions in ETFs based on equity indices and constituent stocks .

(i) SEBI vide its circular SEBI/DNPD/Cir -44/2008 dated December 02, 2008 allowed cross margining across cash segment and exchange traded derivatives segments .

(ii) In order to facilitate efficeint use of margin capital by market participants, it has been decided to extend cross margining facility to ETFs based on equity index and its constituent stocks for following off- setting positions in cash market segment , as follows :

(a) ETFs and constituent stocks (in the proportion specified for the ETF) to the extent they offset each other,

(b) ETFs and constituent stocks futures (in the proportion specified for the ETF) to the extent they offset each other and

(iii) In the event of a suspension on creation/redemption of the ETF units , the cross - margining benefit shall be withdrawn .

The approval of the Deputy Director, Forward Markets Commission, under Section 12 ( 1) of the Forward Contracts (Regulation) Act, 1952 (74 of 1952) read with the Government of India, Ministry of Commerce and Industry Notification No. S. O. 1162 dated 4th May, 1960 has been obtained on the 13th September, 2012, to the following amendments , made to the Bye -laws of the Ace Derivatives & Commodity Exchange Ltd. , Mumbai and the same is hereby notified under Sub- Section 2 of Section 12 of the said Act.

AMENDMENTS

" 12A " " INVESTOR (CLIENT) PROTECTION FUND " ('FUND)

12A.1- The Exchange shall establish and maintain an Investor ( Client) Protection Fund ('Fund' ) to be held in trust by Ace Derivatives and Commodity Exchange Investor (Client) Protection Fund Trust ('Trust') .

be: 12A.2 Object of the Fund-The object of the fund shall

a. to protect and safeguard the interest of investors/ clients, in respect of eligible/ legitimate claims arising out of default of the member of the Exchange , and

b. to impart investors / client education , awareness , research or such other programmes as may be decided by the Forward Market Commission (FMC) and/or the Exchange from time to time out of the interest earned on investments of the Fund.

12A.3 Composition of Fund- The fund shall consist of:

a. such contributions from the Exchange as decided/ directed by the FMC, from time to time ;

b. all penalties levied/collected by the Exchange and transferred to the Fund, from time to time ;

c.interest, dividend or other income earned arising from investments of the Fund ;

d. accretion arising from investments of the Fund;

e . any other money or property forming part of the Fund;

f. any contribution from the member of the Exchange , as may be stipulated by the Exchange from time to time;

The Exchange shall be further empowered to call from

the member such additional contributions as may be required, from time to time , to make up for the short fall if any in the Fund, at the discretion of the Exchange.

The Exchange shall ensure that the funds are well segregated from that of the Exchange and that the Fund is immune from any liability of the Exchange .

12A.4 Management of the Fund :

The Trustees shall have entire control over the Management of the Fund. The Trustees shall meet preferably three times during the year and not more than four months shall elapse between any two meetings . Any three Trustees present shall constitute a quorum for such meetings . Each Trustee shall have one vote and the decision of the majority shall prevail . In case of equal division, the Chairman shall have a casting vote .

12A.5 Accounts and Audit of the Fund-Unless the Board of Directors of the Exchange otherwise directs , the accounts of the Fund shall be prepared and maintained as a part of the accounts of the Exchange and shall be audited as a part of the accounts of the Exchange .

12A.6 . Contributions to the Fund by the Exchange- Subject to any further directive or guidelines of FMC, in Exchange shall , unless otherwise prescribed by FMC, contribute to the Fund:

12A.10 . Eligible Claims under the Fund-Subject to the other Rules , Bye - laws and Business Rules of the Exchange , the Fund shall be utilized to compensate eligible/legitimate claims ofan investor/client who suffered loss in respect of transaction on the Exchange due to a member being declared adefaulter, as per the Rules , Bye- Laws and Business Rules ofthe Exchange, where:

a. a sum equivalent to 1% of the turnover fee charged fromthe members of the Exchange or Rs . 25,00,000/- (Rupees Twenty Five Lacs only) whichever is lower in a financial year;

a.the claims received against the defaulter member during the specified period of ninety days (as notified by the Exchange ) , shall be eligible for being considered for compensation from the Fund.

b. asum of all penalties as and when levied and collected, after deducting the cost of the administration, not exceeding 10 per cent in total of the penalties levied and collected or

as may be prescribed by the FMC , from time to time;

b. If any eligible claim arises within three years from the date of expiry of the specified period, such claims will be processed at the discretion of the Trust.

c . The Board of Directors of the Exchange may also augment the Investor (Client) Protection Fund from such sources as it may deem fit.

c. the claim arises directly in respect of transaction/s executed on the Exchange between the investor/client and the member (who has since been declared a defaulter) in accordance with the Rules , Bye- laws and Business Rules of the Exchange .

12A.7 . Contributions to the Fund By the Members- Every member of the Exchange shall contribute periodically to the Fund, such amounts , as may be determined by the Exchange, from time to time .

12A.8 Threshold limit for claim :

d. the trade in the Commodity Futures Contract/s have already been sattled by the Exchange but the obligation in respect of the said Contracts has not been completed by the defaulter member to the concerned investor/client, and

e. the claim fulfills such other requirements as the Exchange may specify from time to time.

a . The Exchange shall be free to fix the suitable compensation limits , in consultation with the Trust. However , the maximum amount of compensation available against a single claim of an investor/client arising out of default by a member ofthe Exchange shall be Rs . 2,00,000/- (Rupees Two Lakh).

12A.11 Ineligible claims for compensation-The Board of Directors of the Exchange or Defaulter's/Disciplinary ActionCommittee of the Exchange of Trustees ofthe Trust shall not be obliged to consider the claims if such claims are arising out or are in respect of :

b. the compensation payable shall not be more than actual amount payable to an investor/client subject to a maximum limit as decided by the Exchange or FMC from time to time . The amount will be reduced by any amount or other benefts received or receivable by the investor/client from any source in reduction of the loss and by any amount payable by such investor/client to the defaulter member .

a. a contract in commodities, dealings in which are not permitted or which are not subject to and in accordance with Bye - laws , Rules and Business Rules of the Exchange or which the claimant has either not paid himself or colluded with the defaulter member in evasion of margin (including initial VAR, tender period margin , delivery period margin, Special/Additional margins , etc. , as applicable from time to time) payable on transactions or contracts in any commodity; or

c. The compensation paid in respect of claims against each Defaulter Member shall not exceed Rs . 25,00,000/- (RupeesTwenty Five Lakhs only) or any other amount as may be determined by the Exchange, from time to time, with the prior approval of the Forward Markets Commission .

The Exchange shall disseminate the said compensation limit or any change thereof to the public through Press Release and also Circulars issued by the Exchange through its website . However , FMC may review the amount of compensation available against a single claim of a client whenever they deem fit .

b. any outstanding balance or any outstanding difference in previous trasnsactions which has not been claimed at the proper time and in the manner prescribed in Bye - laws, Rules and Business Rules of the Exchange and/or which arises from arrangement for settlement of claims in lieu of bona fide money payment in full or part on the day when such claims become due ; or

c. a loan with or without security ; or

d. a portfolio management services ; or

e. collusive or sham transactions .

12A.9 . Persons eligible for compensaiton from the Fund-Legitimate claims of investors/ clients shall only be eligible for compensation out of the Fund. No claim of member or his Authorised Person (earlier know as Sub- broker) or Franchisee or any other market intermediary of any name or nomenclature shall be eligible for compensation out of the Fund.

12A.12 Procedure to be specified-The Exchange/ Trustees shall be entitled to specify the procedures , subject 1044

to the guidelines/directions issued by the FMCfrom time to time , for carrying out the provisions of this Chapter and shall also be entitled to issue clarifications and directions for removing any difficulties in implementing the provisions ofthis Chapter.

12A.13 . Scrutiny of the Claims by Defaulters/Disciplinary Action Committee:

Board of Directors of the Exchange, constituted in this behalf. The Board of Directors of the Exchange of such Sub-committee of the Board of Directors of the Exchange shall not be obliged to accept or direct payment of a claim merely because an arbitration award has been passed in favour of the investor/client or because the arbitration award has been passed with the consent of the member or because the member did not oppose the investor/client's claim. The Board of Directors of the Exchange or such Sub- committee of the Board of Directors of the Exchange, shall be entitled to call upon the investor/client to produce such other information and documents as it may consider necessary for scrutinizing the investor/ client's claim and may reject the claim if the investor/client fails to produce : such information and documents .

12A. 17 , Charge on Defaulter's Assets :

The Exchange shall process the claims in accordance with the procedure as may be laid down by the Defaulters/ Disciplinary Action Committee and the Defaulters/ Disciplinary Action Committee shall scrutinize the claims and if the claim of a claimant is not supported with arbitration award passed in accordance with the Rules , Bye- laws and Business Rules of the Exchange , every such claim received by the Defaulters/Disciplinary Action Committee shall in the first instance be referred to arbitration in accordance with the Rules , Bye - laws and Business Rules relating to arbitration for determining the claim . In the event of the award being passed in favour of the Client and upon crystallizing the liabilities and if the assets of the defaulter member are insufficient to meet the approved claims , the Defaulters/Disciplinary Action Committee shall forward the claims along with the rcommendations to the Trust. If any eligible claim arises within three years from the date of expiry of the specified period (ninety days ) , such claims will be processed by Defaulters/Disciplinary Action Committee at the Discretion of the Trustees .

12A.14 . Determination of the nature of claims and payment :

Upon payment of any money out of the Fund ( to the client/ investor) , the concerned defaulter member shall forthwith repay the money to the Fund along with interest atthe rate of 2% per month (or such other rate as the Board ofDirectors of the Exchange may determine) , from time to time. The Exchange , for the benefit of the Fund, shall have a first charge (subject only to and subservient to the charge in favour of the Settlement Guarantee Fund under these Rules , Bye- laws and Business Rules of the Exchange) on all assets and properties of the defaulter member wherever situated and of whatsoever nature as a security for the repayment of such money and the payment of interest thereon at the rate of 2% per month (or such other rate as the Board ofDirectors of the Exchange may determine) , from time to time, subject only to any and all charges, mortgages and other encumbrances created thereon by the defaulter member bona fide for valuable consideration prior to the day the member is declared as a defaulter .

12A.18 . Proceedings by the Board of Directors of the Exchange:

For the purpose of recovering any amount payable by the defaulter member to the Fund, the Board of Directors of the Exchange and/ or the Managing Director/ Chief Executive Officer shall be entitled to take such steps and proceedings (including but not limited to sale of any property of the Defaulter or a portion thereof) as it/he may think fit against the defaulter member, the defaulter member's property and any person by whom any amount is payable to the defaulter member.

The Trustees shall have an absolute discretion as regards the mode and method of assessing the nature of the claims including their genuineness and shall likewise at their discretion accept, reject, or partially grant or allow claims and make payment thereof subject to the limits therein mentioned , as they may deem fit and proper. The Trustees shall admit only such of the claims which are admitted by the Defaulters ' Disciplinary Action Committee or the Investors ' Grievance Division /Committee of the Exchange , and which could not be met from the assets of the defaulter member. If the Trustees are not satisfied that the claim is bona fide they shall reject the claim and inform the investor/ Client accordingly along with the reasons . The Trustees may adopt the arbitration mechanism at the Exchange for determining the legitimacy of the claims received from the claimants . The Trustees may also seek the advice of the Defaulters' /Disciplinary Action Committee before sanctioning and releasing the payments to be made to the claimants .

12A.19. Claim Not To Affect Legal Proceedings :

12A.15 . Decision of the Trustees shall be Final :

The decision of the Trustees regarding settlement or otherwise of the claims shall be final and binding on the claimant. Claimant shall sign an undertaking to be bound by the decisions of the Trustees .

12A.16 .Appeal :

If any claim is not entertained by the Defaulters '/ Disciplinary Action Committee or is rejected by the Trustees , the claimant may prefer an appeal before the Board of Directors of the Exchange or any Sub- committee of the

The rejection or partial acceptance of any claim by the Trustees or the Board of Directors of the Exchange as the case may be, or the grant of any compensation to a client/ claimant shall not preclude or debar such client to pursue his claim for dues against the defaulter member in any court of law or otherwise howsoever or other legal action on other grounds of causes of action of whatsoever nature subject to, howsoever, that the net claim of any such investor/client against defaulter member shall stand reduced to the extent of the compensation received by him from the Fund.

12A.20 . Investment of Fund :

g. all other costs , charges and expenses incidental to the manangement and administration of the Trust Property in accordance with the object and purposes hereof which may be incidental thereto , shall be paid out of the Fund.

12A.24 . Loss to Fund Investments :

The Trustees shall invest all monies of the Fund in such manner as may be authorized by law for the time being in force for investment of public charitable trust funds . All investments and bank accounts of the Fund shall be kept bythe Trustees in the name of the Fund. The Trustees shall operate the Fund and its investments in such manner as deemed fit by the Trustees in accordance with the Trust Rules and as permissible under law for the time being in force.

12A.21 . Utilization of the Interest by the Board of Directors of the Exchange :

TheBoard of Directors of the Exchange may utilize only the interest earned on the Fund , subject to approval of the Trust, for investors ' education, awareness or such other programme authorized by the FMC. The corpus of the Fund will not be utilized for this purpose.

Any loss or diminution in value of the investments of the Fund from whatever cause arising, not being due to the willful default or fraud of any member(s) of the Exchange, or of any sub - committee or any Trustee(s ), shall be borne by the Fund and the members of the Exchange or the sub- committee or the Trustee(s ) shall incur no responsibility or liability by reason of or on account thereof. In case of any such loss or diminution by reason of willful default or fraud by any member of the Exchange or of any sub - committee or any Trustee(s ) , the persons committing the willful default or fraud shall be personally liable for the loss or diminution and other persons who are not parties to the willful default or fraud shall not be liable for the loss or diminution.

12A.22 . Repayment by Payee Disentitled to Receive :

12A.25 . Secretariat :

The Exchange shall provide the secretariat for the Fund/ Trust.

12A.26 . Indemnity :

If any claim amount has been paid from the Fund and it is subsequently found that the payee was for any reason not entitled to receive such claim amount then the payee shall forthwith repay the same to the Fund together with interest thereon at the rate of 2% per month (or such other rate as the Exchange may specify) from time to time, for the period commencing on the date on which the payment was received by the payee and ending on the date on which such amount is repaid by the payee .

The Fund shall bear all costs , charges and expenses for all suits , actions , proceedings and claims filed or made against the Trustees except those arising out of their willful default or fraud .

12A.23 . Cost/Expenses of the Administration of the Fund:

12A.27. Correspondence :

All the expenses incurred by the Trustees in connection with the creation, Administration and Management of the Fund including :-

a. the sitting fees , conveyance and other expenses , etc. , of the Trustees .

The Exchange and/ or the Trustees of the Trust shall not be obliged to recognize or act upon any communication unless it is in writing, discloses the identity and address of the person addressing the communication and is signed and submitted in original by the person addressing the communication.

b. remuneration/wages of the employees of the Trust.

12A.28 . Liability of the Fund :

c. fees of auditors , Chartered Accountants , Legal Advisors , Lawyers .

d. all rates , taxes , cess , assessments , dues and duties, if any payable in respect of any Trust Property, income , collection, investment , contributions and services.

The liability of the Fund shall not exceed the funds available with the Trust and in respect of any unpaid claims , on account of insufficiency of funds , the Exchange/Trust/ Trustee shall not be liable and the investor /client may proceed against the member declared as defaulter for the same .

12A.29 . Unutilized Fund in case of Winding up :

e. premium for the insurance of the building or any other insurable property movable or immovable for the time being forming part of the Trust Property.

f. cost and expenses incurred for :

i. inviting claim for compensation from the investors .

In case the Exchange is wound- up , then the balance in the Fund lying unutilized with the Trust, shall be transferred to FMC . In such an event, the funds will be maintained in a separate account and FMC would act as trustee of the funds . The funds shall be utilized for purposes of investor/ client education , awareness , research or such other programme as may be decided by the FMC, from time to time.

ii. settlement of claims , advertisements , training , preparation and distribution of books and periodicals on commodity derivative market.

12A.30. Discretionary Nature of Fund :

The Fund shall be discretionary fund and the Trust/ Trustees or the Exchange shall be under no legal obligation to collect the debt of a defaulter member and/or to make payments from the Fund as mentioned in this Chapter.

12A.31 . Bar on Assignment :

The contribution of a member shall not be a debt due from the Fund and no member shall be entitled to transfer or assign in any manner his contribution to the Fund.

Board of Directors of the Exchange on the one hand and a defaulter member on the other hand in connection with any amount payable or alleged by the Defaulter's committee/ Disciplinary Action Committee /Exchange or the Board of Directors of the Exchange as being payable by the defaulter to the Fund shall be referred to the Arbitration of the Managing Director/Chief Executive Officer of the Exchange or to the Arbitration of such person from the panel of Arbitrators of the Exchange , as the Managing Director/ ChiefExecutive Officer of the Exchange may nominate in this behalf. "

12A.32 . Claim on the direction of any other authority on the Fund :

12A.35.1 Notwithstanding anything stated elsewhere in the rules , Bye- laws and Business Rules of the Exchange , if the Trust has reason to believe that any transaction :-

a. is fraudulent ; or

North East Transmission Company Limited having its registered office at House No. 051358 , Road No. 3 , Dhaleswar, Agartala, West Tripura- 799007 intends to apply/has applied to the Government of India to confer upon him all powers under section 164 of the Electricity Act, 2003 for placing of electric lines or electrical plant for the transmission of electricity or the purpose of telephonic or telegraphic communications necessary for the proper coordination of works which telegraph authority possess under the Indian Telegraph Act, 1885 with respect to the placing of telegraph lines and posts for the purpose of a telegraph established or maintained by the Government or to be so established or maintained and will undertake the survey, construction, installation, inspection, erection and other works to be followed by commissioning, operation , maintenance and other works for the following transmission schemes.
