एमसीएक्स स्टॉक एक्सचेंज लिमिटेड के नियमों को निम्नानुसार 28 जून, 2012 को हुई इसके निदेशक मंडल की बैठक में संशोधित किया गया। इन संशोधनों को सेबी द्वारा दिनांक 14 मार्च, 2013 के अपने पत्र सं. एमआरडी/डीएसए/एमसीएक्स-एसएक्सओडब्ल्यू/6395/2013, द्वारा अनुमोदित किया गया :--

(क) अध्याय-III : कारोबारी सदस्यता

1. नियम 18(ग क) के पश्चात्‌ निम्नलिखित जोड़ा जाएगा, नामतः --

''18(ग ख) इस अध्याय के अन्य उपबंधों के प्रति बिना किसी पूर्वाग्रह के एक्सचेंज की सदस्यता के अंतरण की निम्नलिखित के अध्यधीन अनुमति है :--

(i) सदस्य, जो तीन वर्ष से कम सदस्य न रहा हो, जो त्यागपत्र देना चाहता है, अपनी सदस्यता को एक्सचेंज के सदस्यता के प्रवेश के लिए इन नियमों के तहत्‌ किसी पात्र व्यक्ति को अंतरित कर सकता है;

(ii) मृत सदस्य के कानूनी प्रतिनिधि या उसके उत्तराधिकारी संबद्ध प्राधिकारी की स्वीकृति से मृत सदस्य की सदस्यता को मृत सदस्य के स्थान पर प्रवेश के लिए उम्मीदवार के रूप में एक्सचेंज की सदस्यता के प्रवेश के लिए इन नियमों के तहत्‌ किसी पात्र व्यक्ति को सदस्यता अंतरित कर सकते हैं।

(iii) यदि कोई अंतरिती इन नियमों के तहत्‌ पात्र नहीं होता या किसी अंतरिती को संबद्ध प्राधिकारी द्वारा खारिज किया जाता है तो सदस्यता के अंतरण के लिए एक्सचेंज को नया आवेदन प्रस्तुत किया जाना चाहिए।

(iv) (क) ऐसा कोई अंतरण संबद्ध प्राधिकारी का पूर्व अनुमोदन

लेने के पश्चात्‌ ही प्रभावी होगा;

(ख) अंतरितिक, अंतरितिक द्वारा यथोचित रूप से हस्ताक्षरित लिखित आवेदन करेगा और इसमें अंतरिती का पूरा नाम और अंतरिती द्वारा हस्ताक्षर होने चाहिएं;

(ग) पूर्व अनुमोदन प्राप्त करने वाला आवेदन ऐसे रूप में होना चाहिए जैसाकि संबद्ध प्राधिकारी द्वारा समय-समय पर विनिर्धारित किया जाता है।

(v) इस खंड के तहत्‌ उक्त अंतरिती को संबद्ध प्राधिकारी द्वारा तभी प्रवेश दिया जाएगा यदि वह एक्सचेंज का सदस्य बनने के लिए सभी पात्रता अपेक्षाओं को पूरा करता हो और जमा अपेक्षाओं सहित किसी सदस्य के लिए प्रयोज्य अन्य अपेक्षाओं का पालन करता हो;

(vi) संबद्ध प्राधिकारी किसी अंतरण को तब तक अनुमोदित नहीं करेगा जब तक कि अंतरणकर्ता सदस्य या मृत सदस्य के मामले में उसके कानूनी प्रतिनिधि या उत्तराधिकारी या उसकीPART IV] THE GAZETTE OF INDIA, JUNE 8, 2013 (JYAISTHA 18, 1935) 805 ओर से कोई अन्य व्यक्ति ने निम्न को पूर्ण रूप से अदा और संतुष्ट न किया हो :--

(ख) एक्सचेंज के नियमों, उप-विधियों और विनियमनों के अध्यधीन ऐसे सदस्य द्वारा किए गए किन्हीं संविदाओं से उठने वाले ऐसे कर्ज, देनदारियों, दायित्व और दावे जैसाकि संबद्ध प्राधिकारी द्वारा स्वीकार किए गए हैं।''

2. नियम 18(ख)(v) के पश्चात्‌ निम्नलिखित खंड जोड़ा जाएगा :--

''vi इस अध्याय के खंड 18(ग ख) के अनुपालन में अंतरण

करके;''

3. नियम 18(घ)(v) के पश्चात्‌ निम्नलिखित खंड जोड़ा जाएगा :--

''vi इस अध्याय के खंड 18(ग ख) के अनुपालन में उसकी सदस्यता

के अंतरण पर;''

(ख) अध्याय-IV : क्लीयरिंग सदस्यता

1. नियम 6(10)(ग क) के पश्चात्‌ निम्नलिखित जोड़ा जाएगा, नामतः --

''6(10)(ग क) इस अध्याय के अन्य उपबंधों के प्रति बिना किसी पूर्वाग्रह के क्लीयरिंग सदस्य के अंतरण की निम्नलिखित के अध्यधीन अनुमति है :--

(i) क्लीयरिंग सदस्य, जो तीन वर्ष से कम क्लीयरिंग सदस्य न रहा हो, अपनी सदस्यता को क्लीयरिंग सदस्यता के प्रवेश के लिए इन नियमों के तहत्‌ किसी पात्र व्यक्ति को अपनी सदस्यता अंतरित कर सकता है;

(ii) मृत क्लीयरिंग सदस्य के कानूनी प्रतिनिधि या उसके उत्तराधिकारी संबद्ध प्राधिकारी की स्वीकृति से मृत क्लीयरिंग सदस्य के स्थान पर प्रवेश के लिए उम्मीदवार के रूप में क्लीयरिंग सदस्यता के प्रवेश के लिए इन नियमों के तहत्‌ किसी पात्र व्यक्ति को सदस्यता को अंतरित कर सकते हैं।

(iii) यदि कोई अंतरिती इन नियमों के तहत्‌ पात्र नहीं होता या किसी अंतरिती को संबद्ध प्राधिकारी द्वारा खारिज किया जाता है तो सदस्यता के अंतरण के लिए संबद्ध प्राधिकारी को नया आवेदन प्रस्तुत किया जाना चाहिए।

(iv) (क) ऐसा कोई अंतरण संबद्ध प्राधिकारी का पूर्व अनुमोदन

लेने के पश्चात्‌ ही प्रभावी होगा;

(ख) अंतरितिक, अंतरितिक द्वारा यथोचित रूप से हस्ताक्षरित लिखित आवेदन करेगा और इसमें अंतरिती का पूरा नाम और अंतरिती द्वारा हस्ताक्षर होने चाहिएं;

(ग) पूर्व अनुमोदन प्राप्त करने वाला आवेदन ऐसे रूप में होना चाहिए जैसाकि संबद्ध प्राधिकारी द्वारा समय-समय पर विनिर्धारित किया जाता है।

(v) इस खंड के तहत्‌ अंतरिती को संबद्ध प्राधिकारी द्वारा तभी प्रवेश दिया जाएगा यदि वह क्लीयरिंग सदस्य बनने के लिए सभी पात्रता अपेक्षाओं को पूरा करता हो और जमा अपेक्षाओं सहित किसी क्लीयरिंग सदस्य को प्रयोज्य अन्य अपेक्षाओं का पालन करता हो।

(vi) संबद्ध प्राध्किारी किसी अंतर को तब तक अनुमोदित नहीं करेगा जब तक कि अंतरकर्ता क्लीयरग सदस्य या मृत सदस्य के मामले में उसके कानूनी प्रतिनिध् िया उत्तराध्किारी या उसकी ओर से किसी अन्य व्यक्ति ने निम्न को र्पू रूप से अदा और संतुष्ट न किया हो :

(क) ऐसे अ–िदान, कर्ज, जुर्माने, शुल्क, प्र–ार और अन्य ध्नराशियां, अंतर या मृत सदस्य द्वारा एक्सच—ज/क्लीयरिंग कारपोरेशन को देय मानी जाती ह, जैसाकि संबद्ध प्राध्किारी द्वारा निर्धरित की जाती है।

(न्न्) एक्सच—ज/क्लीयरिंग कारपोरेशन के नियमा—, उप-विधियों और विनियमना— के अध्यध्ीन ऐसे क्लीयरिंग सदस्य द्वारा किन्हीं संविदाआ— से उठने वाले ऐसे कर्ज, देनदारियां, दायित्व और दावे जैसाकि संबद्व प्राध्किारी द्वारा स्वीकार किए गए हैं।''

2. नियम 6(10) (न्न्) (v) के पश्चात्‌ निम्नलिन्न्ति न्न्ंड जोड़ा जाएगा ः

The Rules of MCX Stock Exchange Ltd. were amended at the Meeting of its Board of Directors held on June 28, 2012 as below. These amendments were approved by SEBI vide its Letter No. MRD/DSA/MCX-SXOW/6395/2013 dated March 14, 2013 :

(A) CHAPTER–III : TRADING MEMBERSHIP

1. After Rule 18(ca), the following shall be inserted, namely :—

"18(cb) Without prejudice to other provisions of this Chapter, transfer of membership of the Exchange is permissible, subject to the following : —

i. A member of not less than three years' standing who desires to resign, may transfer its membership to a person eligible under these Rules for admission to membership of the Exchange;

ii. The legal representatives of a deceased member or his heirs may with the sanction of the relevant authority transfer the membership of the deceased member to any person eligible under these Rules for admission to membership of the Exchange as a candidate for admission in the places of the deceased member.

iii. If a transferee be not eligible under these Rules or if a transferee be rejected by the relevant authority a fresh application for transfer of membership may be submitted to the Exchange.

iv. (a) Any such transfer shall be effective only after

obtaining prior approval of the relevant authority;

(b) The transferor shall make a written application duly signed by the transferor and containing the full name of and signed by the transferee;

(c) The application seeking prior approval shall be in such form as the relevant authority may from time to time prescribe.

v. A transferee under this clause shall be admitted by the relevant authority only if he fulfills all eligibility requirements for becoming member of the Exchange and adheres to other requirements applicable to a member including the deposit requirements.

vi. The relevant authority shall not approve a transfer unless the transferring member or in the case of a deceased member his legal representatives or heirs or any other person on his behalf shall have paid and satisfied in full :—

(a) such subscriptions, debts, fines, fees, charges and other monies as shall have been determined by the relevant authority to be due to the Exchange or the Clearing Corporation by the transferring or deceased member.

(b) such debts, liabilities, obligations and claims arising out of any contracts made by such member subject to the Rules, Bye-laws and Regulations of the Exchange as shall have been admitted by the relevant authority."

2. After Rule 18(b)(v) the following clause shall be inserted :—

"vi. by making a transfer in compliance with clause 18(cb)

of this Chapter;"

3. After Rule 18(d)(v) the following clause shall be inserted :—

"vi. Upon transfer of his membership in compliance with

clause 18(cb) of this Chapter;"

(B) CHAPTER–IV : CLEARING MEMBERSHIP

1. After Rule 6(10)(ca), the following shall be inserted, namely :—

"6(10)(cb) Without prejudice to other provisions of this Chapter, transfer of clearing membership is permissible, subject to the following :—

i. A clearing member of not less than three years' standing who desires to resign may transfer its membership to a person eligible under these Rules for admission to the clearing membership;

ii. The legal representatives of a deceased clearing member or his heirs may with the sanction of the relevant authority transfer the membership of the deceased clearing member to any person eligible under these Rules for admission to clearing membership as a candidate for admission in the places of the deceased clearing member.

iii. If a transferee be not eligible under these Rules or if a transferee be rejected by the relevant authority a fresh application for transfer of membership may be submitted to the relevant authority.

iv. (a) Any such transfer shall be effective only after

obtaining prior approval of the relevant authority;
