(iv) स्टॉक एक्सचेंज प्रत्येक तिमाही की समाप्ति से 45 दिन के अंदर (खंड 35 और 49 के संबंध में) और खंड 31 और 41 के अधीन रिपोर्ट प्रस्तुत करने की नियत तारीख से 15 दिन के अंदर सूचीबद्ध प्रतिष्ठानों के अनुपालन की स्थिति की समीक्षा करेगा और अनुपालन सुनिश्चित करने और नोटिस की तारीख से 15 दिन के अंदर जुर्माना अदा करने के लिए चूककर्ता प्रतिबद्ध प्रतिष्ठानों को नोटिस जारी करेगा।
(v) यदि कोई चूककर्ता सूचीबद्ध प्रतिष्ठान उपर्युक्त नोटिस की प्राप्ति के बावजूद जुर्माने की अदायगी नहीं करता है तो स्टॉक एक्सचेंज द्वारा अभियोजन सहित प्रवर्तन संबंधी समुचित कार्रवाई आरंभ की जा सकती है।
व्यापार के लिए नई श्रेणी ''जैड'' सृजित करना
(vi) ऐसे चूककर्ता सूचीबद्ध प्रतिष्ठानों के शेयरों के व्यापार के लिए एक नई श्रेणी ''जैड'' सृजित की जाएगी, जिसमें व्यापारों को ''व्यापार के लिए व्यापार'' आधार पर किया जाएगा।
(vii) यदि कोई प्रतिष्ठान जारी किए गए उपर्युक्त नोटिस की तारीख से 15 दिन के अंदर सूचीकरण करार के उपर्युक्त खंडों के अनुपालन में दो या दो से अधिक बार लगातार चूक करता है तो ऊपर विनिर्दिष्ट जुर्माना लगाने के अलावा सूचीबद्ध प्रतिष्ठान के प्रतिभूति पत्र को 'जैड' श्रेणी में डाल दिया जाएगा।
(viii) सूचीबद्ध प्रतिष्ठानों के प्रतिभूति पत्र को उसी स्थिति में सामान्य व्यापार श्रेणी में वापस लाया जाएगा, यदि वह सूचीकरण करार के संबंध्ति खंडों का अनुपालन करेगा और ऊपर निर्धारित जुर्माने की पूरी अदायगी करेगा।
(ix) चूककर्ता प्रतिष्ठान के शेयर को ''जैड'' श्रेणी में डालने अथवा ''जैड'' श्रेणी से हटाने से पहले निवेशक को 7 दिन का नोटिस दिया जाएगा।
35गः सूचीबद्ध प्रतिष्ठानों के शेयरों के व्यापार के निलंबन या निलंबन रद्द करने के संबंध में मानक प्रचालन प्रक्रिया
(क) व्यापार के निलंबन के लिए मानक प्रचालन प्रक्रिया
(i) सूचीबद्ध प्रतिष्ठानों के शेयरों के व्यापार करने के निलंबन का मापदंड
(क) लगातार दो वित्त वर्षों तक वार्षिक रिपोर्ट प्रस्तुत करने के संबंध में सूचीकरण करार के खंड 31 का अनुपालन न करना।

(ग) लगातार दो तिमाहियों तक वित्तीय परिणामों को प्रस्तुत करने के संबंध में सूचीकरण करार के खंड 41 का पालन न करना।
(घ) लगातार दो तिमाहियों तक कॉरपोरेट सुशासन की अनुपालन रिपोर्ट प्रस्तुत करने के संबंध में सूचीकरण करार के खंड 49 का अनुपालन न करना।

(च) उपर्युक्त किसी एक या सभी आधारों पर किसी अन्य मान्यताप्राप्त स्टॉक एक्सचेंज द्वारा उस प्रतिष्ठान को व्यापार के निलंबन का नोटिस प्राप्त होना।
(ii) खंड क(i)(च) के सिवाय उपर्युक्त आधारों में से किसी आधार के कारण व्यापार को निलंबित करने से पहले चूककर्ता सूचीबद्ध प्रतिष्ठान को लिखित नोटिस दिया जाएगा, जिसमें उससे उपर्युक्त खंड (क) से (ङ) में उल्लिखित अपेक्षा (अपेक्षाओं) का अनुपालन करने और सूचना की तारीख के 21 दिन के अंदर लागू जुर्माने की अदायगी करने के लिए कहा जाएगा।
(iii) यदि उपर्युक्त समय के अदंर स्टॉक एक्सचेंज से सूचना प्राप्त होने के बावजूद चूककर्ता सूचीबद्ध प्रतिष्ठान उपर्युक्त अपेक्षा (अपेक्षाओं) का अनुपालन नहीं करता है और जुर्माने की अदायगी नहीं करता है तो स्टॉक एक्सचेंज डिपॉजिटरीज को तत्काल सूचित करेगा कि वह चूककर्ता प्रतिष्ठानों के प्रमोटर और प्रमोटरों के समूह के संपूर्ण शेयरधारण को रोक दे। इसके साथ ही, 21 दिन (निलंबन की प्रस्तावित तारीख से पहले) का सार्वजनिक नोटिस स्टॉक एक्सचेंज की वेबसाइट पर डाल दिया जाएगा, जिसमें चूककर्ता सूचीबद्ध प्रतिष्ठानों के शेयरों के व्यापार के निलंबन का प्रस्ताव दिया जाएगा।
(iv) यदि चूककर्ता सूचीबद्ध प्रतिष्ठान अपेक्षा (अपेक्षाआें) का पालन कर देते हैं और निलंबन की प्रस्तावित तारीख से 5 दिन पहले जुर्माने की अदायगी कर देते हैं तो उनके शेयरों का व्यापार प्रस्तावित तारीख को निलंबित नहीं किया जाएगा और डिपॉजिटरीज को सूचित किया जाएगा कि वे अनुपालन की तारीख से एक महीने के बाद उस प्रतिष्ठान के प्रमोटरों और प्रमोटरों के समूह के शेयरों पर लगी रोक को हटा दें। इसके साथ ही, स्टॉक एक्सचेंज की वेबसाइट पर यह सूचना डाल दी जाएगी जिसमें यह सूचित किया जाएगा कि प्रतिष्ठान ने अपेक्षाओं का अनुपालन कर लिया है।
(v) यदि उपर्युक्त अपेक्षा (अपेक्षाओं) और/या जुर्माने की अदायगी का अनुपालन नहीं किया जाता है तो चूककर्ता सूचीबद्ध प्रतिष्ठानों के शेयरों के व्यापार को निलंबित कर दिया जाएगा और ऐसे चूककर्ता सूचीबद्ध प्रतिष्ठान के प्रमोटर/प्रमोटरों के समूह के संपूर्ण शेयरधारण पर निलंबन रद्द किए जाने की तारीख से तीन माह की समाप्ति तक के लिए रोक लगा दी जाएगी।
(vi) चूककर्ता प्रतिष्ठानों के शेयरों के व्यापार को निलंबित करते समय ऐसे अन्य स्टॉक एक्सचेंजों को निलंबन की सूचना दी जाएगी, जहां चूककर्ता प्रतिष्ठानों के शेयर सूचीबद्ध हैं। अन्य स्टॉक एक्सचेंज (स्टॉक एक्सचेंजों) में सूचीबद्ध प्रतिष्ठानों के व्यापार के निलंबन के बारे में अन्य स्टॉक एक्सचेंज (स्टॉक एक्सचेंजों) से सूचना प्राप्त होने पर यह स्टॉक एक्सचेंज भी उस प्रतिष्ठान के शेयरों के व्यापार को निलंबित कर देगा।
(vii) निलंबन के 15 दिन बाद 6 महीने तक प्रत्येक सप्ताह के पहले व्यापार दिन को चूककर्ता प्रतिष्ठान के शेयरों के व्यापार की ''व्यापार के आधर पर व्यापार'' करने की अनुमति दी जाएगी। इस संबंध में स्टॉक एक्सचेंज अपने व्यापार सदस्यों/स्टॉक के दलालों को अनुदेश देगा कि वे ''व्यापार के आधार पर व्यापार'' करने वाले चूककर्ता प्रतिष्ठानों के शेयरों की खरीद के लिए आदेश स्वीकार करने से पहले ग्राहकों से पुष्टि प्राप्त करें।
(viii) स्टॉक एक्सचेंज व्यापार टर्मिनलों पर एक सचेतक संदेश प्रसारित करेगा कि इस कंपनी के शेयरों का व्यापार निलंबित है और ''व्यापार के लिए व्यापार आधार पर'' किया जा रहा है और उस स्थिति में व्यापार को पूर्णतः बंद कर दिया जाएगा, यदि कंपनी 6 माह तक चूककर्ता कंपनी बनी रहती है।
(ख) व्यापार निलंबन को रद्द करने के लिए मानक प्रचालन प्रक्रिया
(i) यदि चूककर्ता सूचीबद्ध प्रतिष्ठान निलंबन की तारीख से 3 माह के अंदर उपर्युक्त अपेक्षा (अपेक्षाओं) का पालन करता है और देय जुर्माने की अदायगी करता है तो उसके शेयरों के व्यापार के निलंबन को स्टॉक एक्सचेंज द्वारा रद्द किया जा सकता है।
(ii) यदि चूककर्ता सूचीबद्ध प्रतिष्ठान निलंबन की तारीख से 3 महीने बाद उपर्युक्त अपेक्षा (अपेक्षाओं) का अनुपालन करता है और देय जुर्माने की अदायगी करता है तो ऐसे अनुपालन की तारीख से तीन अन्य माह की अवधि के बाद उसका निलंबन रद्द किया जा सकता है।
(iii) उस प्रतिष्ठान के शेयरों के व्यापार के निलंबन को रद्द करने से 7 दिन पूर्व स्टॉक एक्सचेंज द्वारा अपनी वेबसाइट पर एक सार्वजनिक नोटिस जारी किया जाएगा।
(iv) निलंबन के रद्द होने की तारीख से तीन माह बाद प्रमोटर और प्रमोटरों के समूह के शेयरों पर लगी रोक को हटाने के लिए एक्सचेंज डिपॉजिटरीज को सूचना भेजेगा।
(v) निलंबन रद्द किए जाने के बाद निलंबन रद्द करने की तारीख से 3 महीने की अवधि तक ''व्यापार के लिए व्यापार'' आधार पर ही शेयरों के व्यापार की अनुमति दी जाएगी और इस तीन महीने की अवधि के बाद उस प्रतिष्ठान के शेयरों का व्यापार, इस संबंध में 7 दिन का पूर्व नोटिस देने के बाद व्यापार की सामान्य श्रेणी में वापस लाया जाएगा।

It has advised the Exchange to make necessary insertions/changes in the Bye-Laws of the Exchange. Delhi Stock Exchange Limited invites comments/criticism on proposed insertions in the Bye-Law No. 35B and 35C from all persons who may be affected thereby. The comments/criticism must reach the office of the Company Secretary, Delhi Stock Exchange Limited, DSE House, 3/1, Asaf Ali Road, New Delhi-110002 within 15 days from the date of publication.
The following Bye-Law 35B and 35C are to be incorporated in the Bye-Laws of the Exchange:—
35B- Uniform Fine Structure for non-compliance of certain clauses of the listing agreement
i. The Exchange shall impose fine on listed entities for non-compliance with certain clauses of the listing agreement due to non-submission/delay in submission of reports/documents to Exchange as under:—

ii. The amount of fine realized as per the above structure shall be credited to the "Investor Protection Fund" of the Exchange.
iii. The names of non-compliant listed entities that are liable to pay fine for non-compliance of the above clauses of the listing agreement shall be disseminated on Exchange's website.
iv. The Exchange shall review the compliance status of the listed entities within 45 days from the end of the each quarter (for clauses at 35 and 49) and within 15 days from the due date of submissions under the clauses 31 and 41 and issue notices to the non-compliant listed entities to ensure compliance and pay fine within 15 days from the date of the notice.
v. If any non-compliant listed entity fails to pay the fine despite receipt of the notice as stated above, appropriate enforcement action including prosecution may be initiated by the Exchange.
Creation of a new category "Z" for trading
vi. A new category "Z" for trading of shares of such non- compliant listed entities shall be created wherein trades shall take place in 'trade for trade' basis.
vii. If a listed entity commits two or more consecutive defaults in compliance of the aforesaid clauses of the listing agreement within 15 days from date of the notice issued as above, in addition to imposing fine as specified above, the scrip of the listed entities shall be moved to "Z" category.
PART IV] THE GAZETTE OF INDIA, JANUARY 11, 2014 (PAUSA 21, 1935) 35viii. The scrip of the listed entities shall be moved back to the normal trading category, if it complies with respective clauses of the listing agreement and completely pays fine prescribed as above.
ix. Seven days prior public notice to investors shall be given before moving the share of non-compliant entity to "Z" category or vice versa.
35C - Standard Operating Procedure (SOP) for suspension and revocation of trading in the shares of listed entities
(a) SOP for suspension of trading
i. Criteria for suspension of the trading in the shares of the listed entities:
(a) failure to comply with clause 31 of listing agreement with respect to submission of Annual Report for 2 consecutive financial years;
(b) failure to comply with clause 35 of listing agreement with respect to submission of shareholding pattern for two consecutive quarters;
(c) failure to comply with clause 41 of listing agreement with respect to submission of financial results for two consecutive quarters;
(d) failure to comply with clause 49 of listing agreement with respect to submission of corporate governance compliance report for two consecutive quarters;
(e) failure to submit information on the reconciliation of shares and capital audit report, for two consecutive quarters;
(f) receipt of the notice of suspension of trading of that entity by any other recognised stock Exchange on any or all of the above grounds.
ii. Before suspension of trading on any of the above grounds, except clause a(i)(f), a written intimation shall be given to the noncompliant listed entity calling upon it to comply with respective requirement(s) mentioned in clause (a) to (e) above and pay the applicable fine within 21 days of the date of the intimation.
iii. If the non-compliant listed entity fails to comply with aforesaid requirement(s) and pay fine despite the receipt of the intimation of the Exchange within the time as aforesaid, the Exchange shall forthwith intimate depositories to freeze entire shareholding of the promoter and promoter group of the non-compliant entity. Simultaneously, a 21 days (prior to the proposed date of suspension) public notice shall be given on Exchange's website proposing suspension of trading in the shares of the non-compliant listed entity.
iv. If the non-compliant listed entity complies with respective requirement(s) and pays fine five days before the proposed date of suspension, the trading in its shares shall not be suspended on the proposed date and the depositories shall be intimated to unfreeze, after one month from the date of compliance, the shares of the promoter and promoter group of the entity. Simultaneously, a public notice shall be given on Exchange's website informing compliance by the entity.
v. In case of failure to comply with respective requirement(s) and/or pay fine as aforesaid, the trading in the shares of a non-compliant listed entity shall be suspended and the entire shareholding of promoter/promoter group of such non- compliant listed entity shall remain frozen till expiry of three months from the date of revocation of suspension.
vi. While suspending trading in the shares of the non-compliant entity intimation of suspension to other stock Exchanges where the shares of the non-compliant entity are listed shall be given. On receipt of intimation from other stock Exchange(s) about the suspension of trading of listed entity on other Stock Exchange(s), the Exchange shall also suspend trading in the shares of the entity.
vii. After 15 days of suspension, trading in the shares of non-compliant entity may be allowed on the "Trade for Trade" basis, on the first trading day of every week for 6 months. In this regard, the Exchange shall give instruction to its trading members/stock brokers to obtain confirmation from clients before accepting an order for purchase of shares of non-compliant entity on the 'Trade for Trade' basis.
viii. The Exchange shall publish caution message "Trading in shares of the company is under 'suspension and trade to trade basis' and trading shall stop completely if the company remains not compliant for six months " on trading terminals.
(b) SOP for revocation of suspension of trading
i. If the non-compliant listed entity complies with the aforesaid requirement(s) and pays applicable fine within three months from the date of suspension, the suspension of trading of its shares may be revoked by the Exchange.
ii. If the non-compliant listed entity complies with the aforesaid requirement(s) and pays applicable fine after three months from the date of suspension, the suspension of trading of its shares may be revoked after a period of three more months from the date of such compliance.
36 THE GAZETTE OF INDIA, JANUARY 11, 2014 (PAUSA 21, 1935) [PART IViii. Seven days prior to revocation of suspension of trading in shares of the entity, a public notice shall be issued by the Exchange on its website.
iv. After three months from the date of revocation of the suspension, the Exchange shall send intimation to the depositories to unfreeze the shares of the promoter and promoter group.
v. After revocation of suspension, the trading of shares shall be permitted only in the 'Trade for Trade' basis for a period of three months from the date of revocation and after this period of three months, trading in the shares of the entity shall be shifted back to the normal trading category, after giving prior notice of 7 days to it.
