प्रतिभूति संविदा (विनियम) नियमावली, 1957 के नियम 18 की अपेक्षाओं के अनुसार, नेशनल सिक्योरिटीज क्लीयरिंग कारपोरेशन लिमिटेड की उप-विधियों में प्रस्तावित संशोधन, जैसाकि नीचे दिए गए हैं, सामान्य खंड अधिनियम, 1897 की धारा 23 के उपबधों के अनुसार भारत के शासकीय राजपत्र में प्रकाशित किए जाते हैं। उप-विधियों के प्रस्तावित संशोधनों पर कोई प्रेक्षण रखने वाला कोई व्यक्ति इन्हें राजपत्र में इस प्रकाशन की तारीख से पन्द्रह दिन के भीतर लिखित में अधोहस्ताक्षरी को एक्सचेंज प्लाजा, सी-1, ब्लॉक जी, बांद्रा-कुर्ला काम्प्लेक्स, ब्रांदा (पूर्व), मुंबई-400051 को भेज सकता है। उपरोक्त 15 दिन की अवधि के पश्चात प्राप्त प्रेक्षणों को मसौदा संशोधनों पर विचार करते समय ध्यान में नहीं रखा जाएगा।

एनएससीसीएल उपविधियों के अध्याय-VI में मौजूदा उप-विधि 10 के पश्चात उप-विधि 10क और उप-विधि 10ख के रूप में निम्नलिखित खंडों को अंतःस्थापित किए जाने का प्रस्ताव है ः-

10क. निपटान की निश्चयात्मकता

(1) सौदे के संबंध में भुगतान और निपटान को समय-समय पर सेबी के पूर्व अनुमोदन से संबद्ध प्राधिकारी द्वारा यथा विनिर्दिष्ट नेटिंग या सकल प्रक्रिया के अनुसार निर्धारित किया जाएगा।

(2) सौदे के संबंध में भुगतान और निपटान अंतिम, अप्रतिसंहरणीय और क्लीयरिंग सदस्यों पर बंधनकारी होगा।

(3) जब कोई निपटान अंतिम और अप्रतिसंहरणीय हो जाता है, तो क्लीयरिंग कारपोरेशन को इन उप-विधियों के अनुसार इसके निपटान या अन्य दायित्वों के लिए क्लीयरिंग सदस्य द्वारा किसी संपाश्र्विक या जमाराशियां या दिए गए मार्जिनों के विनियोजन का अधिकार होगा।

(4) संदेह को दूर करने के लिए यह एतद्‌द्वारा घोषित किया जाता है कि निपटान, चाहे सकल हो या निवल हो, उपर्युक्त खंड (1) में उल्लिखित अंतिम और प्रतिसंहरणीय है, ज्योंहि ऐसा निपटान निर्धारित हो जाता है के फलस्वरूप देय धनराशि, प्रतिभूतियां या अन्य लेन-देन, चाहे ऐसी धनराशि, प्रतिभूति या अन्य लेन-देन वास्तविक में अदा किए गए हों या नहीं।

(5) उपर्युक्त खंड (1) के प्रयोजनार्थ, ''नेटिंग'' का अर्थ क्लीयरिंग कारपोरेशन द्वारा समाप्त करने से उठने वाले दावे और दायित्वों सहित प्रतिभूतियों की खरीद और बिक्री से उठने वाले परस्पर दायित्वों के प्रतिसंतुलन या समायोजन द्वारा क्लीयरिंग सदस्यों के क्लीयरिंग कारपोरेशन द्वारा निवल भुगतान या डिलीवरी दायित्वों का निर्धारण करना है, ऐसी परिस्थितियों में भविष्य की तारीख में निपटान के लिए स्वीकार किए सौदों को क्लीयरिंग कारपोरेशन उप-विधियों में निर्दिष्ट कर सकती है, ताकि केवल निवल दावे की मांग की जा सके या निवल दायित्व की देनदारी हो सके।

(6) संदेह को दूर करने के लिए, एतद्‌द्वारा यह घोषित किया जाता है कि उपर्युक्त खंड (5) में उल्लिखित क्लीयरिंग कारपोरेशन द्वारा समाप्ति से उठने वाले दावे ओर दायित्व का तात्पर्य इन उप-विधियों के अनुसार बंद किए गए सौंदों से उठने वाले दावे और दायित्व होगा।

(10ख) क्लीयरिंग कारपोरेशन का अधिकार

क्लीयरिंग कारपोरेशन को उनके क्लीयरिंग और निपटान कार्यों के निर्वहन से उठने वाली इसके क्लीयरिंग सदस्यों से देयताओं को वसूल करने में क्लीयरिंग सदस्यों के संपाश्र्विक, जमाराशियों और आस्तियों से क्लीयरिंग सदस्यों के विरूद्ध किसी अन्य देनदारी या दावे पर प्राथमिकता होगी।

(6) संदेह को दूर करने के लिए, एतद्‌द्वारा यह घोषित किया जाता है कि उपर्युक्त खंड (5) में उल्लिखित क्लीयरिंग कारपोरेशन द्वारा समाप्ति से उठने वाले दावे ओर दायित्व का तात्पर्य इन उप-विधियों के अनुसार बंद किए गए सौंदों से उठने वाले दावे और दायित्व होगा।

(9ख) क्लीयरिंग कारपोरेशन का अधिकार

क्लीयरिंग कारपोरेशन को उनके क्लीयरिंग और निपटान कार्यों के निर्वहन से उठने वाली इसके क्लीयरिंग सदस्यों से देयताओं को वसूल करने में क्लीयरिंग सदस्यों के संपाश्र्विक, जमाराशियों और आस्तियों से क्लीयरिंग सदस्यों के विरूद्ध किसी अन्य देनदारी या दावे पर प्राथमिकता होगी।

NATIONAL SECURITIES CLEARING CORPORATION LIMITED

As per the requirements of Rule 18 of Securities Contracts (Regulation) Rules, 1957, the proposed amendments to the Byelaws of the National Securities Clearing Corporation Limited, as given hereunder, is published for criticism in accordance with the provisions of Section 23 of the General Clauses Act, 1897 in the official Gazette of India. Any person having any observations on the proposed amendments to the Byelaws can send the same in writing to the undersigned at Exchange Plaza, Plot C-1, Block G, Bandra-Kurla Complex, Bandra (East), Mumbai - 400 051 within fifteen days from the date of this publication in the Gazette. The observations received after the aforementioned period of 15 days will not be considered when the proposed amendments will be taken for consideration.

It is proposed to insert the following clauses as Byelaw 10A and Byelaw 10B in Chapter VI of NSCCL Byelaws after existing Byelaw 10:-

10A. Settlement Finality

(1) The payment and settlement in respect of a deal shall be determined in accordance with the netting or gross procedure as specified by the relevant authority with the prior approval of SEBI from time to time.

(2) Payment and settlement in respect of a deal shall be final, irrevocable and binding on the Clearing Members.

(3) When a settlement has become final and irrevocable, the right of the Clearing Corporation to appropriate any collaterals or deposits or margins contributed by the clearing member towards its settlement or other obligations in accordance with these Byelaws shall take priority over any other liability of or claim against the said clearing member.

(4) For removal of doubts, it is hereby declared that the settlement, whether gross or net, referred to in Clause (1) above is final and irrevocable as soon as the money, securities or other transactions payable as a result of such settlement is determined, whether or not such money, securities or other transactions is actually paid.

(5) For the purpose of Clause (1) above, "netting" means the determination by Clearing Corporation of net payment or delivery obligations of the clearing members by setting off or adjustment of the inter se obligations or claims arising out of buying and selling of securities including the claims and obligations arising out of the termination by the Clearing Corporation, in such circumstances as the Clearing Corporation may specify in Byelaws, of the deals admitted for settlement at a future date, so that only a net claim be demanded, or a net obligation be owed.

(6) For removal of doubts, it is hereby declared that claims and obligations arising out of the termination by the Clearing Corporation referred to in clause (5) above shall mean claims and obligations arising out of deals closed out in accordance with these Byelaws.

(10B) Right of Clearing Corporation

The right of clearing corporation to recover the dues from its clearing members, arising from the discharge of their clearing and settlement functions, from the collaterals, deposits and the assets of the clearing members, shall have priority over any other liability of or claim against the clearing members.
