At an Extra-ordinary General Meeting of Shareholders of EBC (India) Company Private Limited duly convened and held at the registered office at S-405 (LGF) Greater Kailash-II, New Delhi-110048 on the Wednesday, 16th April, 2014 at 12:00 Hrs. the following special resolution passed:
"RESOLVED FURTHER THAT pursuant to the provisions of section 490(1) of the Companies Act,1956 Ms. Kiran Sharma practicing company secretary having her office at A370, Kalkaji, New Delhi-110019 be and is here by appointed as the Liquidator of the Company for the purpose of the members' voluntary winding up of the affairs of the Company and with all powers as per section 512 of the Companies Act,1956 to finalize the affairs of the Company and except for out of pocket expenses, no remuneration will be payable to the Liquidator for the winding up of the affairs of the Company and that the directors be instructed to give a notice of such appointment to the Registrar of Companies, NCT Delhi and Haryana."
