एतत्‌द्वारा सामान्य रूप से सूचित किया जाता है कि नेशनल पावर एक्सचेंज लिमिटेड (सीआईएन/यू 40100 डीएल 2008 पीएलसी185689) के पंजीकृत कार्यालय कोर-7, स्कोप परिसर, 7 संस्थागत क्षेत्र, लोदी रोड, नई दिल्ली - 110003 में दिनांक 28 अक्तूबर, 2014 को अपराह्‌न 2.30 बजे आयोजित असाधारण आम सभा में कंपनी के स्वैच्छिक समापन करने हेतु सदस्यों द्वारा निम्नलिखित विशेष संकल्प पारित किए गएः-

1. संकल्पित किया जाता है कि कंपनी अधिनियम, 1956 की धारा 484(1)(बी) के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संशोधन(नों) या तत्संबंधी पुनराधिनियमन सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार सदस्यों द्वारा स्वैच्छिक समापन के रूप में कंपनी के कार्यकलापों को बंद करने के लिए एतत्‌द्वारा अनुमति प्रदान की जाती है।

2. संकल्पित किया जाता है कि कंपनी अधिनियम, 1956 की धारा 490 के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संशोधन(नों) या तत्संबंधी पुनराधिनियमन सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार, कंपनी के कार्यकलापों का सदस्यों द्वारा स्वैच्छिक समापन करने हेतु श्री अरूण सक्सेना, चार्टर्ड एकाउंटेंट (सदस्यता संख्या : 84827) के कंपनी के परिसमापक के रूप में नियुक्ति हेतु एतत्‌द्वारा अनुमति प्रदान की जाती है।

आगे, इस कार्य के लिए पारिश्रमिक के रूप में 2,00,000/- रुपए और लागू कर का भुगतान करने के संकल्प का भी अनुमोदन प्रदान किया जाता है।

आगे यह भी संकल्प किया जाता है कि परिसमापक, कंपनी अधिनियम, 1956 की धारा 512 तथा धारा 457के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संशोधन(नों) या तत्संबंधी पुनराधिनियमन सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार, एतद्‌द्वारा स्वैच्छिक सदस्य के रूप मे कंपनी के कार्यों को बंद करने के लिए सभी अधिकारों एवं दायित्वों का प्रयोग करेगा।

3. परिसमापक की नियुक्ति होते हुए भी, कंपनी के संमापन के उद्‌देश्य के लिए श्री ए0 के0 गुप्ता (डीआईएन 02448016) तथा श्री अरूण सक्सेना, चार्टर्ड एकाउंटेंट (सदस्यता संख्या : 84827) को संयुक्त रूप से विद्यमान बैंक खातों को खोलने, चलाने या चालू खाता खोलने और बंद के लिए एतत्‌द्वारा अधिकृत किये जाते है।

Notice is hereby given for general information that the members of National Power Exchange Limited (CIN/U40100DL2008PLC185689) at an Extra Ordinary General Meeting of the Company held on 28th October, 2014 at 2:30 P.M., at the Registered Office of the Company at Core – 7, SCOPE Complex, 7, Institutional Area, Lodi Road, New Delhi- 110 003, have passed the following Special Resolutions to wind up the above Company voluntarily :

1. Resolved that pursuant to provisions of Section 484(1) (b) and all other applicable provisions, if any, of the Companies Act, 1956 (including any statutory modification(s) or re-enactment thereof, for the time being in force) and the rules and regulations there under, approval be and is hereby accorded to voluntarily wind up the affairs of the Company as the members' voluntary winding up.

2. Resolved that pursuant to provisions of Section 490 and all other applicable provisions, if any, of the Companies Act, 1956 (including any statutory modification(s) or re-enactment thereof, for the time being in force) and the rules and regulations there under, approval be and is hereby accorded to appoint Shri Arun Saxena, Chartered Accountant (Membership Number: 84827) as the liquidator of the Company for the purpose of members' voluntary winding up of the affairs of the Company.

Further resolved that remuneration of Rs. 2,00,000/- (Rupees Two Lakh) plus applicable taxes be and is hereby approved.

Further resolved that the Liquidator shall exercise all the powers and duties pursuant to provision of section 512 and section 457 and all other applicable provisions, if any, of the Companies Act, 1956 (including any statutory modification(s) or re-enactment thereof, for the time being in force) and the rules and regulations thereunder for the purpose of members' voluntary winding up of the Company.

3. Resolved that notwithstanding appointment of the liquidator of the Company, Shri A.K. Gupta (DIN: 02448016) and Shri Arun Saxena, Chartered Accountant (Membership Number: 84827) be and are hereby jointly authorised to open, operate the Bank Account already existing or to be opened and close current accounts for the purpose of winding up of the Company.

Further resolved that Shri Arun Saxena, Chartered Accountant (Membership Number: 84827) being the Liquidator may with the approval of promoter companies viz. NTPC Limited, NHPC Limited, Power Finance Corporation Limited and Tata Consultancy Services Limited, appoint any other person in place of Shri A.K. Gupta after his disassociation with respective promoter company.
