इसके अतिरिक्त यह भी प्रस्तावित किया जाता है कि कम्पनी अधिनियम, 1956 की धारा 512 और सभी अन्य लागू प्रावधानों, यदि कोई हों, के प्रावधानों के तहत पूर्णकालिक प्रैक्टिस में कम्पनी सचिव श्री राजीव कुमार अधलखा को एतद् द्वारा कम्पनी अधिनियम, 1956 की धारा 457 के तहत प्रदत्त शक्तियों में से किसी अथवा सभी का प्रयोग करने के लिये पूर्णतया अधिकृत किया जाता है।
इसके अतिरिक्त यह भी प्रस्तावित किया जाता है कि पूर्णकालिक प्रैक्टिस में कम्पनी सचिव श्री राजीव कुमार अधलखा स्वैच्छिक लिक्विडेटर्स को एतद् द्वारा कम्पनी (कोर्ट) नियमों, 1959 के प्रावधानों के अनुरूप किसी अनुसूचित बैंक में लिक्विडेशन का एक विेशेष चालू खाता खोलने और इसको मैंनटेन करने के लिये अधिकृत किया जाता है।
इसके अतिरिक्त यह भी प्रस्तावित किया जाता है कि कम्पनी के निदेशकों को एतद् द्वारा सभी ऐसे कृत्यों, कार्यों, मामलों और ऐसी चीजों जो वे आवश्यक समझें अथवा उपरोक्त प्रस्तावों को प्रभावी बनाने के लिये उपायों के लिये पूर्णतया अधिकृत किया जाता है।"

In the matter of Members Voluntary Winding up of the Company
Notice is hereby given pursuant to the provisions of Section 485 (1) of the Companies Act, 1956, that TMD Friction India Private Limited (the Company) has passed the following special resolution at the Extra Ordinary General Meeting of the Members held on 30th December 2014 requiring the Company to be wound up voluntarily:-
"RESOLVED THAT pursuant to the provisions of section 484, 490-498 and all other applicable provisions, if any, of the Companies Act, 1956 and subject to the approval of such authorities as may be required, the Company be wound up voluntarily as Members voluntary winding up.
RESOLVED FURTHER THAT the Directors of the Company be and are hereby severally authorized to file necessary E-forms, notice of appointment of voluntary liquidator, other notices, returns and such other documents, papers etc. as may be required with the Registrar of Companies, NCT of Delhi & Haryana and also to release/publish such general notices in an English and Hindi Newspaper circulating in the NCT of Delhi and in the Official Gazette and also to deal with such other authority as may be required.
RESOLVED FURTHER THAT Mr. Rajiv Kumar Adlakha, Company secretary in Whole Time Practice, be and is hereby appointed as the voluntary liquidator for the purpose of members voluntary winding up and shall be paid a remuneration of Rs.1,50,000/- (Rupees One Lac Fifty Thousand only) and service tax and such payment will be subject to deduction of applicable taxes, for acting as the Voluntary Liquidator of the Company.
RESOLVED FURTHER THAT the Directors of the Company be and are hereby severally authorized to draw and tender before the Voluntary Liquidator the statement of Company's affairs in terms of Section 454 read with Section 511A of the Companies, Act 1956 in Form 57 (Rule 127 of the Company (Court) Rules, 1959) in duplicate duly verified by the affidavit in Form No.58 (Rule 127 of the Company (Court) Rules, 1959) within 21 days of the commencement of the voluntary winding up.
RESOLVED FURTHER THAT pursuant to the provisions of Section 512 and all other applicable provisions, if any, of the Companies Act, 1956, Mr. Rajiv Kumar Adlakha, Company Secretary in Whole Time Practice, be and is hereby authorized to exercise all or any of the powers given under Section 457 of the Companies Act, 1956.
RESOLVED FURTHER THAT Mr. Rajiv Kumar Adlakha, Company Secretary in Whole Time Practice, the Voluntary Liquidator, be and is hereby authorized to open a special current account of liquidation in a scheduled bank and maintain the same in accordance with the provisions of the Company (Court) Rules, 1959.
RESOLVED FURTHER THAT the Directors of the Company be and are hereby severally authorized to do all such acts, deeds, matters and things which they think necessary or expedient to give effect to the above resolutions."
