UNDER VOLUNTARY WINDING UP
Notice is hereby given in the pursuance of section 497 of the Companies Act, 1956 that a general meeting of the members of the John Laing Infrastructure Management Services India Private Limited (Under Member Voluntary Winding Up) will be held at A-1/292, Janak Puri, New Delhi- 110058 on Thursday, March 12, 2015 at 10.30 a.m. for the purpose of having an account laid before them showing the manner in which the winding up has been conducted and the property of the company disposed of and of hearing any explanation that may be given by the liquidator and also of determining by a special resolution of the company, the manner in which the books, accounts and documentation of the company and of liquidator shall be disposed of.

NOTICE
Notice is hereby given for general information that the members of Canaan Advisors Private Limited atan Extraordinary General Meeting of the Company held on Tuesday the 20th Day of January, 2015 at 2765 Sand Hill Road, Menlo Park, California, 94025, USA , have passed the following SpecialResolution to wind up the Company voluntarily:
"RESOLVED THAT pursuant to the provisions of Section 484 (1) (b) of the Companies Act, 1956, the consent of the members of the Company be and is hereby accorded to wind up the affairs of the company as the Members' Voluntary Winding up with effect from 20th January, 2015."
"RESOLVED FURTHER THAT the Declaration of Solvency, Statement of Assets and Liabilities, Affidavits and other documents, as filed with the office of the Registrar of Companies, Delhi & Haryana for registration, be and are hereby considered and approved."
"RESOLVED FURTHER THAT the Directors of the Company be and is hereby authorized jointly orseverally to take all the necessary steps that may be required to give effect to this resolution and to do allsuch acts, deeds and things as may be necessary for Members' Voluntary Winding up of the Company."
Appointment of Liquidator
"RESOLVED THAT pursuant to the provisions of Section 490 of the Companies Act, 1956, Mr. TanujVohra, Company Secretary in whole time practice, be and is hereby appointed as the Liquidator of theCompany for the purpose of Members' Voluntary Winding up of the affairs of the Company at a remuneration of Rs. 3,00,000 (Rupees Three Lakhs only),in addition to the actual out of pocket expensesand taxes as applicable.
