एतद्द्वारा सूचित किया जाता है कि कम्पनी अधिनियम, 1956 के खंड 485(1) के अनुसरण में कम्पनी ने 20 फरवरी, 2015 को आयोजित अपने सदस्यों की अति-विशिष्ट सामान्य बैठक में निम्नलिखित प्रस्ताव पारित किया हैः
(क) कम्पनी का स्वैच्छिक परिसमापन
प्रस्ताव किया जाता है कि कम्पनी अधिनियम, 1956 के खंड 484(1) (बी) के प्रावधानों और कम्पनी अधिनियम, 1956 के अन्य संगत प्रावधनों तथा कम्पनी अधिनियम, 2013 के साथ पठित उसके अधीन बनाए गए नियमों एवं विनियमों (समय-समय पर यथा संशोधित) के अनुसरण, सभी अपेक्षित अनुमोदनों के अधीन, कम्पनी के स्वैच्छिक परिसमापन के संबंध में सभी अनुमोदनों एवं स्वीकृतियोंं, कम्पनी के सदस्यों की सर्वसम्मत्ति से एतद्द्वारा सदस्य स्वैच्छिक परिसमापन के रूप में कम्पनी के स्वैच्छिक परिसमापन के लिए सहमति दी है।
आगे प्रस्ताव किया जाता है कि निदेशक मंडल के बहुमत दिनांक 12 फरवरी, 2015 द्वारा दी गई साल्वेंसी की घोषणा और निदेशकों द्वारा ली गई शपथ के अनुसार 31 दिसम्बर, 2014 को कम्पनी की परिसम्पत्तियों एवं दायित्वों की अनुमानित वसूली योग्य मूल्य के विवरण को एतद्द्वारा प्रमाणित, अनुमोदित एवं अंगीकार किया है।
आगे प्रस्ताव किया जाता है कि 31 दिसम्बर, 2014 कोे वर्तमान लेखापरीक्षित तुलन पत्र में दिए गए विवरण के अनुसार सभी परिसम्पत्तियों एवं दायित्वों का यथाअनुपात आधार पर इस तिथि को सदस्यों के रजिस्टर में दर्ज नाम वाले सदस्यों के बीच उनके द्वारा धारित शेयर अनुपात के अनुसार बांटा/समायोजित किया है।
(ख) कम्पनी के परिसमापक की नियुक्ति
प्रस्ताव किया जाता है कि कम्पनी अधिनियम, 1956 के खंड 490 के प्रावधानों और कम्पनी अधिनियम, 1956 के अन्य संगत प्रावधानों तथा कम्पनी अधिनियम, 2013 के साथ पठित उसके अधीन बनाए गए नियमों एवं विनियमों (समय-समय पर यथा संशोधित) के अनुसरण में, कम्पनी के शेयरधारकों की आपसी सहमति से एतद्द्वारा जेब खर्च को जोड़कर रु. 65000/- (रूपए पैसठ हजार मात्र) के पारिश्रमिक पर कम्पनी मामलों के परिसमापन के प्रयोजन हेतु कम्पनी के परिसमापक के रूप में श्री रमेश कुमार इन्दोरा, अधिवक्ता की नियुक्ति पर अपनी सहमति दी है।
आगे प्रस्ताव किया जाता है कि श्री रमेश कुमार इन्दोरा, अधिवक्ता, कम्पनी के परिसमापक, कम्पनी के मामलों को प्रभावी एवं कुशल तरीके से बिना किसी प्रतिबंध के कम्पनी अधिनियम, 1956 के लागू प्रावधानों तथा कम्पनी अधिनियम, 2013 के साथ पठित उसके अधीन बनाए गए नियमों एवं विनियमों (समय-समय पर यथा संशोधित) के अनुसार प्रदत्त अधिकारों को लागू करने हेतु अधिकृत हैंः (i) सभी परिसम्पत्तियों के विक्रय सहित ऐसे किसी भी कार्य, सामान एवं विलेख सम्पादित करना, सभी दायित्वों का उचित भुगतान एवं इसके शेयरधारकों को शेयर पूंजी एवं अधिशेष की वापसी करना, (ii) जिस व्यवसाय को परिसमापक स्वयं करने में असमर्थ है, उसके लिए एक एजेंट की नियुक्ति करना, (iii) किसी भी लेन-देन के बिल, कम्पनी के नाम पर और कम्पनी की ओर से हुंडी या बचनपत्र को बनाने, स्वीकार एवं समर्थन करने के साथ यदि बिल, हुंडी या बचनपत्र इसके व्यवसाय के दौरान कम्पनी की ओर से या कम्पनी द्वारा तैयार, स्वीकार अथवा समर्थन किया गया है, के संबंध् में कम्पनी के दायित्व को निभाना, (iv) किसी भी अंशदायी की साल्वेंसी, अपनी स्थापना के अधीन कोई भी शेष और सॉल्वेसी में लाभांश प्राप्त करना, इस शेष के संबंध् में, अन्य पृथक लेनदारों के साथ इन्साल्वेंट एवं आंकलन से देय अलग ऋण को जांचना, भाग एवं दावा करना, (v) रजिस्ट्रार की फाइलों पर कम्पनी के रिकार्डों एवं रिटर्न की जांच करना, (vi) अंशदायी या किसी भी सम्पत्ति से कोई भी बकाया देय जिसे कम्पनी के नाम नहीं किया जा सकता, ऐसे किसी मामलों, कोई भी बकाया राशि, परिसमापक को प्रशासनिक अधिकार प्रदान करने में सक्षम बनाने या राशि की वसूली, जो कि परिसमापक स्वयं के विवेकानुसार बकाया मानता है, के लिए भुगतान प्राप्त करने हेतु आवश्यक किसी भी कार्य में अपने आधिकारिक नाम को प्रस्तुत करना एवं लिखना, (vii) जब एवं जहां भी आवश्यक हो, कम्पनी की मुहर का प्रयोग करना और (viii) सभी कार्यों को करना एवं कम्पनी के नाम पर तथा कम्पनी की ओर से सभी विलेखों, प्राप्तियों एवं अन्य दस्तावेजों को सम्पादित करना।

Notice is hereby given that pursuant to section 485(1) of the Companies Act, 1956 the Company has passed the following Special Resolution at the Extra-ordinary General Meeting of its member's held on 20th February, 2015:
(a) VOLUNTARY WINDING UP OF THE COMPANY:
RESOLVED THAT pursuant to the provisions of Section 484 (1) (b) of the Companies Act, 1956 and other relevant provisions of Companies Act, 1956 and Companies Act, 2013 read with Rules and Regulations made thereunder (as amended from time to time), subject to all requisite approvals, permissions and sanctions with regard to voluntary winding- up of the Company, the consent of the members of the Company be and is hereby accorded for voluntary winding- up of the Company as a members' voluntary winding-up.
RESOLVED FURTHER THAT the declaration of solvency made by the majority of the Board of Directors dated 12th February, 2015 and the statement of estimated realisable value of assets and liabilities of the Company as on December 31, 2014 taken on oath by the directors be and are hereby confirmed, approved and adopted.
RESOLVED FURTHER THAT all the assets and liabilities of the Company as appearing in the latest audited Balance Sheet as on December 31, 2014 be distributed/ adjusted amongst the members of the Company whose name appear in the Register of Members as on that date on a pro-rata basis as per their share holding ratio.
(b) APPOINTMENT OF COMPANY'S LIQUIDATOR:
RESOLVED THAT pursuant to the provisions of Section 490 and other relevant provisions of Companies Act, 1956 and Companies Act, 2013 read with Rules and Regulations made thereunder (as amended from time to time), the Consent of the Shareholders of the Company be and is hereby accorded for appointment of Mr. Ramesh Kumar Indora, Advocate, as Liquidator of the Company for the purpose of winding-up of the affairs of the Company at a remuneration of Rs. 65000/- (Rupees Sixty Five Thousand only) inclusive of out of pocket expenses.
