विशेष व्यापार के सम्बन्ध में कंपनी अध्निियम, 2013 की धारा 102 के प्रावधानों के अनुसार व्याख्यात्मक विवरण

कम्पनी की स्थापना सूती वस्त्र के सामानों का क्रय-विक्रय, आयात-निर्यात व्यापार के लिए किया गया था। प्रारम्भ में कंपनी का व्यापार पारिश्रमिक संबंधी था और कंपनी ने अपने निवेश पूँजी पर पर्याप्त लाभ कमाया, परन्तु जैसा कि सदस्यगण जानते हैं कि पिछले दो वर्षों से कंपनी को नुकसान होना शुरू हो गया और यह 1 वर्ष से किसी भी प्रकार से कोई व्यापार नहीं कर रही है। कंपनी के निदेशक मंडल ने इस विषय पर विचार किया और जैसा कि किसी प्रकार का व्यापारिक उद्देश्य न पूरा होने और लम्बे समय से आर्थिक ाोतों के अभाव से व्यापारिक गतिविध्यिाँ नहीं हो रही हैं। इस प्रकार कंपनी की स्थिति बनाये रखना कोई उपयोगी उद्देश्य पूरा नहीं करता। कंपनी के निदेशकों ने यह महसूस किया कि इसके सिवा कोई विकल्प नहीं है कि कंपनी को स्वेच्छा से बंद करके इसकी सम्पत्ति को सदस्यों में वितरित कर दिया जाय।

निदेशक मंडल ने कंपनी का व्यवहारिक मूल्यांकन करके यह सुनिश्चित किया कि कंपनी की परिसंपत्तियों को साकार करने के बाद यह अपने ऋणों की अदायगी 1 वर्ष के भीतर कर सकती है।

EXPLANATORY STATEMENT PURSUANT TO THE PROVISIONS OF SECTION 102 OF THE COMPANIES ACT, 2013 IN RESPECT OF THE SPECIAL BUSINESS

The Company was formed for the purpose of Buying, trading, selling, exporting, importing and dealing in textile goods etc. Initially the business of the Company was quite remunerative and earned adequate profits on capital invested, but as the members are aware that the Company started incurring losses for past 2 years & is not doing any business activities for the last 1 year. The Board of directors of the Company considered the matter and was of the opinion that in view of the non-availability of business prospects, and long-term financial resources it is not financially viable to carry on the business activities. It therefore does not serve any fruitful purpose to maintain the status of the Company. The directors of the Company feel that there is no alternative but to put the Company into voluntary winding up, realise the assets thereof and distribute the proceeds to the members.

The Board made a pragmatic assessment of the affairs of the Company and has reasonable grounds to form the opinion that the Company will be able to pay its debts in full within a period of one year after realising the assets belonging to the Company.

On the basis of the assessment made by your Board of directors, the members have passed a resolution, declaring solvency of the Company at the Extra Ordinary General Meeting held on Monday the 09th February, 2015.

Your final approval is required for the voluntary winding

up of the Company as given in item No. 1.

None of the Director is interested in the above resolution.

"RESOLVED THAT as per the Resolution passed in the Extra Ordinary General Meeting of the Company held on 09th February, 2015 for voluntary winding up of the company affairs, it is further affirmed and the consent of the members of the company be and is hereby accorded to voluntarily wind up the affairs of the company in accordance with the provisions of Section 484 of the Companies Act, 1956 subject to the Approval of members in the general meeting."

"RESOLVED FURTHER THAT pursuant to the provisions of section 448 of the Companies Act 1956, Mr. Suresh Kumar Gupta Prop. of M/s Suresh Gupta & Associates, Company Secretaries of the company be and is hereby authorised appointed as the Liquidator of the Company for the purpose of the members voluntary winding up of the affairs of the Company to do all such acts, deeds and things as may be required to implement the above said decision of the Board and to issue the notice of the General Meeting as placed before the Board duly initiated by the liquidator for the purpose of identification."
