In the matter of Members' Voluntary Winding up of the Company

Notice is hereby given pursuant to section 485(1) of the Companies Act, 1956, that the Company has passed the following special resolution at the Extra Ordinary GeneralPART IV] THE GAZETTE OF INDIA, MAY 23, 2015 (JYAISTHA 2, 1937) 449 Meeting of its members held on Monday, 20th day of April, 2015 requiring the Company to be wound up voluntarily:

"RESOLVED THAT in terms of the provisions of Section 484(1)(b) and other applicable provisions, if any, of the Companies Act, 1956 the consent of the Shareholders of the Company be and is hereby accorded for voluntary winding up of the Company as a members' voluntary winding up.

RESOLVED FURTHER THAT the Declaration of Solvency and the Statement of estimated realizable value of assets and liabilities thereto payable by the Company as on 28th day of February, 2015 taken on oath by the Directors be and are hereby confirmed, approved and adopted.

RESOLVED FURTHER THAT Mr. Sanjeev Kumar Bajaj, Practicing Company Secretary, be and is hereby appointed as the Liquidator of the Company at a remuneration of Rs. 50,000/- (Rupees Fifty Thousand only) plus re-imbursement of out of pocket expenses, if any.

RESOLVED FURTHER THAT Mr. Sanjeev Kumar Bajaj the Liquidator be and is hereby authorised to exercise all the powers mentioned in Section 457 read with section 512 of the companies Act, 1956 including distribution of the assets of the Company to its members.

RESOLVED FURTHER THAT Mr. Sandeep Tandon and/ or Mr. Rajesh Aggarwal, Directors of the company be and is/are hereby authorized to take the necessary steps to give effect to the above resolutions."
