कम्पनी अधिनियम, 1956 की धारा 485(1) के अनुसरण में एतद्द्वारा सूचित किया जाता है कि मंगलवार, 12 मई, 2015 को आयोजित अरिसेंट कम्यूनिकेशन्स प्राइवेट लिमिटेड की अतिविशिष्ट साधारण बैठक (ईजीएम) में सदस्यों ने "सदस्य" स्वैच्छिक परिसमापन" प्रक्रिया के अंतर्गत कम्पनी के परिसमापन के लिए आवश्यक निम्नलिखित विशेष प्रस्ताव पारित किया हैः
"प्रस्ताव किया जाता है कि कम्पनी अधिनियम, 1956 की धारा 484 के प्रावधानों तथा अन्य लागू प्रावधान, यदि कोई हो (कोई भी सांविधिक संशोधन(नों) या पुनः अधिनियमनों सहित) और लागू सीमा तक कम्पनी अधिनियम, 2013 (इसके बाद समग्र रूप से "अधिनियम" के रूप में विदित) के अनुसरण में सदस्यों ने एतद्द्वारा अधिनियम के प्रावधानों के अनुरूप 12 मई, 2015 से सदस्य स्वैच्छिक परिमापन के रूप में कम्पनी के कारोबार के परिसमापन पर सहमति दी है।"
सदस्यों ने 12 मई, 2015 को आयोजित ईजीएम में एक अन्य विशेष प्रस्ताव पारित कर कम्पनी के परिसमापक के रूप में श्री दीपक नारायण को नियुक्त भी किया है।

Notice is hereby given pursuant to Section 485(1) of the Companies Act, 1956, that in the Extra Ordinary General Meeting (EGM) of the Aricent Communications Private Limited convened on Tuesday, 12th day of May, 2015, the Members have passed the following Special Resolution requiring the Company be wound up under "Members' Voluntary Winding-up" procedure:
"RESOLVED THAT pursuant to the provisions of Section 484 and any other applicable provisions, if any of the Companies Act, 1956 (including any statutory modification(s) or re-enactment thereof) and Companies Act, 2013, to the extent applicable (collectively hereinafter referred as "the Act"), the consent of the Members be and is hereby accorded to wound-up the affairs of the Company as Members' Voluntarily Winding Up w.e.f. May 12, 2015 in accordance with the provisions of the Act."
The Members have also appointed Mr. Deepak Narayan as the Liquidator of the Company by passing another Special Resolution at the EGM held on May 12, 2015.
