In the matter of Members' Voluntary Winding up of the Company
Notice is hereby given pursuant to Section 485(1) of Companies Act, 1956 that the Company has passed the following Special Resolutions at the Annual General Meeting of the members held on 4th June, 2015 requiring the Company to be wound up voluntarily:
1."RESOLVED THAT pursuant to the provision of section 484(1)(b) and other applicable provisions if any, of the Companies Act, 1956, and all other applicable Rules, Regulations, Guidelines and laws (including any statutory modification or re-enactment thereof for the time being in force) and subject to all requisite approvals, permissions and sanctions with regard to voluntary winding up of the Company, the consent of the members of the Company be and is hereby accorded to wind up the affairs of the Company as the members voluntary winding up, w.e.f. 4th June, 2015".
RESOLVED FURTHER THAT the Declaration of Solvency and the Statement of estimated realizable value of assets and liabilities of the Company as on 5th May, 2015 taken on oath by the Directors be and are hereby confirmed, approved and adopted.
RESOLVED FURTHER THAT all the assets and liabilities of the Company as appearing in the latest Audited Balance Sheet as on 31st March, 2015 be distributed/adjusted amongst the members of the Company whose name appear in the Register of Members as on date on a pro-rata basis as per their shareholding ratio.
2. "RESOLVED THAT pursuant to the provision of section 490 of the Companies Act, 1956 Mr. Jitender Singh, a practicing Company Secretary be and is hereby appointed as the Liquidator of the Company for 'the purpose of the members' voluntary winding up of the affairs of the Company.
FURTHER RESOLVED THAT the consent of the members of the Company be and is hereby accorded to sanction the remuneration of liquidator of Rs. 2,00,000/- (Rupees Two Lakh Only) in addition to the actual out of pocket expenses for the winding up of the affairs of the Company."
