कम्पनी को भारत में और/ अथवा कहीं भी, दिल्ली राज्य में रेस्टोरेंट, कैफे, चाय और कॉफी हाउस, बीयर पब्स एंड बार्स, क्योरक्स, काट्‌र्स और व्हील्र्स चलाने के बिजनेस को स्थापित करने और प्रचालन के उदेश्य सहित 5 सितम्बर 2003 को निगमित किया गया । परन्तु, कम्पनी कोई बिजनेस करने में सक्षम नहीं रही है और 7 वर्ष से अधिक समय से प्रचालन में नहीं है। इसके अतिरिक्त, कम्पनी के प्रबंधन को निकट भविष्य में परिस्थितियों में कोई परिवर्तन दिखाई नहीं देता है। अतः कम्पनी के निगमन का प्रयोजन ही निष्फल हो गया और प्रबंधन अब कम्पनी के मामलों का समापन करना चाहता है। निदेशक मंडल ने भी कम्पनी के क्रेडिटर्स की एक सूची और उनके दावों की अनुमानित राशि जो वित्तीय परिणामों सहित यहां सूचना के साथ भी संलग्न है, 21 अप्रैल, 2015 को आयोजित इसकी बैठक के समक्ष रखी। बोर्ड ने सूची और उनके दावों की राशि की समीक्षा की और कम्पनी मे मामलों को समापन करने के लिये इसे अनुमोदित किया। कम्पनी के क्रेडिटर्स की उक्त सूची 19 जून, 2015 को आयोजित की जाने वाली क्रेडिटर्स की असाधारण सामान्य बैठक में उनके अनुमोदन और ग्रहण करने के लिये रखी जाएगी।

(1) सौदे के संबंध में भुगतान और निपटान को समय-समय पर सेबी के पूर्व अनुमोदन से संबद्ध प्राधिकारी द्वारा यथा विनिर्दिष्ट नेटिंग या सकल प्रक्रिया के अनुसार निर्धारित किया जाएगा।

(2) सौदे के संबंध में भुगतान और निपटान अंतिम,

अप्रतिसंहरणीय और क्लीयरिंग सदस्यों पर बंधनकारी होगा।

(3) जब कोई निपटान अंतिम और अप्रतिसंहरणीय हो जाता है, तो क्लीयरिंग कारपोरेशन को इन उप-विधियों के अनुसार इस के निपटान या अन्य दायित्वों के लिए क्लीयरिंग सदस्य द्वारा किसी संपाश्र्विक या जमाराश्यिां या दिए गए मार्जिनों के विनियोजन का अधिकार होगा।

(4) संदेह को दूर करने के लिए यह एतद्‌द्वारा घोषित किया जाता है कि निपटान, चाहेसकल हो या निवल हो, उपर्युक्त खंड (1) में उल्लिखित अंतिम और प्रतिसंहरणीय है, ज्योंहि ऐसा निपटान निर्धारित हो जाता है के फलस्वरूप देय धनराशि, प्रतिभूतियां या अन्य लेन-देन, चाहे ऐसी धनराशि, प्रतिभूति या अन्य लेन-देन वास्तविक में अदा किए गए हों या नहीं।

(5) उपर्युक्त खंड (1) के प्रयोजनार्थ, ''नेटिंग'' का अर्थ क्लीयरिंग कारपोरेशन द्वारा समाप्त करने से उठने वाले दावे और दायित्वों सहित प्रतिभूतियों की खरीद और बिक्री से उठने वाले परस्पर दायित्वों के प्रतिसंतुलन या समायोजन द्वारा क्लीयरिंग सदस्यों के क्लीयरिंग कारपोरेशन द्वारा निवल भुगतान या डिलीवरी दायित्वों का निर्धारण करना है, ऐसी परिस्थितियों में भविष्य की तारीख में निपटान के लिए स्वीकार किए सौदों को क्लीयरिंग कारपोरेशन उप-विधियों में निर्दिष्ट कर सकती है, ताकि केवल निवल दावे की मांग की जा सके या निवल दायित्व की देनदारी हो सके।

(6) संदेह को दूर करने के लिए, एतद्‌द्वारा यह घोषित किया जाता है कि उपर्युक्त खंड (5) में उल्लिखित क्लीयरिंग कारपोरेशन द्वारा समाप्ति से उठने वाले दावे ओर दायित्व का तात्पर्य इन उप-विधियों के अनुसार बंद किए गए सौंदों से उठने वाले दावे और दायित्व होगा।

9ख क्लीयरिंग कारपोरेशन का अधिकार

AN EXPLANATORY STATEMENT PURSUANT TO PROVISIONS OF SECTION 102 OF THE COMPANIES ACT, 2013 IN RESPECT OF THE AFOREMENTIONED RESOLUTION IS REPRODUCED HEREUNDER

The Company was incorporated on September 5, 2003 with the objective of establishing and carrying on in India and/or elsewhere the business of running restaurants, cafes, tea and coffee house, beer pubs and bars, kiosks, carts and wheelers, in the state of Delhi. But, the Company has not been able to do any business and is inoperative for more than seven years. Moreover, the management of the Company does not foresee any change in circumstances in the immediate future. So, the very purpose of the incorporation of the Company got defeated and the management now wants to wind up the affairs of the Company. The Board of directors also placed before its meeting held on April 21, 2015, a list of the creditors of the Company and the estimated amount of their claims, which are also annexed to the notice herewith along with the Financial Statements. The Board reviewed the list and the amount of their claims and approved the same for winding up of the affairs of the Company. The said list of the creditors of the Company will be placed at the Extraordinary General meeting of the creditors to be held on 19th day of June, 2015 for their approval and adoption.

The Board of Directors has made full enquiry into the affairs of the Company and has formed the opinion that the Company is not solvent to pay its creditors, and does not have sufficient assets to meet its liabilities. The Board of Directors after due diligence have decided to recommend the resolution as per Item No. 1 as set out in the aforesaid Notice for approval of members. The members are therefore requested to accord their approval in relation to Item No.1 as set out in the aforesaid Notice.

1. The existing Byelaw 9 in Chapter VI of NSCCL Byelaws (Futures & Options segment) is amended by deleting its first sentence (given below):-

(1) The payment and settlement in respect of a deal shall be determined in accordance with the netting or gross procedure as specified by the relevant authority with the prior approval of SEBI in the circulars issued from time to time.

(2) Payment and settlement in respect of a deal shall be final, irrevocable and binding on the Clearing Members.

(3) When a settlement has become final and irrevocable, the right of the Clearing Corporation to appropriate any collaterals or deposits or margins contributed by the clearing member towards its settlement or other obligations in accordance with these Byelaws shall take priority over any other liability of or claim against the said clearing member.

(4) For removal of doubts, it is hereby declared that the settlement, whether gross or net, referred to in Clause (1) above is final and irrevocable as soon as the money, securities or other transactions payable as a result of such settlement is determined, whether or not such money, securities or other transactions is actually paid.

(5) For the purpose of Clause (1) above, "netting" means the determination by Clearing Corporation of net payment or delivery obligations of the clearing members by setting off or adjustment of the inter se obligations or claims arising out of buying and selling of securities including the claims and obligations arising out of the termination by the Clearing Corporation, in such circumstances as the Clearing Corporation may specify in Byelaws, of the deals admitted for settlement at a future date, so that only a net claim be demanded, or a net obligation be owed.

(6) For removal of doubts, it is hereby declared that claims and obligations arising out of the termination by the Clearing Corporation referred to in clause (5) above shall mean claims and obligations arising out of deals closed out in accordance with these Byelaws.

9B. Right of Clearing Corporation

The right of clearing corporation to recover the dues from its clearing members, arising from the discharge of their clearing and settlement functions, from the collaterals, deposits and the assets of the clearing members, shall have priority over any other liability of or claim against the clearing members.
