Notice is hereby given to all the concerned that the Company Xenophill Pharmaceuticals Limited has in its Extra Ordinary General Meeting Held on 22nd June 2015 has passed the below mentioned special resolution to Wind Up the affairs of the aforesaid company by way of members Voluntry Winding Up.

RESOLVED THAT pursuant to the provisions of section 484[1)(b)of the Companies Act ,1956, the consent of the members of the company be and is hereby accorded to wind up the affairs of the company as the member's voluntary winding up, w.e.f. 22nd June 2015;

RESOLVED FURTHER THAT pursuant to the provisions of section 490 of the companies Act, 1956 Mr. Neeraj Arora S/o Dharam Paul Kumar, chartered Accountant (M.No.088341) having their office at Chandigarh be and is hereby appointed as the Liquidator of the company for the purpose of the members' voluntary winding up of the affairs of the Company;

RESOLVED FURTHER THAT the consent of the members of the Company be and is hereby accorded to sanction the remuneration of liquidator will be 2% of Gross Assets Realized in addition to the actual out of pocket expenses for the winding up of the affairs of the Company;

RESOLVED FURTHER THAT Mr. Neeraj Arora, the liquidator be and is hereby authorised to exercise all the Powers as per the Provision of the Companies Act, 1956 to effectively winding up the affairs of the company;

RESOLVED FURTHER THAT notwithstanding for the appointment of liquidator the Board of Directors of the Company be and is hereby authorized to exercise all the powers in connection with the Liquidation of the Company like submitting statement of affairs with the liquidator, filing of return with the registrar of companies as provided under Companies Act, 1956.

The Shareholders by Special Resolution at the Extra Ordinary General Meeting of the Company held on February 09, 2015 approved the change of name of the Company from MCX Stock Exchange Limited to Metropolitan Stock Exchange of India Limited.

Accordingly, the Ministry of Corporate Affairs, Registrar of Companies, Mumbai has approved the change of name of the company and issued a Certificate of Incorporation dated March 20, 2015. It is proposed to amend the existing Memorandum and Articles of Association of the Exchange for substituting new name with the old name.

The proposed amendments to the Memorandum of Association and Articles of Association of Metropolitan Stock Exchange of India Limited (formerly known as MCX Stock Exchange Limited) are given hereunder and are published for criticism. Any person having any observations on the proposed amendments to the Memorandum of Association and Articles of Association can send the same to the undersigned at the registered address within fifteen days from the date of this publication in the Gazette. The observations received after the fifteen days, will not be considered when the amendment is taken for consideration.

Subject to SEBI's approval, it is proposed to make the following amendment:

The name MCX Stock Exchange Limited shall be substituted with new name 'Metropolitan Stock Exchange of India Limited' and the abbreviation "MCX-SX" shall be substituted with "MSEI", wherever it appears in the Memorandum and Articles of Association of the Exchange.
