आगे संकल्प लिया कि एतद द्वारा कंपनी के निदेशक, स्वैच्छिक परिसमापक की नियुक्ति का नोटिस, अन्य नोटिसों, रिटर्न और इस तरह के अन्य दस्तावेजों, पेपर आदि अलग से ई-फॉम्र्स दायर करने के लिए अधिकृत है. आवश्यकता पड़ने पर कंपनियों के रजिस्ट्रार, राष्ट्रीय राजधानी क्षेत्र दिल्ली व हरियाणा और राष्ट्रीय राजधानी क्षेत्र दिल्ली मे ंचलने वाले अंग्रेजी और हिन्दी समाचार पत्र व सरकारी राजपत्र में इस तरह के सामान्य नोटिस जारी करने के लिए आवश्यकता पड़ने पर इस तरह के अन्य प्राधिकारी से पहले कंपनी का प्रतिनिधित्व करने के लिए भी
आगे संकल्प लिया कि कंपनी अधिनियम 1956 के भाग 490 के प्रावधानों के अनुसार श्री राजीव कुमार अदलखा, कंपनी सचिव पूरे समय प्रैक्टिस में ड्राइविंग लाइसेंस नंबर के साथ एतद्द्वारा कंपनी के मामलों का समापन स्वैच्छिक सदस्यों के उद्देश्य के लिए कंपनी के स्वयं सेवक परिसमापक के रूप में नियुक्त हो सकता है
आगे संकल्प लिया कि श्री राजीव कुमार अदलखा, को तीन लाख पचास हज़ार रूपये की कुल पारिश्रमिक का भुगतान किया जाएगा व बाहर से जेब खर्च वास्तविक की प्रतिपूर्ति के अलावा लागू करों की कटौती करने के लिए सेवा कर सदस्यों के स्वैच्छिक समापन उद्देश्य के लिए
कंपनी के डाइरेक्टर और इसके द्वारा परिसमापक के सामने व्यक्तिगत रूप से व स्वेच्छा से ड्रा व टेंडर के लिए अधिकृत है जैसा की कंपनी अधिनियम की धारा 454 और धारा 511 ए कंपनी अधिनियम, 1956 का प्रपत्र 57 (कंपनी (कोर्ट) नियम का 127, 1959) सत्यापित प्रतिलिपि प्रपत्र नं. 58 के शपथ पत्र द्वारा कंपनी (कोर्ट) अधिनियम के नियम 127 के अनुसार 21 दिन में स्वेच्छा से सदस्यगण काम निपटाएंगे
आगे संकल्प लिया कि कंपनी अधिनियम की धारा 512 और अन्य सभी लागू होने वाले प्रावधानों यदि कोई हाें, के अनुसार श्री राजीव कुमार अदलखा, एतद्द्वारा स्वैच्छिक परिसमापक कंपनी अधिनियम की धारा 457 के तहत दिए गए सभी या किसी भी दिए गए अधिकारों का उपयोग करने के लिए अधिकृत किया गया है

Notice is hereby given pursuant to the provisions of Section 485 (1) of the Companies Act, 1956, that Herba Rice India Private Limited (the Company) has passed the following Special Resolution at the Extra Ordinary General Meeting of the Members held on 10.08.2015, requiring the Company to be wound up voluntarily:-
"RESOLVED THAT pursuant to the provisions of Section 484, 490-498 and all other applicable provisions, if any, of the Companies Act, 1956 and subject to the approval of such authorities as may be required, the Company be wound up voluntarily as Members Voluntary Winding Up.
RESOLVED FURTHER THAT the Directors of the Company be and are hereby severally authorized to file necessary e-forms, notice of appointment of voluntary liquidator, other notices, returns and such other documents, papers etc. as may be required with the Registrar of Companies, NCT of Delhi & Haryana and also to release/publish such general notices in an English and Hindi Newspaper circulating in the NCT of Delhi and in the Official Gazette and also to represent the Company before such other authority(ies) as may be required.
RESOLVED FURTHER THAT pursuant to the provisions of Section 490 of the Companies Act, 1956, Mr. Rajiv Kumar Adlakha, Company Secretary in Whole Time Practice having Driving License Number HR-2620090186620, be and is hereby appointed as the Voluntary Liquidator of the Company for the purpose of member's voluntary winding up of the affairs of the Company.
RESOLVED FURTHER THAT Mr. Rajiv Kumar Adlakha, shall be paid a total remuneration of Rs.3,50,000/- (Rupees Three Lacs Fifty Thousand only) plus Service Tax subject to deduction of applicable taxes in addition to the reimbursement of actual out of pocket expenses for the purpose of Members Voluntary Winding up.
