1. संकल्पित किया जाता है कि कंपनी अधिनियम, 1956 की धारा 484 (1) (बी) के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संषोधन(नों) या तत्संबंधी पुनराधिनियम सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार सदस्यों द्वारा स्वैच्छिक समापन के रूप में कंपनी के कार्यकलापों को बंद करने के लिए एतत्द्वारा अनुमति प्रदान की जाती है।
2. संकल्पित किया जाता है कि कंपनी अधिनियम, 1956 की धारा 490 के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संषोधन(नों) या तत्संबंधी पुनराधिनियम सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार कंपनी के कार्यकलापों का सदस्यों द्वारा स्वैच्छिक समापन करने हेतु श्री अरूण सक्सैना, वकील (पंजीकरण संख्या : डी/4743/2014) को कंपनी के परिसमापक के रूप में नियुक्ति हेतु एतत्द्वारा अनुमति प्रदान की जाती है।
आगे, इस कार्य के लिए कुल पारिश्रमिक के रूप में 2,00,000 रूपए (दो लाख रूपए) और लागू कर, का भुगतान करने के संकल्प का भी अनुमोदन प्रदान किया जाता है।
आगे यह भी संकल्पित किया जाता है कि परिसमापक, कंपनी अधिनियम, 1956 की धारा 512 तथा धारा 457 के उपबंधों तथा अन्य सभी लागू प्रावधानों, यदि कोई हो (तत्समय लागू किसी भी वैधानिक संषोधन(नों) या तत्संबंधी पुनराधिनियम सहित) और उनके अंतर्गत नियम व विनियमों के अनुसार, एतत्द्वारा स्वैच्छिक सदस्य के रूप में कंपनी के कार्यों को बंद करने के लिए सभी अधिकारों एवं दायित्वों का प्रयोग करेगा।
3. संकल्पित किया जाता है कि परिसमापक की नियुक्ति होते हुए भी, कंपनी के समापन के उद्देष्य के लिए श्री वी.के चंद्र मोहन (डीआईएनः 02312561) और श्री अरूण सक्सैना, वकील (पंजीकरण संख्या : डी/4743/2014) को संयुक्त रूप से विद्यमान बैंक खातों को खोलने, चलाने या चालू खाता खोलने और बंद करने के लिए एतत्द्वारा अधिकृत किया जाता है।
आगे, यह भी संकल्पित किया जाता है कि श्री अरूण सक्सैना, वकील (पंजीकरण संख्या : डी/4743/2014), परिसमापक होने के फलस्वरूप, प्रमोटर कंपनियों अर्थात् एनटीपीसी लिमिटेड, तथा सिंगरेनी कोलियरीज कंपनी लिमिटेड के अनुमोदन से श्री वी.के चंद्र मोहन का संबंधित प्रमोटर कंपनी से वियोजन होने के उपरांत, उनके स्थान पर किसी अन्य व्यक्ति को नियुक्त कर सकते हैं।
