अध्याय-XII : स्थायी निपटान गारंटी निधि

1. स्थायी निपटान गारंटी निधि (सीएसजीएफ) का उद्देश्य

क्लीयरिंग कारपोरेशन के पास विनिर्दिष्ट स्टाक एक्सचेंज के संबंधित खंड में निष्पादित सौदों की निपटान गारंटी के लिए विनिर्दिष्ट स्टाक एक्सचेंज के प्रत्येक खंड के संबंध में प्रत्येक क्लीयरिंग खंड के लिए स्थायी निपटान निधि (सीएसजीएफ) नामक निधि होगी। क्लीयरिंग सदस्य के निपटान दायित्वों को पूरा करने में विफल रहने की दशा में क्लीयरिंग सदस्य के निपटान दायित्वों को पूरा करने के लिए सीएसजीएफ का प्रयोग किया जाएगा और सामान्य निपटान प्रोसेस को प्रभावित किए बिना निपटान को पूरा किया जाएगा।

2. सीएसजीएफ का कार्पस

(1) सीएसजीएफ का कार्पस किसी क्लीयरिंग सदस्य(यों) के विफल रहने के कारण उठने वाली सभी आकस्मिकताओं को पूरा करने के लिए पर्याप्त होगा।

(2) सीएसजीएफ के कार्पस की मात्रा व्यापार परिमाण, डिलीवरी प्रतिशत, क्लीयरिंग सदस्यों की अधिकतम निपटान देनदारी, क्लीयरिंग सदस्यों की चूक का इतिहास, क्लीयरिंग सदस्यों की पूंजी पर्याप्तता और क्लीयरिंग कारपोरेशन द्वारा नियोजित सुरक्षा उपायों की मात्रा सहित विभिन्न कारकों के कारण सीएसजीएफ के लिए जोखिम या देनदारी को ध्यान में रखते हुए निर्धारित की जाएगी। सीएसजीएफ के कार्पस की उचित मात्रा का निर्धारण करने के उद्देश्य से क्लीयरिंग कारपोरेशन निम्नलिखित कारकों पर विचार करेगा ः

क) प्रवृत्त जोखिम प्रबंध प्रणाली

ख) गारंटी के आधार पर क्लीयरिंग कारपोरेशन द्वारा समाशोधित और निपटाए जाने वाले चालू और पूर्वानुमानित परिमाण/कारोबार

संबद्ध प्राधिकारी समय-समय पर सेबी द्वारा विनिर्धारित मानदंडों के अनुसार विनिर्दिष्ट स्टाक एक्सचेंज के प्रत्येक खंड के संबंध में क्लीयरिंग कारपोरेशन के प्रत्येक क्लीयरिंग खंड के लिए सीएसजीएफ का अपेक्षित न्यूनतम कार्पस (एमआरसी) समय-समय पर निर्दिष्ट करेगा।

4. सीएसजीएफ के कार्पस का गठन

सीएसजीएफ के कार्पस में निम्नलिखित शामिल होंगे ः

क) विभिन्न अंशदाताओं का अंशदान ः

समय के किसी बिन्दु पर सीएसजीएफ के लिए विभिन्न

अंशदाताओं का अंशदान निम्नानुसार होगा ः

i. क्लीयरिंग कारपोरेशन का अंशदान : सीएसजीएफ के लिए क्लीयरिंग कारपोरेशन का अंशदान एमआरसी का कम से कम 50 प्रतिशत होगा। क्लीयरिंग कारपोरेशन इस अंशदान को अपनी स्वयं की निधियों से करेगी। सीएसजीएफ को क्लीयरिंग कारपोरेशन को अंशदान इसके निवल मूल्य के भाग के रूप में माना जाएगा।

ii. विनिर्दिष्ट स्टाक एक्सचेंज का अंशदान : सीएसजीएफ के लिए विनिर्दिष्ट स्टाक एक्सचेंज का अंशदान एमआरसी का कम से कम 25 प्रतिशत होगा। ऐसे अंशदान को प्रतिभूति संविदा (विनियम) (स्टाक एक्सचेंज और क्लीयरिंग कारपोरेशन) विनियम, 2012 (एसईसीसी विनियम) के विनियम 33 के अनुसार विनिर्दिष्ट स्टाक एक्सचेंज द्वारा लाभ के अंतरण के विरूद्ध समायोजित किया जाएगा।

iii. क्लीयरिंग सदस्य का प्राथमिक अंशदान ः क्लीयरिंग कारपोरेशन निम्नलिखित शर्तों के अध्यधीन सीएसजीएफ के लिए क्लीयरिंग खंड के क्लीयरिंग सदस्यों से जोखिम आधारित अंशदान मांग सकती है ः

• क्लीयरिंग सदस्यों से कुल अंशदान एमआरसी के 25 प्रतिशत से अधिक नहीं होगा। सीएसजीएफ को ऐसा अंशदान सामान्यतः नकद अंशदान के रूप में होगा। तथापि, क्लीयरिंग कारपोरेशन समय-समय पर सेबी द्वारा विनिर्धारित मानदंडों के अनुसार बैंक मियादी जमा के रूप में क्लीयरिंग सदस्यों का अंशदान स्वीकार कर सकती है।

• किसी क्लीयरिंग सदस्य के सीएसजीएफ अंशदान पर कोई प्रकटन उपलब्ध नहीं होगा। इस प्रयोजनार्थ, क्लीयरिंग कारपोरेशन के पास उपलब्ध क्लीयरिंग सदस्य के प्रकटन - मुक्त संपाश्र्विक पर क्लीयरिंग सदस्य के सीएसजीएफ के अंशदान के प्रति विचार किया जा सकता है।

• प्रत्येक क्लीयरिंग सदस्य का अपेक्षित अंशदान प्रणाली को उनके द्वारा लाए जाने वाले जोखिम के यथानुपात आधार पर होगा।

• क्लीयरिंग कारपोरेशन को क्लीयरिंग सदस्य के प्राथमिक अंशदान को या तो अग्रिम या समयावधि के दौरान अलग-अलग समय पर एकत्रित करने का लचीलापन होगा। अलग-अलग समय पर अंशदान के मामले में बचे हुए शेष को क्लीयरिंग कारपोरेशन द्वारा पूरा किया जाएगा ताकि सभी समय पर कुल सीएसजीएफ के कार्पस की पर्याप्तता को सुनिश्चित किया जा सके। क्लीयरिंग कारपोरेशन का ऐसा अंशदान क्लीयरिंग कारपोरेशन को, जब भी क्लीयरिंग सदस्यों से और अंशदान प्राप्त होते हैं, आहरण के लिए उपलब्ध होगा।

ख) क्लीयरिंग कारपोरेशन द्वारा लगाए गए कोई अर्थदंड

(एसईसीसी विनियमों के विनियम 34 के अनुसार)।

ग) सीएसजीएफ के लिए नकद अंशदान पर ब्याज सीएसजीएफ को प्राप्त होगा और उनके नकद अंशदान के लिए अनुपात में अंशदाताओं के लिए यथानुपात माना जाएगा।

5. सीएसजीएफ का प्रबंध

(1) क्लीयरिंग कारपोरेशन की चूक समिति/एसजीएफ उपयोग

समिति सीएसजीएफ का प्रबंध करेगी।

(2) क्लीयरिंग कारपोरेशन सीएसजीएफ के लिए निवेश नीति के विवेकपूर्ण मानदण्डों का अनुपालन करेगी और यह सुनिश्चित करने के लिए नीतियां और प्रक्रियाएं स्थापित और क्रियान्वित करेगी कि सीएसजीएफ कार्पस का निवेश समय-समय पर सेबी द्वारा विनिर्धारित निवेश मानदंडों के अनुसार किया जाता है।

6. सीएसजीएफ के लिए पहुंच

क्लीयरिंग कारपोरेशन क्लीयरिंग सदस्यों के उनके निपटान दायित्वों को पूरा करने में विफल रहने की दशा में सीएसजीएफ का प्रयोग कर सकती है।

7. सीएसजीएफ को और अंशदान/प्रतिपूर्ति

(1) किसी महीने के लिए विभिन्न अंशदाताओं द्वारा सीएसजीएफ के लिए अपेक्षित अंशदान अंशदाताओं द्वारा महीने के शुरू में किया जाएगा।

(2) क्लीयरिंग कारपोरेशन यथा उपरोक्त विभिन्न अंशदाताओं द्वारा किए गए अंशदानों की पर्याप्तता को प्रत्येक महीने की 15 तारीख तक समीक्षा और निर्धारित करेगी और सीएसजीएफ के लिए और कोई अंशदान मांगेगी, जैसा कि अगले महीने के लिए विभिन्न अंशदाताओं द्वारा किया जाना अपेक्षित हो।

(3) किसी कैलेण्डर माह के दौरान सीएसजीएफ के प्रयोग की दशा में अंशदाता उनके व्यक्तिगत अंशदान के प्रयोग के अनुसार एमआरसी को सीएसजीएफ का तत्काल पुनर्भरण करेंगे।

चूक प्रपात केवल उसी मामले में प्रयोज्य होगा यदि क्लीयरिंग सदस्य को चूक करने वाले क्लीयरिंग सदस्य की धनराशियों के विनियोजन के पश्चात्‌ चूककर्ता घोषित किया जाता है।

किसी क्लीयरिंग खंड के लिए क्लीयरिंग कारपोरेशन का चूक

प्रपात निम्नलिखित क्रम का अनुपालन करेगा ः

क) चूककर्ता क्लीयरिंग सदस्य की धनराशियां (जिसमें चूककर्ता क्लीयरिंग सदस्य का सीएसजीएफ(एस) के लिए प्राथमिक अंशदान और अन्य क्लीयरिंग खंडों में चूककर्ता क्लीयरिंग सदस्य की आधिक्य धनराशियां शामिल हैं)।

ख) बीमा, यदि कोई हो।

ग) क्लीयरिंग कारपोरेशन के संसाधन (क्लीयरिंग खंड की

एमआरसी के 5 प्रतिशत के बराबर)।

घ) क्लीयरिंग खंड के सीएसजीएफ का निम्नलिखित क्रम

में ः

i. अर्थदण्ड

ii. क्लीयरिंग कारपोरेशन का अंशदान क्लीयरिंग खंड के

एमआरसी के कम से कम 25 प्रतिशत तक

iii. शेष सीएसजीएफ : क्लीयरिंग कारपोरेशन का अंशदान, विनिर्दिष्ट स्टाक एक्सचेंज का अंशदान और सीएसजीएफ के लिए गैर-चूककर्ता क्लीयरिंग सदस्य प्राथमिक अंशदान यथानुपात आधार पर

ड.) क्लीयरिंग कारपोरेशन के शेष संसाधनों का अनुपात (जिसमें अन्य क्लीयरिंग खंडों और 100 करोड़ भारतीय रुपयों के सीएसजीएफ के लिए क्लीयरिंग कारपोरेशन का अंशदान शामिल नहीं है) सभी क्लीयरिंग खंडों के एमआरसी के योग के लिए क्लीयरिंग खंड के एमआरसी के अनुपात के बराबर।*

च) अन्य क्लीयरिंग खंडों के सीएसजीएफ के लिए क्लीयरिंग कारपोरेशन/विनिर्दिष्ट स्टाक एक्सचेंज का अंशदान (उन क्लीयरिंग खंडों के दायित्व को पूरा करने के पश्चात्‌) और क्लीयरिंग कारपोरेशन के शेष संसाधन जिस सीमा तक सेबी द्वारा अनुमोदित किया जाता है।

छ) क्लीयरिंग खंड के गैर-चूककर्ता क्लीयरिंग सदस्यों द्वारा

कैप्ट अतिरिक्त अंशदान।**

ज) शेष किसी हानि को पे-आउट के लिए यथानुपात

कटौती के द्वारा कवर किया जाएगा।***

स्पष्टीकरण

1. *100 करोड़ भारतीय रुपयों को तभी छोड़ा जाएगा जब क्लीयरिंग कारपोरेशन के शेष संसाधन (जिसमें क्लीयरिंग कारपोरेशन का अन्य क्लीयरिंग खंडों के सीएसजीएफ के लिए अंशदान शामिल नहीं है) 100 करोड़ भारतीय रुपयों से अधिक है।

2. **क्लीयरिंग कारपोरेशन अतिरिक्त अंशदान के प्रति गैर-चूककर्ता क्लीयरिंग सदस्य की देनदारी को उनके सीएसजीएफ के लिए अपेक्षित प्राथमिक अंशदान के एक गुणज तक सीमित करेगा और इसके संबंध में ढांचे को प्रकट किया जाएगा। गैर-चूककर्ता क्लीयरिंग सदस्यों से निर्धारित राशियों की वसूली में कमी के मामले में और हानि को सेबी के अनुमोदन से पर्त 'च' के लिए आवंटित किया जा सकता है।

9. दबाव जांच और पीछे हटने की जांच

क्लीयरिंग कारपोरेशन क्रेडिट जोखिम, नकदी दबाव जांच, विपरीत दबाव जांच के लिए दबाव जांच करेगा, मार्जिनों का पर्याप्तता के लिए पीछे हटने की जांच और ऐसी अन्य जांच जो कि समय-समय पर सेबी द्वारा विनिर्धारित मानदंडों के अनुसार उपयुक्त हों।

समिति सीएसजीएफ का प्रबंध करेगी।

1. The entire existing Chapter XII is substituted with the

CHAPTER XII: CORE SETTLEMENT GUARANTEE FUND

1. Objective of the Core Settlement Guarantee Fund (CSGF)

The Clearing Corporation shall have a fund called Core Settlement Guarantee Fund (CSGF) for each clearing segment with respect to each segment of the Specified Stock Exchange to guarantee the settlement of trades executed in the respective segment of the Specified Stock Exchange. In the event a Clearing Member fails to fulfil the settlement obligations, the CSGF shall be used to fulfil the settlement obligations of the Clearing Member and complete the settlement without affecting the normal settlement process.

2. Corpus of the CSGF

(1) The corpus of the CSGF shall be adequate to meet out all the contingencies arising on account of failure of any Clearing Member(s).

(2) The quantum of the corpus of the CSGF shall be determined by taking into consideration the risk or liability to the CSGF on account of various factors including trade volume, delivery percentage, maximum settlement liability of the Clearing Members, the history of defaults of the Clearing Members, capital adequacy of the Clearing Members and the degree of safety measures employed by the Clearing Corporation. In order to assess the fair quantum of the corpus of the CSGF, the Clearing Corporation shall consider the following factors:

c) Track record of defaults of the Clearing Members (number of defaults and amount in default of the Clearing Members)

3. Minimum Required Corpus of the CSGF

The Relevant Authority shall specify from time to time the Minimum Required Corpus (MRC) of the CSGF for each clearing segment of the Clearing Corporation with respect to each segment of the Specified Stock Exchange in accordance with the norms prescribed by SEBI from time to time.

4. Constitution of the Corpus of CSGF

The corpus of CSGF shall consist of the following:

a) Contributions of various contributors:

The contributions of various contributors to the CSGF at

any point of time shall be as follows:

i. Clearing Corporation's contribution: The Clearing Corporation's contribution to CSGF shall be at least 50% of the MRC. The Clearing Corporation shall make this contribution from its own funds. The Clearing Corporation's contribution to CSGF shall be considered as part of its net worth.

ii. Specified Stock Exchange's contribution: The Specified Stock Exchange's contribution to CSGF shall be at least 25% of the MRC. Such contribution can be adjusted against the transfer of profit by the Specified Stock Exchange as per Regulation 33 of Securities Contracts (Regulation) (Stock Exchanges and Clearing Corporations) Regulations, 2012 (SECC Regulations).

iii. Clearing Member's primary contribution: The Clearing Corporation may seek risk based contribution from Clearing Members of the clearing segment to the CSGF subject to the following conditions:

• The total contribution from the Clearing Members shall not be more than 25% of the MRC. Such contribution shall ordinarily be in the form of cash contribution to CSGF. However, the Clearing Corporation may accept the Clearing Member's contribution in the form of bank fixed deposits in accordance with the norms prescribed by SEBI from time to time.

• No exposure shall be available on CSGF contribution of any Clearing Member. For this purpose, the exposure-free collateral of the Clearing Member available with the Clearing Corporation can be considered towards CSGF contribution of the Clearing Member.

• The required contribution of each Clearing Member shall be pro-rata based on the risk that they bring to the system.

• The Clearing Corporation shall have the flexibility to collect the Clearing Member's primary contribution either upfront or staggered over a period of time. In case of staggered contribution, the remaining balance shall be met by the Clearing Corporation to ensure adequacy of total CSGF corpus at all times. Such Clearing Corporation contribution shall be available to the Clearing Corporation for withdrawal as and when further contributions from the Clearing Members are received.

b) Any penalties levied by the Clearing Corporation (as

per Regulation 34 of SECC Regulations.)

c) Interest on cash contribution to CSGF shall accrue to the CSGF and pro-rata attributed to the contributors in proportion to their cash contribution.

5. Management of CSGF

(1) The Defaulters' Committee/SGF utilization Committee

of the Clearing Corporation shall manage the CSGF.

(2) The Clearing Corporation shall follow prudential norms of investment policy for the CSGF corpus and establish and implement policies and procedures to ensure that the CSGF corpus is invested in accordance with the investment norms prescribed by SEBI from time to time.

6. Access to CSGF

The Clearing Corporation may utilise the CSGF in the event of a failure of the Clearing Members to fulfil their settlement obligations.

7. Further contribution to / Recoupment of CSGF

(1) The requisite contributions to the CSGF by various contributors for any month shall be made by the contributors before start of the month.

(2) The Clearing Corporation shall review and determine by 15th of every month the adequacy of contributions made by various contributors as above and call for any further contributions to the CSGF as may be required to be made by various contributors for the next month.

(3) In the event of usage of the CSGF during a calendar month, the contributors shall, as per usage of their individual contribution, immediately replenish the CSGF to MRC.

(4) In case there is failure on part of some contributor(s) to replenish its (their) contribution, the same shall be immediately met, on a temporary basis during the month, in the following order:

a) By Clearing Corporation

b) By Specified Stock Exchange

8. Default waterfall

The Default waterfall shall become applicable only in case the Clearing Member is declared a defaulter afterPART IV] THE GAZETTE OF INDIA, OCTOBER 10, 2015 (ASVINA 18, 1937) 975 appropriation of the monies of the defaulting Clearing Member.

The default waterfall of the Clearing Corporation for any

clearing segment shall follow the following order -

a) Monies of the defaulting Clearing Member (including the defaulting Clearing Member's primary contribution to the CSGF(s) and excess monies of the defaulting Clearing Member in other clearing segments.)

b) Insurance, if any.

c) Clearing Corporation resources (equal to 5% of the

clearing segment MRC).

d) CSGF of the clearing segment in the following order:

i. Penalties

ii. Clearing Corporation's contribution to the extent

of at least 25% of the clearing segment MRC

iii. Remaining CSGF: Clearing Corporation's contribution, Specified Stock Exchange's contribution and non-defaulting Clearing Members' primary contribution to CSGF on pro- rata basis.

e) Proportion of remaining Clearing Corporation resources (excluding Clearing Corporation's contribution to CSGFs of other clearing segments and INR 100 Crore) equal to ratio of clearing segment MRC to sum of MRCs of all clearing segments.*

f) Clearing Corporation/Specified Stock Exchange contribution to CSGF of other clearing segments (after meeting obligations of those clearing segments) and remaining Clearing Corporation resources to that extent as approved by SEBI.

g) Capped additional contribution by non-defaulting Clearing Members of the clearing segment.**

h) Any remaining loss to be covered by way of pro-

rata haircut to pay-outs. ***

Explanation

1. * INR 100 Crore to be excluded only when remaining Clearing Corporation resources (excluding Clearing Corporation contribution to CSGFs of other clearing segments) are more than INR 100 Crore.

2. **Clearing Corporation shall limit the liability of non- defaulting Clearing Members towards additional contribution to a multiple of their required primary contribution to CSGF and the framework regarding the same shall be disclosed. In case of shortfall in recovery of assessed amounts from non- defaulting Clearing Members, further loss can be allocated to layer 'f' with approval of SEBI.

3. ***In case loss allocation is effected through haircut to payouts, any subsequent usage of funds shall be with prior SEBI approval. Further, any exit by Clearing Corporation post using this layer shall be as per the terms decided by SEBI in public interest.

9. Stress Testing and Back Testing

The Clearing Corporation shall conduct stress tests for credit risk, liquidity stress test, reverse stress test, back testing for adequacy of margins and such other tests as may be appropriate in accordance with the norms prescribed by SEBI from time to time.

(iii) Regulation 5A 4.1.2.2.A(4) of Chapter 5A and Regulation 6.14 of Chapter 6 of NSCCL (Futures & Options ) Regulations.
