ग सार्वजनिक नीलामी अथवा व्यक्तिगत सम्पर्क के जरिए कंपनी की चल एवं अचल सम्पत्तियों की बिक्री तथा नीलामी योग्य दावा करना, जिसमें उसके सम्पूर्ण हिस्से को किसी भी व्यक्ति अथवा व्यवसायिक घराने को हस्तांरण, अथवा खंडो में उसकी बिेक्री तथा बिेक्री मूल्य प्राप्त करने का अधिकार के साथ;
घ किसी भी प्रयोजनीय रकम तक कंपनी की सम्पत्तियों की
प्रतिभूति जमानत बढ़ाना;
ड. कंपनी के समापन की कार्यवाही एवं सम्पत्तियों के वितरण के लिए आवश्यक समझे जाने वाले अन्य सभी कार्यों का सम्पादन।

Notice is hereby given pursuant to section 485(1) of the Companies Act, 1956,that the Company has passed the following special resolution at the Extra Ordinary General Meeting of its members held on 5th day of January, 2016 requiring the Company to be wound up voluntarily:
Approval of Members Voluntary Winding Up
"Resolved that in terms of the provisions of Section 484(1)(b) and other applicable provisions, if any, of the Companies Act, 1956 the consent of the Shareholders of the Company be and is hereby accorded for voluntary winding up of the Company as a members' voluntary winding up.
Resolved further that the Declaration of Solvency and the Statement of estimated realizable value of assets and liabilities thereto payable by the Company as on 15th December taken on oath by the Directors be and are hereby confirmed, approved and adopted.
Resolved further that all the assets and liabilities of the Company as appearing in the latest Audited Balance Sheet as on 15th December,2015 be distributed/adjusted amongst the members of the Company whose name appear in the Register of Members as on date on a pro-rata basis as per their share holding ratio."
Appointment of Liquidator
"Resolved that pursuant to the provisions of section 490 of the Companies Act, 1956, Mr. Rajesh Attri, be and is hereby appointed as the Liquidator of the Company for the purpose of the voluntary winding up of the Company at a total remuneration of Rs. 10,000/- (Rupees Ten Thousand) including their fees for providing consultancy services but excluding all other costs, charges and expenses incurred on behalf of the Company during the process of winding up.
Resolved further that Mr. Rajesh Attri, the Liquidator be and is hereby authorized to exercise all the powers mentioned in Section 457 of the companies Act, 1956 including:
(a) To institute or defend any suit, prosecution or other legal proceedings, civil or criminal in the name and on behalf of the company;
(b) To carry on the business of the company (including operation of the Bank Account), so far as may be necessary
for the beneficial winding of the company;
(c) To sell the immovable and movable property and actionable claims of the company by public auction or private contract, with power to transfer the whole thereof to any person or body corporate, or to sell the same in parcels and to receive the sale consideration;
(d) To raise on the security of the assets of the company
any money requisite;
(e) To do all such other things as may be necessary for winding up the affairs of the company and distributing its assets.
