Notice is hereby given pursuant to section 485(1) of the Companies Act, 1956 that the Company has passed the following special resolution at the Extra Ordinary General Meeting of its members held on March 16, 2016 requiring the Company to be wound up voluntarily:

(a) Voluntary Winding up of the company:

"RESOLVED THAT in terms of the provisions of Section 484(1)(b) and other applicable provisions, if any, of the Companies Act, 1956 and Companies Act, 2013 to the extent applicable and all other applicable rules, regulations, guidelines and laws (including any statutory modification or re-enactment thereof for the time being in force) and subject to all requisite approvals, permissions and sanctions with regard to voluntary winding up of the Company, the consent of the members of the Company be and is hereby accorded for voluntary winding up of the Company as a members voluntary winding up.

RESOLVED FURTHER THAT the Declaration of solvency and the statement of estimated realizable value of assets and liabilities of the company as on date 15.12.2015 taken on oath by the directors be and are hereby confirmed, approved and adopted.

RESOLVED FURTHER THAT all the assets and liabilities of the company as appearing in the latest audited balance sheet as on 15.12.2015 be distributed/ adjusted amongst the members of the company whose name appear in the register of members as on date on a pro rata basis as per their shareholding ratio.

RESOLVED FURTHER THAT, Mr. Deepak Kukreja, Company Secretary in practice having office at 31/36, Basement, Old Rajinder Nagar, New Delhi - 110060 be and is hereby appointed as the liquidator of the company for the purpose of winding up the affairs and distributing the assets of the Company at a remuneration of Rs.75,000/- (Rupees Seventy Five Thousand only) plus reimbursement of out of pocket expenses at actual.

RESOLVED FURTHER THAT the Director (s) of the Company be and are hereby severally authorized to sign, execute and deliver all such affidavits, declarations, documents, papers, and to do all such acts, things and deeds as may be necessary to give effect to the above resolution."

(b) LIQUIDATOR AND BOARD POWERS:

" RESOLVED THAT the powers of the Board be assumed by Mr. Deepak Kukreja, Practicing Company Secretary appointed as the Liquidator of the Company & that Mr. Deepak Kukreja, Practicing Company Secretary be and is hereby empowered to exercise the following powers:

a. to institute or defend any suit, prosecution, or other legal proceeding, civil or criminal, in the name and on behalf of the company;

b. to carry on the business of the company as far as may be necessary for the beneficial winding up of the company;

c. to sell the immovable and movable property and actionable claims of the company by public auction or private contract, with power to transfer the whole thereof to any person or body corporate, or to sell the same in parcels;

d. to sell whole of the undertaking of the Company as a going concern;

e. to raise on the security of the assets of the Company and money requisite; and

f. to do all such other things as may be necessary for winding up the affairs of the Company and distributing the assets.

RESOLVED FURTHER THAT pursuant to section 491 read with Section 512 of the Companies Act, 1956, and upon the appointment of Mr. Deepak Kukreja as liquidator of the Company, the Directors of the Company be and are hereby authorized to exercise its usual powers for the purpose of carrying on the normal business of the Company necessary to carry out the winding up of the Company properly and beneficially."

POWERGRID Jabalpur Transmission Limited (PJTL) (a 100% wholly owned subsidiary of Power Grid Corporation of India Limited) having its registered office at B-9, Qutab Institutional Area, Katwaria Sarai, New Delhi 110 016 intends to apply to the Government of India to confer upon him all the powers under section 164 of the Electricity Act, 2003 for the placing of electric lines or electrical plant for the transmission of electricity or for the purpose of telephonic or telegraphic communications necessary for the proper co-ordination of works which telegraph authority possess under the India Telegraph Act, 1885 with respect to the placing of telegraph lines and posts for the purpose of a telegraph established or maintained, by the Government or to be so established or maintained and will undertake the survey, construction, installation, inspection, erection and other works to be followed by commissioning, operation, maintenance and other works for the following transmission schemes.
