RESOLVED THAT pursuant to provisions of section 484(1)(b) of the Companies Act,1956 the company be and is hereby wound up voluntarily.
RESOLVED FURTHER THAT pursuant to provisions of Section 488 of the Companies Act, 1956, the Board of directors have made a pragmatic assessment and given declaration regarding solvency of the company and form the opinion on reasonable grounds that the company will be able to pay its debts in full within a period of three Years after realizing the assets belonging to the Company or out of the funds contributed by the promoters.
