एतद्द्वारा सूचना प्रदान की जाती है कि ग्लोबल आटो-पार्टस एलाइन्स इण्डिया प्राइवेट लिमिटेड के सदस्यों की कम्पनी के पंजीकृत कार्यालय 28ए न्यू मंगला पुरी, महरोली, नई दिल्ली-110030 में शुक्रवार, मार्च 18, 2016 को सायं 03ः45 बजे सम्पन्न असाध् ाारण सामान्य बैठक में निम्न व्यवसाय निष्पादित ः
1 परिसमापक का इस्तीफा
जैसा की कम्पनीज अधिनियम, 1956 की धारा 490 के अनुसरण में सोमवार, नवम्बर 19, 2012 को श्री अनिल सेतिया की कम्पनी के परिसमापक के रूप मे नियुक्ति की गई, कम्पनीज अधिनियम, 1956 की धारा 492 एवं कम्पनीज (कोर्ट) नियमन 1959 के नियम 321 के अनुसरण में कम्पनी के परिसमापक के पद से मंगलवार, फरवरी 25, 2016 से इस्तीफा देने के कारण कम्पनी के परिसमापक का कार्यालय रिक्त।
विचार एवं सही पाये जाने पर परिवर्तन सहित अथवा रहित, यदि कोई हो, निम्न संकल्प साधारण संकल्प के तौर पर पारित ः कम्पनीज अधिनियम, 1956 एवं कम्पनीज अधिनियम, 2013 के प्रवाधानों के अनुसरण में (जैसा कि वर्तमान मे लागू हो) श्री अनिल सेतिया का कम्पनी के परिसमापक से एतद्द्वारा इस्तीफा स्वीकार किया गया।
पुनः संकल्प कि कम्पनी के निदेशक एवं परिसमापक एतद्द्वारा उपरोक्त सम्बन्ध में आवश्यक कार्यवाही एवं कम्पनीज पंजीयक में कागजात प्रस्तुत करने के लिए अधिकृत किये गये।
2 रिक्ति परिसमापक के कार्यालय में नियुक्ति
विचार एवं सही पाये जाने पर परिवर्तन सहित अथवा रहित, यदि कोई हो, निम्न संकल्प साधारण संकल्प के तौर पर पारित ः संकल्प कि कम्पनीज अधिनियम, 1956 की धारा 492 एवं कम्पनीज अधिनियम, 2013 के प्रावधानों के अनुसरण में (जैसा की वर्तमान में लागू हो) श्री तरूण जग्गी पुत्र स्व0 श्री जे0 एल0 जग्गी, निवासी ए-1/219, जनकपुरी, नई दिल्ली-110058 की 18 मार्च 2016 से नियुक्ति।

स्पष्टीकरण विवरण
कंपनीज एक्ट, 2013 के सेक्शन 102 के प्रावधानों के अनुरूप, निम्नलिखित स्पष्टीकरण, उपरोक्त विशेष के संबंध में सभी मटेरियल्स फैक्ट्स स्थापित करता है।

फोर फ्रन्ट रिसर्च (इंडिया) प्राइवेट लिमिटेड की स्थापना 14 फरवरी 2007 को हुई थी, जिसका उद्देश्य, वैयक्तिक देखभाल, मौखिल देखभाल, फार्मास्यूटिकल्स एवं मेडिकल डिवाइसेस के क्षेत्रों में क्लीनिकल तथा इन-विट्रो अनुसंधान सेवाएँ प्रदान करना था। कंपनी का प्रारंभिक निष्पादन संतोषजनक था, किन्तु समय के साथ राजस्व प्रवृति घटती गयी। इस कारण, कंपनी अब स्वाभाविक रूप से निष्क्रिय है और 2011 से कोई व्यवसाय गतिविधि/परिचालन नहीं कर रही है।
बोर्ड की राय है कि यही समझदारी है कम्पनी को स्वैच्छिक रूप से बन्द किया जाए, क्योंकि व्यवसाय संचालन नहीं हो रहा और इसीलिए कम्पनी की स्थिती बनाये रखने का कोई लाभदायक उद्देश्य पूरा नहीं होता।
कम्पनी के डायरेक्टर्स समझते हैं कि कम्पनी को स्वैच्छिक रूप से बन्द करने के सिवाय कोई विकल्प नहीं, उसकी परिसम्पतियाँ बेची जाएँ और लाभ सदस्यों में वितरित किया जाए।
बोर्ड ने कम्पनी मामलों के व्यावहारिक आकलन को सृजित और विचार को विकसित करने उचित आधार यह है कि कम्पनी से संबंधित परिसम्पतियों की उगाही के बाद कम्पनी तीन वर्षों की अवधि के भीतर पूर्ण रूप में अपने निदेशक मंडल द्वारा सृजित आकलन के आधार पर, बोर्ड ने 16.03.2016 को आयोजित बैठक में कम्पनीज अधिनियम, ऋण अदा करने की सक्षमता घोषित करने प्रस्ताव पास किया और यह कि ऐसी घोषणा कम्पनीज अधिनियम, 1956 के सेक्शन 488 के अन्तर्गत आवश्यकता अनुसार, कम्पनी के लेखा-परीक्षकों की रिपोर्ट से संलग्न कर रजिस्ट्रार के सुपुर्द करना होगा। अतः विशेष प्रस्ताव के माध्यम से शेयरधारकों का अनुमोदन आवश्यक है। इसके अतिरिक्त इस संबंध में, कम्पनी को भी उपरोक्त प्रस्ताव में उल्लेखित अनुसार कम्पनी के मामलों के अंतिमीकरण के लिए एक समापक को नियुक्त करना भी आवश्यक है।

EXPLANATORY STATEMENT
In conformity with the provisions of Section 102 of the Companies Act, 2013, the following Explanatory Statement sets out all materials facts relating to aforesaid Special Business.
Item Nos. 2, 3 & 4
Four Front Research (India) Private Limited was incorporated on February 14, 2007 with the objects of rendering clinical and in-vitro research services in areas of Personal care, oral care, pharmaceuticals and medical devices. The initial performance of the Company was satisfactory; however, there was a declining revenue trend over the period of time. Accordingly, the Company is now dormant and inactive in nature and not carrying out any business activity/operations since 2011.
The Board was of the opinion that it is prudent that the members wind up the Company voluntarily as there are no business operations and it therefore does not serve any fruitful purpose to maintain the status of the Company.
476 THE GAZETTE OF INDIA, MAY 7, 2016 (VAISAKHA 17, 1938) [PART IV ]The directors of the Company feel that there is no alternative but to put the Company under voluntary winding up, realize the assets thereof and distribute the proceeds to the members. The Board made a pragmatic assessment of the affairs of the Company and has reasonable grounds to form the opinion that the Company will be able to pay its debts in full within a period of three years after realizing the assets belonging to the Company. On the basis of the assessment made by your Board of directors, the Board passed a resolution declaring solvency of the Company at a meeting held on16-03-2016 and that such declaration shall be delivered to the Registrar accompanied by a report of the auditors of the Company, as required under section 488 of the Companies Act, 1956. Hence approval of the shareholders by way of special resolution is required.
Further in this connection, the Company is also required to appoint a liquidator to finalize the affairs of the Company as mentioned in the resolution above. The name of Mr. Ajay Kumar Agarwal has been proposed for appointment as the liquidator of the Company at nil remuneration. A copy of the all documents referred above shall be available for inspection at the registered office of the company during business hours from 10:00 a.m. to 01:00 p.m. on all working days except Sunday and Public Holidays and also during the course of the general meeting.
None of the director, other key managerial personnel; and relatives of the director and key managerial personnel of the company may be deemed to be interested or concerned in the resolution except to the extent to their shareholding, if any, in the Company. Your directors, therefore, recommend these resolutions (Item No. 2, 3 and 4) for your approval.
