(d) इस व्यवहार को अमान्य करने के लिए लिया गया निर्णय और रीसेटिंग ऑफ प्राइस ओफ ट्रेड अंतिम निर्णय होगा और एक्सचेन्ज ऐसे व्यवहार के लिए नुकसान और उत्तरदायित्त्व के जिम्मेदार नहीं है।
(e) अमान्यीकरण व्यवहार के लिए एक्सचेन्ज ने जो निर्णय किया होगा वह नियम-बायलोझ और नियम के हिसाब से शिस्त के लिए मेम्बर्स के सामने कार्यवाही होगी।
(f) अमान्यीकरण व्यवहार या रीसेटिंग ऑफ प्राइस ओफ ट्रेड के लिए एक्सचेन्ज द्वारा समयांतर को बताया जाएगा और मेम्बर को उसकी अनुसरना पडेगा- उस में नियत फी देनी पडेगी।

18 जो भाव है उसे गवर्निंग बोर्ड या तो प्रसिडेन्ट उसको रद नहीे कर सकेगा। मेम्बर्स के साथ बातचीत कर के जो मेम्बर्स सौदा बाजी करके, आवश्यक पूछताछ के बाद क्वोटेशन वापस लेकर, सिक्योरिटी की बाजार किंमत असंगत बताते हैं यह कोई शुद्ध बुद्धि का व्यवहार नहीं हुआ है।

(d) इस व्यवहार को अमान्य करने के लिए लिया गया निर्णय और रीसेटिंग ऑफ प्राइस ओफ ट्रेड अंतिम निर्णय होगा और एक्सचेन्ज ऐसे व्यवहार के लिए नुकसान और जिम्मेदारी के लिए उत्तरदायी नहीं रहेगा।

Whereas pursuant to the circular dated July 16, 2015 issued by SEBI on "Policy for annulment of trades undertaken on stock exchange", it is proposed to amend the Bye-Laws of the Cash Segment and Derivatives Segment of Rules, Bye-Laws and Regulations of BSE Ltd.
Pursuant to direction from SEBI, the proposed Bye laws of BSE Ltd. are published for public comments herewith:-
1) Amendment to the existing Bye-Law 193 (a), (b) and (c) of the Cash Segment (by substituting it with a new Bye- law) which is as follows:
Annulment of Bargain(s)/Trade(s) or Resetting of Price
of Trade(s)
193 (a) The Governing Board or the Managing Director & Chief Executive Officer or any otherperson(s)/committee(s) as may be authorised by the Governing Board may, suo moto or pursuant to a request received from its member annul the trade(s) or reset the price of the trade(s) to an appropriate price in accordance with regulations/circulars issued by SEBI and the Exchange from time to time provided it is satisfied that there exists cogent and sufficient cause to do so and is in the interest of investors, market integrity and maintenance of price discovery mechanism.
(b) The expression "sufficient cause" referred to in clause (a) above shall include erroneous orders, material mistake, fraud, manipulation or wilful misrepresentation.
(c) For the purpose of determining the appropriate price as referred to in clause (a) above, various factors including previous traded price, price of the security during the given period, conduct of parties involved, etc., may be considered by the Exchange.
(d) The decision of the Exchange to annul the trade(s) or reset the price of the trade(s) shall be final and binding and the Exchange shall not be liable for any losses/liabilities arising out of such action(s).
(e) Without prejudice to the decision taken with regards to annulment of trades(s) or resetting of price of trade(s), the Exchange shall also be entitled to take such other suitable disciplinary action(s) against the members under the Rules, Bye-laws and Regulations of the Exchange.
(f) The procedure to be followed for annulment of trade(s) or resetting of price of trade(s) shall be such as specified by the Exchange from time to time and every member shall comply with the same including payment of prescribed fees.
2) Deletion of the existing Bye-Law 18 of the Cash Segment
which is re-produced below:
18 Marking When Expunged - A price having been marked shall not be expunged except by order of the Governing Board or the President who may after calling for the names of the members who made the bargain and making the necessary inquiries withdraw a quotation which is considered to be inconsistent with the market value of the security or not the result of a bonafide bargain.
3) Amendment to the existing Bye-Law 1.46 (a), (b) and (c) of the Derivatives Segment (by substituting it with a new Bye-law) which is as follows:

RESOLVED FURTHER THAT pursuant to Section 491 of the Act, the Liquidator may allow the exercise of any power(s) by, or sanction the continuation of any powers(s) of, any director(s) or the Board of Directors of the Company in consultation with the shareholders of the Company, in relation to the day to day business or affairs or winding up of the Company, in such manner or subject to such limits, as may be specified by the Liquidator in writing.
