EXPLANATORY STATEMENT

Hitachi Transport System India Private Limited ("Company") was incorporated on 12th November 2007 with the Registrar of Companies, Delhi & Haryana ("ROC") as a logistic company. The Board was of the opinion that it is prudent that the members wind up the Company voluntarily. The Board of Directors at their Board Meeting held on 29.04.2016 decided to wind-up the Company and Form 149 w.r.t. the Declaration of Solvency has been filed with the ROC in this regard. Pursuant to the570 THE GAZETTE OF INDIA, MAY 28, 2016 (JYAISTHA 7, 1938) [PART IV provisions of Section 484(1)(b) of the Companies Act, 1956, approval of the shareholders by way of special resolution is required. Further in this connection, the Company is also required to appoint a liquidator to finalize the affairs of the Company at remuneration as mentioned in the resolution above. The name of Mr. Tarun Jaggi is proposed for appointment as the liquidator of the Company who is a Practicing Chartered Accountant with over 20 years' experience.
