भारतीय प्रतिभूति और विनिमय बोर्ड द्वारा अनुमोदन के लिए, निम्न उपनियमों को नेशनल मल्टी कमोडिटी एक्सचेंज ऑफ इंडिया लिमिटेड में लागू करने के लिए प्रस्तावित किया गया है, जिसे शेयर बाजार माना जाता है। प्रस्तावित सुधार प्रतिभूति संविदा (विनियमन) ं सूचना सार्वजनिक टिप्पणी/आलोचना/अवलोकन के लिए प्रकाशित किए गए हैं। किसी भी व्यक्ति के पास नियम, 1957 के नियम 18 मे ं हस्ताक्षरित कर इसे यदि प्रस्तावित उपनियमों को लेकर किसी भी प्रकार की टिप्पणी/आलोचना/अवलोकन है तो वह लिखित रूप मे नेशनल मल्टी कमोडिटी एक्सचेंज ऑफ इंडिया लिमिटेड, नंबर 4, चौथी मंजिल, एच के हाउस, जीवाभाई चैंबर्स के पीछे, आश्रम मार्ग, अहमदाबाद भेज सकता है [email protected] पर ईमेल इस सूचना के प्रकाशित होने के 15 दिन के भीतर भेज सकता है। 15 दिन के बाद प्राप्त टिप्पणी/आलोचना/अवलोकन पर विचार नहीं किया जाएगा और यह 15 दिन पूरे होने के बाद ही इस प्रारूप पर विचार किया जाएगा।
नेशनल मल्टी कमोडिटी एक्सचेंज ऑफ इंडिया लिमिटेड के लिए प्रस्तावित उपनियम-संशोधन
1. अध्याय 1, की धारा 2 में 'प्रावधान का'" शब्द के बाद, एफसी(आर) नियम 1952 की जगह एसई(आर) नियम 1956 प्रतिस्थापित किया जाएगा।
2. अध्याय 1, की धारा 5 में 'एफएमसी' शब्द के बाद "सेबी" लिखा जाना है।
3. अध्याय 1, की धारा 7 में, "एक्सचेंज सदस्यों को निम्न प्रकार से वर्गी—त किया गया हैः-
''व्यापार सदस्य (टीएम)ः
व्यापार की जगह 'एक्सचेंज' किया जाना है और इसके बाद 'एक व्यापार सदस्य की तरह' ''अथवा स्वसमाशोधन सदस्य अथवा व्यापार समाशोधन सदस्य अथवा संस्थानिक व्यापार-सह-स्वसमाशोधन सदस्य अथवा जैसा भी एक्सचेंज के नियमों में दर्शाया गया हो, और कौन व्यापार कर सकता है/नहीं कर सकता शामिल किया जाएगा और निम्न पंक्तियों को हटाया जाएगाः
''ट्रेडिंग सह समाशोधन सदस्य (टीसीएम)ः
ट्रेडिंग सह समाशोधन सदस्य का मतलब वह सदस्य जिसे संबंधित प्राधिकारी द्वारा एक्सचेंज में ट्रेडिंग सह समाशोधन सदस्य के रूप में शामिल किया गया हो और जोकि व्यापार कर सकता हो, सौदों का निबटारा कर सकता हो, अपने खाते और गैर सदस्यों ग्राहकों की ओर से, जैसा कि उपनियम में बताया गया है।
''संस्थागत समाशोधन सदस्य (आईसीएम)ः
संस्थागत समाशोधन सदस्य का मतलब एक एक्सचेंज सदस्य जोकि संबंधित प्राधिकारी द्वारा शामिल किया गया हो और व्यापार सदस्यों और गैर-सदस्य ग्राहकों की ओर से सौदों का निबटारा कर सके, जैसा कि उपनियम में दर्शाया गया है।''
4. अध्याय 1 की धारा 8 को निम्न से बदला जाएगाः
''समिति का मतलब, निदेशक बोर्ड द्वारा, कंपनी नियम, 2013 के तहत अथवा नियामक निर्देशों के अनुसार अथवा बोर्ड द्वारा मान्यता प्राप्त किसी समिति द्वारा बनाई गई समिति।"
5. अध्याय 1 की धारा 9 को निम्न से प्रतिस्थापित किया जाएगा-
सेबी का मतलब भारतीय प्रतिभूति और विनिमय बोर्ड जोकि सेबी नियम, 1992 के तहत गठित किया गया हो।
6. अध्याय 1 की धारा 10 को, गैर-सदस्य ग्राहक अथवा ग्राहक का मतलब एक ग्राहक जोकि एक्सचेंज सदस्य द्वारा पंजी—त किया गया हो, से बदला गया है।
7. अध्याय 1 की धारा 13 को," 'नियमों का मतलब, जब तक कि अलग से परिभाषित न किया गया हो, वह नियम जिन्हें एक्सचेंज केंद्र द्वारा एनएमसीई के व्यापार सदस्यों के कार्यों को करने और उन्हें नियमित करने के लिए बनाया गया हो और संबंधित प्राधिकारी द्वारा समय-समय पर एक्सचेंज के लिए बनाया, व्यवस्थित किया और लागू किया गया हो। इन नियमों को एससी(आर) नियम 1956 और सेबी नियम 1992 का प्रबंध कहा जा सकता है साथ ही इनके तहत बनाए गए नियमनों और सेबी द्वारा समय-समय पर जारी किए गए नियमन/दिशा निर्देशों को भी इसमें शामिल किया जाएगा।

एनएमसीई की व्यापार प्रणाली का मतलब एक ऐसा व्यापार मंच जो सदस्यों और उनके ग्राहकों को व्यापार की आजादी दे और व्यापार संबंधी वे सूचनाएं प्राप्त करे जोकि एक्सचेंज केंद्र द्वारा जरूरी समझी जाती है",
9. धारा 14 के बाद निम्न धाराएं शामिल की जाएंगीः
15. नियामक का मतलब सेबी या अन्य कोई संस्था जोकि केंद्र सरकार द्वारा व्यापार कार्यों को नियमित करने के लिए नियुक्त की गई हो।
16. नियामक निर्देश का मतलब निर्देश, दिशा-निर्देश, परिपत्र जो कि नियामक या सरकार द्वारा समय-समय पर जारी किए गए हों।
17. वस्तु या प्रतिभूति वस्तु का मतलब अनुबंध में रेखांकित की गई वस्तु/संपत्ति।
18. अंशधारक का मतलब, कोई व्यक्ति जो कि एक्सचेंज प्रणाली में शामिल हो, जिसमें सदस्य, गैर सदस्य ग्राहक और गोदाम सेवा दाता पारखी आदि शामिल हो सकते हैं लेकिन यह उन तक ही सीमित नहीं होगा।
19. अनुबंध का मतलब भावी अनुबंध जो कि एक संविदात्मक समझौता होगा और एक्सचेंज केंद्र के प्लेटफार्म पर किसी वस्तु के क्रय विक्रय के लिए बनाया गया होगा अथवा कोई वित्त दस्तावेज जोकि पूर्व निर्धारित कीमत पर तैयार किया गया हो और उसमें परिपक्वता से पूर्व बंद करने का विकल्प भी हो अथवा अनुबंध में बताए अनुसार अथवा नियामक निर्देशों में बताए अनुसार।
10. अध्याय 2 का शीर्षक 'कार्यकारी समिति' की जगह 'समितियां' किया जाएगा।
11. अध्याय 2 की धारा 1 को निम्न से प्रस्थापित किया जाएगा-
विभिन्न समितियां, निदेशक बोर्ड सहित अथवा इसके बिना, इसके सदस्य के रूप में बोर्ड द्वारा विभिन्न कार्यों के लिए नियुक्त की जाएंगी, सभी समितियों के कार्य बोर्ड द्वारा अथवा जरूरत के अनुसार नियामक निर्देशों के जरिए समय-समय पर तय किये जाएंगे।
12. अध्याय 2 की धारा 2 को निम्न से प्रतिस्थापित किया जाएगा-
''समितियों को सभी तरह की जिम्मेदारियों और अधिकारों का निर्वहन करना होगा जो बोर्ड द्वारा दिए जाएंगे अथवा जो कि नियामक निर्देशों के तहत दिए जाएंगे।''
13. अध्याय 3 की धारा 2 (जी), अग्रेषित अनुबंध नियामक कानून को प्रतिभूति अनुबंध (नियामक) कानून, 1956 से प्रतिस्थापित किया जाएगा।
14. अध्याय 3 की धारा 2 (एच), शब्द 'खातों' के बाद 'सदस्यों का फॉरेंसिक ऑडिट सहित' शामिल किया जाना है।
15. अध्याय 3 की धारा 2 (एम), शब्द 'व्यापार' कोे 'समझौता' से प्रस्थापित किया जाएगा।
16. अध्याय 4 के शीर्षक में शब्द 'वस्तु' के स्थान पर'/प्रतिभूति लिखा जाएगा।
17. अध्याय 4 की धारा 1 को," वस्तुओं/प्रतिभूतियों के लिए व्यापार केवल इन उपनियमों, नियमों, नियामकों और नियामक निर्देशों के तहत ही मान्य है।
18. अध्याय 4 की धारा 1-ए को निम्न से प्रतिस्थापित किया जाएगाः
''प्रत्येक वस्तु में कारोबार के बारह मासिक अनुबंध होंगे अथवा सेबी की अनुमति के अनुसार एक्सचेंज द्वारा समय-समय पर जो भी निर्णय लिया जाएगा। साथ ही मासिक अनुबंधों की संख्या कभी भी एक्सचेंज द्वारा तय की जा सकती है।"
19. अध्याय 4 की धारा 2 को निम्न से प्रतिस्थापित किया जाएगाः
संबंधित प्राधिकारी किसी भी ऐसे अनुबंध/अनुबंधों को रद्द कर सकता है जिससे सार्वजनिक हित जुड़े हों अथवा व्यापार हित जुड़े हों, बोर्ड/संबंधित प्राधिकारी की राय में। तीन सप्ताह के रद्दीकरण के लिए', संबंधित प्राधिकारी को बोर्ड की अनुमति लेनी होगी।
20. अध्याय 5 की धारा 1(ए) को निम्न से प्रतिस्थापित किया जाएगाः
''संबंधित प्राधिकारी नए सदस्यों को शामिल करने के लिए समय-समय पर नियम और शर्तें बता सकता है, साथ ही समय-समय पर शुल्क की जानकारी भी दे सकता है।"
21 अध्याय 5 में धारा 1(ई) को हटाया जाएगा।
22. अध्याय 5 की धारा 1(एफ) में शब्द 'दलालों तथा' को हटाया जाएगा।
23 अध्याय 5 की धारा 1(जी) को हटाया जाएगा।
24. अध्याय 5 की धारा 2(ए) में से 'संबंधित प्राधिकारी' और 'अथवा सेबी के द्वारा' स्थापित किया जाएगा।

एक्सचेंज अथवा सेबी द्वारा कराई गई फॉरेंसिक ऑडिट सहित किसी भी निरीक्षण या निष्पादन लेखापरीक्षा के प्रयोजन के लिए किसी भी ट्रेडों, व्यवहार, उनके निपटान, लेखा और/या अन्य संबंधित मामलों के संबंध मेंं एक्सचेंज के सदस्य पूरा सहयोग करेंगे और सही सूचनाएं प्रदान करेंगेें।
26. अध्याय 6 की धारा 1 को निम्न से प्रतिस्थापित किया जाएगाः
(ए) एक्सचेंज सदस्य किसी भी व्यक्ति को 'गैर सदस्य ग्राहक' के रूप में पंजी—त कर सकता है, जो भी खुद को गैर सदस्य ग्राहक के रूप में पंजी—त कराना चाहता है उसे ''केवाईसी' फार्म भरने के बाद संबंधित प्राधिकारी द्वारा बताए सभी नियम व शर्तों पर सहमति जतानी होगी, संबंधित प्राधिकारी को उक्त व्यक्ति का पंजीकरण स्वीकार और रद्द करने का अधिकार होगा, संबंधित प्राधिकारी बाजार निष्ठा को ध्यान में रखते हुए निर्णय ले सकता है। अगर गैर सदस्य ग्राहक की ओर से कोई कमी पाई जाती है तो संबंधित प्राधिकारी उसकी सदस्यता को रद्द कर सकता है ऐसी स्थिति में गैर सदस्य ग्राहक को मिले सभी अधिकारी और विशेषाधिकार निरस्त किए जा सकते हैं।
(बी) एक्सचेंज सदस्य किसी भी गैर सदस्य ग्राहक को बिना केवाईसी की शर्तें पूरी किए व्यापार का अधिकार नहीं देगा।
(सी) हर एक्सचेंज सदस्य एक अनुपालन अधिकारी नियुक्त करेगा जोकि सभी नियमों और उपनियमों की समय-समय पर अनुपालना के लिए जिम्मेदार होगा।
27. अध्याय 6 की धारा (2) (ए) को निम्न से प्रतिस्थापित किया जाएगाः
एक गैर सदस्य ग्राहक अगर एक्सचेंज सदस्य, जिसके अंतर्गत वह पंजी—त है, से अपने व्यापार की जानकारी पाने में असफल रहता है तो वह इसे सीधे एक्सचेंज से प्राप्त कर सकता है, इस संबंध में संबंधित प्राधिकारी द्वारा समय-समय पर नियम शर्तें व जानकारियां जारी की जाती रहेंगी।
28. अध्याय 8 की धारा 1 को निम्न से प्रतिस्थापित किया जाएगाः
''ऐसी वस्तुएं जो मार्केट मेकिंग में जाने को पात्र होंगी, यदि सब पर, समय-समय पर संबंधित प्राधिकारी द्वारा निर्दिष्ट किया जाएगा उनके लिए बोर्ड और सेबी की पूर्वानुमति जरूरी होगी। इस प्रक्रिया में चलनिधि संवर्धन योजना शामिल होगी, जोकि नियामक द्वारा मंजूर की जा सकती है।" 29. अध्याय 9 की धारा 3(ए) को निम्न से प्रतिस्थापित किया जाएगाः
''लेन-देन आदेश संचालित प्रणाली अथवा नीलामी आधारित प्रणाली के जरिए प्रभावित हो सकते हैं जोकि नियामक द्वारा समय-समय पर स्वीकार किये जाते हैं।"
30. अध्याय 9 की धारा 3(ए) में शब्द 'प्रणाली अथवा' के बाद शब्द 'नीलामी आधारित' जोड़े जाएंगे।
31 अध्याय 9 की धारा 3(सी) को निम्न से प्रतिस्थापित किया जाएगाः
''सौदे जगह, तैयार, भविष्य और विकल्प अथवा किन्हीं अन्य कारणों से प्रभावित हो सकते हैं, जैसा कि संबंधित प्राधिकारी द्वारा समय-समय पर दिशा-निर्देश जारी कर बताया जाता है।"
32. अध्याय 9 की धारा 4 में शब्द "वायदा बाजार आयोग" के स्थान पर 'भारतीय प्रतिभूति और विनिमय बोर्ड' और शब्द 'वस्तुओं' के बाद "प्रतिभूति वस्तु" शामिल किया जाएगा।
33. अध्याय 9 की धारा 12 को निम्न से प्रतिस्थापित किया जाएगाः-
''सुपुर्दगी अनुबंध में बताए अनुसार होगी। इसके इतर अनुबंध में बताए गए सुपुर्दगी स्थान में बदलाव की स्थिति में क्रेता-विक्रेता दोनों की सहमति होना जरूरी है। इस स्थिति में सुपुर्दगी संबंधित प्राधिकारी की अनुमति और बुद्धिमता के अनुसार की जाएगी।
34. अध्याय 9 की धारा 16ए में, शब्द 'के द्वारा निर्धारित' के स्थान पर 'संबंधित प्राधिकारी' शामिल किया जाएगा और शब्द संबंधित प्राधिकारी के बाद इतनी के रूप में जोड़ा 'व्यापार, समाशोधन और निपटान समिति' शब्द हटा दिए जाएंगे।
35. अध्याय 9 की धारा 16ए की उपधारा (3), में शब्दों 'के द्वारा बताई गई जगहों' के स्थान पर 'संबंधित प्राधिकारी' शब्द शामिल किए जाएंगे और शब्द संबंधित प्राधिकारी के बाद इतनी के रूप में जोड़ा 'व्यापार, समाशोधन और निपटान समिति' शब्द हटा दिए जाएंगे।
36. अध्याय 9 की धारा 16ए की उपधारा (4) में, शब्द 'समिति' के स्थान पर 'संबंधित प्राधिकारी को लगता है' लिखा जाएगा और 'शुल्क' शब्द हटा दिया जाएगा।
37. अध्याय 9 की धारा 27 में 'दलाली' शब्द के साथ पर 'उनके ग्राहकों से' लिखा जाएगा।
38. अध्याय 10 में धारा 2 के बाद, धारा 2(ए) के रूप में निम्न को जोड़ा जाएगाः ''एक्सचेंज सदस्य को यह अधिकार होगा कि वह ग्राहक को भुगतान में गड़बड़ी के लिए निलंबित किया जा सकता है, गड़बड़ी चाहे लाभ से संबंधित हो या भुगतान से या फिर एक्सचेंज सदस्य की –ष्टि में ग्राहक अनुप्युक्त व्यापार कार्य से जुड़ा हुआ जो कि बाजार समग्रता के पक्ष में न हो अथवा व्यापार की विशुद्ध प्रक्रिया से भिन्न हो।"PART IV] THE GAZETTE OF INDIA, JUNE 4, 2016 (JYAISTHA 14, 1938) 619 39. अध्याय 11 की धारा 2 को निम्न से प्रतिस्थापित किया जाएगाः ''सभी क्रय-विक्रय, लेनदेन और अनुबंध जोकि एक्सचेंज के उपनियमों, नियमों, नियामकों और एक्सचेंज दिशा-निर्देशों के अधीन हैं, को अहमदाबाद स्थिति अदालतों में जमा करना होगा ताकि प्रावधानों को प्रभावी किया जा सके।" 40. अध्याय 11 की धारा 5(बी) के बाद, धारा 5(सी) के रूप में निम्न को जोड़ा जाएगाः ''एक्सचेंज द्वारा नियुक्त किए गए मध्यस्थों को अन्य एक्सचेंजों द्वारा नियुक्त किए गए मध्यस्थों के साथ नियुक्त किया जा सकता है और एक्सचेंजों द्वारा इस पूरे समूह की सेवाएं ली जा सकती हैं।"
41. अध्याय 12 की धारा 7 को निम्न से प्रतिस्थापित किया जाएगाः ''किसी एक्सचेंज सदस्य को त्रुटिपूर्ण (डिफाल्टर) घोषित कर दिए जाने के बाद संबंधित प्राधिकारी अथवा उसके द्वारा अधि—त व्यक्ति को यह अधिकार होगा कि वह मामलों को सुनिश्चित करने के लिए त्रुटिपूर्ण व्यक्ति के खातों, कागजातों आदि तक पहुंच बनाकर उनकी जांच कर सके और सभी कागजात संबंधित प्राधिकारी तक पहुंचाए।"
42. अध्याय 12 की धारा 10 में 'को रिपोर्ट करेंगे' के बाद 'कार्यकारी समिति' के स्थान पर 'बोर्ड की संबंधित समिति' लिखा जाएगा।"
43. अध्याय 12 में धारा 29 के बाद निम्न को धारा 30 के रूप में जोड़ा जाएगाः ''किसी एक्सचेंज सदस्य के एक से ज्यादा एक्सचेंज में त्रुटिपूर्ण होने की स्थिति में उसके नाम पर रखी हुई जमा की अधिशेष राशि ग्राहकों से निपटान करने के बाद एक्सचेंजों के बीच बांट ली जाएगी।"
44. अध्याय 13 में शीर्षक 'व्यापार जमानत राशि' के स्थान पर 'समझौता जमानत राशि ' लिखा जाएगा।
45. अध्याय 13 की धारा 1 में, शब्द 'ए' के बाद, शब्द 'व्यापार' को शब्द 'समझौता' के साथ प्रतिस्थापित किया जाएगा और 'इस भाग' के स्थान पर 'जो भी संबंधित प्राधिकारी द्वारा निर्णय लिया गया हो' लिखा जाएगा।
46. अध्याय 13 की धारा 1(सी) को निम्न से बदला जाएगाः ''समझौता जमानत राशि का शुरुआती 10 करोड़ रुपए का कोष एक्सचेंज द्वारा उपलब्ध कराया जाएगा। यदि कोई समय-समय पर तनाव परीक्षण कर रहा है तो एक्सचेंज द्वारा इस कमी को पूरा किया जाएगा, जिन्हें नियामक निर्देशों में बताया जा सकता है।"
47. अध्याय 13 की धारा 2 को निम्न से प्रतिस्थापित किया जाएगाः ''समझौता जमानत राशि के तहत मुआवजे के लिए अच्छी रकम तब बन जाती है जब वह किसी ऐसे गैर सदस्य ग्राहक द्वारा जमा किया गया हो जो किसी आर्थिक निपटान से संबंधित डिफॉल्ट के नुकसान से गुजरा हो। ऐसी स्थिति में संबंधित प्राधिकारी द्वारा तय की गई राशि ही अंतिम होगी।
48. अध्याय 13 की धारा 6(ए) में, 'से कम' शब्द के बाद 'तीन महीने' को '60 दिनों' से प्रतिस्थापित किया जाएगा।
49. अध्याय 13 की धारा 12 में, 'सदस्य' शब्द के बाद 'व्यापार' शब्द को 'समझौता' से प्रतिस्थापित किया जाएगा।
50. अध्याय 13 की धारा 13 मेें, 'के बाहर' शब्द के बाद 'व्यापार' शब्द को 'समझौता' से प्रतिस्थापित किया जाएगा और 'होगा' शब्द से पूर्व 'पहले' जोड़ा जाएगा।
51. अध्याय 13 की धारा 15 में, 'के बाहर' शब्द के बाद 'व्यापार' शब्द को 'समझौता' से प्रतिस्थापित किया जाएगा।
52. अध्याय 13 की धारा 17 में, 'यह' 'बाहर' शब्द के बाद 'व्यापार' शब्द को 'समझौता' से प्रतिस्थापित किया जाएगा और 'आयोजित' शब्द के बाद 'उपरोक्त के रूप में विश्वास' को हटाया जाएगा।

(19) समझौते संबंधी सभी जुर्माना राशि समझौता जमानत राशि में जोड़ी जाएगी।
(20) नियामक द्वारा निर्दिष्ट सामयिक तनाव परिक्षण को समझौता जमानत राशि की उपयुक्तता पर लागू किया जाएगा और नियामक तथा एक्सचेंज बोर्ड को इसकी स्थिति और पर्याप्तता के बारे में समय-समय पर सूचित किया जाएगा।
54. अध्याय 14 की धारा 2(बी) में 'वायदा बाजार आयोग (एफएमसी) और अथवा' हटाया जाएगा और 'एक्सचेंज अथवा' के बाद समय-समय पर नियामक निर्देशों के अनुसार' जोड़ा जाएगा।
55. अध्याय 14 की धारा 3(ए) में 'एफएमसी' के स्थान पर ''नियामक" लिखा जाएगा।
56. अध्याय 14 की धारा 4 में 'एफएमसी' के स्थान पर ''नियामक" लिखा जाएगा।

"अध्यायः 15(ए)- अनुशासनात्मक कार्यवाही, दंड, स्थगन और निष्कासन
(1) सदस्यों के कार्यों को अनुशासित करने के लिए बोर्ड नियामक की अनुशासनात्मक नीति लागू कर सकता है।
(1) एक्सचेंज के नियमों, उपनियमों और दिशा-निर्देशों का उल्लंघन करने की स्थिति में अनुशासनात्मक कार्रवाई की जाएगी।
(2) अनुशासनात्मक नीति में दोषी सदस्य को अपना पक्ष रखने के लिए उचित अवसर देने का प्रावधान होगा, जिसके तहत वह संबंधित प्राधिकारी के निर्णय को भी चुनौती दे सकता है।
(3) अनुशासनात्मक नीति को एक्सचेंज की वेबसाइट के जरिए सार्वजनिक किया जाएगा।"
78. अध्याय 15 ए के बाद अध्याय 15 बी जोड़ा जाएगा।
"अध्याय 15बी - निगरानी
1. एक्सचेंज के पास ऑनलाइन और ऑफलाइन व्यापार क्रियाओं पर नजर रखने के पर्याप्त इंतेजाम होंगे।
2. क्रियाओं पर निगरानी रखने का उद्देश्य एक्सचेंज के संभावित दुर्उपयोग को रोकना होगा, जिसमें अवांछनीय तरीके से व्यापार किये जाने की आशंका है।
3. निगरानी प्रक्रिया में जारी की गई चेतावनी को बिना प्रतिपक्ष की जानकारी के सभी सदस्यों तक पहुंचाना शामिल है।
4. एक्सचेंज सदस्यों का कर्त्तव्य होगा कि वे इस तरह की चेतावनियों पर कार्य करें और एक रिपोर्ट जमा कराएं।
5. हर चेतावनी को निर्णायक सबूत के तौर पर नहीं देखा जा सकता, हालांकि यह सदस्य/एक्सचेंज द्वारा किए गए आलोचनात्मक विश्लेषण का आधार होगा।
6. निगरानी का मुख्य उद्देश्य बचाव करना है, हालांकि जांच के बाद अगर यह नतीजा निकलता है कि गड़बड़ियां हुई हैं तो दोषी सदस्य के खिलाफ अनुशासनात्मक कार्रवाई की जाएगी। और यह व्यापार सदस्यों के अधिकार क्षेत्र में होगा कि वह उक्त दोषी की भावी व्यापार गतिविधियों पर रोक लगा सकें। अगर एक्सचेंज को प्रथम –ष्टया यह लगता है कि लेन-देन अनुचित तरीके से किया गया है तो वह अनुशासनात्मक कार्रवाई शुरू करPART IV] THE GAZETTE OF INDIA, JUNE 4, 2016 (JYAISTHA 14, 1938) 621 सकता है। यदि संबंधित प्राधिकारी को लगता है कि सदस्य ने अनुचित तरीके से व्यापार करने में संदिग्ध गतिविधियों को अंजाम दिया है तब भी उसके खिलाफ अनुशासनात्मक कार्रवाई की जा सकती है।"
79. अध्याय 16 में धारा 5 के बाद, धारा 6 को निम्न प्रकार से जोड़ा जाएगाः-
"6.1 एक्सचेंज एक निवेशक सेवा केंद्र की स्थापना करेगा जिसमें निवेशकों की शिकायतों को निवेशक शिकायत निवारण समिति के पास भेजने से पहले मैत्रीपूर्ण समाधान का प्रयास किया जाएगा।"

PROPOSED AMMENDMENTS TO THE BYE-LAWS OF NATIONAL MULTI COMMODITY EXCHANGE OF INDIA LIMITED
1. In Chapter 1, In Clause 2 after words 'provision of ", " FC(R)Act 1952 will be substituted by "SE(R)Act, 1956" 2. In Chapter 1, In clause No 5 after word 'FMC' , the symbol and word "/SEBI" to be inserted.
3. In Chapter 1, In clause No 7, " The categories of Exchange Members are specified as under:
"Trading Member (TM):
"Trading" shall be substituted by "Exchange" and after 'as a Trading Member' " or Self Clearing Member or Trading Clearing Member or Institutional Trading Cum Clearing Member or as may be specified in the Rules of the Exchange, and who may trade and/or" shall be inserted and Following lines shall be deleted :
"Trading cum Clearing Member (TCM):
Trading cum Clearing Member means and includes a member admitted by the relevant authority on Exchange as a Trading cum Clearing Member and who may trade, clear and settle deals on own account or on account of its Non-member clients in the manner specified in the Bye-laws.
Institutional Clearing Member (ICM)
Institutional Clearing Member means an Exchange Member who is admitted by the relevant authority and who may clear and settle deals on account of Trading Members or on account of its Non-member clients in the manner specified in the Bye-laws".
4. In Chapter 1, Clause No 8 shall be substituted by:
"Committee means any Committee constituted by the Board of Directors as mandated by Companies Act, 2013 or as mandated under Regulatory Directives or any other Committee as may be deemed fit by the Board"
5. In Chapter 1, In Clause No 9 will be substituted as under:
SEBI means Securities and Exchange Board of India constituted under SEBI Act, 1992
6. In Chapter 1, Clause No 10 substituted by "Non-member Client" or Client means a client who is registered by the Exchange Member."

In Chapter 1, the Clause No 13, shall be substituted by " 'Rules' unless the context indicates otherwise, means rules as framed by the Exchange for conducting and regulating the activities and responsibilities of trading members of NMCE and as prescribed by the relevant authority from time to time for the constitution, organization and functioning of the exchange and these rules shall be subject to the provisions of the of the SC(R ) Act 1956 and SEBI Act 1992 and the Regulations made thereunder and also the Regulations/directives guidelines issued by SEBI from time to time.
8. In Chapter 1, Clause No 14 substituted by,
"Trading system of the NMCE" means a electronic trading platform, to enable the Exchange Members and their clients to trade and also to receive information related to the trading activities, as may be deemed necessary by the Exchange.
9. After clause No 14 following clauses shall be inserted":
15. "Regulator" means the SEBI or any other authority as may be appointed by the Central government to regulate the operations of the Exchange.
16. "Regulatory Directives" means directives, guidelines, circulars issued by the Regulator or the Government from time to time.
17. Commodity" or "Security" means the underlying commodity/asset of a Contract
18. "Stakeholder" means any one who has dealings in respect of any transactions related to Exchange operations which includes but not limited to Exchange Members, Non-member clients, Warehouse Service Providers. Essayers.
19. Contract means futures contract which is a contractual agreement, made on the Exchange platform to buy or sell a permitted commodity or financial instrument at a pre-determined price in the future with option to square off before maturity of the Contract or as per Contracts specifications or as may be specified under regulatory Directives.

17. In Chapter 4, Clause 1 shall be substituted by, "Trading is permitted only in commodities/securities in accordance with the provisions of these Bye-Laws, Rules, Regulations and Regulatory Guidelines.
18. In Chapter 4, Clause 1 A shall be substituted by:
"There shall be twelve monthly contracts or as may be decided by the Exchange from time to time in each commodity traded with the prior permission of the SEBI, provided further that the number of monthly contracts available at any point of time shall be as decided by the Exchange from time to time."
19. In Chapter 4, Clause No 2 shall be substituted by:
The Relevant Authority may suspend trading in any contract or contracts on the Exchange platform, for any reason which in the opinion of the Board/Relevant Authority is in public interest or is in the interest of the trade. Any suspension of trade for more than three consecutive week, Relevant Authority shall have approval of Board
20. In Chapter 5, the Clause No 1 (a) shall be substituted by : "The Relevant Authority may prescribe from time to time norms, procedure and terms and conditions for admission of Exchange Member and prescribe such a fees/charges from time to time."
21. In Chapter 5, the clause No 1 (e) shall be deleted
22. In Chapter 5 , clause 1 (f) the words " brokers and " shall be deleted.
23. In chapter 5, Clause no 1 (g) shall be deleted
24. In Chapter 5, clause No 2, (a), after the words :'Relevant Authority and', the symbol and words "/or by SEBI" shall be inserted.
25. In Chapter 5, clause No 2(h) shall be substituted by : "Exchange members shall extend full co-operation and furnish such information and explanation as may be required for the purpose of any inspection or performance audit including forensic audit, ordered by the Relevant Authority or other authorised official of the Exchange or by SEBI into or in regard to any trades, dealings, their settlement, accounting and/or other related matters.
26. In Chapter 6, Clause No 1 shall be substituted by :
(1) The Exchange Member may register any person as a "Non-member client", those who are desirous of registering themselves as such, after complying with KYC norms and subject to such terms and conditions as may be prescribed by the Relevant Authority, provided further that the Relevant authority shall have to right to issue a direction binding upon the Exchange Member to cancel the registration any client and/or to de-activate such client from the exchange trading system, if the Relevant Authority feels it is in the interest of the maintaining the integrity of the market. Save as otherwise expressly provided in the regulation or in the decision of the Relevant Authority, all rights and privileges available to the Non-member client shall accordingly stand terminated on such cancellation.
(a) The Exchange Members shall not allow any non-member client to trade before fulfilling the KYC requirements.
(b) Every Exchange Member shall appoint a Compliance Officer who shall be responsible for compliance of all provisions of bye-laws, Rules and Regulations of the Exchange and also the Regulatory Directives from time to time.

A non-member clients is entitled to get his trade details directly from the Exchange in case he failed to get the same from the Exchange Member under whom he is registered, subject to such terms, conditions and requirements and in such circumstances as may be prescribed by the Relevant Authority from time to time.
28. In Chapter 8, Clause No 1, shall be substituted by " Commodities which will be eligible for market making, if at all, will be specified by the Relevant Authority from time to time, subject to prior permission of the Board as well as SEBI to undertake Market Making provided further that the Market Making shall also include Liquidity Enhancement Scheme as may be permitted by the Regulator."
29. In Chapter 9, clause N0 3 (a ) shall be substituted as under:
"Deals may be effected through order driven system or auction based system as may be permitted by the Regulator from time to time."
30. In Chapter No. 9 in clause No. 3 (a) after the words "system or" the words "auction based" shall be inserted.
31. In Chapter 9, clause No 3 (c ) shall be substituted by "Deals may be effected on spot, ready, futures & options or such other basis as may be specified by the Relevant Authority, subject to regulatory guidelines from time to time."
32. In Chapter No. 9, in clause No. 5 the words "Forward Markets Commission" shall be substituted by the words "Securities and Exchange Board of India" and after the word " Commodities" the symbol and word "/securities" shall be inserted.
33. In Chapter No. 9, the clause No. 12 shall be substituted as under:
"The delivery shall be as per contract specifications and any change in the delivery centre other than stated in the contract specifications shall be subject to both buyer and the seller agreeing, in which case the delivery may be allowed by the relevant Authority, under his absolute discretion.
34. In Chapter No. 9, clause No. 16A, after the words "fixed by the" the words "Relevant Authority" shall be added and after the word "Relevant Authority" as so added, the words "Trading, clearing and Settlement Committee" shall be deleted.
35. In Chapter No. 9, clause No. 16A, sub clause no. (iii), after the words "centers are specified by the" the words "Relevant Authority" shall be added and after the word "Relevant Authority" as so added, the words "Trading, clearing and Settlement Committee" shall be deleted.
36. In Chapter No. 9, clause No. 16A, sub clause no. (iv), the word "committee" shall be substituted by the words "Relevant Authority feels" and the word "fees" shall be deleted.
37. In Chapter No. 9, clause No. 27, after the word 'brokerage' the words "from their clients" shall be inserted.
38. In Chapter No 10, after clause No 2, following shall be inserted as Clause No.2a : "The Exchange Member is entitled to place the client under suspension for default of payment due to him either in the form of margin or pay-ins, or if in the opinion of the Exchange Member or the Exchange, the client has indulged in unusual trading pattern/activities which is not in the interest of market integrity or not in form of genuine trading activity"
39. In Chapter 11, in Clause no.2 shall be substituted by: "All dealings, transactions and contracts which are subject to the Bye-Laws, Rules, Regulations and Regulatory Guidelines of the Exchange and every arbitration agreement shall be deemed to have submitted to the jurisdiction of the Courts in Ahmedabad for the purpose of giving effect to the provisions of the Bye-Laws, Rules, Regulations of the Exchange and Regulatory Guidelines".
40. In Chapter 11, after Clause 5(b), following clause shall be inserted as Clause 5 (c) : "The Arbitrators empanelled by the Exchange may be placed in pool of Arbitrators along with the Arbitrators appointed by other Exchanges and services of the Arbitrators from the common pool so created by the Exchanges may be availed"
41. In Chapter 12, the Clause No 7 shall be substituted by "When an exchange member has been declared a defaulter the Relevant Authority is entitled to access all his books of accounts, documents, papers and vouchers to ascertain the state of his affairs and the defaulter shall allow access to the Relevant authority or to the persons authorized by him and hand over copies of such books, documents, papers and vouchers to the Relevant Authority".
42. In Chapter 12, Clause No 10, after the words 'shall report to the' the words "Executive Committee" shall be substituted by "relevant Committee of the Board"
43. In Chapter 12 after the clause 29 following clause shall be inserted as clause No. 30:
" In the event of a Exchange member defaulting to more than one Exchanges any surplus amount of deposits lying in the name of such defaulting member after settling dues of the clients of the Exchange, shall be liable to be shared with other exchanges where the member is also a defaulter."PART IV] THE GAZETTE OF INDIA, JUNE 4, 2016 (JYAISTHA 14, 1938) 627 44. In chapter 13, the caption "TRADE GUARANTEE FUND" shall be substituted by "SETTLEMENT GURANTEE FUND".
45. In Chapter 13, in clause 1, after the word 'A' the word "Trade" shall be substituted by "Settlement" and after the words 'this Part' the words, "as may be decided by the Relevant Authority" shall be inserted.
46. In Chapter 13, clause 1(c) shall be substituted by "The initial corpus of the Settlement Guarantee Fund of Rs.10 Crore shall be provided by the Exchange. The Exchange shall make good the shortfall if any on conducting the periodic stress test as may be prescribed in terms of Regulatory directives."
47. In Chapter 13, clause 2 shall be substituted by "The Settlement Guarantee Fund shall also make good claims for compensation which may be submitted by non-member clients who suffer pecuniary loss from any settlement related default by any Exchange Member and the decision of the Relevant authority on determination of the amount of claim shall be final and binding on the claimant.
48. In Chapter 13, in clause No 6(a) after the words 'less than' "3 months" shall be substituted by "60 days"
49. In Chapter 13, in clause No 12 after the words 'member' the word "Trade" shall be substituted by the word "Settlement" 50. In Chapter 13, in clause No 13 after the words 'out of the" the word "Trade" shall be substituted by the word "Settlement" after the words 'shall be' the word "first" shall be inserted.
51. In Chapter 13, in clause No 15 after the words 'out of the' the word "Trade" shall be substituted by the word "Settlement".
52. In Chapter 13, in clause No 17 after the word 'The', the word "Trade" shall be substituted by the word "Settlement" and after the words 'be held' the words "in trust as aforesaid" shall be deleted.
53. In Chapter 13, after Clause No 17, the Clause No 18, 19 and 20 be inserted as under;-
"(18) The interest earned on the amount of investment made from the Settlement Guarantee Fund, net of taxes, if any, shall be credited to Settlement Guarantee Fund only.
(19) All the settlement related penalties shall be credited to Settlement Guarantee Fund.
(20) Periodic stress test as may prescribed by the regulator, shall be conducted on adequacy of Settlement Guarantee Fund" and the Regulator and the Board of the Exchange shall be kept informed of the status and adequacy of the Settlement Guarantee Fund from time to time"
54. In Chapter No 14, in clause No 2(b) after the words 'by the' the words "Forward Market Commission (FMC) and or" shall be deleted and after the words 'Exchange or', "as per the regulatory directives from time to time" shall be inserted.

77. After Chapter 15, Chapter 15 A shall be inserted
" CHAPTER:15(A) - DISCIPLINARY PROCEEDINGS, PENALTIES, SUSPENSION AND EXPULSION
(1) The Board shall lay down the Disciplinary Policy of the Exchange, for regulating the operations of the members (1) Disciplinary Action shall be taken in terms of Disciplinary policy for violations of the provisions of Bye-Laws, Rules and Regulatory Guidelines of the Exchange and Regulatory Directives issued by the Regulator (2) The Disciplinary Policy shall contain adequate provision for affording the reasonable opportunity to the delinquent Exchange Member to submit his explanations, including provision for appeal against the decision of the Relevant Authority.
(3) The contents of the Disciplinary Policy shall be made known to the public by way of display of the same on the web-site of the Exchange."
78. After Chapter 15 A, Chapter 15 B shall be inserted.
"CHAPTER 15 B, - SURVEILLANCE
1. The Exchange shall have adequate arrangement for on-line and off line surveillance of the trading activities 2. The objective of the surveillance activities is to prevent possible misuse of the Exchange Platform, by indulging undesirable trade practice, by the stakeholders.
3. The alerts generated in the course of such surveillance activities may be shared with the members concerned without, of course, disclosing the details of the counter parties.
4. It shall be the obligation of the members of the Exchange to act upon such alerts and submit a report to the Exchange
5. Every alert shall not necessarily show as conclusive proof of the transaction concerned being undesirable, however the same should lead to critical analysis by the member/Exchange as the case may be.
6. The purpose of surveillance activities are predominantly preventive, however if the analysis of the transactions on which alerts are generated if leads to the conclusion that the undesirable activities have taken place, the disciplinary action may be initiated against the delinquent members, and the it shall be within the powers of the Trading Member to block the client concerned from further trading on the Exchange Platform, provided further that if the Exchange is prim-a-facie convinced that the transactions concerned were undesirable, the process as per Disciplinary Policy of the Exchange may be initiated against the member, if the Relevant Authority in its opinion suspects the involvement of the member, in facilitating such undesirable trades"
79. In Chapter 16, after Clause No. 5, Clause No. 6 shall be inserted as under:
"6.1 The Exchange shall set-up investor Service Centre to entertain complaints received from the stakeholders for their amicable solution before they are being referred to Investor Grievances Redressal Committee." "6.2 The Exchange shall constitute Investor Grievance Redressal Committees in such number of regions as may be required, as per Regulative Directives. The constitution, functioning and modus operandi of the Investor Grievance Redressal Committees shall be as per Regulatory Directives"
