2. श्री अनन्त कुमार झा के त्यागपत्र के कारण नए स्वैच्छिक परिसमापक की नियुक्ति :
"प्रस्ताव किया गया कि कम्पनी अधिनियम, 1956 की धारा 490 एवं 492 तथा ऐसे अन्य प्रावधानों जो सदस्यों के स्वैच्छिक समापन हेतु लागू हो सकते हैं तथा कम्पनी अधिनियम, 2013 और तदधीन बनाए गए नियमाें, यथा लागू के अनुसरण में तथा सदस्यों द्वारा 28 दिसम्बर, 2009 को सम्पन्न उनकी बैठक में पारित पूर्वतर विशेष प्रस्ताव के संशोधन में, श्री अनन्त कुमार झा, स्वैच्छिक परिसमापक के 25 मार्च, 2015 के प्रभाव से त्याग पत्र द्वारा सृजित रिक्ति के कारण (कम्पनी के परिसमापन के संबंध में उसको प्रदत्त सभी शक्तियां रद्द करने तथा बहियाें, दस्तावेजों, प्रपत्रों तथा लेखा का कब्जा प्राप्त करने सहित) श्री सौरभ श्रीवास्तव, कम्पनी सेक्रेटरी पूर्णकालिक कार्यरत, को तत्काल प्रभाव से कम्पनी का 'स्वैच्छिक परिसमापक' कम्पनी के कार्याें के परिसमापन तथा आस्तियाें का संवितरण ऐसी शक्तियाें के साथ करने के लिए, जैसीकि कम्पनी अधिनियम, 1956 की धारा 490 एवं 492 तथा ऐसे अन्य प्रावधानों जो सदस्यों के स्वैच्छिक समापन हेतु लागू हो सकते हैं तथा कम्पनी अधिनियम, 2013 और तदधीन बनाए गए नियमाें, और लागू संविधियों के लागू तथा अधिसूचित प्रावधानों के अधीन विनिर्दिष्ट की गई हैं, नियुक्त किया जाए और एतद्द्वारा नियुक्त किया जाता है तथा कि श्री सौरभ श्रीवास्तव, स्वैच्छिक परिसमापक, को उक्त सेवाओं के लिए रू. 2,50,000/- सर्विस टैक्स के पारिश्रमिक के अलावा खर्चे अदा किए जाएं जिनमें इस प्रयोजन हेतु वहन की गई फाइलिंग फीस/कम्पाउंडिंग फीस तथा अन्य अतिरिक्त फीस, यदि कोई, समाचार पत्र तथा राजपत्र में प्रकाशन लागत इत्यादि शामिल हैं।"
3. नए स्वैच्छिक परिसमापक को प्राधिकार प्रदान किया जाना :
"प्रस्ताव किया गया कि श्री सौरभ श्रीवास्तव, स्वैच्छिक परिसमापक, को कम्पनी अधिनियम, 1956 की धारा 493 एवं 551 तथा ऐसे अन्य प्रावधानों जो सदस्यों के स्वैच्छिक समापन हेतु लागू हो सकते हैं, के तहत उनकी नियुक्ति की सूचना सहित विभिन्न ई-फार्म और ऐसे अन्य ई-फार्म, घोषणाएं, शपथपत्र, सूचना/लेखा विवरण इत्यादि जो कम्पनी के परिसमापन हेतु अपेक्षितानुसार कार्पोरेट मामलों का मंत्रालय/रजिस्ट्रार ऑफ कम्पनीज, एनसीटी दिल्ली एवं हरियाणा, सरकारी परिसमापक, नई दिल्ली, आयकर विभाग तथा किसी अन्य विनियामक के पास जमा किए जाने अपेक्षित हैं, पर हस्ताक्षर करने तथा फाइल करने हेतु प्राधिकृत किया जाए और एतद्द्वारा प्राधिकृत किया जाता है।"
4. नए स्वैच्छिक परिसमापक को स्वैच्छिक परिसमापन बैंक खाता प्रचालित करने का प्राधिकार प्रदान किया जाना :
"प्रस्ताव किया गया कि श्री सौरभ श्रीवास्तव, स्वैच्छिक परिसमापक, को एचडीएफसी बैंक, कनॉट प्लेस - सूर्य किरण शाखा ("बैंक") में मैसर्स सीजीयू प्रोजेक्ट्स सर्विसेज प्राइवेट लिमिटेड चालू खाता नम्बर 00032000011095 नाम के तहत चलाए जा रहे स्वैच्छिक परिसमापन बैंक खाते को उनके हस्ताक्षर के तहत प्रचालित करने हेतु प्राधिकृत किया जाए और एतद्द्वारा एकलतः एवं अनन्यतः प्राधिकृत किया जाता है।

RESOLVED FURTHER THAT Bank be and is hereby authorized to effect the change of signatory from the existing Voluntary Liquidator Mr. Anant Kumar Jha to Mr. Saurabh Srivastava, the new Voluntary Liquidator who has been appointed herein in terms of Section 492 of Companies Act, 1956.
