परिसमापक की नियुक्ति

"पारित किया गया कि कंपनी अधिनियम, 1956 की धारा 490 के प्रावधानों के अनुसार, कंपनी के मामलों के समापन के उद्देश्य के लिए परिसमापक के रूप में श्री अभिषेक नाहटा की नियुक्ति के लिए शेयरधारकों का अनुमोदन है एवम्‌ एतदद्वारा प्रदान किया जाता है।"

आगे पारित किया गया कि कंपनी के शेयेरधारक एतदद्वारा परिसमापक को भुगतान योग्य पारिश्रमिक के रूप में भारतीय रुपये 3,00,000 (भारतीय रुपये तीन लाख) अनुमोदित करते हैं।

आगे पारित किया गया कि उपरकथित निर्णयों के क्रियान्वयन के लिए अपेक्षितानुसार सभी ऐसे कार्यों, विलेखों एवम्‌ काम को करने हेतु कंपनी निदेशक हैं एवम्‌ एतदद्वारा क्रमशः अधि—त किए जाते हैं।

Appointment of Liquidator

"Resolved that pursuant to the provisions of section 490 of the Companies Act, 1956, Mr. Nitin Chaudhry, be and is hereby appointed as the Liquidator of the Company for the purpose of the voluntary winding up of the Company on payment of all type of costs, charges and expenses incurred on behalf of the Company during the process of winding up.
