वस्तु व्युत्पन्न (कमोडिटी डेरिवेटिव) से आशय ऐसे माल की डिलीवरी के लिये एक अनुबंध से है जो सरकारी राजपत्र मेेंं केन्द्र सरकार द्वारा अधिसूचित क्यिा जा सकता है जो कि एक हाजिर डिलीवरी अनुबंध नही है या इस तरह के अंतर्निहित माल की कीमतों या गतिविधियों, सेवाओं, अधिकाराें, हिताें और घटनाओं की कीमतों के सूचकांक से अपने मूल्य प्राप्त कर लेता है जिन्हें बोर्ड के परामर्श से केन्द्र सरकार द्वारा अधिसूचित किया जा सकता है लेकिन यह सिक्योरिटी कान्ट्रैक्ट रेगुलेशन एक्ट 1956 के उपखंड क और खंड ए सी बी मेंं निर्दिष्ट प्रतिभूतियाें कोेे शामिल नहीं करता है।
32. खंड 1, उपखंड (xlvii) में वायदा अनुबंध शब्द को कमोडिटी डेरिवेटिव अनुबंध से प्रतिस्थापित किया गया है।

सदस्याें का वर्गीकरण चार श्रेणी मेंं होगाः साधारण सदस्य, ट्रेडिंग सदस्य, ट्रेडिंग सह क्लियरिंग सदस्य और प्रोफेशनल क्लियरिंग सदस्य।
37. खंड 2, उपखंड (ii) मेंं, निम्न प्रतिस्थापित कर दिया गया हैः
साधारण सदस्यों के तहत व्यक्तियाें, कम्पनियाें, संयुक्त स्टाक कम्पनियों, निगमों और जो काली मिर्च और अन्य कमोडिटीज के व्यापार में हाेंगें और अनुच्छेद 4 के तहत सदस्यता के लिये योग्य हो और अनुच्छेद 5 मेंं निर्धारित शुल्क का भुगतान किया है। सदस्यता को एसोशियेसन के इप्सटा व्यापार मंडल मेंं चार श्रेणियाें मेंं वर्गीकृत किया गया है। 1. साधारण सदस्य 2. ट्रेडिंग सदस्य 3. टे्रडिंग कम क्लियरिंग सदस्य 4. प्रोफेशनल क्लियरिंग सदस्य। एसोशियेसन के इप्सटा व्यापार मंडल मेंं ट्रेडिंग सदस्याें को सेबी के साथ पंजीकृत किया जायेगा।
38. मूल उपनियम में खंड 2, उपखंड (iii) कोेे नष्ट कर दिया गया है।
39. खंड 2 मेंं उपखंड (iv), खंड 2 मेंं उपखंड (iv)(ए), खंड 2 मेंं उपखंड (iv)(बी), खंड 2 मेंं उपखंड (iv)(सी) कोेे क्रमशः सम्मिलित किया गया है।
2 उपखंड (iv)(ए) सदस्यता की ट्रेंडिग सदस्य श्रेणी मेंं एक सदस्य अपने स्वयं के खाते के साथ ही अपने ग्राहको के खाते में भी ट्रेड निष्पादित कर सकता है लेकिन ट्रेडिंग सदस्य कोेे समाशोधन एवं क्रियान्वित ट्रेडाें के निपटान ट्रेडिंग कम क्लियरिंग सदस्य या पेशेवर समाशोधन सदस्य के माध्यम से करना होगा।
2 उपखंड (iv)(बी) ट्रेडिंग कम क्लियरिंग सदस्य अपने स्वयं के खाते पर और साथ ही अपने ग्राहकों के खाते पर व्यापार करने केे हकदार है। टीसीएम इन ट्रेड का खुद निपटान भी कर सकते हैं।

40. खंड 2 मेंं उपखंड (v) अंतर्राष्ट्रीय कमोडिटी एक्सचेंज डिवीजन शब्द को टे्रड डिवीजन व्यापार मंडल से प्रतिस्थापित किया गया है इसके अलावा एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड सेबी के लिये प्रतिस्थापित किया गया है।
41. खंड 3 मेंं उपखंड (i), जहां भी शब्द संयुक्त हिंदू परिवार है हटा दिया गया है।
42. खंड 3 मेंं उपखंड (ii), जहां भी शब्द संयुक्त हिंदू परिवार है हटा दिया गया है इसके अलावा एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड सेबी के लिये प्रतिस्थापित किया गया है।
43. खंड 3 मेंं उपखंड (iii), एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड सेबी के लिये प्रतिस्थापित किया गया है। इसके अलावा अंतर्राष्ट्रीय कमोडिटी एक्सचेंज डिवीजन शब्द को ट्रेड डिवीजन व्यापार मंडल से प्रतिस्थापित किया गया है।
44. डिवीजन मेंं साधारण सदस्याें द्वारा प्रवेश शुल्क और वार्षिक सदस्यता क्रमशः 15000 रुपये और 1500 रुपये देय होगी। इसके अलावा साधारण सदस्य द्वारा सिक्योरिटी डिपोजिट के लिये रुपये 500 का भी भुगतान किया जायेगा जिसको कोई ब्याज देय नही होगा। सदस्य के रूप मेंं जब तक वह एसोसियेशन को सदस्य रहेगा तब तक वह सिक्योरिटी डिपोजिट वापस लेने को हकदार नही होगा। प्रोफेशनल क्लियरिंग सदस्य द्वारा प्रवेश शुल्क एवं वार्षिक सदस्यता के लिये क्रमशः रुपये 1,00,000 और रुपये 10,000 देय हाेंगे।
45. मूल उपनियम में खंड 4, उपखंड (ii) कोेे नष्ट कर दिया गया है।
46. खंड 5 मेंं, जहां भी शब्द संयुक्त हिंदू परिवार है हटा दिया गया है इसके अलावा एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड सेबी के लिये प्रतिस्थापित किया गया है।

67. खंड 32 मेंं, खंड 32, 32 उपखंड ए और 32 उपखंड बी निम्नलिखित क्रमशः सम्मिलित किया गया हैः 32. एक्सचेंज खुले खडी पोजीशन पर 4% न्यूनतम साधारण मार्जिन लगायेगा। यह दर सेबी से प्राप्त निर्देशों के आधार पर समय समय पर भिन्न हो सकते है।
32 उपखंड एः ग्राहक स्तर पर मार्जिन गणनाः एक्सचेंज प्रत्येक ग्राहक के स्तर पर विभिन्न परिपक्वताओं पर वायदा अनुबंध मेंं उसके सौदे पर साधारण मार्जिन लगायेगा। सदस्य स्तर पर मार्जिन गणना के लिये, विभिन्न ग्राहकों पर कुल मार्जिन लगाया जायेगा। सदस्य के स्वामित्व पोजीशन पर भी मार्जिन गणना के लिये एक ग्राहक के रूप मेंं ही व्यवहार किया जाना चाहिये।
32 उपखंड बीः मार्जिन संग्रह और प्रवर्तनः सभी लागू मार्जिन अगले कारोबारी दिन मेंं कारोबार के शुरू होने से पहले एक्सचेंज द्वारा एकत्र किया जायेगा। यदि सदस्य की जमानत के लिये आवश्यक मार्जिन और जमा आवश्यकताओं को कवर करने के लिये अपर्याप्त है, तो सदस्य को अपने खडे सौदे को और बढ़ाने की अनुमति एक्सचेंज द्वारा नही दी जायेगी।
68. खंड 33 उपखंड ए मेंं घरेलू डिवीजन शब्द को इप्सटा व्यापार मंडल से प्रतिस्थापित क्यिा गया है। इसके अलावा एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड (सेबी) के लिये प्रतिस्थापित किया गया है।
69. खंड 34 उपखंड ए में एफएमसी शब्द को भारतीय प्रतिभूति एवं विनिमय बोर्ड (सेबी) के लिये प्रतिस्थापित किया गया है।

(ए) प्रौद्योगिकी पर स्थायी समिति मेंं दो बाहरी प्रौद्योगिकी के कुशल विशेषज्ञ और कम से कम एक सार्वजनिक हित निदेशक शामिल हैं। इस समिति के कार्यों में एक्सचेंज द्वारा प्रयोग की जा रही तकनीक समयानुसार है और बाजाराेंे की बढ़ती मांग के अनुरूप की निगरानी रखना, सिस्टम की क्षमता और दक्षता की पर्याप्तता पर नजर रखना एवं मौजूदाPART IV] THE GAZETTE OF INDIA, FEBRUARY 25, 2017 (PHALGUNA 6, 1938) 249 साफटवेयर/हार्डवेयर में एक्सचेंज द्वारा दिये गये सुझाव के अनुसार परिवर्तन एवं कम्प्यूटरीकृत व्यापार प्रणाली की समस्याओं जैसे हैंगिंग/स्लोडाउन/ब्रेकडाउन मेंं जांच करने केे लिये निगरानी रखना होगा। आनलाईन ट्रेंिडंग सिस्टम मेंं स्लोडाउन/ब्रेकडाउन केे बारे मेंं जानकारी को पारदर्शी बनाने के लिये सुनिश्चित करना। समिति एक्सचेंज के संचालक मंडल को एक रिपोर्ट प्रस्तुत करेगी।
बोर्ड रिपोर्ट पर विचार विमर्श करेगा और उपर्युक्त कार्यवाही/उपचारात्मक उपाय किया जायेगा। पांच मिनट से ज्यादा के ठहराव को स्पष्ट किया जायेगा और बोर्ड को सूचित किया जायेगा। एक्सचेंज ब्रेकडाउन के कारणों कोे निर्दिष्ट एक प्रेस विज्ञप्ति जारी करेगा।
(बी) जनता केे हित निदेशकों की समिति के सभी जनहित निदेशक समिति की प्रत्येक बैठक मेंं जरूर भाग लेंगे। अपनी बैठकों के दौरान जनहित निदेशक निम्नलिखित समीक्षा करेगेंः-
(क) सेबी के पत्र/परिपत्र के अनुपालन की स्थिति।
(ख) विनियामक कार्यों के लिये समर्पित संसाधनों की पर्याप्तता सहित नियामक विभागों के कामकाज की समीक्षा।
(ग) जनहित निदेशक अन्य समितियों में जहां भी वे सदस्य है उनकी कार्यप्रणाली पर एक रिपोर्ट तैयार करेंगे। रिपोर्ट अन्य जनहित निदेशकों को वितरित की जायेगी।
(घ) एक संक्षिप्त रिपोर्ट एक्सचेंज के सचांलक मण्डल को प्रस्तुत की जायेगी।
(ड) जनहित निदेशक उन महत्वपूर्ण मुददाें की पहचान करेगा और सेबी को रिपोर्ट करेगा जो एक्सचेंज के लिये हिताें के टकराव में शामिल हो सकते है या उनकोे बाजार पर महत्वपूर्ण प्रभाव पड़ता हो।
(सी) आचार समिति मेंं जनहित निदेशकों, मुख्य प्रबंधन कर्मियों और अनुपालन अधिकारी को समावेश होगा। इस समिति को कार्य आचार संहिता के कार्यान्वयन की निगरानी करना होगा।
(डी) समितियों मेंं नियुक्त स्वतंत्र बाहरी व्यक्तिः स्वतंत्र बाहरी व्यक्ति अखंडता के व्यक्तियों के बीच मेंं से हाेंगे जिनके हितों मेंं कोई टकराव न हो और जिनकी उच्च प्रतिष्ठा हो। वे समिति कोेे सौंपे गये काम के विशेषज्ञ होंगे। एक्सचेंज स्वतंत्र बाहरी व्यक्तियाें की नियुक्ति, कार्यकाल, आचार संहिता, आदि के लिये दिशानिर्देश तैयार करेगा। कार्यकाल का विस्तार, कार्यकाल की समाप्ति पर योगदान की समीक्षा, बैठकों मेंं उपस्थिति का रिकार्ड के अनुसार पर दिया जा सकता हैं।
(ई) जोखिम प्रबंधन समिति मेंं जनहित निदेशकों एवं स्वतन्त्र बाहरी विशेषज्ञों का समावेश होगा जो संचालक मण्डल को रिपोर्ट करेगा। समिति के कार्यों में विस्तृत जोखिम प्रबंधन नीति को तैयार किया जायेगा जिसको कि संचालक मण्डल द्वारा अनुमोदित किया जायेगा।
(ए) जोखिम प्रबंधन विभाग के प्रमुख जोखिम प्रबंधन नीति के कार्यान्वयन के लिये जिम्मेदार होगें और वह जोखिम प्रबंधन समिति कोेे और शासी बोर्ड को रिपोर्ट क्रेगा।
(बी) यह समिति जोखिम प्रबंधन नीति के कार्यान्वयन की निगरानी करेगी और कार्यान्वयन और विचलन के बारे मेंं सेबी और संचालक मंडल को सूचित रखेगी।

जोखिम प्रबंधन ढांचे
(ए) सभी लागू मार्जिन अगले कारोबारी दिन मेंं कारोबार केे शुरू होने से पहले एक्सचेंज द्वारा एकत्र किया जायेगा। यदि सदस्य की जमानत के लिये आवश्यक मार्जिन और जमा आवश्यकताओं को कवर करने के लिये अपर्याप्त है, तो सदस्य कोेे अपने खड़े सौदे को और बढ़ाने की अनुमति एक्सचेंज द्वारा नहीं दी जायेगी।

(A) Standing committee on technology, comprising of two outside experts proficient in technology and atleast one public interest Director. The functions of this committee shall be to monitor whether the technology used by the exchange remains up to date and meets the growing demands of the markets, to monitor the adequacy of systems capacity and efficiency, to look into the changes being suggested by the exchange to the existing software/hardware, to investigate into problems of computerized trading system, such as hanging/slowdown/breakdown., to ensure that transparency is maintained in disseminating information regarding slowdown/ breakdown in Online Trading System. The Committee shall submit a report to the Governing Board of the exchange. The Board will deliberate on the report and suitable action/ remedial measure will be taken. Any stoppage beyond five minutes will be explained and reported to the Board. The Exchange shall issue a press release specifying the reasons for the breakdown.
(B) Public Interest Directors' Committee comprising of all the public interest directors shall necessarily attend every meeting of the committee. During their meetings, the Public Interest Directors shall review the following:
(a) Status of compliance with SEBI letters/ circulars.
(b) Review the functioning of regulatory departments including the adequacy of resources dedicated to regulatory functions.
(c) The public interest directors shall prepare a report on the working of the other committees where they are also the members. The report shall be circulated to the other public interest directors.
(d) A consolidated report shall then be submitted to the Governing Board of the exchange.
260 THE GAZETTE OF INDIA, FEBRUARY 25, 2017 (PHALGUNA 6, 1938) [PART IV(e) The public interest directors shall identify important issues which may involve conflict of interest for the exchange or may have significant impact on the market and report the same to SEBI.
(C) Ethics Committee shall comprise of public interest directors, key management personnel and compliance officer. The functions of this committee shall be to oversee the implementation of the code of ethics.
(D) Independent external persons appointed to committees: The independent external persons shall be from amongst the persons of integrity, having a sound reputation and not having any conflicts of interests. They shall be specialists in the field of work assigned to the committee. The exchange shall frame the guidelines for appointment, tenure, code of conduct, etc., of independent external persons. Extension of the tenure may be granted at the expiry of the tenure pursuant to a review of the contribution, record of attendance at meetings, etc.
(E) Risk Management Committee shall comprise of public interest directors and independent external experts, which shall report to the governing board, the functions of which will be to formulate a detailed risk management policy which shall be approved by the governing board.
(a) The head of the risk management department shall be resaponsible for implementation of the risk management policy and he shall report to the risk management committee and to the Governing Board.
(b) This committee shall monitor implementation of the risk management policy and keep the SEBI and the governing board informed about its implementation and deviation, if any.
153. In original Byelaws, the following new clause 214 has been inserted
"Regulatory departments, Regulation 28 of the SECC Regulations mandate segregation of regulatory departments from other departments."
154. In original Byelaws, the following new clause 215 has been inserted
"Risk Management Framework
(A) All applicable margins shall be collected by the exchange before start of trading on the next trading day. If the member's collateral is insufficient to cover the required margin and deposit requirements, member shall not be allowed by exchange to further increase his open positions.
(B) Further the exchange will levy ordinary margins at the level of each individual client comprising his positions in futures contracts across different maturities. For member level margin computation, margins shall be grossed across various clients.
(C) The proprietary positions of the member will also be treated as that of a client for margin computation.
(D) Mark to market settlement on all open positions of clients/members will be done on a daily basis in cash. The daily settlement price will be reckoned and disseminated by the exchange at the end of every trading day"
155. In original Byelaws, the following new clause 216 has been inserted
"Maintenance of books of accounts and records as per the SECC Regulations 2012. The exchange shall maintain and preserve the books of accounts and records as per rule 14 of the SCRA Rules 1957"
