Comuto India Private Limited is a Wholly Owned Subsidiary of M/s Comuto SA, a company incorporated under the provision of Companies Act, 2013. While referring to the strategic objectives for which the Company was incorporated, the Board of Directors informed that due to change in the business environment, there has been change in strategic objectives, therefore, board of directors of the company have consider to wind up the affairs of the Company. It is also informed that presently provisions of Companies Act 1956 are applicable for "Voluntary Winding Up", But once the provisions of "The Insolvency & Bankruptcy code" 2016/Provisions of Companies Act 2013 become applicable for voluntary winding up the same will be applied without any change in foregoing resolution passed hereunder subject to compliance of such code/Act. The Board of Directors also affirmed that after making full enquiry into the affairs of the Company with due diligence, they have formed the opinion that the Company has sufficient assets to meet its liabilities.
